The Nantwich Show is organised into sections Cattle, Horses, Sheep, Poultry, Pigeons, Home Produce, Arts & Crafts,
H(>rticulture and Fl(>ral Art. Each section is run by an urganising committee who each repc)rt ts the 8oard of Directors of
the company.
Volunteers provide a very considerable contribution to the Society. The extent of voluntary help does have a valuable
effect on costs and without such we would not be able to operate and to support charitable causes.

requirements for the directors to present a strategic report.

Achievements and performance
The Society's prlmary funttlon is to organlse the annual Nantwlch Show Dn the last Wednesday of July each year.
Following the relaunch of the show in 2022, Lhe new venue of Reaseheath College in Nantwich has prol'ed successfu
and we end our third year with a 51gned 10-year contract to Stage the event In Its current location. This wa5 the last of
our three year rent-free arrangement lin lieu of showvground infrastructure building costs) and next year we wlll begin a
£5,000 deposit and IOWO of profits arrangement with Reaseheath.
The total number of people on the showground on the day is recorded a5 9,500 (including trader5. Vlsltors and
volunteers). Contrary to 2023 where we had raln as a challenge, the 2024 event landed on the hottest day ol the year
ènd this too took its toll on gate numbers and staging costs. With the weather looking as promising as it did in the day5
leading up to the show, it was decided that extra toilets and marquee cover was required to cope with the potential
higher numbers tsf vlsltors17,500 In 2023 $0 èn estlmate ol i i,OOO+ was conslderedl. The extra provlslon lor
marquees lor sun co￿er1£2,00Dl wa5 detinitely neecled but the extra toilets (£12001 were not needed as the extreme
heat put some people off and certalnly sent them home earller than expected.
Approximately 80% of Trader5 renewed in 2024, many of which requested the same pitch. Trade stand5 are organi5ed
Inlts seven categories= Agriculture, Lifeslyle, Molor, Professional Service5, Food & Drink, Charity and Community. In
total, over 250 trader5 were sited an the field with approximately 40 of these being baoked via riur partner Creative
Crafts who pays a rent to us of £900 and Is fully self-suflicient by supplying his own marquee and fumlfure. Caterlng
concesslons have all Increased to Just over ÉIO,000 which is pleaslng espècially as we have fulfllled our alm to use only
suppliers frorn within 40 mile5 of Nantwich and where possible, farmers or home-grown food producers in line with our
conslilution to promote farming,
More space was made available for the Cattle Sectlon, taking the total number of beasts from 79 In our 2022 launch to
170 in 2024. Sheep also increased from 75 to 140 in 2024, The shI￿s were back and also Put on an excellent display of
34 horses. It Is consldered that we are now nearing the maxlmum of what we can accommodate. There has been some
pushback from Sheep on prize money and entry fees which has been rectified for rext year.
In the first year we had zero adminislration costs and both the Show Manager and Show Secretary volunteered Iheir

graphlc deslgn support. Thls year, the Show Managers role became pald and like the Show Secretary, averaged at 16
hours a week for EL5 an hour each.

Income and expenditure for the year together with the reserves at the beginning and end of the year.
This is the First year the Society has been in a position to bank E170,000 into a savings account, meaning that shoul0#
n incident like the pandemic happen again e.g. not covered by event cancellation insurance, the Society would not be
bankrupt.
The Executlve D1￿CtOrS are happy wlth the Show Day proflt of £35,000 whlch Is a 15Qlo net surplus whlch Is wnsldered
tD be an above average profil in both the charity and agricultural shows sector.
The Show Management have ensured that marketing, attraition5 and operation costs have been kept to a minimum
allowing us to maximise on profit.
The Directors, policy is to maintain reserves at a level equivalent to enable the Society to carry out its planned activities.
The dlrectors propos" to make no transfer for the year to the Deslgnated Fund whlch Is allocated ft>r dlstrlbutlon to
various agricultural bodies to be determined by the member5,
The directors continue to keep un¢er review any major risks arising from or impacting on the activities of the Society.
The directors consider that the 5yStem5 they have in place to manage such risks as have already been 35certalned
appear to be adequate in normal circumstance5.

Structurei governance and management
The Society 15 governod by its Mernorandum and Artlcles of Assoclation adopted on 15 july 1975 and amended on 27
September 2023. In the event of Ihe company being wound up. members are required to contribute an amounl not
exceeding EIQ.
The structure of the Society is such that all final decisions are made by the directors at their bi-monthly meetings,
Intermediate business is transacted by any one of the 6 sub committees, supported by the Show Management which
meets monthly and considers all recommendations put forward.
The directors are familiar with the wotl< ol the Society having partir.ipated in the Show over a number of years. New
directors are famlllarlsed wlth the work of the Soclety by the existlr)9 dlrectors.

1.1 Accountin9 convention
The financial statements have been prepared in accordance with the Society's Memorandum and Articles of
Association, the Companies Act 2006, FRS 102 'The Financial Reporting Standard applicable in the UK and
Republic of Ireland" I"FRS 102,1 and the Charitles SORP "Accountlng and Roportlng by Charltles.. Statement
of ReLommpndpd Practice applicable to charitips preparing thpir accoiints in •ctordance with thg Financial
Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021 (effective l January 20191. The
Society is a Public Benefit Entity as defined by FRS 102.
The Soclety has taken advantage of the provi51ons In the SORP for charltles not to prepare a Stat)ment of
Cash Flow5.
The financial statements are prepared in sterlingi which is the ftjnctional currency of the Society. Monetary
mounts in these financial statements are rounded to the nearest £.
The flnanclal statements have been prepared under the h15torlcal cost conventlon. The prlnclpal accountlng
pollcles adopted are set out below.
1.2 Going concern
At the time of approvlng the financlal statements, the directors have a reasonable expeciallon that the

1.3 Charltable funds
UnreJ•trlcted funds are avallable for Uu•e at the dlscretlon of the directors In furtherance ol thelr eharltable
objectives.
1.4 Incoming resources
Income Is recognised, net of VAT, when the Society Is legally entitled to it after any performance condltions
have boon met, the amounts can be rnea5ured reliablyy and It Is probable that Income ivlll be recelved.
1.5 Resources e)rpended
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a
third party, It 15 probable that a trarsfer of economic benefits will be reouired in settlement, and the amount
of the obllgation can be measured rellably.
Expenditure Is classlfled by artivity. The costs ol each actlvlty a￿ made up of the total of dlrect costs and
shared costs, including support costs involved in undertaking each activity. Direct costs allributable to a
single activity are allocated directly to that activity. Shared c05t5 ￿hlEh contnbute to rnore than one activity
and support costs which are not attributable to a single activity are apportioned between those activities on
basis consistent with the use of ￿sOurCes. Central staff costs are allocated on the basis of time spent, and
depreclatlon charges are allocated on the portion of the asset's use.

The Society has elected lo apply Lhe provisions of Section 11 'Basit Financial Inslruments, and Section 12
'Other Financial Instruments Issues, of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the Sociely's balance sheet when ihe Sociely becomes party to the
contractual provi5ion5 of the instrument.
Flnanclal assets and Ilabilltles are offset, with the net amounts presented In the flnancial statements, when
there Is a legally enforceable rlght to set off the recognlsed amounts and there is an Intentlon to settle on a

16 Related party transactions
During the year Mrs E Parkin the wile of Lhe chairman, t¥1r M J Parkin carried out marketing, sho
management and bookkeeping services for the Society amounting to a total cost of £16,695. These costs are
ncluded In show management, secretarlal & admln fees.
