## _During the year our activities have included_ 

- _A restricted programme of speakers for Birmingham, society groups and interest groups via video conferencing and in compliance with COVID-19 socialising restrictions. From October some limited physical meetings were held._ 

- _The production and distribution of the Society quarterly journal Midland Ancestor._ 

_Usual activities appearing in italics indicates a temporary suspension in 2021 due to COVID-19 restrictions._ 

- _The publication of material in the form of compact discs, DVD’s and digital downloads_ 

- _The continued work on transcribing and checking of parish registers and other items of genealogical interest for future publication_

|Summary of the main<br>achievements of the<br>charity, identifying the<br>difference the charity’s<br>work has made to the<br>circumstances of its<br>beneficiaries and any wider<br>benefits to society as a<br>whole.|The year began with a membership 1743 and ended with 1585.  New<br>members numbered 127.<br>Most of the usual physically attended public activities were not able to<br>take place in 2021 due to the COVID-19 pandemic. The trustees regularly<br>considered the situation and were at all times guided by governmental<br>instruction and advice.<br>Contact with the membership and public was maintained through the<br>society web-site and included a virtual programme of speakers. The<br>conferencing events programme has provided the opportunity for<br>members and visitors   from more distant parts of the UK and<br>internationally to participate.<br>The Trustees have been very appreciative for the General Secretary’s<br>continuing monthly members’ newsletter which has become an invaluable<br>means of communicating current information and encouraging<br>opportunities for member involvement both within the Society and the<br>wider field of family history activity.<br>The Society’s online shop is very popular with both members and non-<br>members. The shop is managed on a daily basis by the following<br>volunteers: Caroline Mason, Dawn Alexandre’ Grau, Mark Thursfield and<br>Steve Freeman. A newsletter is emailed approximately monthly to 2800+<br>shop newsletter subscribers. The Midland Ancestors Shop generated<br>around half of the year’s income excluding legacies and donations. This<br>vital source of income relies upon an expanding stock of available items in<br>convenient and flexible format to meet the needs of family historians.<br>There are over 3,000 items in the shop with new items added every week,<br>including updates to the Warwickshire Parish Registers as they become<br>available. These include family/local history books, maps, parish registers<br>and monument inscription transcripts available as downloads. We have<br>approximately 12 partners and sell their items in our shop, our biggest<br>partners being Warwickshire County Record Office and Staffordshire<br>Parish Registers Society.<br>The printing and distribution of the society quarterly journal The Midland<br>Ancestor is the primary benefit to the membership as a whole. The Editor<br>continues to oversee the production of a high-quality publication which<br>remains fresh, varied and relevant. There was an increase in the number<br>of colour pages and further opportunities for reader participation. The<br>trustees recognise with thanks the considerable time and effort involved.|

There continues to remain the<br>expected significant increase in the Family History Centre room rent. In<br>addition, reserves will be required to enlarge this facility to incorporate a<br>training/seminar room and library extension, once the Midland Institute<br>has decided, funded and completed work to modernise the building in<br>which the library is situated.  There have been during the year, and<br>continue to be, general IT improvements to enhance members’ and other<br>users’ experience and knowledge in addition to maintaining and improving<br>IT security itself.  Our recently enhanced reserves as noted earlier in this<br>report are held for the purpose of satisfying further potential appropriate<br>grant applications from other likeminded charitable organisations.|

## **STATEMENT OF TRUSTEES RESPONSIBILITIES FOR THE YEAR ENDED 31ST DECEMBER 2021** 

The trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards). 

The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to: 

Select suitable accounting policies and then apply them consistently; Observe the methods and principles in the Charities SORP; Make judgements and estimates that are reasonable and prudent; and 

Prepare the financial statements on a going concern basis unless it is inappropriate to presume that the charity will continue in business. 

The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the charity's transactions, disclose with reasonable accuracy at any time the financial position of the charity, and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charities (Accounting and Reports) Regulations 2008 and the provisions of the charity's constitution. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The trustees are responsible for the maintenance and integrity of the charity and the financial information included on the charity's website. Legislation in the United Kingdom governing the preparation and dissemination of Financial Statements may differ from legislation in other jurisdictions.

## **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF BIRMINGHAM AND MIDLAND SOCIETY FOR GENEALOGY AND HERALDRY** 

I report on the accounts for the year ended 31st December 2021 set out on pages eleven and twelve. 

## **Respective responsibilities of trustees and examiner** 

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year (under Section 144(2) of the Charities Act 2011 (the 2011 Act)) and that and independent examination is required. 

## It is my responsibility to: 

- examine the accounts under Section 145 of the 2011 Act 

- to follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the 2011 Act); and 

- to state whether particular matters have come to my attention. 

## **Basis of the independent examiner's report** 

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statements below.

In connection with my examination, no matter has come to my attention: 

- (1)    which gives me reasonable cause to believe that, in any material respect, the requirements

## **1. ACCOUNTING POLICIES** 

## **Accounting Convention** 

The financial statements have been prepared under the historical cost convention, and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008), the Charities Act 2011 and the requirements of the Statement of Recommended Practice, Accounting and Reporting by Charities. 

## **Incoming resources** 

All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. 

## **Resources expended** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

## **Stocks** 

Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. 

## **Taxation** 

The charity is exempt from tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
