## **TRUSTEES' REPORT** 

## _**FOR THE YEAR ENDED 30 APRIL 2021**_ 

The trustees present their report and financial statements for the year ended 30 April 2021. 

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's governing document, the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)". 

## **Objectives and activities** 

The objects of the charity are to promote and advance safety standards upon the roads in the United Kingdom.  These objects are met by providing grants to various road safety organisations and in their approach to grant giving, the trustees have had regard to the Charity Commission general guidance on public benefit. There have been no changes in the objects during the period under review. 

The trustees have  paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake. 

## **Achievements and performance** 

Income for the year totalled £25,217 (2020: £2,268) and 2 grants were made. 

The largest donation received was for £25,000 and was donated by The Guild of Experienced Motorists t/a GEM Assist. There are individuals in common between both entities. 

The income from investments increased in the 12 month period, there is also a healthy revaluation gain on the investments held. The charity remains in a satisfactory position to continue its grant making activities. 

## **Financial review** 

It is the policy of the trustees to maintain over time, unrestricted funds to at least £175,000.  This will provide sufficient funds to cover management, administration and support costs, and to enable the charity to meet its objects described above. 

The major risks to which the charity is exposed, as identified by the Trustees, have been reviewed and controls put in place in order to manage these risks. 

The charity’s future policy is to continue its grant giving to organisations that make a real contribution to road safety in all its forms.  Other sources of income will continue to be investigated. 

## **Structure, governance and management**

In order to assist you to fulfil your duties under the Charities Act 2011, we have prepared for your approval the financial statements of The Guild of Experienced Motorists Road Safety Charity for the year ended 30 April 2021, which comprise the statement of financial activities and the related notes from the charity’s accounting records and from information and explanations you have given us. 

As a practising member firm of the Institute of Chartered Accountants in England and Wales, we are subject to its ethical and other professional requirements which are detailed at http://www.icaew.com/en/members/ regulations-standards-and-guidance/ 

This report is made to the charity's trustees, as a body, in accordance with the terms of our engagement letter dated 15 October 2020. Our work has been undertaken solely to prepare for your approval the financial statements of The Guild of Experienced Motorists Road Safety Charity and state those matters that we have agreed to state to the charity's trustees, as a body, in this report in accordance with ICAEW Technical Release 07/16 AAF. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than The Guild of Experienced Motorists Road Safety Charity and the charity's trustees as a body, for our work or for this report. 

It is your duty to ensure that The Guild of Experienced Motorists Road Safety Charity has kept adequate accounting records and to prepare statutory financial statements that give a true and fair view of the assets, liabilities, financial position and surplus of The Guild of Experienced Motorists Road Safety Charity. You consider that The Guild of Experienced Motorists Road Safety Charity is exempt from the statutory audit requirement for the year, and is not required to obtain an independent examiner's report. 

We have not been instructed to carry out an audit or a review of the financial statements of The Guild of Experienced Motorists Road Safety Charity. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.

## **1 Accounting policies** 

## **Charity information** 

The Guild of Experienced Motorists Road Safety Charity is an unincorporated charity, registered with the Charity Commission. 

## **1.1 Accounting convention** 

The financial statements have been prepared in accordance with the charity's governing document,  the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)". The charity is a Public Benefit Entity as defined by FRS 102. 

The charity has taken advantage of the provisions in the SORP for charities applying FRS 102 Update Bulletin 1 not to prepare a Statement of Cash Flows. 

The financial statements have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a true and fair view. This departure has involved following the Statement of Recommended Practice for charities applying FRS 102 rather than the version of the Statement of Recommended Practice which is referred to in the Regulations but which has since been withdrawn. 

The financial statements are prepared in sterling , which is the functional currency of the charity.  Monetary a mounts  in these financial statements are  rounded to the nearest £. 

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below. 

## **1.2 Going concern** 

At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees  continue  to adopt the going concern basis of accounting in preparing the financial statements. 

## **1.3 Charitable funds** 

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives. 

## **1.4 Income** 

Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received. 

Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation. 

Investment income is included in the SoFA when receivable.

## **1.5 Expenditure** 

All expenditure is recognised on the accruals basis and all grants for road safety projects are accrued in full at the time of approval. 

## **1.6 Fixed asset investments** 

Fixed asset investments  are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date.  Changes in fair value are recognised in  net income/(expenditure) for the year . Transaction costs are expensed as incurred. 

## **1.7 COVID-19 pandemic** 

The coronavirus pandemic has significantly disrupted individuals’ personal lives and  businesses’ economic prospects in the UK and across the globe. The UK entered lockdown  in March 2020 and some restrictions and social distancing provisions remain in place. 

The COVID-19 pandemic has had a negligible impact on the charity.  We have  therefore  continued to prepare the accounts on a going concern basis and deem this  appropriate. We do not consider that a material uncertainty about our going concern  status currently exists. In making this assessment we have considered the likely  conditions for a period of twelve months from the date of our approval of these accounts.

## **13 Related party transactions** 

During the year donations of £25,000 (2020: £nil) was received from The Guild of Experienced Motorists trading as GEM Assist. Both entities have individuals in common. £nil was outstanding at the year end.
