REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 DECEMBER 2022
The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st December 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practise applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
The company's principle aim is to use the power of storytelling to drive real world action for a more sustainable future. For more than 35 years, tve has been pioneering environmental storytelling, educating millions of people around the world about the challenges facing our planet, their impact on people and what can be done differently.
tve fulfils its charitable objectives by producing, co-producing and distributing audit-visual content about the management, conservation and sustainable development of our natural resources in order to build a greener, more just world. We also undertake research and develop tools, strategies and platforms to help others more effectively communicate about environmental issues.
Public benefit
In shaping our objectives and planning our activities for the year, the Trustees have given consideration to the duties set out in Section 17(5) of the Charities Act 2011 to have due regard to the public benefit and to the Charity Commission Guidance on public benefit. In particular, the Trustees have considered how the planned activities will contribute to the overall aims and objectives that they have set.
The Trustees believe that paragraphs, specifically on Objectives and Aims and Charitable Activities for the year, relate in detail the benefit that the Charity provides to the public.
Volunteers
The Charity is extremely grateful for the support of all volunteers who helped the Charity during the year. The value of the Charity of the work of volunteers is estimated as in excess of £12,000.

tve annual report 2022
tve continued its vital work in 2022, focusing on digitizing its archives, enabling young people to create films on environmental challenges, and developing its distribution network.

In the first three months of the year, tve digitized its archives, enabling it to continue its work of empowering people to create and distribute films on environmental challenges.

In June 2022, tve launched its 'BioMovies' schools project, enabling young people aged 9-11 to make and submit short films on issues to be raised at the COP27 summit in Sharm El Sheikh, Egypt. tve secured a media partnership with the Climate Action group at the summit, enabling it to showcase the films. tve also conducted workshops with school children and provided them with the tools and opportunity to make their own films. These films will be distributed to schools in India, Brazil, South Africa, and the UK in 2023.

tve continued to develop its distribution network in 2022. It built a new relationship with Reeble Limited, a technology firm that will provide expertise and support for tve to build its own OTT platform, which will be ready by the end of 2023. tve also continued its partnership with TVCultura in Brazil to broadcast its content across universities in the country, and its contract with Bullfrog Films to distribute its films in North America.

tve continued to see the development of its social channels and website as a key pillar of its strategy, helping it to ensure that its content reaches the widest possible audience. Its four YouTube channels received 1,435,899 views in 2021, and its Facebook, Instagram, and Twitter presence continues to share news of its events and competitions. Its tve.org website received over 23,800 views in 2022. In addition, tve launched a new website, tve.media, to showcase some of the best films from around the world that tackle vital issues as raised by the 17 UN SDGs. These films have received over 220,000 views.

tve held several charity fundraisers in 2022 to help replenish its funding. A summer reception in August 2022 showcased tve's work and generated interest among new audiences. It also helped raise awareness of the upcoming COP27 summit and tve's role in it. Building on its relationship with UK-China Film Collab, tve hosted a shortlisting ceremony for the tve Global Sustainability Film Awards at De Montford University in Leicester.

tve's annual tve Global Sustainability Film Awards (GSFA) highlight businesses, organizations, and individuals on their work and innovative solutions to environmental challenges. The 11th GSFA was hosted at the Merchant Taylors Hall in London and saw over 75 entries from over 29 countries. The films were uploaded to tve's GSFA YouTube channel and promoted to inspire industry peers and wider audiences.

tve is committed to ensuring that its wealth of films and documentaries reaches as wide an audience as possible. In 2022, tve digitized over 2,000 films from its archives with the intention of creating an online library to be made widely available. tve is committed to raising funds to help carry on this vital work in 2023.
Summary
tve had a successful year in 2022, continuing its vital work in the areas of digitization, youth engagement, distribution, and fundraising. tve is committed to making environmental films and documentaries accessible to everyone, and its work is having a real impact.
FINANCIAL REVIEW
Financial position
Income from the year was £66,420 (2021: £94,938) and expenditure was £65,988 (2021: £72,155). The Trustees continue to review the financial performance.
Reserve policy
As at 31st December 2022, total reserves stood at £33,289 (2021: £32,857). The Trustees continue to review the level of reserves closely to ensure that they are adequate to support the continuation of the organisation and have set the target of unrestricted funds to meet 3 months of running costs.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The organisation is a charitable company limited by guarantee, incorporated on 25 April 1984 and registered as a Charity on 22 May 1984.
The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association. Under these Articles, the Trustees are elected at the Annual General Meeting to serve for a period of four years, up to a maximum of eight years.
The members have guarantee to contribute a maximum of £1 each in the event of the company being wound up.
Executive Board
The members of the Executive Board who served during the year are shown in Reference and Administrative Details. The members of the Executive Board fulfil the same function as Directors under the Companies Acts. The Board has the power to appoint additional members as it considers fit to do so.
Recruitment, induction and training of new members
Recruitment takes place on an annual basis via a nomination process whereby current Trustees can suggest suitable potential new members. The candidates are discussed by the Board and once agreement is reached invitations are issued by the CEO. Members serve initially for a period of four years. An induction programme is available to all new members.
Organisation structure
The Charity is run by a Management Committee comprising the Trustees, who delegate the day to day running to the Head of Operations, Karma Wangdi. The Board of Trustees meet on a regular basis in order to assist in the management of the Charity.

There is one organisation that is connected to the Trust by reason of common control – TVE, Television Trust for the Environment which is separately constituted and registered in the USA. There were no transactions with TVE, Television Trust for the Environment in the year (2021: £Nil)
Risk management
The Executive Board has examined the major strategic, business and operational risks that the Charity faces and confirm that the necessary procedures and controls are in place to mitigate these risks. The risks to which the Charity is exposed are reviewed on a timely basis and action taken accordingly.

STATEMENT OF TRUSTEES’ RESPONSIBILITIES
The trustees (who are also directors of Television for the Environment for the purposes of company law) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to:

Independent examiner’s report to the trustee of Television for the Environment (‘the company’)
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31st December 2022.
Responsibilities and basis of report
As the charity’s trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directors given by the Charity Commission under section 145(5) (b) of the 2011 Act.
Independent examiner’s statement
I have completed my examination. I can confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1) Accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or
-
2) The accounts do not accord with those records; or
-
3) The accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirements that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
4) The accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting standard applicable in the UK and Republic of Ireland (FRS102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31st December 2022.
The members have not required the company to obtain an audit of its financial statements for the year ended 31st December 2022 in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibilities for:

1) ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) ‘ Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)’, Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland’ and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
The Trustees consider that there are no material uncertainties about the charity’s ability to continue as a going concern.
Income
All incoming resources are included in the SOFA when the Charity is legally entitled to the income and it is probable that the income will be received and the amount can be measured reliably. Legal entitlement is considered to be the combination of when the contract for project work is signed by both parties and the contracted costs begin to accrue following work commenced on the project, so as to match the income generated against the costs incurred on each project.
Incoming resources are classified as restricted, designated or unrestricted in accordance with the requirements of SORP 2015.
Restricted incoming resources are those that are subject to special conditions imposed by the funder, and on completion of such a project any unspent funds will be returned to the funder. Designated incoming resources are subject to special conditions imposed by the funder but on completion of such projects any remaining balance is transferred to the General Fund. Unrestricted incoming resources are those funds that are not subject to any restrictions and can be expended at the discretion of the Trustees in furtherance of the Charity’s objectives.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accrual basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on the basis consistent with the use of resources.

Taxation
The Charity is considered to pass the tests set out in Paragraph 1 Schedule 6 Finance Act 2010 and therefore it meets the definition of a charitable company for UK Corporation Tax purposes. Accordingly, the Charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
Foreign currencies
Assts and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Operating leases
Rentals payable under operating leases are charged to the Statement of Financial Activities in the year in which they are payable.
Film library
The company has a library of films comprising of films made since the formation of the company in 1984. The value of these films to the company is the value of the future income flows that will come from the sale of these films, or footage from them. Owing to the uncertainty of these future flows, no value is ascribed to the film library in these Financial Statements.
