The charity registration number is 326152. ## **Recruitment and appointment of new trustees** Trustees with the required skillset are elected by vote at the Annual General Meeting for a term of three years. External risks to the Association have led to the development of a system of regular review of investments. Internal risks are minimised through the implementation of procedures for authorisation of all transactions and funding. These procedures are periodically reviewed to ensure that they still meet the needs of the Association. The Trustees consider that the risks to which the Association is exposed are not of material significance. ## **Charity Objectives** The Association membership consists of consultant and trainee surgeons with a common interest in endocrine surgery. It was formed in 1981 for the purpose of providing education and training advice in the sphere of endocrine surgery. ## **Activities** The Association holds a national annual meeting where research papers for the purposes of education are presented. There is an educational forum in the form of a teaching symposium and guest speakers are invited to speak on educational topics. In the past year we have also developed a series of online educational webinars to aid continuing professional development and education of our members. The Association plays an active and key role in the formation of national guidelines for endocrine surgery and in the structure of education and examination of junior surgeons. It has had an advisory role in the future of endocrine surgery provision with regards to NHS planning at Government level. It also runs a national database for all endocrine surgery operations and results from this database are published openly on the internet in accordance with directives from NHS England and the Healthcare Quality Improvement Partnership The Association supports research with direct grants, applied for in competition and before an interview panel. It also supports junior and newly appointed consultants with travel grants for educational purposes and has close links with other patient led charities such as Butterfly Thyroid Cancer Trust, AMEND and the British Thyroid Foundation. ## **Achievements and performance** Our annual scientific conference continues to thrive and is a platform for the exchange of ideas and for the continuing professional development of our members. In 2019 our conference was a joint meeting with the Spanish and Portuguese Chapters of Endocrine Surgery held in Barcelona, Spain. This was an excellent opportunity to learn from the similarities and differences in practice across the three countries with some focus on the controversies in Endocrine surgery. As a result of the Covid-19 pandemic and associated social restrictions, the 2020 meeting, due to be held in person in Leeds, was postponed to October 2021. Instead, the Association held a free online congress for our members, with educational content and presentation of scientific papers. We continue to follow closely the developments with the pandemic and adjust our plans as necessary to ensure we continue to deliver educational opportunities to our members whilst maintaining safety and financial security. Throughout the pandemic we have continued to support our members and have given guidance to the Federation of Surgical Speciality Associations, via the Association of Surgeons of Great Britain and Ireland, on the prioritisation of cases for the limited theatre resource available within the NHS. We continue to collaborate with our European partners in the pan-European rare endocrine tumours database EUROCRINE. This aims to improve the welfare of patients with rare endocrine tumours by the learning that may follow inspection of a large cohort of patients from across Europe. Analysis of the BAETS database of endocrine operations (UKRETS) continues and collaboration with the Healthcare Quality Page 2 **BRITISH ASSOCIATION OF ENDOCRINE AND THYROID SURGEONS TRADING AS BAETS** ## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 DECEMBER 2020** ____________________________________________________________________________________________________ Improvement Partnership (HQIP) results in open publication of clinical outcomes annually on both BAETS and HQIP / NHS England issues. Education and research continue to be a strong focus of the Association. We offer annual educational grants - to surgeons in training and regular research “pump priming” grants to members whose applications are given favourable assessments by our scientific referees. We are in active discussions with patient representative groups to help develop and update information leaflets which are available to patient and health care professionals free of charge from our website. ## **Public benefit** The constitution of BAETS is ultimately designed to promote the welfare of patients with endocrine or thyroid diseases, whether this be through research, education, training, or other means. The trustees and executive of BAETS are fully cognisant of this responsibility, which informs all of our decision making. As mentioned above, we are pleased to publicly publish results of surgical outcomes of operations conducted by our members. Whilst we have been commended for being at the forefront of this drive for openness amongst national surgical associations, we are aware that there are improvements to be made. We continue to focus on the many surgeons who undertake thyroid and endocrine surgery but do not enter data into our national database, the only one nationally recognised by HQIP for the publication of surgical endocrine and thyroid outcomes. Whilst HQIP no longer intend to publish consultant outcome data, we hope to continue to publish this data ourselves and are in discussion with the database development and management company to set up a mechanism to automatically draw this data each year as we continue to strive to improve outcomes for patients. We continue to collaborate with the Get It Right First Time (GIRFT) project which aims to drive up standards, equalise patient access to high quality care and share good practice across the country. We are involved in the evolution of a multinational database of rare endocrine tumours. Due to the infrequency of such tumours, gaining an adequate evidence-based approach to treatment can be challenging. By collaboration with sister organisations in Europe we can increase the knowledge base and potentially improve patient welfare in all countries including, of course Britain. We are pleased to provide funding for research into the causes, effects, or treatments of endocrine disorders and recently we have supported research investigating the genetics of thyroid cancer and quality of life in patients with thyroid disfunction. We fully recognise the importance of patient charities and organisations and work closely with them, especially around the time of our annual scientific conference. Provision of high-quality education and training for the next generation of endocrine and thyroid surgeons is one of our important goals. Our partnership in providing an annual thyroid and parathyroid surgery specific training day with the Royal College of Surgeons of England ended in March 2017 because of building work at the college, however we have forged a new relationship with the Royal College of Surgeons of Edinburgh which facilitates this important annual educational update. In 2020, we were lucky enough to have this course take place in person prior to the pandemic. It has subsequently moved, temporarily, to an online format and plans are being made to deliver a similar masterclass in surgery for adrenal disease in 2021. ## **Reserves Policy** It is the policy of BAETS to maintain unrestricted funds, which are the free reserves, at a level to provide sufficient cash resources to meet future expenditure. The Honorary Treasurer updates the trustees on the level of reserves, and this is collectively reviewed annually. The trustees consider that the reserves held at the year-end are sufficient to meet future activities of the Association. Charity law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the Association and of the incoming resources and application of resources, including the income and expenditure for that period. In preparing those financial statements, the trustees are required to - select suitable accounting policies and then apply them consistently; - observe the methods and principles in the Charity SORP; - make judgements and estimates that are reasonable and prudent; - prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Association will continue in business. The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the Association. They are also responsible for safeguarding the assets of the Association and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. I report in respect of my examination of the Trust’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. ## **Independent examiner's statement** I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: - 1) Accounting records were not kept in respect of the Trust as required by section 130 of the Act; or - 2) The accounts do not accord with these records; or - 3) The accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. ACCOUNTING POLICIES** ## **Basis of preparing the financial statements** The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention. ## **– Financial reporting standard 102 reduced disclosure exemptions** The charity has taken advantage of the following disclosure exemptions in preparing these financial st atements, as permitted by FRS102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland’: - The requirement of Section 7 Statement of Cash Flows. - The requirement of Section 3 Financial Statement Presentation paragraph 3.17(d). - The requirements of Section 11 Financial Instruments paragraphs 11.41(b), 11.41(c), 11.41(e), 11.41 (f), 11.42, 11.44, 11.45, 11.47, 11.48 (a)(iii), 11.48(a)(iv), 11.48(b) and 11.48(c). - The requirements of Section 12 Other Financial Instruments paragraphs 12.26, 12.27, 12.29(a), 12.29(b) and 12.29A. - The requirement of Section 33 Related Party Disclosures paragraph 33.7 ## **Income** All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received, and the amount can be measured reliably. Investment income is included when receivable and consists solely of bank interest. ## **Expenditure** Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings, they have been allocated to activities on a basis consistent with the use of resources. ## **Allocation and apportionment of costs** Support costs are allocated 100% towards charitable activities which includes governance costs. ## **Taxation** The charity is recognised by HMRC as exempt from taxation on its charitable activities. ## **Fund accounting** Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the Trustees. ## **Volunteers** In accordance with FRS 102 and the Charities SORP (FRS 102), the economic contribution of general volunteers is not recognised in the financial statements due to inaccurate measurement bases. continued... TRUSTEES' REMUNERATION AND BENEFITS** There were no trustees' remuneration or other benefits for the year ended 31 December 2020 nor for the year ended 31 December 2019. ## **Trustees' expenses** Expenses totalling £743.94 were paid to a Trustee to re-imburse Zoom subscription costs during the year (2019 - £656.00). As at 31 December 2020 there were no outstanding expenses due to any Trustee. (2019 - £nil) for charity expenditure incurred by a Trustee. ## **10.
