2010. Its day-to-day activities are conducted in accordance with a governance document adopled by the
Editorial Board on 22 April 2010 and subsequently periodically amended, includlng on 28 November 2024.

The directors of the coinpany are also ch&rity trustees for the PUTpose5 of ¢hurity law and under the company's
Articles of Associlltioft are known as Members of the Council. Under the requirements of the Memorandum and
Articles of Associ2tiDn the Members of Council are elected to serve for a period of three years after whtch they
must eiiher stand down or be Te-elected at thc ncxt Annual Gcncral Meeling. However, the governance
document provides that mcmbers of CouLiciI (exLept the Chair ynd th¢ Tr¢asurcr) may not stand lor rc-elcclion
foi a full term. I'he Chair and Treasurer are elected for three-year teirns, rencwAblc once. On 16 June 20•2 it
