Appointment of Council Membgrs
The directors of tbe compmy are also charity trustc¢s for the purposcs of charily law and under the company's
Articles of Association are known as Menibers orthe Council. Under the requirements of the Memorandum and
ArtiLle5 of Association the Member5 of Council are elected to serve for a periud of thrLY yeaTY after whiLh they
must etther stand dowi or be re-elected at the next Annual General Meeting. However, the governance
document agreed on 22 April 201 O provides that members of Council (except th¢ Chair and the Treasurer) may
not stand for re-election for a full frrni. The Chair and Tr¢a5urer are electcd for threc-year term& rencwdb16
once. On 16 June 2022 it was decided to reduce the size of the Council from Iwelve to elbven rnembers.

Commonwealth Studentship awards, one for a postgraduate stydent based in the UK. and the other for a
pos'tgraduate student based at a university elsewhere in th¢ Commonwealih, for work on Cornmonw¢alth-related
th¥me5. The scheme includes a mentoring component. with cach successful applicant requir¢d to work with a
mentor based at a university in anoiher Commoniveolth country whilc preparing the research articlc and podcast
which are requirements of thc award. In additioi) to financiat assistsncc from the publish¢i'. the Round Table has
