Financial reviow
The financial aim5 of the Goveming COU￿￿1 wKlude generating sufficient income to onsure the School is in a
sound financial position. Sufficient SU￿luS is required to enable ongoing maintenance and investment in tho
School estate and lo ensure that an appropriate level of reserves are held. On a regular basis. the Finance
Committee carefully reviews the financial results and forecasts of the Scho￿. which indudes detsiled scrutiny of
cashflows on a short and loryer term basis. the level of borrowings and capital expenditure. The outcome of
these reviews are reported to and considered by the Governing Council.
The net deficit before revaluatw)n gainsllosses for the year was £399.37512024- net in￿rne £114.267). During
"the year total income amounted to £5.053.109 12024 - £5.368.2661 and the expenditure totalled £5,452,484
{2024- £5.253.9991.
Pupil numbers re￿Ce￿ to 179 al the end of Summer Temi 2025 from 239 in the Summer Tem 2024. The
school continues to focus on the recrutbnent and retention of pupils, wilh the recwitmenl of a D1￿ctor of
Admissions and Marketing. Admission Officer. Marketing Exe￿ItiVe and a Digital & Content Assistsnl. these
roles will feed into marketing and admiss￿$ intslives.
The strategic merger with Benen(len SchoKJ {Kenll Limited, completed on 1 December 2025 has delivered
strong eady outcome5, pOgI￿ning the School for sustsined growlh. By aligning complementary strength5,
cons01idats.ng resources. and streamlining operations, the merged Group will look to achieve improved efficiency,
broader market reach, and increased financial resil*nce.
Post year end the bank loan was repaid in fiJll marking a signthcanl. mile51one in strengthening the school's
financial position. As a resujl. all assoaated financial covenant5 have been extinguished. providing the
organisation with 9reater operalional Ilexibility and reducing administrative oVe￿ght requirements.

At 31 August 2025, the Schts)I had unrestn.cted funds of £4.72m (2024.. £5.185m) and ￿$1￿Cted funds totslling
£268.67k 12024= £3.67kl. The Goveming Council ha5 a knng-Star￿ing policy to use revenue surpluses and
borrowings as appropriate lo improve the overall educakn.onal ser¥￿e arKI facilities provided by the School. 1115

'Environment Dal, a fancy dress'Family Fun Run.. the 'Family Quiz. aftemoon, and a school disco organised by

The Harvest Festival, attended by the whole sclKK)I community and parents, ¢ollects fc&)d which is donated lo the
Ipswich Food Bank and the East Anglian Children's Hospice. The pupils organise an annual Chrislmas FayTe
and every other year, local 51all holders also participate. rnakv￿ a small donation lo our chosen charities.
Representatives from these charities make every effort to engage wth the schtr)I commtlnity throughout the
year. The Chapel ChI￿r sirys annually at the Foxhall Lavender Daycare Centre. and at Sl Abchurch in the
City.
The School maintains a very dose relationship the Parish Church and contributes on a monthly basis to the

The Safeguarding and Welfare Committee meets once per term to consKler and improve wherever possible. the
arrangements for the Ca￿ and proteciion of children. The DesBJnated Safeguarding Lead and team arg

Health and Safety
The School operates a Health and Safety wticy and plan whith sets out the responsibilitiès of each indiwdual
member ol staff lo work safely. This wuirement is induded in job (lescripb"on and annual objedives of all
staff. A specialist consultant in H&S is retained ar￿ wsits bi-monthly., a range of speoalist ¢ontratlors are
retained lo advise the School in their iespeclive areas like legMMeUa and water hygiene, asbestos. electrical
testing, safeguarding and fire regu￿tionS.
The major risks to the School involve Ihe safety and security of the chiklren and staff in tts ca￿. The School has
up to date fire risk assessments #nd fire evacuab"t)n Procedures. Fire prac￿"¢e$ lake place during each term and
are designed to familiarise chitdren and stsff on how to evacuale the building in a safe and orderty manner.

The Directors consider that the major risks to whith the School is currenty exposed are..
1. Economlc and Political Risk. The Scho(A has a robust system for assessing Ihe effects of changes
political and economic factors that may affect the operation of the School in the short. rnedium and k)nger tem).
Specific risks in this categ¢Ny are:
a. Inlroduclion of VAT on independent school fees and k15s of business rate relief by independent schools.
These 51gnificanl risks lo the School became a reality following the change in Govefflmenl in July 2024. The
Sehool is managing this risk through careful finanaal planniro and ensuring that cost efficlencies and
opportunities to generate addit*)nal non-fee In￿Me are identified wherever possible.
b. Wider economic environment. The increased costs of INing from higher inffation and interest rates adversely
ffecls the affordability of the School within its market which ullimalely could risk student numbers and retention.
The School is actively managing costs in all wea5.
2. Cyber Se¢urlty
Cyber sewrity risks remain high wth the School being alert to the risk of a cfftr-attack and the risk of failure of
IT se￿rity procedures. Al slaff are regularfy trained to be aware of ￿ftr risks. Appropriate security measures,
which include exlemal lestirvj of IT secJJrty systems are undertaken on a regular basis.
3. Health and Safoty
The ￿001 manages our exposu￿ to health and safety risks dosely. induding through investments in processes
such as risk assessments and in the govemance and contrd mechanisms around higher risk operation5. We
also ensure our pastoral team are up lo date on live area5 of C￿CeM through social media channels and
operate sensitive IT monf(oring such that pastoral staff are automatically alerted v4hen a student uses search
terms that may be a cause for safeguarding concems.

The Sch(x)l is governed by its Memorandum of AsxKiation dated 2 August 1967 and its Articles of AS$￿13t10n
approved on 7 September 2007.
Goveming Body
The &)vemors are elected al a full Governc￿. meeting in accordance with the Articles of Association of the
Company. Governors are appointed for a term of three years with Governors retiring by rotation, ￿th the option
of being able to be reappointed unless at the meeting it is resolved not to fill the vacancy or a ￿SolUtion for the
reappointrnent of Ihe existir¥J Governor is put to the meeting and lost. Governors are appointed on the
recommendation of not less than three Govemors. On appointrment. new Govemors receive an induction pack
from the School setting Out their responsibilit￿s. Additionalty. they attend a fomial intemew explaining Board
policy and procedure.
New nominations a￿1 reappointments are based on personal competen(*, independence of character,
judgement and specialist skills and there are no relalion5hips or circumstances whth are likely to affect, or could
appeat lo affect. the Govemofs. judgement.
Organlsational Management
The Govemors meet 85 a Board at leasl once per term to determine the general policy of the School and review
its overall managernent. for which they are Eegalty responsible. At the end of the academic year. the Board
comprised fifteen members dTrwn from a wide range of backgrounds in the educational. financial, legal and
property sectors.

presentation of the annual budget and approvals for capilal expendsture are delegated by the Board to the
Finance. Audit and General Purposes Committee (FAGP). The Committee comprises Board members with

The School has a whollNwnad non<haritable trading subsidiary, Events at Park Limit8d. The comr)any
was domiant throughout Ihe year to 31 August 2025. and the results of this entity are not induded within these
financial ststements. On the 20th January 2026 Events al Orwe15 Park Limited was dissolved.

Prior to the end of the financiaf year Or4vell Park Educational Trust Limited entered into a tharitable merger
agreement with Benenden School IKenll Limited, thè mèrger completing on 1 December 2025. As a result
of th8 mèrger. after the end of the finanual year. all of On¥ell Park's assets and liabilities We￿ transferred to
8en8nden School for nil consideration. Al the point of merger Ben8rKlen assumed all liabilitses of the school as
well as the uneneurnbered assets.
Finalising at the end of January 2026. 0ry*ll Park Educational Trust Limited entered into an agreement with
PLOT to sell 8 small parcel of land and building known as Buck House that had al￿adY been leased to PLOT on
commercial tems. The agreement was based on a split payThenl ￿hedu￿ wth the majority of proceed5 being
paid prior lo the completion of the Benenden merger and a stub pawnenl made to Benenden School IKenl)
Limited in January 2026.
Since the balance sheet date. the school has initiated a siaff restructuring programme designed to align staffing
resourcas wth operational and finanaal requirements, the full financjal impath of which is still being assessed.

August 2025. On 1 December 2025 the operations of the School were transferred lo Benenden School. with all
assets and liabilities transferred. as detailed in note 33. The Governors intend to liquidate the company in due
course. followng the transfer. and therefore do not consider it to be appropriate to adopt the going ¢oncem basis
of accounting in preparing the ffirtancial statements. Acwrdingly the ffinanaal State￿￿nIS have been prepared on
a basis other than going eoncem as descjibed in Note 2.2. Our opinion is not modified in respect of this matter.

2.1 Basis of preparation of ffinancial statements
The fin8nual ststements have been prep#red in a¢¢ordance with the Charities SORP {FRS 1021-
Ace£Junting and Reporting by Charities: Stslement of Re¢ommerKled Practice applicable lo charities
preparing their ac¢ounts in accordance with the Financial Reporb"ng Standard applicable in the UK
and Republic of Ireland IFRS 1021 (effectNe 1 January 20191. the Financial Re￿￿"A9 Standard
applicable in the UK and RepU￿1C of Ireland IFRS 102) and the Cornpanies Act 2006.

2.2 Golng Concern
The Govemors assess whether the use of going concem is appropriate i.e. whether there are any
material uncertainties related lo events or cr)nditions that may cast significant doubl on the ability of
the Schwl to continue as a g(yng (y)ncem. The Govemots make this assessmenl in respect of a
periLKI of at least one year frorn the dale of authorisation for issue of the financial ststemenls.
On 10e¢ember 2025 the s￿￿ transferred its trade. assets and liabilities lo Bemnden School and
Orwell Park School subsequently ceased trading. As required by UK accounting standard5. th
Trustees have prepared the ffinancial statements on the basis that the company is no longer a going
concem. No material adjustrnents arose as a result of ceasing to apply Ihe g￿n9 concern basis. All
assets and liabd￿e$ were transferred at their canjing amounts.

2.3 Income

Fees consist of charges for the School year ending 31 Augus( less bursaries and alhmnces and are

The School operates a fees in athance scheme. where parents are ab￿ lo pay for luibon fees in
advance in accordance a written contract. The amount received is invested. This is treated as
defeffed ir￿Orne. The fees for each school term are drawn dtrwn against the remaining balance and
taken to income.

2.13 Penslons
The School also operates a definetl contribution scheme. The amount tharged to the inwme and
expenditure account in respect of pension costs and other posl-retiremenl benefits is the sum of
oJntribut￿s payable in the year.
The Schcx)I makes contributions lo the Teachers. Pension Scheme ITPS). which is a defined benefit
scheme. As many eMplO￿TS partiapate in Ihe scheme. the School is unable lo identsfy ils share of
the underfyirrfJ assets and liabilities on a consistent and reliable basis. Consequenuy contributions are
accounted for as they fall due. as if Ihey were to a defined C￿ntribution scheme. as permitted in such
rcumstances under Financial Reporbng Stsndard 102. SKtion 28 "Empfoyee Benefits-.
2.14 Fund a¢¢ounllng
General funds are unrestricted funds whid) are available for use al the dis¢retion of the Govemors in
furtherance of the general objectives of the S¢hwl atyj which have not been designated for other
purposes.
Designated funds comprise unrestricted funds Ihat have been set asKJe by the Govemors for
particular purposes. The aTrJ use of each deswJnated fund is set in ihe notes to the financial
statements.
Restricted funds are funds wthich are to ￿ used In acrxJrdanc8 With speaffi¢ restrictions Imposed by
donors 01 whth have been raised by the S¢hThJ fof particular purposes. The ￿$ts of raising and
administering such funds are charged a9ainsl the specific fund. The aim and use of each restricted
fund is set out in ts notes to the financial stalemenls.
2.15 Leas￿ assets
Where assets are final￿ed by leasing agreements thal give fYJhls approximating to ownership I'hire

outright_ The amount Ixpitslised is Ihe present value of the minimum hire purchase and lease

Statement of Financial Activities.

The School participates in the Teacher5, penS￿n Stheme fthe TPS-I for ils teaching staff. Employer
nlributions for the year ended 31 August 2025 totalled £Nil (2024 £170.6621. Al 31 August 2025.
ntributions amounting lo £Nil were payable to Ihe s¢heme 12024 £Nil} and are induded within
editors. The school withdrew from the scheme on 1 April 2024 and no longer ¢ontributes lo this
scheme. The ern￿oYeeS who were covered by the TPS have been offered the defined pension scheme
through Royal London.
The Sthool also opefales a number of defined contr1t￿lIOn schemes for which there were employer

During the year the Schcd received fees from 3 Govemors who have thildren attending the school. The

was outstanding from three governors in respect of these transactions. Fees are paid on the same basis

During the year. purthases of £2.114 {2024- £Nil} were made from Teen Tips and The Wellbeing Hub. of
which Mrs Lawson. a Governor of the School. is a ￿'reCtor. There was £Nil {2024- £Nil) outstanding al the
year end.
During the year ended 31 AwJust 2025. income of £600 {2024 - £51)0) was received from Ban8nd8n
S¢fKJoI {Kentl Ltd. The charge related to standard advertising services and was calculated on the sam8

(Kent) Ltd. Mr Marshall resigned on the 1 st of December 2025.

32. Post balan¢e $h••t •v•nts
Prtor to the end of the financial year Orwell Park Edu(3tional Trust Limited entered into a charitsble
merger agreement Benenden S¢hrx)l {Kenll Limtietj. with the merger completing on 1 December
2025_ As a result of the merger, after the end of the financial year. all of Orwell Park's assets and liabilitses
were Iiansferred to Benenden Sthocl for nil (x)nsrderalK)n. At the point of merger Benenden assumed all
liabililies of the schc¥)l as well as the unenojmbered assets.
Finalisin9 al the end of January 2026. Orwell Park EdLKational Trust Limited entered into an agwment
th PLOT to sell a small parcel of land and building known as Buck House that had already been leased
lo PLOT on ¢))mmercial temis. The agreement was based on a splrt payment schedule with the majority
of proceeds being paid prior lo the completion of the 8enenden merger and a stub payment made lo
Benenden School {Kent) kn"mrted in January 2026.
Since the balance sheet date. the school has initiated a slaff restructuring programme designed to align
slaffin9 resources with operational and financial requirements. the full financial impact of which is still
being assessed.
