The Trustees present their first combined Annual Report and the audlled flnanclal statements for the year
ended 31 August 2025 for Marlborough House Vlnehall School Limlled I'lhe School'l. These accounts reflect
three academic terms forvinehall School and two academic terms from January 2025 lor Marlborough House
S¢hool. The Trustees (who are also Schoo1 Governors as well as the Directors of MarlbomLJgh House
Vinehall School Limited for the purposes ol Company Lawl and who served during the year and up lo the
dale of this report. are sel out on page 1. The Trustees confirm that the Annual Report and financial
slalemenls of the charitable company comply with Ihe current slalulory requirements, the requirements of
the charitable company's goveming document and the provisions of the Statement of Recommended
Practice ISORPI applicable lo charities preparing their accounts in accordance with the Financial Reporting

Following the merger of Marlborough House School and Vinehall School Litniled the company changed ils
name from Vinehall School Limited to Marlborough House Vinehall S¢hool Limited on 2 January 2025. The
liability of its members is limited to £1 each by guarantee. The Corllpany is governed by ils Articles of
Association. 11 is also a charity registered with the Charity Commission for England and Wales.
b. Governlng Body
The Trustees {subsequenlty referred lo as Governors), who ar8 also required under the Article8 to serve as
members of the Company, are elected at a full Governors, Meeting based on personal recommendations or
proposals from existing Governors or the Head bearing in mind ￿rtain specifications concerning eligibility.
These include, bul are not limited lo. personal competence. specialist skills and experience and local
8vailabilily. The Governors are aware of the importance of identifying the appropriale mixture of skills and
experience needed lo manage Ihe multifaceted affairs of a modern schaol and aim lo achieve a bal8nced
Board with a core of individuals with educational, legal, financial, business and marketing background5. In

New Governors are provided with an information pack on the S¢hool, which includes the "Guidelines for
Governors" produced by the Association of Governing Bodies of Independent Schools IAGBISI, logelher
with details of AGBIS e-leaming courses. They afft also Invited for a familiarisation visit to the School during
which they will lour the School and meet key members of staff and receive training on safeguarding and child
proleclion.. and a brief explanation of Board policy and procedures, the Regulalory Requirements laid down
by the Independent Schools Inspectorate IISII and the Staff Handbook. Govemors are encouraged io altend
relevant national training events and seminars, especialty those organised by AGBIS.
e. Organisational management
The Governors meet as a Board at least three limes a year to determine the general policy of the Cornpany
and review its overall management and control, for which they are legally responsible. Business is
conducted in accordance with th& Guidelines for Governors, a ioinl publication of AGBIS and the
Independent Schools Council IISCI.
The work of implementing many of the Board's fiscal responsibilities is carried out by the Finance and
General PLJrposes Commillee which meets two or three weeks before each meeting of the full Governing
Board, 8pecific8lly lo review the budget. the management and annual accounts and reports, and lo rèvlew
the progress of high value and capital projects. 11 maintains the S¢hool Risk Register and monitors the
effectiveness of the system of internal controls and other viable means, including insurance cover where
appropriate, by whi¢h those risks already identified can best be managed and mitigated. It ensures that the
Board maintains a continuous review of aclivilies, particularly regarding health and safety issues, security
and any major iisks that may arise from lime lo lime.
The Academic and Pastoral Committee also meets three limes a year and Is principally responsible, on behalf
of the Governing Body, for monitoring compliance wlh the Educational and Regulatory Requirements laid
down by ISI and for monitoring the school's policies and evaluating their effectiveness. One nominated
Governor reports lermly lo the Board on Safeguarding and Child Protection issues and developments.
Other Commlttees. such as the Nominations, Remuneration and Bursary Sub-committee are convened and
meet accordlng lo need.
The day-to-day running of the School is delegated lo the Head and the Bursar, supported by m8mbers of the
Senior Management Team. After the year end. the Headmaster Mr Eddy Newton announced his resignation
and will leave the School in August 2026. Mr Joff Powis ￿ll11 lake over as Headmaster from September 2026.
f. Pay pollcy for senlor staff
The Finan￿ and General Purposes Committee review the salaries for senior staff annually in line with the
whole school salary budget. Thay then pul Ih8ir recommendations forward lo the Main Board in the summer
term. The Head's appralsal is carried out each year by the Governor8 supported by an Independent
consultant once every three years. Other senior management staff are appraised by the Head annually.
g. Group structure and relatlonshlps
Marlborough House Vinehall School is an active member of the Independent Association of Preparatory
Schools IIAPSI for the promotion of all-round excellence in preparatory school standards generally. It is also
a member of AGBIS, ISC, the Boarding Schools Association IBSAI, and the Independent Schools, Bursars

On 31sI December 2024 Marlborough House School and Vinehall School merg8d to Create Marlborough
House Vinehall School. For th$ remainder of the academic year, both schools conlinu8d lo operate on
separate siles and came together on the Vinehall sile as of 1 Bl Seplernber 2025. This merger was due lo a
recognition that there was a sh8red educational and pastoral ethos between Vinehall and Marlborough
House, focusing on the development of each child's talents in order lo belter serve the community. This
exciting merger will help Marlborough House Vinehall to preompt ihe demands of a rapidly changing
independent schools. sector and defend against the uncertainly of poli11¢81 and economic factors beyond our
control. Marlborough House Vinehall will continue as an outstanding day and boarding co-educational prep
school, secure in a bright and excilirig future and will continue lo provide the exemplary educational vision
and pastoral care for which both individual schools have such a strong reputation.
As a member of the Replon Family of Schools, Marlborough House Vinehall School puplls will benefll hugely
from eollaboralion with specialists wllhin The Replon Famlly ol Schools, broadening horizons both
academically and in co-curricular activities of all kinds. Enhanced training and development opportunities will

The International Classical Concert Series al MHV (formerly Vinehall School Music Society). a non-profit
making organisalion now in its 361h season, continues lo organise concerts. which provide a series of
opportunities throughout the year for local people lo experience perfo¥mances by musicians of national and
international standard. Ticket prices are deliberately as low as possible and there are a range of concesslons
lo enable access and encourage 8llendance.
Despite ils rural location, Marfborough House Vinehall is very commilled k) developing and sustaining links
with local maintained schools in an ongoing endeavour lo widen public access to the schooling we provide.,
lo oplimise the educational use of our cultural and sporting facilities., and lo create an awareness in our pupils
of the soci81 context of the education they r8celve al the school.
Pupils are made aware of their citizenship responsibilities through the personal. social, health and economic
education of the pupils. A sludenl Charity Comrnillee operates lo help choose a number of charitable causes
lo support each year. The parents, staff and children raised £2,473 towards local, national and international
charities. The school also raised £260 for the annual Royal British Legion Poppy Appeal.

draw out their abilities and academic potential., awaken and develop wider interests in life for eventual

c. Objectives for the year
The Board's main objectives were.. lil lo educats all pupils lo the high standard necessary lo ensure that they
will be fully able to benefit from their chosen senior school for the completion of their education in due course.,
lill lo maintain a safe environment for all children., liiil to maintain bursary and other funding SoUr￿S so as lo
be able to Continue to offer places to promising pupils whose families would not otherwise be able lo afford
the fees,. (iv) lo maintain our extensive and first class facilities in excellent condition,. and Iv) to progress
collaborative working arrangements with other charities and educational bodies lo promote access to our
resources and facilities. Our strategy for achieving this is lo maintain high quality leaching staff. together
with a high teacher to pupil ralio., lo tailor our seNices as appropriate in each case to suit individual needs.,
to implement an annual programme of planned maintenance,. and lo build up our bursary funds.
d. Prlnclpal Actlvlty
Marlborough House Vinehall School's Princlpal activlly continues lo be the provlsion of a day and boardlng
Preparatory school for boys and girls from aged 8 10 13 years old,. and a Nursery and Pre-Preparalory day
school for boys and girls aged from 2 10 7 years. During the year, an average of 387 pupils allended the
school a¢ross both siles, made up of 212 day pupils and 22 boarders in the Preparatory School and 153 in
the Nursery and Pre-Prep. A large number of day children also undertook temporary boarding during the
year as pupils from Year 4 upwards were encouraged lo experience life in the Boarding House.
e. Grant making
Having regard lo the requirement for public benefit in the Charities Act 2011, the Governors are comThllled
lo broadening access to the school by offering eligible parents and guardians means tested financial support
wlth the payment of school fees In the form of bursailes and awards.
Such support. depending on the financial. compassionate or other pertinent circumstances of applicants. is
subject to review of par8ntal means each year. The level of support is assessed by Ihe Bursar in conjunction
with the Head and approved by Governors.
During this year we were able lo support 36 pupils across the iwo sites through scholarships and bursaries,
to a total value of £338,500.
f. Volunteers
The Friends of Marlborough House Vinehall continue to assist the school through fundraising for small
projects for the school and other local charities. The Board would like to take this opportunity lo say how
much we appreciate their valuable support and conlribullon to school life.

Review of Achievements and Performancè
a. Operatlonal Performance of the School
As an independent school, Marlborough House Vinehall is inspected on a regular basis by the Independent
Schools, Inspeclorale. The lalesl Inspections look place in May 2024 at Vinehall and January 2023 8I
Marlborough House. Both declared us compliant in a118￿2$, under the new framework for inspections. In
addition to the core values of the School and the kind nature of the children being inslinclively recognised
and praised, th8 academi and p8r8onal development of the children was found lo be of the very highest of
standards.
Thls year's leavers who are continuing their education in the UK went on lo an impressive selection of lop
senior schools. 01 these, 9 PLJpils 122 /ol, won academic, muslc, Sports, drama or art scholarships. The
schools making awards included Benenden, Dulwich. Rugby. Worth, Ballle Abbey and Kent College. All other
pupils successfully a¢hieved a place in their firsl-choice schools. greatly supported by Ihe high quality of
leaching staff.
To build on these high academic achievements. Marlborough House Vinehall embraces an oubNard looking
fonNard thinking programme of stLJdy, designed lo fully prepare our pupils for the twenly-flrsl century world
that awaits them when they leave us. The principal focus is to conllnue lo be Innovative in our approach lo
tea¢hing and learnlng. Core Skills for each subject help pupils land their parents) beller understand where
they are in their learning. where they are going and how lo get there. In each subjecl, there is a delib8ral&
emphasis on developing higher order thinking skills creating, evaluating, analysing, applying ralh8r than
on memorisalion of conlenl, though knowledge and understanding ol key ideas and concepts intrinsically
remain at the heart of teaching and learning.
In Year 7 and Year 8, the Humanities programme Prepares children for the ISEB Project Qualification,
d8veloping a wide range of skills which will help them lo prepare for the transition to senior
schools. Computing, Art and DT have been linked through project work in order lo share common themes
and promote shared design and engineering skills. Also to note, the PSHE programme reflects the breadth
and character of the conlenl the childron are studying. The conlenl of the PSHE programme ranges from
global citizenship and financial lil8ra¢y lo understanding relallonships and mental & physical health and well-
being.

b. Financlal revl¢w and results
This has been another challenging year, bul Marlborough House Vinehall School is regaining ils rightful placa
in the local independent schools, market due in no small part lo the growing confidence of parents resulting
from inclusion in the Replon Family of Schools and th8 OPPOrtunily now lo merge two historic Preparatory
Schools together.
Total income for the year was £10,144,894 12024.. £3,58,5731 which included a Iransfer of assets and
liabilities al book value from Marlborough House School of £4,523,467 on 1 January 2025. Net fee income
for the year was £5,213,296 12024- £3,358,325) which represented a full year for Vlnehall School and 8
months for Marlborough House.
Total expenditure for the year iricreased lo £7,392.51212D24'. £4,453,396) which re1￿CtS 8 months of costs
for M8rlborough House School following the transfer of activities on 1 January 2025.

Nel movement in funds for the year was a surplus of £2,752,38212024'. Deficit of 914,8231 which is mainly
dua lo the transfér of ass61s from Marlborough House School noted above.
c. Reserves
Following the merger of the two schools. the Governors will be reviewing the reserves posilFon over the
coming year in order lo establish ari appropriate and sustainable ReseNes Policy for the newly combined
charity. This review will lake into account the financial structure, operating model, and long-term strategic
needs of the merged organlsallon.
Al present, the charity holds reserves al a level that provides sufficient assurance regarding the School's
abllity to contlnu8 on a Going Concern basis for the foreseeable future. The current reserves p0511ion
supports operational slabilily, enables the School lo meet ils ongoing commitments, and provides an
appropriate buffer against financial uncertainty while the new pollcy Is developed.
d. Rlsk management
The activities of the School are regularfy reviewed by the Govemors and Senior Leadership team. and any
risks are closely monitored and mlligaling actions are taken. The Risks are moniloreLI via a detailed Risk
Register which maps their likelihood and the potenliaS impact they would have on the school.

the recruitment and retention of high quality staff. resulting in a first class 8duGalion that is supported by an
enviable array of oulslanding faci1S1ies and our beautifully kept grounds.
The recent cost of living crisis and the Imposition of VAT on independent school fees has affected the

affordability of independent school for many parents. The two-school merger will have a positive impact on

upon group benefits through a range of slrenglhened financial, academic and governance arrangements.

The Trustees (who are also directors of Marlborough House Vlnehall School Llrlllled for the purposes of
company lawl are responsible for proparing the Trustees, report (including the Group strategic report) and
the financial statements in accordance with applicable law and United Kingdom Accounting Standards
(United Kingdom Generally Accepted Accounting Praclicel.
Company law requires the Trustees to prepare financial statements for each financial year. Under company
law the Trustees musl not approve the financial statements unless they are satisfied that they give a true
and fair view of the siale of affairs ol the charitable company and the group and of the incoming resources
and application of resources, including the income and expenditure. of the charitable group for that period.
In preparing these financial slalemenls, the Trustees are required to=

accordance with these requirements. We believe that the audit evidenca we have obtained is suffscient and

Concluslons relatlng to golng concern
In auditing the financial slalemenls. we have concluded that the trustees, use of the going concern basis of
accounting in the preparation of the financial slalements is appropriate.
Based on thè wc>rk we have performed, we have not identified any material uncertainties relating to events
or condllions that, individually or collecllvely. may cast slgnlflcanl doubl on the group's ablllty lo continue as
a going concern for a period of al least twelve months from when the financial slalemenls are aulhorised for

The School is a company limited by guarantee. The registered office is Vinehall Road, Robertsbridge, East
Sus5eK. TN32 5JA. The members of the company are the governors named on page l. In the event of the School
being wound up, the liability in respect of the guarantee Is limited to £1 per member of the School.

2.1 Basis of preparation of financial statements

Marlborough House Vinehall School Limrted Meets the definition of a public benefit entity under FRS 102.
Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the
relevant accounting policy.
The financial statements are presented in sterling IE) and rounded to the nearest £.
The Consolidated Statement of Financial Activitie5 ISOFAI and Consolidated Balance Sheet consolidate the
fln3ncial Statements of the Group and its subsidiary undertaking. The results of the subsidiary are consolidated
on a line by line basis.
The Group has taken advantage of the exemption allowed under section 408 of the Companies Act 2006 and
h35 not presented its own Statement of Financial Activities in these financial statements.
2.2 Golng Concern
The Governors asses5 whether the use of soing concern is appropriate i.e. whether there are any material
uncertainties related to events or conditions that may cast significant doubt on the ability of the Scho(>l to
continue as a going concern. The Governor5 make thls as5e5sment In respect of a period of at least one year
from the date of authorisation for Issue of the financial statements have concluded that the School has
adequate resources to continue in operational existence for the foreseeable future and there are no materlal
uncertainties about the School's ability to continue as a going concern, this they continue to adopt the going
concern basis of accounting in preparing the fTn8ncial statements.

Other Income Is recogni5ed in the period in which it is receivable and to the extent the goods have been
provided or on completion of the service.
2.4 Expenditure
Fundraising costs are those incurred in seeking voluntary contributions and do not include the cost5 of
disseminating information in support of the charitable activities. Support costs are those incurred directly in
support of expenditure on the objects of the School and include project mana8ement. Governance costs are
those incurred in connettion with administration of the School and compliance with constitutional and
statutory requirements.
Costs of generating funds are cost5 incurred in attracting voluntary income, and those incurred in trading
actlvltles that raise funds.
Charitable activities and Governance costs are costs inturred on the School'5 educational operations, including
support cost5 and costs relating to the governance of the School apportioned to charitable activitie5.
Expenditure on raising funds includes all expenditure incurred by the School to ralse funds for its charitable
purpose5 and include5 Costs of all fundraising activities, events and non-charitable trading.
Expenditure on charitable activities is incurred on directly undertaking the activities which further the School'5
objectives, as well as any a550C13ted support Costs.
All expenditure Is Incluslve of Irrecoverable VAT which is included in the item of expense to whlch It relate5.

2.5 Tangible Fixed Assets and Depreciation
Tangible fixed assets costing £3.000 or more are capitalised and recognised when future economic benefits are
probable and the c05t or value of the a55et can be measured reliably.

assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs

At each reporting date, the School assesses whether there is any indicatSon of Impalrment. If such indication

Provision is made for depreciation on all tangible fixed assets at rate5 calculated to wrlte off the cost or

2.7 Stocks
Stocks are valued at the lower of cost and net realisable value after making due allowance for obsolete and
slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable

Liabilities are recognised when there is an obligation at the Balance Sheet date a5 a result of a past event, it is
probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement
can be measured reliably.
Liabilities are recognised at the amount the School anticipates it will pay to settle the debt or thè amount It h35
received as advanced payments for the goods or service5 It must provide.
Provisions are measured at the bèst estimate of the amounts required to settle the obligation. Where the effect
of the time value of money is material, the provision is bssed on the present Value of those amounts,
discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the
discount is recognised in the statement of financial activities a5 a finance cost.
2.11 Flnantlal In5trument5
The School only has financial assets and liabilities of a kind that qualify as basic financial instruments. Basic
flnanclal instruments are initially recognised at transaction value and subsequently measured at their
settlement value, wlth the exception of bank loans which are subsequently measured at amortlsed cost uslng

Rentals paid Ljnder operating lea5e5 are charged to the Consolidated Statement of Financial Activities on a
Straight line basis over the lease term.
2.13 Penslons
The School operates a defined contribijtion pension scheme and the pension charge represents the amounts
payable by the School to the fund in respect of the year.
The School operates a defined benefit penslon scheme. The scheme is a multi-employer scheme where it is not
P055ible, in the normal course if events, to identify a consistent and reasonable basis, the share of underlying
assets and liabilities belonging to individual participating employers. Therefore, as required by FRS 102, the
School accounts for the scheme as If it were a defined contribution scheme. The amount charged to the
statement of financial activities represents contributions payable to the scheme in respect of the accounting
period.
2.14 Fund accounting
General funds are tjnrestrlrted fund5 whlch are available for use at the discretion of the Trustees in furtherance
of the general objectives of the School and which have not been designated for other purposes.
Designated funds comprlse unrestrlcted funds that have been set aside by the Trustees for particular purposes.
The aim and use of each designated fund is set out in the notès to the financlal staterNent5.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or
which have been raised by the School for particular purposes. The costs of raising and administering such fund5
are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the
financial statements.
Investment income, gains and losses are allotated to the appropriate fund.

16. Pension contributions
The School operates two pension schemes for the benefit of employee5. The Teachers, Pension Scheme ITPSI,
a defined benefit scheme, is available to all teachers. All other staff can enter a defined contribution scheme.
Defined Contribution Scheme
The a55ets of the scheme are held separately from those of the School in an independently administered fund.
Contribution5 to the scheme are charged to the Statement cif Financial Activities 35 they fall due. Contributions
payable by the School in the year amounted to £162,52612024- £134,4611. £Nil12024- £Nill was outstanding
at the balance sheet date.
Teachers, Pension Scheme
The School participates in the Teachers, Pension Scheme I'the TPS'I for its teaching staff. The pension charge
for the year Includes contributions payable to the TPS of £152,92512024.' £152,424) and at the year-end £Nil
12024- £Nill was accrued in respert of contributlons to thls scheme.
The TPS is an unfunded multi-employer defined benefits pension stheme governed by The Teachers, Pensions
Regulations 2010 las amended) and The Teachers, Pension Scheme Regulations 2014 las amended). Members
contribute on a "pay a5 you go" ba51S Wlth contributions from member5 and the employer being credbted to the
Exchequer. Retirement and other pension benefit5 are paid by public funds provided by Parliament.
The employer contribution rate is set by the Secretary of State following scheme valuations undertaken hy the
Government Actua￿5 Department. The m05t recent actuarial valuation of the TPS was prepared a5 at 31
March 2020 and the Valuation Report was published in October 2023. The Valuation Report shows notional
assets of £222.2bn and liabilities of £262bn, resulting in a scheme deficit of £39.8bn.
The employer contribution rate for the TPS is 28.6%, and employers are also requlred to pay a scheme
administration levy of 0.08% giving a total employer contrlbutlon rate of 28.68%.

The premises was subject to a sale and leaseback agreement with the title being trarisferred oin 23 May 2022. The
lease runs for a term of 25 years from and Includlng 2022. Rent 15 charged at £IOO,000 per annum subject lo a
rent review in 2027 and every fifth anniversary. The rent is subject to a 3 year rent free period.
18. Related Party transartlons
Latham Education Limited, a company under the control of L. WLJ, a trustee, has a lease a8reement with
Marlborough House Vinehall School for tenancy of the school premises. The property has been leased to the
School over a period of 25 year5 Startlng 23 May 2022.
Renta1 expenditure of £88,00012024- E88.0001 has been recogni5ed within Support cost5. The outstanding
liability recognlsed at the year end was £289,79712024- £201,7971.
No other related party transactlons took place in the period of account, other than certain trustees, expenses
already dlsclosed in note 8.
19. Transfer of assels and liabilitites from Marlborough House School Trust Limited
The assets, liabilities and activlties of the Marlborough House School Trusl Llmlted (company registration number
QK)587487 and charity registratiom number 3077931 were transferred to the School on I january 2025.
