This financial year marked a si8nificant mc￿ent in the lon8 hist¢)ry of Clayesmore. culminating in the School joinin8
Inspired Learnin8 Group on 8 September 2025. The chan8e to ihe accounting ieference date reflects this important
transltion in ownership and the beginning of a new chapter for the School. By the time of siBnifig these financial
statements. Clayesmore has now completed twO$￿essfUl terms as part of the Group and has entered an exciting Trew
phase in its de¥dopment.

economic uncertainly affettinB many families. These challenges have required schools across the country to adapt
quickly and carefully balance affordabilily. sustainability and educational excdlence.

pupil opportunities. Areas ol devek)pment include new immersion programmes, expanded swimming provision. the

Music. drama and outdoor education continued to flourish. wr(h strong participation in performances. examination5

The Sch￿1 further 5trengthefied its pastoral provision ihrough developments to its PSHRE programme and the
successful introLluction of technology for pu5xls in Years 9-11. helping to reduce rn0￿.1e phone use during the 5choDI
day.
The Prepschool continueij todevelop. includingtheopenin8of a 50-week Nursery and preparationsfor ihe introdurtion
of Reception. Year l and Year 2 classes from september 2026.
Claye5more remains commitied to public benefit through bursaries. partnerships and community engagement. During
the year, the School awarded £2.9 million in fee support. continued its Partnership with Ikondo School in Taniania,
supported pupils displaced by the conf Kt in Ukraine. and hosted a range of sportin& educational and cultural activities
for local Khools and commvnitygroups.

One of the most impactful Initiatives rernain5 our Tanzania Partnership. now in its fourth year. Developed through the
LEX pro8ramme. this partnership has fostered a meanin8Ful connettion between our pupils and those ar Ikondo School

We have also continued our support for ihose affecied by ihe conflitt in Ukraine. In 2024, we provided fully funijed
educational pl￿eS for 13 Ukrainian pupils, toverin8 tuition. transport. and wraparound support. These pupils have been
welcomed warffl￿ into our cornrnunity. and friendships wilh their peers have flourished. Parent engagement events,
such as hosted coffee mornings. have also helped Ukrainian familie5 to inte8rate and feel supported. The bursarial cost

Despite the challenging financial climate. the Sch¢)ol has remained committed to investing in its facilities through
ongoing maintenance and targeteij improvements. This (￿tInUed investment is vital io attratt prospective pvpils and
retain outstanding Staff. Many of the projects undertaken have been essential for health and safety compliance,
includingthe continuation of thecomprehensi¥e iewiring of the Masn House.
FINANCIAL REVIEW AND RESULTS FOR IME YEAR
The comprehensive results for the year and the financial posrtion are shown in the accompanying financial statements.
The linancial year 2024-2025 ended with a deficit of £SK for the year before the transfer of the assets and liabilities to
ILG. but after an unrealised gain on investments of £695k.
The majority of the Schod's income was derived from nrKmal charitable atrivr(ie5.
A5 With rnany independent schools, we continue to face signi￿ant ffinancial pressures and remain alert and proaciive
in responding to the challenges afferting the secior. Increasing costs for s¢￿)d5 and service5 have had a marked impact
on our financial position. In balancing ihese pre5sure5. we have been rnindful of mair>t3ining fee affordability for our
larnilie5 and have thereFore keptfee increases toa minimum wherever possible. Additionally. recent legislative changes.
including the introduttion of VAT. an increase in employer National InSurar￿ecOTrtnbutionS and the removal of business

The strurtureof the Charity until 8 Septernber 2025 consisted of a Goveming CouncTI, the key details of which, includin8

necessary to deal with Health and Safety. Remuneration. Financial Matters and Safe8u8rdinB. The governors are
trustees of the Charity aThd directors for the purpose5 of company law. and are legally responsible for the overall
management and control of Claye5moreSchool. All 8o¥ernor5 gr¥e freelyof theirtime and do not receive remuneration
for their roles.
Organisational Management
The governors mew at least three times a year as a full Cwncil." additional meetings may be called if necessary. Council

Bursary Awards and Fee Assirtance
The education offered by aaye5more 15 not restricted only to those who afford the full fees. The School's Bursary
and Scholarship Awards policies are designed to assist access for suitable children to enable them to benefit from a
Clayesfflore education. The School rnake5 Scholarship awards based on academic. artistic. mLt5ical and sporting talent
and, where additional financial assistance is required. the 5ch¢)ol considersapplications from parentsfora rnean5-tested
buf5ary. Such bursaries are also available to pu￿15 who are not in receipt of a scholarship, and may also be awarded to
existins pupils to rdieve hartjship where a pupil's continuity of education would otherwise be at risk.
The School does not have endowment funds and has limited donaihMs for t*Jrsary and scholarship awards. In fun+Jing
the majority of awards from income. the School has to be mindful to ensure a balance between fee-paying parents.

Golng Concern
The trade, Majority of the assets and all of the liabilities of Oaye5mfft School were transferred to the Inspred Learning Group
on 8 Sepiember 202S following theexthan8eof contractson 2 May 2025. Therefore the business and operations of the School
under the charity will no longer be conttnuing and. in these circurnstances. UKaccountin8 5tandard5 do not permit the financial
statements to be prepared on a going concern basis.
The operations ol the khool arecontinuing under ihe new owner on the existirt8 Site and. asthe school is continuing to traLle
under the ownership of the Inswred Learning Group.
Followin8 ihe transfer of the trade, assets and liabilities. the tru5tee5 of the charity will use the remaiThin8 funds to provide
grants and financial support to pupils at Clayesmore School.

Report. which was published in October 2024.
Following the ￿aOu￿ judgement. the remedy proF#)sed that when benefits become payable. eligible members can selert
to receive them from either the reformed or le8a£y Schemes for the period l April 2015 to March 2022. The acluarie5 have
assumed that merTiber5 are likdy choose the option that provides them with the greater benefits. and preparing the 2020
valuation have valued the'8reater value, benefits for groups ol relevant members.
The valuaiion confirmed that the employer coniribution rate for the TPS W￿ld increase from 23.6% to 28.6% from l April
2024. Employers are also required to pay a scherne administration le¢y ol 0.08% giving a total employer contribution rate
of 28.68%.
The School held a consultation ￿T￿e$S with members of le￿hIng staff eligible for the TPS. and an alternative Define(J
Contribution Scheme wo5 established for teaching staff to opt into. effettive I September 2020. Employer contributions
into ihis scheme are set at a rate of 18.4%.
The Sch¢)ol held a further consu￿ation with members of teathing staff digible for the TPS and agreed withdrawal frorn the
TPS as at 31 August 2024. with member5 bein8 offered to transfertothealternative Defined Contribution Scheme, effettive
