GOING CONCERN AftEr reviewing the available budgets and forec3Sts the Trustees concluded the charity would be unable to continue oper3ting in its current forrn b&yond the financial year ended 31st August 2025. To ensure the school's operations would not Cease, the Trustees assessed opportunities to merge with other education provider5. The decision was made to merge with Tormead school. which operates out of the charit3ble company Tormead Limited (Company number.. 00485947, Charity number.. 3120571. The Merger would involve all the operations, assets, and liabilities of the charity being transferred to Torme3d knmited. After the transfer, the charitsble company Rydes Hill School Guildford (Company number.. 02257924, Charity number- 2994111 would no longer be DPetlng and therefo would not be a going concern. The merger was completed after the year end, on 1st Septernber 2025. The charity ceased to be a going concern at this date. OBJEcftVE5 AND ACTIVITIES Objects ThE objects of the Charity (Objects) are to promote and provide for the advancement of education and in connection therewith, to conduct, carry on. organise and develop in the United Kingdom any boarding or day school or schools forthe education of children of either or both sexes of the Roman Catholic Religion and such children of other denomination5 but so that each such school sh311 be carried on as an educational charity. Principal Attivity and Income Sources Ryde5 Hill's principal activity during the financial year continued to be the provision of a Day school for 2-11 year old girls and 2-7 year old boys. Bursary awards and discounts ranging from 15% to 100% were provided based on need. Our one form entry throughout the School ensures that every child is given the best Start in life. Rellef to Familie5 It is an important principle for the school that th& benefits of a Rydes Hill education Should not be restricted Solely to those who can pay the full c05t. To support this principle, mean5 tested bursaries between 15% and IOD% are provided to students that qualify. The school is ftjnded ent1rely by fees and therefore must fill mDSt of its places with pupils for whom the full arnount IS Paid. The directors having reviewed the requirements of the Charities Act 2006 s.4 gardIng public benefit are of the opinion that the Bursary Scheme operated during the financial year and community links meet those requirements. Contribution to the local Commun The School was established in 1945 and throughout the School's hlstory it has made its facilities and mTnibuses available to a number of organi5ation5. The School takes a very active role in the local Diocesan group of 5thtsols. which covers state primaries. a stste Secondary school, a boy5 independent school and an independent special school. STRATEGIC REPORT Achievement5 and performance A5 mentioned earlier in the report, the school completed its merger with Tormead school on tst September 2025. The operations of the charitable company ceased on this date. During the financial year the Trustees ensured the operations of the school continued as normal while liaising with Tormead School to make the necessary preparations for the merger. Due to the operations ceasing and the transfer of all the assets and liabilities, it wasn* deemed necessary to include a review of the financial position or the principal risks and uncertainties. Future plans Once these final accounts are filed. the Trustees intend to start the proces5 of dissolving the charity. DEFERRED INCOME The charity's deferred income relates to school fees for the school year starting in September 2025, paid in advance. The moverHent in deferred income durin8 the year was as follows= The total deferred income brought forward of £161,242 was fully released during the year. A total of £67,040 of Autumn tèrm 2025 fee5 were deferred during the year and carried forward to the next period. This amount is shown a5 part of the 'Accruals and deferred incom&, figures in Note 14. 19. GOING CONCERN PoS10N After reviewing the available budgets and forecasts the Trustee5 concluded the charity would be unable to continue operating in it5 current form beyond the financial year ended 315t August 2025. To ensure the school's operation5 would not cease, the TTUStees assessed opportunities to mèrge with other education providets. The decision was made to merge with Tormead School. which operates out of the eharitsblé company Tormead Limit&d ICDmpany number.. 00485947, Charity numb&r: 3120571. The merger would involve 311 the operations, assets, and liabilities of the charity being transferred to Tormead LTmited. After the transfer, the charitable company Rydes Hill School Guildford (Company number.. 02257924, Charity number.. 2994111 would no longer be operating and therefore would not be a going concern. NON-GOING CONCERN BASIS OF PREPARAT]QN As discussed in Note 19, it wasn't deemed appropriate to prepare the accounts on a gotng concern ba51S. As the merger did proceed as planned on 1st September 2025, the accounts have been prepared on the basis that the operations ctsntinued in another organisation. Therefore. it wasn't considered nece55ary to write down assets to their recoverable amounts as they WDuld transfer as part of the merger and continue in their current us&. No provision was made for possible onerous contrarts, as the contractual obligation5 would transfer as part of the merger. The redundancy costs for all staff made redundant as part of the merger have been included as an expense during the year. Page 22
