The Memorandum and Articles ol Association are being rèvised and in line with the Charity Commission
Annual Retum will state that the primary objectives 8re_'
To promote all aspects of agriculture. by education, other actiwlies, and in p8rti¢uLar by holding an
annual agricultural show.
To promote the usage and improvements lo Aylsham Recfealion Ground.
Surplu8 proceeds to bè distribLrted as agreed by the Council, to mainly local charitsble causes. and
other charitsble institution5.
Public benefrt
The trustees have had due regard to the Charity Commission's guidance on public benefit. The Iwstees
consider that the Charity meets the Charity Cornmi8sion's public benefit requirements in th& advancgmtrnl
ol its objects, by promoting agriculture and the countryside, through the holding of the annual Aylsham
Agricultural Show, whi¢h Is open lo the genèral public. The Charity makes grants to various charitable
causes from a proportion of any surplus made from each show and ancillary gvtrnts.
AchSevements and perforniance
A good Show which encompassed some substantial changes to the 18youI which We￿ well received. Thè
gate was certainly affected by many roadworks and probably shortage of spending fw many. We were
1,500 paying adults d¢)wn tsn the day from p￿vIOuS peak figures. However, the Show ended up with
trading surplus of £12,860 after specific charitable donations of £3,000 handed out in April 2022. and
capital expenditure of £7.140 fully writtell off. The Sum of £15.000 will ba distributed as charttable donations
in January 2023, leaving our Unrestricted Reserves then at £112,003.

Gate w8$ down on budgot but sponsorship levels maintalned and Trade Stands, Market Lane Stands and
Catering Stsnds 811 held up very well. Memberships w8r8 UP with increased subscription levels.
Showground costs, including labouT. were up by 35% and this is an area being o108ely scrutinised to see rf
savings can be made. All other costs well controlled. Overall surplus for the year amounted to £12.860

The Executlvg C(xnmittèo, $Ltpportad by thè Show Council, wish to mainiain the level of Unrastrictad

monies received before Sho7w Day. The aim is to maintasn a minimum Unrestriclod Resgrvo$ bank balanoe
01 £100,000, and this continues to be achieved al the end of this financial year.
InV￿tment poll¢y
Aside from retalning a pwdent amount In ras8rvès, most of the charivs funds are distributed by way of
donations, hènc8 thère aré no funds for long term investmènt. Having consid8red the options availablé thè
Executive Committee have decided to invest the small amount that is available in bank deposit accounts.

The A￿shaM Agiicultyral Show Association Limited is a charitsble company limited by guarantee,
Incorporated on 5 March 1987 and wistered as a charity on 24 February 1988. The charity was
established under a Memorandum of Association which established the objects and powers of the
charitable company and is govemed under its Articles of Asso¢iation, which were amended on 21 January
2014. In th8 event of tho ¢crfnpèny being wound up members are requirèd to contribute an amount not
exceeding £1.
Rocrultment and appointment of Ex•¢utivè M•m￿r$
1. The directo￿ ol th& company are also charity trustees for the purposès of charity law and under the
company's Article8 are known as members of the Executive Cornmittee.
2. The Pr8sid*nt, Vice-President and the eight Show Co-ordinator roles are elected at the AGM. At the
Council meeting f(>lltswing the AGM, the Chairman, Vice-chairman and thr¢$ fut1her members from Council
are appointed to fomi Ihe Executivè Commiltee along with the President, Vice- P￿Sident and eight C
ordinators.
3. Under thts requirements of the Memorandum and Arbdès of Association, the three Council members ol
the Executive Committee a￿ elected to serve for a period of three years. One of these three members will
rgtire each year.

Organlsatlonal structure
The Execub've Cornmittee meel a minimum of four times per year, and are responsible for managing the
business of the charity. The Council also usually meel at least four times per year when a report by tha
Executive Committee is delivered. The Cguncil m8y reserve power and authority OV8r sp8cific issues, by
resolution and giving written notification lo all directors. On the day of the show the Executive and Counul
Members are aided by volunteers who act as stewards and gate staff, and who also perform various other
roles.
