## **FOR THE YEAR ENDED 30[TH] SEPTEMBER 2023** 

The Trustees present their report and accounts for the year ended 30th September 2023. The report and accounts have been prepared in compliance with Charities Act 2011, the Statement of Recommended Practice “Accounting and Reporting by Charities” (FRS 102), and the Financial Reporting Standard FRS 102. 

## **OBJECTIVES AND ACTIVITIES** 

**The objects for which the Society is established are:** 

- i) To improve the shire horse breed 

- ii) To promote the breeding of the shire horse iii) To encourage and assist all heavy horse owners to achieve a high standard of care iv) To encourage the development and training of young people to become the next generation of heavy horse men and women 

In shaping the charities objectives and planning activities, the trustees have complied with the duty in Section 17 of the 2011 Charities Act and have given consideration to the Charity Commission’s general guidance on public benefit. 

The Trustees are of the opinion that they have met their obligations by holding demonstrations and staging an Annual Show where owners can meet and work their horses. 

The Society relies on the income from entrants’ fees and show entry fees together with membership subscriptions and sponsorship to cover its operating costs.  The trustees give careful consideration to the accessibility of the show to the public in order to encourage public awareness of the Shire horse breed. 

## **ACHIEVEMENTS AND PERFORMANCE** 

The Association was able to hold its annual Heavy Horse & Country Show on April 30[th] 2023 at the South of England Showground. The Committee wanted to continue with a one day show for another year in hopes to move to a two-day event for future shows. The event was a great success even with concerns the weather had caused, the Association didn’t make as much of a profit as previous years due to the dramatic increase in expenses both for the show to run smoothly and the increase in pricing. As a result of our profit the Association chose to donate a percentage of profits to two local charities, donating a sum of £500 to Chestnut Tree House and a sum of £500 to the local RDA branch who assist on the public gate for the event. 

After another successful annual show, the Association was planning on hosting its comeback two-day 2024 event. Unfortunately, due to an unexpected loss of venue and circumstances outside of the Associations control there is not the possibility to host our event as planned in 2024. The association is looking into potential possibilities for hosting an event in 2024. 

The accounts are in a satisfactory position and the Committee are looking hopeful for the future of SESHA.

## **FINANCIAL REVIEW** 

The Trustees report that the net movement in funds for the year was a loss of £10,255 (2022: gain of £18,136). The Balance Sheet at the year-end remains satisfactory with a total of unrestricted funds amounting to £25,854 (2022: £36,109). 

It is the policy of the charity that funds should be maintained to ensure that in the event of a significant drop in funding they will be able to continue the charity’s current activities while consideration is given to ways in which additional funds may be raised. 

There are no uncertainties about the charities ability to continue as a going concern for the next 12 months. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

South Eastern Shire Horse Association was registered as a charity on 6[th] August 1985 charity registration number 292389.  The governing document is the Rules of Association (last amended November 2010). 

The Trustees at 30[th] September 2023 and who served during the period under review are listed on Page 1.  Recruitment of trustees is made on recommendation from the existing Trustees if and when a vacancy occurs on the Committee.  Any new trustee is briefed on the aims of the Society and how it is run before appointment.

## **RESPONSIBILITIES OF THE TRUSTEES** 

The Charity's Trustees are responsible for preparing the Trustees Annual Report and the Financial Statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

The law applicable to charities in England and Wales requires the Trustees to prepare Financial Statements for each financial year which give a true and fair view of the state of affairs of the Charity and of the incoming resources and application of resources of the Charity for that period. In preparing these Financial Statements, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgements and estimates that are reasonable and prudent; 

- prepare the Financial Statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in operation. 

The Trustees are responsible for keeping proper accounting records that are sufficient to show and explain the Charity’s transactions and disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the Financial Statements comply with the Charities Act 2011 and the Charity (Accounts and Reports) Regulations 2008. The Trustees are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

A resolution for the appointment of Sundry Sundaran of Brooks & Co., Chartered Accountants, as the Company’s Independent Examiner will be proposed at the Annual General Meeting.

## **INDEPENDENT EXAMINERS REPORT TO THE TRUSTEES OF SOUTH EASTERN SHIRE HORSE ASSOCIATION** 

I report on the accounts for the year ended 30[th] September 2023 as set out on pages 6 to 10. 

## **Respective responsibilities of trustees and examiner** 

The charity’s trustees are responsible for the preparation of the accounts.  The charity’s trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011(the 2011 Act). 

It is my responsibility to: 

- examine the accounts under section 145 of the Charities Act 2011; 

- to follow the procedures laid down in the General Directions given by the Charity Commissioners (under section 145(5)(b) of the 2011 Act); and 

- to state whether particular matters have come to my attention. 

## **Basis of independent examiners report** 

My examination was carried out in accordance with the General Directions given by the Charity Commission.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the account, and the seeking of explanations from you as trustees concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, no opinion is given as to whether the accounts present a “true and fair view” and the report is limited to those matters set out in the next statement: 

## **Independent examiner’s statement** 

In connection with my examination, no matter has come to my attention: 

- (1) which gives me reasonable cause to believe that, in any material respect, the requirements: 

   - to keep accounting records in accordance with section 130 of the 2011 Act; and 

   - to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act 

have not been met 

or 

- (2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## **GENERAL INFORMATION** 

The Charity is registered in England. The address of the head office is Southwood Farm, Buckhouse Lane, Westerham,Kent, TN16 2HR. 

## 1 **ACCOUNTING POLICIES** 

- 1.1 **Basis of preparation** 

   - The financial statements are prepared under the historical cost convention in accordance with the Charities SORP (FRS102), and the Charities Act 2011. The accounts have been prepared on a going concern basis as there are no uncertainties as to the Charity’s ability to continue. 

## 1.2 **Incoming resources** 

   - All incoming resources are included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. 

- 1.3 **Resources expended** Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure includes any VAT which cannot be recovered and is reported as part of the expenditure to which it relates. 

   - Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. 

   - Governance costs include those costs associated with meeting the constitutional and statutory requirements of the charity and include the accounts fees and costs linked to the strategic management of the charity. 

## 1.4 **Donated services** 

Donated services are recognised on the basis of the value of the gift to the charity which is the amount the charity would have been willing to pay to obtain those services; a corresponding amount is recognised as expenditure is the same period. 

## 1.5 **Fund Accounting** 

- The general charitable fund is an unrestricted fund which is available for use at the discretion of the Trustees in furtherance of the general objects of the Charity and which has not been designated for other purposes. 

## 1.6 **Financial instruments** 

A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. 

Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date.  If there is objective evidence of impairment, an impairment loss is recognised in profit or loss immediately.

Show and event costs include all of the costs associated with the staging and managing of the Heavy Horse Show. Support costs include all administration and other related costs, including the website. 

Governance costs of £1,224 (2022 £1,224) payable to the Independent Examiner in respect of their report on the financial statements, are included with support costs.

## 9. **TRANSACTIONS WITH THE TRUSTEES** 

During the year none of the Trustees received remuneration in respect of services as a trustee (2022:£Nil). 

Two trustees claimed expenses, amounting to £2,986 (2022: £874), both relating to various reimbursement of expenses.
