The Trustees have considered the charitvs ffnanaal position f(￿ a period of at le85t ￿e7Ve months from the dale
of approval of these financial siatements. They have also considered the charity's principal sources of income,
expenditure commitments and ￿SerVeS pK)sth"on.
Based on this remew, the Truslees have a reasonaNe expectat40n that the charity has adequate resources lo
continue in operational existen￿ f(x the foreseeable future. Accordingly, the financial ststements have been
prepared on the going concem basis.
b. Reserves policy
The Charity Commission defines reserves as "income which becomes available lo the charity and" is lo be

designated"

times to meet Ihe needs of the Charity in woviding eisucation.
¢. Flnancial activities and resulis
The year under review involved setting up the inf￿trUctUre to fows on fundraising.
The overall incnming ￿sourceS for the year were £45.751 (2024 - £606) and the net reseNes at the balance
sheel date were £4,799 {2024 - £5.7971. Funding of £43.365 was provided in the year by Italia Conti Arts Centre
Ltd to the Trust to faalitate the establishment of the fundraising 1rrfras1ructu￿.

a. Govèming docum•nt
The Trust is govemed by its Memorandum of A$S￿latIon dabng from 1984 and Artides of Ass(Kiation last
amended in 2025.
b. Methods of appointrnent or election of Trustees
The Trustees of Ihe Charily are the Tiusl's directors for the pufposes of the Companies Act. Candidales are
interviewed, an¢J if appropriate put foN•ard for election by Ihe Tmslees. The new Trustees a￿ then appointed 81
the next Board Meeling by the existing Trustees. The Board Carries out reviews and skills audits to identify the
appropriate mixture of skills and experience required to manage the multi-faceted affairs of the Twsl. Our
Articles speafy that the￿ should be a minimum of 2 Trustees on our Board. Trustees may serye up lo three
terms of three years and shall serve for no more than nine years. The current Trustees are listed on page 1.
. Organisational management
The Twstees are legalty responsible frK ￿ overall management and cC￿trOl of the ¢harity and meet 81 least
three times a year. The da￿ttrdaY resFM)nsibililies are delegated to the CEO.
All meetings of the Trustees are attended by the CEO together vAth other senior staff as may be ￿qUired for
that meeting.
d. Policies adopted for the induction and training of Twstees
Trustees are encouraged to attend training courses and seminars in order to reinforce their awareness of their
varied duties and responsibilities.
Public benefit
The Trust prowdes a public benefft by fvndraising for the provision of finanoal support for the provision of
education and training and progpmmes to enhance perfomiing arts edu¢3tion. S¢holarships and bursaries will
enable those who cannot afford to pay the full fees or who fa¢e finanual hardship during their studies. lo benefil
from an education. This enables the most talented students from a broad range of backgrounds to benefit from
the training.

2.4 Expenditure
Expenditure is recognised once there is a legal ￿ constructive obligat￿n to transfer economi¢
benefit to a ihird party, it is probable that a transfer of economic benèfits will be required in
settlement and the amount of the O￿lgatiOn can be measured reliabty- Expenditure is classified by
activity. The costs of eath activity are made up of the total of direct costs and shared costs, including
support costs invcAved in undertaking each activity. Direct o)sts attribuiable to a single activity are
allocateil direcuy to that activity. Shared costs whith contribule to rnore than one activily and 5UPPOrt
costs which are nor aifributable to a single actiwty are apportioned between those activities on a
basis consistenl wlh Ihe use of resources. Central staff GOSts a￿ allocated on the b8sis of time
spent, and depreciation charges allocaled on the portion of the asset's use.

2.5 Debtors
Trade and other debtofs are recognised at the setdement amount after any trade discount offereiy.
Prepayments are valued at the amount prepaid net of any trade discounts due.
2.6 Cash at bank and in hand
Cash at bank an¢J in hand indudes cash and short-temi highty liquid investments ￿th a short
maturity of three months or less from the date of ac4uisition or opening of the de￿$11 or similar
account.
2.7 Liabilities and provisions
Liabilits"es are recognised when there rs an oblrgab.on at ￿e Balance Sheet date as a result of & past
event, it is probable that a transfer of e¢onomic benefft will be requiied in settlement, and the amount
of the settlement Gan be estimated reliatrAy.
Llabilities are recc¥Jnised at the amount that the Company anticipales it will pay lo settle the debl or
Ihe amount it has re￿iVed as advanced paymenls for the goods or semces it must provide.
Provisit)ns are measured al the best ests.mate of the amounts required to setue the obligation. Where
the effect of the lime value of money is material. the provision is based on the presenl value of those
amounts, discounted at the pre-tax discount rate Ihat reflects the risks spe¢ific to Ihe liability. The
unwinding of the discount is recognised in the Slatement of Financial Aclivities as a finarlce cost.
2.8 Financial instruments
The Company only has financial assets and finanaal liabilities of a kind that qualify as basic financial
instmmenis. Basic financial instruments are initially recognised at transa¢tion value an¢J
subsequently measured at their settiemenl value wth the exception of bank loans which are
subsequently meaSU￿d at amortised cost using the effective interest methcxl.

Related party transactions
In prior years the Chanty had a dose working ￿latIonShIp wth The Ilalia Conti Academy of Theatre Arts
Limited {"the A¢8demy"I, which had historically prowdeil endowment fijnding that enabled the Charity to
operate. That re18bonship ceased following the transfer ol the Academy's operations 8nd assets lo Ilalia
Conti Arts Centre Limited ("the Arts Lentre").
Durin9 the yeaf ended 31 August 2025, the Charity entered into a memorandum of understanding wlth
Italia Conti Arts Centre Limited {°the Arts Centre'l, under whith the parties agreed to cooperate in
support of the Charity's charitable activities. The arrangelnents prowde for the Arts cent￿ to offer
practical and adminislratwe support. and potential short-term funding. to enable the Charily to
recommenee fundraising actiwties. vthh all activities and application of fvnds remaining subject to trustee
oversohl and in 8c¢ordance wth the Chantys objects.
The Academy and the Arts Centre are u)nsidered to be related parties solely by virtue of their close
working relationships with the Charity and the a￿angeMentS desuibed above. and are disclosed in order
lo give a iTue and fair view. There were no trustees OT directors in common during the year.
