The Trustees have pleasure in presenting the rqM)rt and accounts of the Hampstead Norreys
Amenities Trust for the year to July 2022.
The year was a difficult one with continuing near zero interest rates compounded by the fact
that agreed car park rent of £1.050 wa5 not received during the current or previous year.
However, the Trustees are satisficd that r¢serves remain adequate.
For the fllst time these Accounts include the Owional A¢¢ounts for the Hampstead Norreys
Village Hall- tKIth for the year ended 31° Mar¢h 2022 at)d forthe year ended 31 March
2021. Please see the explanatory notes attxhed.

Accounting Policies
The accounts of the Tn￿ have been thawn up this year, as previously. on a c&sh b&sis
showing amounts received 2nd spent by the TTUStees. The accounts would not be
materially different on an &cnMls basis.
The Operational Accounts forth¢ Village Hall bave been prepa￿1 on an ￿n￿lS basis.
No depr￿latIOn is provided on freehold land.
Sums ex￿nded by the Tnjstecs on the Dean Meadow and on the constsuction and
improvement of the Hampstead Norreys Village Hall have i￿en written off &s incurred
as this awt produces no income and is not saieable.
Insurance
This rq)resents the y¢als insurnnce on the Village Hall and the Dean Meadow.
Hall and Dean Meadojv malaten￿¢t
The majority of the nllming costs of the Hail bave been met by th¢ Commtttee of the
Hampstead Norreys Memorial Hail Chartty which op¢r8tes it and the Hampstead
Norreys Parish Council h&$ tsken responsibility for the maintenance of the Dean
Meadow. The Trnstees met the following costs during the y¢ar:_

Investment
Until 2015 the Tft￿tttS held £1.500 (nominaIl of 3 Ir2 0/0 War Loan StocL the interest
on which was paid direct to the landlords in order to meet the rent on the Dean
Meadow. This holding wa5 redeemed during 2015 and the T￿Stee5 now therefore pay
the annual rent diTe¢tly.

I. Memorial ll￿1=

built in the 1920.4 by public subscription in memory of ail those involved in the Great War-
n line with many other ¢ommunty buih at the same tirne for similar reasons.
The Hamp￿ead￿OrreyS Warmen￿rial Trwl (HNWMT- CCnunther238452) w&$ sealed
on 5 May 1975 by the Charities commissio￿ in the matter of the Charities Act 1960. and
replaced any original trust documents dated earlier. (The schedule of this document includes
r¢f¢r¢nce to th¢ lewhold agreement with Gerald Paimer Estate "wiih the buildings known ay
HN Fyar Memorial Hall knldfor residue oftk terni of60￿arSfrOM 2￿ De￿rnber 1970".)
The S¢hernc approved by the Charity CommissiorAers defined the reswynsibilities and structure
for managtng the HNWMT: VIL a ￿￿4£e Hall COnwri￿ (VHQ of community volunteers
representing all the various communtty activities and listed in the s¢beme of arrangement from
the CharitTes Commission.
The Memorial Hall continued as a community eentre for HN and in early 1980's an appeal was
launched for funds for a fillther refirbishmeDt of the origitlll facilities.
2. Yillage Hall:
As a result of this refi￿lshMent appeaL a generous benefactor from the village offered to fund
the building of a new building to replace the existing MernoTÉal Hall.
A new trust 'Hary￿eUd￿orrrysAft*ntsIa Trxfl, (HNAT- CC number
288207) w&s created on 29 July 1983 (amended on 27 November 1983) and
Istees were apwinted to manage the fimds and build a n¢w hall,
b. Arrangements were made to le&se a suitable piece of land (Dean Me￿lOw) from
the Gerald Palmer Eling Estate for 40 years O)at¢d 14 September 1983.)
. A new Village Hall w&s l>uilt on Dean Meadow and opened in 1985.
With the opening of the new ￿￿148eHall. the old MenwrialBall w&% closed dowi4 the
o¢iated lease terni1nate￿ and the land and building were returned to the Gerald Palrner
Although the ownership and legal resp)nsibility for the new building and the lease of Dean
Meadow remained with the Trustees of HNAT. the day4(Hlay management of the village hall
opet7tions remained with the VHC. (However. the HNAT atranged and funded suitable
building insurance for the new hall and for the service agreement for the provision. operntion
and maint¢nance of the sewage pump for the hall.)

3. GovernaDeW.
The VHC transferred its operntional respn5ibilities from the Memorial Hall to the new Village
Hall and this governance arrang¢ment continued satisfa¢torily for all concerned. The VHC
reported to the HNAT when any changes wer¢ required to the buildin& or any other major
operating Ch￿eS were required.
This dual reswnsibility ￿ntinu￿ without any problems atKI continued unchallenged for
reasons lost in the mists of time. The two sets of tnjstees (HNWMT and IfNAD do not appear
to have questioned the existence of two trusts or CODsidered if two separate trtjsts were
necessary.
The HNWMT Continued to submtt its amiual re￿rt to the Charlties Commission bas¢d on th¢
operalional accounts for the village hall and the ItNAT continued to TetK)rt its activities ￿lated
to the land ownership and l¢&s¢ reS￿nsibIlItIeS l)ut excluding the financial ￿tivitieS of the
vtllage hail.
With the appoinlmcnt of n¢w trust¢es to the Amentties Tntst (10 (ktober 2017) and some new
appointments to the VHC in 2015 & 2016, it was recognised by IKith the VHC and HNAT that
the 30-year-old building was not fit for PUtp)se- with a severe shortage of storage space and
limited catering facilities.
It was agreed by the HNAT and the VHC that a refillbishment prnject would ￿ launched by
the Amenities Trust since they were the ovmers of the Village Hall and they would be
resw)nsible for the necessary extension to the1¢&se for Dean Meadow. The Village Hall
Refurbishment Project was launched in January 2018 which involved commissioning
architectural plans and quotations for the building Work.
The original le￿ for Dean Meadow w&% surren(kred on 27 June 2019 and a new 40-year le
was signed on 27 June 2019.
During discusstons with the HM Revenue & Customs (during 2018). over the VAT-rating for
the building & extension wotL it became clear that the governance and a&sociated
documentstion for the village hall was not fit for purpose and there was confusion over the
responsibilities of the two registered In￿.
HNWMT
- did not bave any property or legal Tesp)nsibilty for the village hall nor
had any involvement with the leasehold of the land. However. they rdn the village hall.
HNAT
- owned the building and were the leaseholders frir Dean
Meadow but did not appear to have any ￿5F￿)nsibIlIty for the day-tr￿thy operations.
As a resulL the Trustees of HNAT and the TTUStees of HNwMf (effectively the VHC) decided
that the governance of the Village Hall needed to be clarified to reflect the reality of how the
ownership and Ma1￿C￿ellt responsibilities were distribute

4. New Governantt Doeumentr
Following discussions between the Villag¢ Hail Committee, acting as Tn￿¢¢3 of the
FtNWMT. and the T￿￿eeS ofthe HNAT. the following actions were agreed:
A new committee. the ' Willage HallManagen*n¢ Committee" OqIMQ,
would be created &$ a sulFcommittee of the HNAT. with Tern￿ of Reference
(dated l O¢tob¢r 2019) to reflect the provisions of the Scheme attached to the
HNWMT,
b. The responsibilty for managing the Village Hall operations would be
transferred from the old VHC to the n¢w VHMC with effect from i# November
2019.
c. With effect from 1° N0Vemi￿ 2019. the operdtional ac¢ounts for the village
hall would be incOr￿Tated into the Atmual Re￿rt & Accounts t() the Charities
Commission for the HNAT (and replace the need for separate retK)rting by the
HNWMT).
d. The end of the financial year for the Village Hall would be moved from 31
March to 31 July, to rnatch the financial year of the HNAT.
e. The new Governance Documenl (dthed 19 ￿0￿Mber 2021) including the
Terms ofReference (dated l Oclober 2019) for the VHNIC would k submitted
to the Charities Commission as an *ldendum to the HNAT Trust Deed.

{Unfortunately, these di%ussions were impacted by the restrictions of the Covid-19 pandemi
and decision-making took longer than expwted.)
5. Trnnsltion An?Bg¢ments:
To ensure the requirements of the Charittes Commission were respeck4 it was agreed that the
operating accounts for the village hall. after l November 2019, should incorp)rated into
the accounts and rel￿ of the EtNAT.
HIV Warmenwriol Trxstreports..
The HNWMT tep)rt for yle 31 March 2020 reflects the sales in¢om¢ up to 31 October
2019 {£5.027) and the full-year expenses up to 31 March 2020 {£14.552). Any sales
ncome for that year not included in the HNWMT Tep)rt (viz. £5,979.71) would be
included in the HNAT rewJrL
The HNWMT rewrt for yle 31 March 2021 continues to sbow any Temaining expenses
to exhaust the funds (£7291} plus any incorrectly directed sales income (£288). These
reported figures would be discounted from the operational figures incorp)￿ed in the
HNAT Report & Accounts for that year.
The HNwKf TeFKIrt frir yle 31 March 2022 reflects 'nil' iDcome and 'nil' expenses.
Any HNWMT reports for subsequent years would also ￿ 'nil' income and expenses
