President's Report for the Year Ended 31 December 2022
As of the date of this report,I am now comingto the end of my first of two years as BTS President.It has been a great
privilegetoactasyourPresidentduringthistime.ThecurrentsuccessoftheSocietyisduetotheexcellent efforts
frommanyindividualswhogenerouslygiveuptheirtimeto serve onvariousBTS Committees.Withouttheefforts of
the various BTS committee members the Society would not be able to function.
The last year has seen some returnto normalityafter the issues of the Covid pandemic.We held a very successful face
to face AnnualCongress meeting in Newcastle in April 2022, which was attendedby over 220 delegates.I do hope that
the2023BTSCongressinBirminghamwillbeevenmoresuccessfulinattractingBTSmemberstoparticipatein the
meeting.
Forthe2023CongressIshouldliketooffermycongratulationstothethreeawardwinnerswhowill make
presentationsatthemeeting.The2023BarnesPrizewinnerisProfessorSamuelCohen(Universityof Nebraska
MedicalCenter,USA),theMalcolmBlackwellAwardwinnerisProfessorMatthewWright(Universityof Newcastle)
andthe FrankSullivanEarlyCareerAwardwinneris Dr LizaEmirali(MRC ToxicologyUnit,Universityof Cambridge). In
addition,a new BTS award,namelythePresident'sAward,willbe presentedforthefirsttimethisyear.Thisaward is
to recognisea BTS member who has made a significantcontributionto the Society.I am please to informyou that the
2023President'sAwardwinnerisJuliannaBerrie(OfficeforProductSafetyandStandards).Fulldetailsofallthe BTS
awards are available on the website.
In terms of BTS membership,we have seen some increasein BTS membershipin 2022 comparedto 2020 and 2021. As
oftheendofDecember2022,wehadatotalof874members,ofwhichfull,student,postgraduateandearly career
members comprised 496, 183, 56 and 81 members, respectively.
BTSincomeisderivedfromtwomainsources,namelydonationsandmembershipsubscriptions.Withrespect to
donations,IshouldliketoacknowledgewiththanksfinancialsupportfromApconiX,AstraZeneca, GlaxoSmithKline,
SyngentaandUnilever.Inaddition,somecompaniesprovideddonationstohelpfinancethe2022Annual Congress.
These companiesincludedApconiX,Cyprotex,NC3Rs,RegulatoryScienceAssociates,SequaniandUCB. I wouldask all
BTS members to enquireif their companywouldbe able to make a donationto the Societyor one to help support the
AnnualCongress.Our currentTreasurer,ProfessorRob Chilcott,has now set up a scheme for individualsto donate to
theSocietyinataxefficientmanner.FurtherdetailsaredescribedintheBTSTreasurer'sreportandIwould urge
members to support BTS by personal donations.
In termsof membershipincome,fromtheresultof theExtraordinaryGeneralMeetingheldinJune2022,the Society
has raisedmembershipfees for 2023. This is the first fee increasesince 2018. The Societyhas also implementeda £20
studentadministrationfee. As describedintheTreasurer'sreport,theaccountsof theSocietyareformally examined
inordertomeetCharityCommissionrequirements.TheSocietydoeshavesomefinancialreserves,which are
maintainedwithinCharityCommissionguidelines,inordertoachievethesustainabilityoftheSocietyby enabling
operating costs to be met for a period during times of financial distress.
ThecompanydonationsandtheincreaseinmembershipfeeswillpermittheSocietytocontinuetosupport many
initiativesincludingtheAnnualCongress,SpecialitySectionwebinarsandothermeetings,NetworkforEarly Stage
Toxicologists(NEST)activities,studentscholarshipsandbursaries.Detailsofthevariousbursariesand scholarships
offered by the Society can be found on our website.
TheachievementsoftheSocietyin2022includetheestablishmentofanewwebsite,asuccessfulAnnual Congress,
SpecialitySectionactivities,productionofpublicstatementsanda projectonlookingattheskillsgapsintraining for
regulatory toxicology.
OverthelastyeartheExecutiveCommitteehasbeenworkingwithInsightstodevelopournewwebsite.Drs Fiona
Sewell and David Masonhave led this initiativeand I wouldlike to sincerelythankthem for all theirhardwork.I hope
you will all agree that new website is a great improvement over the previous version.

As alreadymentioned,the Societyhelda very successfulAnnualCongressin April2022.The Scientific Subcommittee,
chairedbyDrLesleyReeve,haveproducedanexcellentprogrammefortheApril2023Congress.Inaddition, the
ScientificSubcommitteeare activelyidentifyingsuitablevenuesfor the BTS AnnualCongress2024 and2025 meetings
in orderthatmembers can be aware well in advanceof the dates of these futuremeetings.The Societyhas a number
ofSpecialitySectionswhichcompriseRegulatoryToxicology,RiskAssessment,ClinicalandHuman Toxicology,
MechanisticandDiscoveryToxicologyandComputationalandInsilicoToxicology.AllthesefiveSpeciality Sections
havebeenveryactivein2022andhaveheldwebinarsandothermeetings.Inaddition,anewSpecialitySection on
Ecotoxicologyhasbeenestablished.DrNatalieBurdenwillchairthisnewSpecialitySection.TheSpeciality Section
webinarsandothermeetingsprovidetrainingopportunitiesforBTSmembersandcanbeusedaspartof continuing
developmentforUKRTregistration.TheyalsoprovideanopportunityforallBTSmembers(fromstudentto retired
members) to keep up to date with various aspects of toxicology.
ThePublicCommunicationsSteeringTeam,chairedbyDrPhilBotham,hascontinuedtoproduceproactive and
reactivestatementsrelatingto issuesin toxicologywhichare of interestto the generalpublic.Thereare nowover 20
publicstatementsavailableon the BTS website. The BTS has conducteda projectto understandand identifyskills gaps
intrainingforregulatorytoxicology.Thisprojecthasbeenco-ordinatedbyDrSarahJudge(Universityof Newcastle)
supportedbyanAdvisoryPanelofexpertsacrossanumberofsectors.Thereportofthisprojectisnowavailable on
the BTS website.
BTS members shouldbe aware that the Societyis affiliatedto the journal,ToxicologyResearch.I would encourage BTS
members to submitmanuscriptsto this journal.The Societydoes receive a small donationfrom the publisherfor each
paper published in the journal by a BTS member.
As atthestartofthisreport,I mustreiteratethatI am extremelygratefultoallthosewhoserveasmemberson the
ExecutiveCommitteeanditssubcommittees,theSpecialitySectionsandtheAmbassadors.Idoencourage members
toparticipateintheSocietybybecomingmembersofBTSCommittees.VacanciesforBTScommitteesare published
regularly both in the BTS Newsfeed and on the BTS website.
WithrespecttotheExecutiveCommittee,we havebeenseekinga newGeneralSecretaryanda newTreasurer.I am
delightedthattheExecutiveCommitteehasendorsedtheapplicationofFrancesHillfortheTreasurer'sposition. A
vacancyforanordinarymemberhasalsobecomeavailableduetoaretirementandIampleasedthatthe Executive
Committeehas endorsedDr Ehi Idahosa-Taylorfor this position.The appointmentsof boththe new Treasurerand the
ordinarymemberoftheExecutiveCommitteeareofsubjecttoratificationattheAGM.FortheGeneral Secretary
position,I am mostgratefulthatProfessorShirleyPrice,whohasbeenactingGeneralSecretarysinceApril2022, has
verykindlyagreedtotakeonthisroleforthenext2yearswhileweseekanewGeneralSecretarytowork with
Professor Price and to then take over the role permanently from April 2025.
This April sees the retirementof two members of the ExecutiveCommittee,namely ProfessorRob Chilcottand Dr John
Thompson.IshouldliketothankbothProfessorRobChilcottandDrJohnThompsonforalltheirexcellentefforts in
helpingthe Societyachieveits objectives.In the case of ProfessorChilcott,Robhasvery kindlyagreedto shadow the
new BTS Treasurer over the coming year.
I do hopethat2023 will be a successfulyear for the SocietyandI wouldencourageall BTS members (fromstudent to
retired members) to become more involved in Society activities.

ThetrusteeswhoarealsodirectorsofthecharityforthepurposesoftheCompaniesAct2006,presenttheir report
withthefinancialstatementsofthecharityfortheyearended31December2022.Thetrusteeshaveadopted the
provisionsofAccountingandReportingbyCharities:StatementofRecommendedPracticeapplicableto charities
preparingtheiraccountsinaccordancewiththeFinancialReportingStandardapplicableintheUKandRepublic of
Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and significant activities
TheSocietyisestablishedforthepromotionandadvancement,forthepublicbenefit,ofeducationinthescience of
toxicology.In decidingthe aims and activitiesof the society,the trusteeshave paiddue regardto the guidance issued
by the CharityCommissionon publicbenefit.Toxicologyis the scienceof diseaseinducedby chemicalspresentin the
diet,medicines,andintheenvironment.TheBritishToxicologySociety(BTS)isaleadinginternational toxicology
society,basedonthehighestqualityscience,andpromotestheadvancement,communicationandunderstanding of
the scientific disciplines necessary to foster public health and environmental safety.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The Societyis a companylimitedby guaranteeandthe liabilityof members is limitedto an amountnot exceeding £1.
ItisexemptunderSection60oftheCompaniesAct2006fromtherequirementtousetheword'Limited'inits title.
TheSocietyisgovernedbytheMemorandumandArticlesofAssociation.Itisregisteredwiththe Charities
Commission, number 286197, and no liability to taxation arises.
TheExecutiveCommitteeareDirectorsforthepurposeofcompanylawandTrusteesforthepurposeofcharity law.
Directors/TrusteesareappointedbytheSociety'smembersattheAnnualGeneralMeeting.WhenaTrustee retires,
theExecutiveCommitteenominatesnewTrustees.Additionalnominationsmaybemadebythe membership,
provided they are signed by six members of the Society.
InformalinductionproceduresareinplacefornewTrustees,conductedbyanexistingmemberofthe Executive
Committeeandtheyarealsoprovidedwithrelevantdocumentationtoformallyadviseandinformthemof the
Society's constitution and objectives and also their duties and responsibilities as a trustee.
OnethirdoftheExecutiveCommitteeordinarymembersretireeachyearinrotationbutaretheneligible for
re-election.ThesocietyisorganisedsothattheTrustees,intheformoftheExecutiveCommittee,meet regularly,
usuallyonaquarterlybasis,tomanageitsaffairs.Therearealsosub-committeeswhichareresponsiblefor advising
and researching the various activities and development of the Society, who report to the Executive Committee.
Statutesfor the workingsof the varioussub-committeesare continuallybeingrevisedand updatedto ensurethat the
termsofreferenceareclearlydefinedandthewaysofworkingareconsistent.Thisalsoenablestransparency of
committeeelectionsanddurationof membership,whileallowingthecommitteestoworkto agreedaims,backed up
by comprehensive set of Standard Operating Procedures for the Society.
ThetrusteeshaveassessedthemajorriskstowhichtheSocietyisexposed,inparticularthoserelatedto the
operations and finances of the Society, and are satisfied that systems are in place to mitigate exposure to major risks.
All of the officers and members who serve on the Society'scommitteesare unpaid.They are entitledto be reimbursed
for any out of pocket expenses incurred in attending meetings.
Norelatedparties,relatedpartytransactions,beneficialrelationshipsorconflictsofinterestrequiringdisclosure by
the Charities' or Companies' Acts existed during the year.
AttendancebyExecutiveCommitteemembershasbeenreasonablethroughouttheyear.Theco-opted members
continue to provide liaison with the relevant Sub-Committees and Speciality Sections.
The day to day administration of the Society is undertaken by an outside agency on a fee basis.

31 December 2022.
Responsibilities and basis of report
As the charity'strusteesof the Company(andalsoits directorsfor the purposesof companylaw) youare responsible
for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfiedmyself that the accountsof the Companyare not requiredto be auditedunder Part 16 of the 2006 Act
andareeligibleforindependentexamination,Ireportinrespectofmyexaminationofyourcharity'saccounts as
carriedoutunderSection145oftheCharitiesAct2011('the2011Act').IncarryingoutmyexaminationI have
followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
Ihavecompletedmyexamination.Iconfirmthatnomattershavecometomyattentioninconnectionwith the
examination giving me cause to believe:
1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financialstatementsof the charitablecompany,whichis a publicbenefitentityunderFRS 102,have been
preparedinaccordancewiththeCharitiesSORP(FRS102)'AccountingandReportingbyCharities: Statement
ofRecommendedPracticeapplicabletocharitiespreparingtheiraccountsinaccordancewiththe Financial
ReportingStandardapplicablein the UK and Republicof Ireland(FRS 102) (effective1 January2019)', Financial
ReportingStandard102 'The FinancialReportingStandardapplicablein the UK and Republicof Ireland'and the
Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Going concern
There are no material uncertainties about the charity's ability to continue.
Thetrustees'assessmentoftherisksassociatedwithBrexitandthepandemicaredetailedinthe President's
report.
Financial reporting standard 102 - reduced disclosure exemptions
Thecharitablecompanyhastakenadvantageofthefollowingdisclosureexemptionsinpreparing these

Income
All incomingresourcesare includedin the statementof financialactivitieswhen entitlementhas passedto the
charity;itisprobablethattheeconomicbenefitsassociatedwiththetransactionwillflowtothecharity and
theamountcanbereliablymeasured.Thefollowingspecificpoliciesareappliedtoparticularcategories of
income:
-Incomefromdonationsorgrantsisrecognisedwhenthereisevidenceofentitlementtothegift,receipt is
probable and its amount can be measured reliably.
- Legacy income is recognised when receipt is probable and entitlement is established.
- Incomefromdonatedgoodsismeasuredatthefairvalueofthegoodsunlessthisisimpracticalto measure
reliably,inwhichcasethevalueis derivedfromthecosttothedonorortheestimatedresalevalue. Donated
facilitiesandservicesarerecognisedintheaccountswhenreceivedifthevaluecanbereliablymeasured. No
amounts are included for the contribution of general volunteers.
- Income from contractsfor the supplyof services is recognisedwith the delivery of the contractedservice. This
isclassifiedasunrestrictedfundsunlessthereisacontractualrequirementforittobespentona particular
purpose and returned if unspent, in which case it may be regarded as restricted.
Expenditure
Expenditureisrecognisedonanaccrualsbasisasaliabilityisincurred.ExpenditureincludesanyVAT which
cannotbefullyrecovered,andisclassifiedunderheadingsofthestatementoffinancialactivitiestowhich it
relates:
-Expenditureonraisingfundsincludesthecostsofallfundraisingactivities,events,non-charitable trading
activities, and the sale of donated goods.

Expenditure
-Expenditureoncharitableactivitiesincludesallcostsincurredbyacharityinundertakingactivities that
furtherits charitableaims for the benefit of its beneficiaries,includingthose supportcosts and costs relating to
the governance of the charity apportioned to charitable activities.
- Otherexpenditureincludesallexpenditurethatisneitherrelatedtoraisingfundsforthecharitynorpart of
its expenditure on charitable activities.
All costsare allocatedto expenditurecategoriesreflectingthe use of the resource.Directcostsattributable to
a singleactivityare allocateddirectlyto that activity.Sharedcosts are apportionedbetweenthe activities they
contribute to on a reasonable, justifiable and consistent basis.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restrictedfundscanonlybeusedforparticularrestrictedpurposeswithintheobjectsofthe charity.
Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Furtherexplanationofthenatureandpurposeofeachfundisincludedinthenotestothe financial
statements.
