The governors of the company, who are trustees and directorg for the purposes of charity lar, present their report
and financial slalomenls for the year ended 31 December 2025. This is a directors. report required by s417 of
Companies 2008 and all the governors aTe directors.
The accounts have been prepared in accordance with the accounting policies sel out in note 1 to the accounts
and comply wfth the Foundation's Memorandum and Artides of Association, the Companies Act 2006 and
"AccounliTrg and Reporting by Ch8rilies'. Ststement of Recommended Practice" applicabltr to charities preparing
their accounts in accordan￿ with tho Flnancial Reporting Standard applicable in Ihe UK and Rèpublic of Ireland
IFRS 1021.
Obj8ctlv•s and a¢tlvltles
The Foundabon is dgdicated to supporting projects which focus upon the soaal lives of people with learning
disabilities, particularly those involving the arts and 8nhancing soclal Inler8Ctlon. We also seek to support those
which encourage in¢lusive practice.
Such prolects will involve a range of partlclpanls from beyon(S a single typo of instltutlon or organisation andlor
will seek lo develop new ways of working to include new. diverse aLJdien¢es. It makes grants to a variety of
organlsalions which aim lo benefit people with a168ming disabilty and their carers.
The Board of Governors make grant making and pollcy decisions and confirm Ihat they have referred lo the
guidance Contsined in the Charity Commission's general guidance on public benefit when revlewillg the TTusf5
aims and obleclives and in planning for the futu￿ and in setting the grant making policy for the year.
Grant Applicatlons
The Foundation considers grant appll¢alions at kn meetings ea¢h year, Sn June and December. Grants are
awarded to registered charitlès or voluntsry Organisations that work with or support people with learning
{Intellectuall disabilities and their families. Individual grants are considered, on occasion. Applications for
specrfic leaming difficulties are not supported. All appli¢anls must complete an application form and provide
copy of their latest audlled a¢counls. In the first instance tho applicant should discuss the proposed work elther
by telephone, email oi letter to the administrator, a minimum of 4 months in advance of a board meeting.

£124.1451 listod in note 7 of the financial statements. and all were made in accordance with the Foundation's
conslilulion.
In the year the Foundation received grants and donations totalllng £73.980 {2024.' £73,000}.

The net movement in funds for the year amounted to £140,706 12024.. £47,838). Al 31 December 2025 the
Foundation had nel assets of £1.802.759 {2024'. £1,662,053). The Board of Governors engages r8gularly ¥Mth Ils
investment advisors to ensure that, in the Ilghl of current economic Conditions and investmgnt returns, the correct
balance beb￿88n income and Capital growth 18 maintaingd.
The principal funding sour¢os of the Foundation ara Income received from its Investmant portfolio, and donations
r8ceived from ¢harilable organisations and Individuals.
Invostment poll¢y reservos
The Foundation's assets are invested in accordance with the powals available to the govemors as sat out in the
memorandum and articles of association. There are no restrictions on the Foundation's power lo inv8st and the
investment strategy is agreed between thè governors and the investment advisors and is rtrgularfy revbewed.
The governors arg seeking to secure a good income return whilst aimlng lo grow the combined capllal and
income above the rate of inflation over the longer term.
The current investment strategy which has begn agreed by the investment advisor and the governors, is for the
funds avallable for investment lo be invested across a range of asset classes with a view lo achieving a lower
level of volatility than the aquity market. The porttolio Is classified as medium risk and as such will have an
exposure to gquity risk assets of around 80Yo with the balance invested in lowor volatility fixed interest
investments and other 'diversifying" assets which have a low ￿rrelatiOn to equilies. The exposure lo less
volatile assets wthin the portfolio helps to mitigate the risk of withdrawing capital lo supplement grants at limes of
equity market weakness.
The market value of the investments held al 31 December 2024 was £1,747,619 {2024: £1,647.2031. As al 31
December 2025 the investment portfolio was revaluod which generated unrgalised gains of £200,783{2024
£91,880).
The governors are mindful of the necessity to maintain reserves al a level which enables them lo mako grants
principally from income although a limited amount of ¢apilal will bfj used lo supplement the total grants made. In
the light of this policy on ieserves the financial risk lo which the Foundation is exposed arises from the
fluctuations in the value of inveslrnenls as a result of movement in the stock market. The portfolio is kept under
review by the governors al their meetings.
The govemors examino the major risks that the Foundation faces every financial year and have developed
systems to monitor and Control these risks lo mitigate any impact they may have on the Foundation in the future.
Plans for the futuro
The governors intend to continue making grants lo charitable institutions for the public benefit specifically those
operating in the field of benefiting people with 8 learning disability and their carers. 11 is intendod that future
donations will be mad& from the annual Income of the Foundation.

The Foundation is a company limited by guarantee governed by ils Memorandum and Artlcles ofAssocialion
dated 25th March 1982. 11 is registergd as a charity wsth the Charrty Commission.

The Foundation Board has the power to appoint new 9ov8mors. The governors in office wgre either appointed
under the memorandum and articles of association dated 25th March 1982 or were appointed by the Foundation
Board. Vacancios are filled by nomination and elected by a simple majority.
The current governors are responsible for the induction of any new govemors which involves awareness of a
governor's responsibilities, the goveming document, admlnistralive procedures and the history of the Foundation.
A new governor would receive copies of the prevlous yearfs annual report and accounts.
The Foundation maintained a part-lime secretary who assists with the vetting of grant applications, book-keeping
and other administrative matters on a self employed basis.

Company Law requires the Board of Govemors to prepare financial statements for each financial ygar which give
a true and fair view of the stsle of affairs of the Foundation and of the incoming resources and application of
resources. including the income and expenditure. of the charhable company for that year.
In preparing these finandal stslements. tho Board of Govemors are required to..

Foundation and hence for taking reasonable steps for the prevention and detection of fraud and other
irregularities.

As the Board of Govemors of the Foundation {and also ils directors for the purposes of company lawl, you are
responsible for the preparation of the financial ststements in accordance with the reqLtiremenls of the Companies
Act 2006.
Having satisfied myself that the financial ststemenls of the Foundation are not required to be audited under Part 16
of the Companies Act 2006 and are eligible for independgnt examination, I report in respect of my examination of
the Foundation's financial slalemenls carried out under section 145 of the Charities Act 2011. In carrying out my
examination I have followed the DiTeclions 9iven by the Charity Commission under section 14515llbl of the Charities

Company Informatlon
The Rix-Thompson-Rothenberg Foundation is a private company limitèd by guarantee incorporated in
England and Wales. The registered office is clo Blick Rolhenberg Ltd., 16 Great Queen Street, Covent
Garden. London, WC28 SAH.
1.1 AGcountlng conventlon
The accounts have been prepared under the historical cost convention.
The financi81 slalemenls have departed from the Charities (Accounts and Reportsl Regulations 2008 only to
the extent roquired lo provide a true and fair view. This departure has involved following the Slatemont of
Recommended Practice for charities applying FRS 102 rather than the version of the Statement of
Recommended Practice which is rgferred to in the Regulations bul which has since been withdrawn.
The financial slalemenls are prepared in sterling. which is the functional currency of the Foundation. Monetsry
amounts in these financial ststemenls are rounded to the nearest £.
The financial slalements have been prepared under the historical cost convention, Imodified lo include the
revaluation of freehold properties and to include investment properties 8nd ￿rtain financial instruments al fair
valuel. The principal accounting policies adopted are sel out below.
1.2 Golng ¢oncgrn
Al the lime of approving the financial statements, the Board of Governors have a Mson8ble expectsllon that
the Foundation has adequate resources lo conlinLJ8 In operational exislencg for the forgseeable future. Thus
the Board of Governors continue to adopt the going concem basis of accounting in preparing tho financial
statem8nts.
1.3 Charitabl¢ fiinds
Unrestricted funds are available for use at the discretion of the Board of Govemors in furtherance of their
charitable objectives unless the funds have been designatod for other purposes. Those funds are for the
benefit of providing grants to organisalions and to provide small grants for individuals with learning disabilities.
Reslrfcted funds are made up of donations recelved from the Bally Thomas Charitablo Fund which are then
used for the funding of special projects. Restricted funds are subject to specrfic condltlons by donors as to
how thoy may bo usod. The purposes and uses of the restricted funds are set out in the notes to the financial
slalèmenls.
1.4 Incoming r8sour¢es
Income is recognised when the Foundation is1ggally enti118d to il after any perfoTmance conditions have beon
mel, the amounts can be measured reliably, and it is probable that incom& will be received.
Cash donations are recognlsed on rgcelpt. Olhor donations ar8 recognised once the Foundation has been
notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable
in relation lo donations received under Gift Aid or deeds of covenant is r8cognised al the time of the donation.
Legacies are recognised on receipt or otherwise if the Foundation has been notified of an impending
dislribulion. tho amount is known. and receipt is expected. If the amount is not known, the legacy is treated as
a contingent asset.
1.5 Re3our¢•s expended
Expenditure is accounted for on an accruals basis. Govornance costs are those incurred in connection with
the administration of the Foundation and complianc8 with constitutional and slalLrtory requirements.
Resources expended include attributable value added tax which cannot be recovered.

1.6 Cash and ush equlvalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-tem liquid
investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown
within borrowings in current liabililies.
1.7 Financial instrumgnt$
The Foundation has elected to apply the provisions of Section 11 'Basi¢ Financial Instruments. and Section 12
'Olher Financial InstrLÈrnenls Issues. of FRS 102 to all of ils financial instruments.
Financial instruments are recognised in the Foundation's balance shget when the Foundation becomes paty
tr) the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net avnounts presented in the financial statements, when
there is a legally enforceable right lo sel off the recognised amounts and there is an intention to settle on a net
basis or to realise the asset and settle the Ilabllily simultaneously.

Basic financial liabllllies, including creditors and bank loans are initially recognlsed al transaction price unless
the arrangement conslilules a financing transaction, where the debt instrument is measured al the presont
value of Ihg future payments discounted al a market rate of inlergst. Flnancial liabilities classrf18d as payable
within one year are not amortisgd.
Debt inslrnments are subsequgnlly carried at amortised cost, using the effective interest rale method.
Trade creditors are obligations lo pay for goods or services that have been acquired in the ordlnary course of
operations from suppliers. Amounts payable are classified as cu￿nI liabilities if paym&nt is due within one
year or less. If not, they are presentod as non-CU￿enI liabilits'es. Trade creditors are recognisod Initially al
transaction price and subsequently measured at amortised cost using tho effective interest method.
Derecognltlon offinancial IITabllltles
Financial liabilities are derecognised when the Foundation's contractual obligations explre or are discharged
or Can￿lled.
1.8 Taxatlon
The Foundation is a charity within thg meaning of section 506 111 of the Taxes Act 1988. Accordingly the
Foundation is potentially exempt from taxation in respect of income or capital gains ¥e¢fjiv8d within categories
covered by Section 505 of the Taxes Act 1988 or Section 256 of the Taxation of Chargeable Gains Act 1992 to
the extent that such income or gains are applied to exclusively charitable purposes.

Critical accounting ostimato$ and judgemgnts
In the application of the Foundation's accounting Policies, the Board of Governors are required to make
judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily
apparent from other sources. Th& eslimales and associated assumptions are based on historical experience
and other factors that are considered to be relevant. A¢lual results may differ from these estimates.
The estimates and underlying assurnplions aro reviewed on an ongoing basis. Revisions lo accounting
ests'mates are recognised in the period in which the estimate is revised where the revision affects only that
period. or in the period of the revision and future periods where the revision affects both current and future
periods.
