## **REPORT OF THE COUNCIL TO MEMBERS FOR THE YEAR ENDED 31 OCTOBER 2025**

## **INTRODUCTION** 

The Council presents its report and the financial statements for the year ended 31 October 2025. 

## **PRINCIPAL ACTIVITIES** 

The principal activities of the Society are to promote, maintain, improve and advance agriculture, to promote good farming and the advancements of the breeding and rearing of livestock, poultry and horses, and to foster and maintain education of the public and its interest and awareness in the agricultural industry.

## **DIRECTORS' RESPONSIBILITIES STATEMENT** 

The Directors are responsible for preparing the Report of the Council to Members and the financial statements in accordance with applicable law and regulations. 

Company law requires the Directors to prepare financial statements for each financial year. Under that law the Directors have elected to prepare the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland'. Under company law the Directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of the profit or loss of the Company for that year. In preparing these financial statements, the Directors are required to: 

- select suitable accounting policies and then apply them consistently; 

- make judgments and accounting estimates that are reasonable and prudent; and 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business. 

The Directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The Directors are responsible for the maintenance and integrity of the corporate and financial information included on the Company’s website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

## **FINANCIAL RESULTS** 

The financial results for the year are set out on page 6. 

## MEMBERS’ FUNDS AND RESERVES POLICY 

The strategy of the Council is to reinvest annual surpluses into the Society to increase Members’ Funds for the Society’s future progression. At 31 October 2025, Members’s Funds stood at £309,862 (2024: £99,160) which includes the surplus for the year. Free Reserves at 31 October 2025, comprising Net Assets less fixed assets and related loans, stood at £232,636 (2024: £21,021). 

Cash balances are carefully managed, with appropriate levels maintained to cover planned and unforeseen eventualities. The Council has assessed the funds available to the Society and the current level of operations. Based on this assessment, the Council has concluded that the Society has sufficient funds to meet its obligations as they fall due. 

## **SMALL COMPANIES EXEMPTION** 

In preparing this report, the Directors have adopted the small companies exemptions provided by section 415A of the Companies Act 2006. 

## **ANNUAL GENERAL MEETING** 

The Annual General Meeting of the Society, at which all Members are invited to attend, will be held on 14 April 2026, at Cranleigh Golf Club, commencing at 7.30 pm.

## **INDEPENDENT EXAMINERS REPORT** 

Independent Examination of the financial statements and financial records, in respect of the year ended 31 October 2025, is undertaken by Jozef Cole MAAT on behalf of Oakwood Cranleigh Ltd, whose address is Unit 3, The Dairy, Tilehouse Farm Offices, East Shalford Lane, Guildford, GU4 8AE. 

I report to the Directors on my examination of the financial statements of the charity (“the Society”), Cranleigh and South Eastern Agricultural Society, for the year ended 31 October 2025. 

As the charity's Directors, you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Society’s financial statements carried out under section 145 of the Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

The charity’s gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of The Association of Accounting Technicians (AAT). 

I have completed my examination and in doing so, I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

- the accounting records were not kept in accordance with section 130 of the Charities Act; or 

- the financial statements did not accord with the accounting records; or 

- the financial statements did not comply with the applicable requirements concerning the form and content of financial statements set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the financial statements give a ‘true and fair’ view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the financial statements to be reached.

The Directors confirm that: 

- (i) The Directors acknowledge their responsibility for complying with the requirements of the Companies Act 2006 with respect to accounting records and for the preparation of the financial statements. 

- (ii) These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime. 

- (iii) For the year ended 31 October 2025, the Company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies. 

- (iv) The members have not required the Company under Section 476 of the Companies Act 2006 to obtain an audit of its financial statements for the year ended 31 October 2025. 

- (v) The Company has taken advantage of Section 444(1) of the Companies Act 2006 and not delivered to the Registrar a copy of the Company’s Income Statement.

## **1. ACCOUNTING POLICIES** 

## **1.1 COMPANY FORMATION AND REGISTERED OFFICE** 

The Company is a private company limited by guarantee, incorporated in the United Kingdom under registered number 01594935. The registered office is Unit 3 The Dairy, Tilehouse Farm Offices, East Shalford Lane, Guildford, Surrey GU4 8AE. 

## **1.2 BASIS OF PREPARATION OF FINANCIAL STATEMENTS** 

The financial statements have been prepared under the historical cost convention and in accordance with FRS 102 Section 1A for Small Entities, the Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland, and the Companies Act 2006. The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company’s accounting policies. 

The Company’s functional currency and reporting currency is Pounds Sterling 

## **Reduced disclosure exemptions** 

The Company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by FRS 102 “The Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland”: 

- the requirements of Section 3 Financial Statement concerning Presentation of Cash Flows in paragraph 3.17(d); 

- the requirements of Section 7 relating to Statement of Cash Flows; 

- the requirements of Section 11 relating to Financial Instruments in paragraphs 11.39 to 11.48A; and 

- the requirements of Section 33 concerning Related Party Disclosures in paragraph 33.7. 

The following principal accounting policies have been applied in the preparation of these financial statements. 

## **1.3 GOING CONCERN** 

The Statement of Financial Position shows a net current asset position and net asset position at the year end. The Directors are satisfied that the Company has adequate financial support and resources to continue in operational existence for the foreseeable future. Accordingly, they have continued to adopt the going concern basis of accounting in preparing the Company’s financial statements. 

## **1.4 REVENUE** 

Revenue is recognised to the extent that the risks and rewards of ownership have transferred to the buyer, it is probable that the economic benefits will flow to the Company, and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received, excluding discounts, returns, rebates, similar allowances and Value Added Tax. Turnover includes revenue earned from the sale of goods and the rendering of services. The following criteria must also be met before revenue is recognised: 

## **Rendering of services** 

Revenue from the provision of services is recognised in the period in which the services are provided, when the amount of the revenue, the stage of completion of services at the period end, and the total costs incurred to provide the services, can all be measured reliably. The stage of completion of a contract is measured by comparing the costs incurred for work performed to the date of recognition, to the total estimated contract costs.

## **1. ACCOUNTING POLICIES (continued)** 

## **1.5 TANGIBLE FIXED ASSETS** 

Tangible fixed assets are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by the Directors. 

Residual value represents the estimated amount which would currently be obtained from disposal of an asset, after deducting estimated costs of disposal. The residual values of fixed assets, their useful lives, and their depreciation rates are reviewed at each reporting date and where there is an indication of a significant change since the previous reporting date, they are adjusted prospectively. 

Repairs and maintenance are charged to the Statement of Income during the year in which they are incurred. 

Depreciation is charged so as to allocate the cost of assets less their estimated residual value over their estimated useful lives using the straight-line method on the following bases:

In accordance with FRS102, the Company’s freehold land and buildings are not depreciated. They have an unlimited life and do not suffer from physical deterioration or suffer from obsolescence. 

Gains and losses on disposal are determined by comparing the proceeds with the carrying amount. They are recognised in the Statement of Income in the year in which the disposal takes place. 

## **1.6 IMPAIRMENT OF ASSTS** 

Assets, other than those measured at fair value, are assessed for indicators of impairment at each reporting date. If there is objective evidence of impairment, an impairment loss is recognised in the Statement of Income in the year in which the impairment is incurred.

## **CASH AND CASH EQUIVALENTS** 

Cash is represented by cash on hand and in demand deposits. Cash equivalents are highly liquid investments that are readily convertible to known amounts of cash without significant risk of change in value. 

## **1.8 PROVISIONS** 

Provisions are made where an event has taken place that gives the Company a legal or constructive obligation that requires settlement by a transfer of economic benefit by the Company, and a reliable estimate of the amount of the obligation can be made. 

Provisions are charged as an expense in the Statement of Income in the year the Company confirms the obligation, and are measured at the best estimate at the Statement of Financial Position date of the expenditure required to settle the obligation, taking into account relevant risks and uncertainties. 

When payments are subsequently made, they are charged to the provision carried in the Statement of Financial Position and any subsequent balance after the provision has been fully settled is reflected in the Statement of Income that the payment was made.

## **10. COMPANY LIMITED BY GUARANTEE AND CONTROLLING PARTY** 

The Company has no share capital and is limited by guarantee. As confirmed in the Memorandum of Association of the Company, the liability of each Member in the event of a winding up of the Company is limited to £1. There is no overall controlling party of the Company.
