parishes of Ardington and Lo¢kinge in the County of Oxfordshirc, buildillgs and lands of beauty or
historic interesl aJ]d as regards lands of ecologic￿ or other scientific importance, and generally to protect
and preserve th¢ character, aspect and amenilies ofthe rural environment and, so far as n¢¢e8%ary for the
atlainm¢nt ofthe foregoing. to promote, assist (by finan¢ial contribution or otherwise) or oppos¢
proposals for the use or development of such buildings or lands.
The -Irust¢¢s, having regard to the Publie Benefit guidance publish¢d by the Charity Commission in
accordance with $￿tIOn 17 of th¢ Chariti¢s ALt 2011, consider that the putyose and activities of the
oharity satisfy the requirements ofthe public bcnefit tsst s¢t out in section 4 of the same Act.
ORGANISATION
The Company and the property and affairs thereof are under the control and management of th¢ CoutEcil
of Management in acc(>rd}￿ce with thc Memordnduin and Articles of Association.

When a need for a new 'frusiee is identified. the existing Trust¢¢s will revicw thc eligibility criteria for
Trustees, agre¢ what skills, experieTKe and knowlcdge are needed and ag￿ a process for recruittnent.
The Trustees will a￿￿¢ the best m¢thod tor &ttracting candidates and interview th¢ candidat¢s equitably
against the &greed criteria.
The prcferred Candidate will be idcntified and invtted to join the Trustees. subject to ret¢rences, fornial
vetting and ic pproval of thc Trustee board. The p¢rson nominat¢d for appointment as Truste¢ will be
required to sign a declwatioii of his ur eligibility to acl as & Trustee in a forni acceptable to the
'rrustc¢s.
The vetting will encompass disqualification check4 conflicts of interesLg and if appropriate. Criminal
Rw()rds Bliredu ¢hecks.
Appropriate infomiation will b¢ made available to the potetttial Trustees at either the interview stage or
the nomination stage about Trustee Duties and Rcspon8ibilities, the Charity including its Obj¢¢tivcs: its
Accounts, th¢ Trust Deeds and the existing TnEStees.
A newly appointed Trustee will be offered and given appropriate induction and training.

with applicable law and regulations. Thc Directors, Rep()rt is contained within ihe Trustees, Report
required by company law.
Company law requires the direetors to prcpare the financi81 statements for each financial year. Under that
law ilie directors havc cleeted to prepare the financial statcments in aLLordanLe with United Kingdom
Generally Accept¢d Accounting Practice (Uniled Ktngdom Accounting Standards and applicable
law). Under company law the direclors must nol approve the financial statements unlcss they are satisfied
that th¢y give a true and fair view of ihe state of affairs of the Company and of the profit or105s of the
Company for that ￿ll0d. In pr¢pwing these financial statements, the dir¢ciors are required to:

Compani(% Act 2006. Tliey are also responsible for safeguarding the assets of the Company and hence

REVtF.W OF THE YEAR
During the year the following projects and activitles were fund¢d by the Company..
l. Lo d Lindsa
Rooms - the Company has continued its 5UPWrt for activities at the l.oyd Lindsay
Rooms. whiLh are ￿ed for the benLfit of charities. individuals and various organisations from within
the local communily. The Company has funded th¢ dclicil of the Loyd Lindsdy Rootns, operations
from its own resources, as set out in Note 3 to Ihe Financial Staletnents. In th¢ year under rcview ihis
included the Company spendin¥ £2,242 (2024 - £2,453) on the rcfurbishmeni of the Rooms.
During the year, capital expenditure of £52,032 was incurred in resp¢¢t of a new heating system.
2. Villa
e Past and Present - the Company provided funding of £6,284 {2024 - £6.029) for ihc
enlian¢¢ment of thc archive cvllection. part of which is permanently displayed within tlie Loyd
Lindsay Rooms and És also the subjLtit of an annual. two-day piiblic exhibition. The archivists now
operate out of largLr premise.q, the cost of which is borne by th¢ Company.
3. Other- ￿an15 were awarded for graveyard maintenance of £180 (2024- £180) and Spurts club £2,500
(2024 - £ nil)- In the prior ycar, funds for a new noticeboard al Ardingion was provided of £4,890.

RISK
The Trustees have reviewed the major risks to which the charity is exposed, and procedures have been
established to Initigate those risks.
FINANCIAL POSITION
l-he Company incurred cxtxnditure (Jf £38.652 (2024 - £42,006) including payments of £19,420 (2024-
£20,878) for the benefit of local amenities in furtherance of the objectives as slated above. Thcre no
revaluation of the Loyd Lindsay Rooms in the year {2024- no uplift). The activities resultcd in a net
surplus of £61,363 for thc year (2024- deficit £8,957).
SERVES POLICY
It is not the Trustees, policy to maintain reserves of income as aIl expenditure of the ¢harity is met by
annual donations income.
DIVIDENDS
The Company's Articles of Association prohibit the payment of a dividend.
SPECIAL PROVISION
This rcport is prepared in accordance with the special provisions of Part 15 ofthe Companies Aci 2006

r¢sponsible for the preparation of th¢ accounts in accord￿¢¢ with the requirements of the Companies Act
2006 ('Ihe 2006 Act'l. You are satisfied that 2n audit is not required forthis year under charity or company
Idw and thal an independent examination is needed.
Having satisfied myself that the account5 of the Company are not required to be audited under Part 16 of
the 2006 Act and are eligible for Inde￿ndent examination, I report in rcspcct of my examination of your
charity's aLcoullts as carried out under section 145 of the Charitics Act 2011 ('th¢ 2011 Act,). In Larying
out my examination I have followed the Directions givcn by The Clwity Comtnission under section
145(5)(b) of the 201 l Act.
An independent examination does not involve gathering all the evid¢nce that would be required in an audit

accounts. The planning and conduct of an audit goes beyond the limited assurance thai an independent
