BENEFIT
To preserve and protect for the benefit of the public generally and especially the inhabitants of the
parishes of Ardington and Lackinge in the County of Oxfordshire, buildings and lands ofbcauty or
historic interest and as regards lands of ecological ur other scientifi¢ itnportance, and generally to protcct
and preservc the character. aspect and amenities of the rura] enviti)nmcnt and, so far as necessary for the
attainment of the foregToing, lo promote, assisl (by financial contributÈon or otherwise) or oppose
propo$￿S tor the use or developtnent of such buildings or lands.
The Trustees, having regard to the Public Benefit guidance published by the Charity Commission in
accordance with se(tion 17 of the Charities Act 2011, eonsider that the purpose and activities of the
charily satisfy the ￿qUirementS of the publi¢ benefit test set out in section 4 of the same A¢i.
ORGANISATION
The Company and the propety and atyairs th¢r¢of are under the control and management of the Council
of Management in accordance with the Memotandum aJ)d Articles of Association.
The day-to-day management is ¢arried out by AdkiR, Chartered Surveyors at a fee agreed by the parties.
SELF,CTION AND APPOINTMENT
TRUSTEE
When a need for a ncw Trustee is idcntified, the existing Trust¢¢5 will review the eligibility criteria for
Trustees. agree what skills, experience and knowledg)e are needed and agree a process for recruitment.
The Trustees will agree the best method for attracting candidates and interyiew the candidates equitably
against the agrecd criieria.
The pr¢ferred candidate will be identified and invited to join the Trustees, subject to r¢ferences. formaI
vetting and approval of ihe Trustee board. 'I'he person nominuted for appoint￿ent as Truslce will be
required to sign a de¢laralion of his or her eligibility to act as a Trustee in a forn) acceptable to the
Trustees.
The v¢tting will enlompass disqualification checks, conflicts of interests and if appropriate, Criminal
Records Burcau check.8.
Appropriate inforniation will be made available to the pofrniial Trustees at ¢ither the interview stage or
the n()mination stage about'l rustee Duties and Responsibilities, the ch￿lty including its Objertives. its
Accounts, th¢ Trust Deeds and the exiyting Trustees.
A newly appointed Trustee will be offered and given appropriate induction and training.

IBILITIES
The director% are responsible for preparingthe Directors, Report and the financial statements in accordance
with applicable law <￿d regulaiions. The t)irectors' Report is contained within the Truslees, Report as
required by company law.
Company law requires the directors to ptEpare the financial statements for each financial year. Under that
law the directors have elected to prepare the financial Statements in aecordan¢e with Unilcd Kingdom
Generally Accepted Accounting Praaice (Unit¢d Kingdom ALcounting Standards and applicable
law). Under company law the dir¢¢lors must not approve ihe fillancia] statemcnts unless they are S&Ltlsfied
that they give a tru¢ and fair view of the stste of affairs of the Company and of the profil or loss of-the
Compdny for that period. In preparing thesc financi￿ statements, the direclors are required io..
sele¢t suitable uccounting policies and then apply them consistently-
make judgments and accounting estimates that are reasonable and prudent- and
prepare th¢ financidl statemenis on the going ¢oncern b&8is unless it is inappropriate to presume that
the Company will continue in business.
The directors are responsible for keeping adequate a￿Ounting records that arc sufficient to show and
explain the Company's transactions and disclose with reasonable ac¢uracy at any time the financial
position of the Company and enable thLTlI to ensure thal the financial statements comply with th¢
Companies A¢t 2006. They are also responsible for safeguarding the assets of the Company and hence
for taking reasonable steps for the preventivn and delection of fraud and other irregularitie8.
REVIE
OF THE YEAR
During the year the following projects and activities were funded by the Company:
l. Lo
d Lindsa
Rooms - the Company has continued its support for activities at the Loyd Lindsay
Rooms, which arc used for ihe benefit of charities, individuals and various organisati(Ins from within
the local communily. The Company has funded the deficit of Ihe Loyd Lindsay Rooms, operations
frvm its own resources, as set out in Note 3 10 the Financial Statementq. In the year under r¢view this
includ¢d the Company spending £2,453 (2023 - £3,527) on the r¢furbishm¢nt of the Rooms.
2. Villa
e Past and Present - the Company provided ￿ndIllg of £6,029 (2023 £6,660) tor the
enhancement of tlie archive collection. part of whiLh is Dernitnently di8pl*yed within the l.oyd
Lindsay Rooms and is also the subject of an annuaI. two-day public exhibition. The arcFLiViSts now
operate out of larger pr¢mi5es, the Lost of which is borne by the Company.
3. Other- grants were awarded for graveyard tnakntenance of £180 (2023 - £1180), a new noticeboard at
Ardington £4:890 (2023 - £nil) and s￿rts club £nil (2023 - £4,000).

RISK
The Trustees have reviewed the major risks to which the chartty 1$ ex]x)sed, and proc¢dures have been
established to mitigate thos¢ risks.
NCIAI. POSITION
The Coinpany incurred expenditure of £42,006 (2023 - £56,160) includingF £20.878 (2023 £34.579) for
the benefit of local amenities in furtherance of the obje¢lives as stat¢d above. Thcre was no revaluation
of the Loyd Lindsay Rooms in the year (2023 - nil)- The activitie8 resulied in a net deficit of £8,957 for
the year (2023- surplus £5,851).
RESERVF.S POLICY
It is not the Trustees, TX)licy to maintain reseryes of in¢ome as all expenditure of the charity is met by
annual donations income.
DIVIDENDS
The Company's Articles of Association wohibit the payment of a dividend.
PECIAL PROVISIONS
This report is prepared in accordance with th¢ special provisions of Part 15 of the Companies Act 2006
relating t() small companies.
FU'fuRE DEVELOPMENTS
A8 further donations are received and funds become available, the Council of Management intends to
¢onlinue with the Company's activities within its charitable objectives.

As the charity trnstees of the Company (and also its dire¢tors for the purposes of company law) you are
respvnsible for the preparation of the a¢counls in accordance with the requirements of the Companie8 Act
2006 ('the 2(J)6 Act,). You are satisfied that an audit is not required forthis year under charity or company
law and that an independent examination is needed.
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of
the 2006 Act and are ¢ligible for independent examination, I rerA)rt in respect of my examination of your
charity's accounts as carried out under section 145 of th¢ Charities Act 2011 {'the 2011 A¢l'). Ln canying
oul niy examination I have followed the Directions given by I'he C'harity Conunission under section
145(5)(b) of the 2011 Act.
An independent examination does not involve gathering all tli¢ evidence that would be required in an audit
and consequently does not cover all the matters than an auditor considers in giving ih¢ir opinion on the
