The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 November 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The principal activity of the charity in the year under review was the promotion of dance, physical training and education for persons of all ages, whether able or with disabilities, to help them to develop their physical, mental and spiritual capacity so they may realise their full potential as individuals and members of society and that their condition of life may be improved through the system of training evolved by Margaret Morris and known as "Margaret Morris Movement" ("MMM") and" Movement Therapy" ("MMM MT"). 

## **Charitable objects** 

The objects of the charity are: 

- To relieve mentally or physically handicapped or infirm persons by movement therapy according to the systems evolved by Margaret Morris and known as "Margaret Morris Movement". 

- To conduct research into the relief of such persons by "Margaret Morris Movement" and to publish the useful results of such research. 

In setting the objectives and planning the activities, the trustees have given serious consideration to the Charity Commission's general guidance on public benefit and, in particular, the advancement of health and well-being.

## **OBJECTIVES AND ACTIVITIES** 

## **Trustees' induction** 

The Directors have continued to meet virtually, meaning geography is not a barrier to attending meetings. The Directors have always been keen to appoint new Directors from across the MMMI family, and invitations to join the Board are made via the magazine, newsletters, and the AGM itself. Two “Dialogue with the Directors” sessions for members held in March (online) and August (at Summer School). 

At the 2025 AGM they welcomed Nicole Michaud, MMM Canada, to the Board. She brings a wealth of knowledge and experience in strategy and with her dancing roots in MMMI she will be invaluable as the Charity navigates strategy and succession planning. 

## **Organisational structure** 

Throughout 2024-25 Directors met at regular intervals via Zoom to review and direct the administration and development of the charity. 

The appointment of a book-keeping service has continued to lift the pressures of financial administration as well as the continual review and streamlining of accounting procedures and banking. 

## **Review of activities and achievements** 

Following the acquisition of the International Association of MMM Limited's business in 2015, the charity has been responsible for organising and running the MMM courses and training and developing its teachers. 

## **Succession and Board Development** 

With eyes on broadening the skills of the Board and planning for the future, board members took part in a training session run by the Sport Governance Academy (SGA) with funding from their Board Development Fund. 

## **Digital transformation and the website** 

The new website went live with increased functionality, and the Directors continue with their work with the legacy projects: the updating and digitisation of the music and the recording of the dances and syllabus work. The administrator undertook an inventory of MMM Archives which was relocated from Shrewsbury to new storage in Exeter, for easy access for the new Summer School administrator. The Annual Magazine (distributed December 2025) was collated, edited and signed off.

## **OBJECTIVES AND ACTIVITIES** 

## **Courses** 

The annual Summer School at Chichester University is where the MMM Family and community can be seen in greatest clarity, as teachers and dancers from across the MMM family gather for education, professional development, training and dance. The new Summer School Administrator, Gemma Wills, successfully organised 2025 Summer School for the first time, and the Directors thank her for her work and commitment to making this annual event a success. 

## **Teacher Training** 

In 2024 a group of Teachers led by Jan Houselander were invited to review the examination marking system. In 2025 the working group provided recommendations to the board and implementation began at Summer School 2025, to be rolled out for full implementation during 2026. 

The Directors continue to support teacher training via scholarships: four scholarships (for teacher training) were awarded for attendance at Summer School 2025. In addition, one bursary to support attendance at Summer School was awarded. 

## **Movement Therapy** 

In 2025 Tracy Levy was asked to steer a working group looking at Movement Therapy, a syllabus that has not been taught for 10 years. A small working group began to review the previous syllabi and is developing a new text that is anchored in Margaret Morris’s principles but relevant and mapped to today’s requirements. 

## **Let’s Dance 2025** 

There was a celebratory online class for Let’s Dance 2025, a nationwide initiative led by Angela Rippon, with a few additional teachers offering a day or a free class. 

A separate initiative to offer some financial support to UK teachers for starting a new class in 2025 was unfortunately not taken up. 

Online classes were offered throughout the year to reach those who might not otherwise be able to access a class. 

## **Trademarks** 

The trademark registration has now been completed. Abel + Imray (patent and trademark attorneys) continue to monitor trademark registrations for possible infringements.

## **FINANCIAL REVIEW Financial position** 

Total income increased from £71,540 in the prior year to £81,664 in the current year, primarily a reflection of increased legacy donations during the financial period. 

Total expenditure for the year has decreased to £132,119 compared to £155,833 in 2024. The previous year reflected costs incurred in website development which was completed last year. 

The charity has made a surplus of £2,534 compared to last year’s deficit of £10,832. These results include a gain in investments during the year of £52,989 (2024: £73,461), without which, the accounts would show a deficit of £50,455 (2024: £84,293), a reflection of the increased income levels and lower expenditure incurred. 

## **Investment policy and objectives** 

In accordance with the Articles of Association, the Directors have the power to invest monies not for immediate use as they see fit. The Directors have invested in a Wrap Investment Portfolio provided by Aegon on advice received from Wren Sterling. 

## **Reserves policy** 

At the 30th November 2025 the free reserves of the charity, calculated as unrestricted reserves less designated funds and fixed assets, were £31,093 (2024: £75,140). 

The Trustees are in the process of reviewing their reserves policy but are comfortable that the current levels cover the previous year's expenditure.

## **FUTURE PLANS** 

## **Governance, Training and Professional Development** 

Following the input from the one-day SGA course, the directors are refining their strategic abilities and are planning an “away day” at which they will work towards creating a new strategic plan. Streamlining regular meetings via structured agendas will help the Directors identify and prioritise operational and strategic work. 

## **Website and digital transformation** 

Due to the diligence and hard work of Rosie Benson and the small working group, including valuable input from the Membership Secretary, Gail Borrows, the new website will be launched in 2025. It will have the ability to provide digital versions of the MMM music and recordings of dances and exercises. Increased administrative and membership functionality will ease the administrative burden of membership renewals. The MMM Magazine will continue to be printed and distributed. 

## **Exam marking scheme** 

Following the successful pilot, review and evaluation of the new marking scheme, it is anticipated that it will be fully operational in 2026. 

## **Teacher training and updates** 

Revised marking scheme for teacher training examinations will be implemented during 2026. 

## **Movement Therapy** 

The review/development will continue through 2026.

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company with amended articles of association adopted on 12 April 2021, limited by guarantee, as defined by the Companies Act 2006.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 November 2025. 

The members have not required the company to obtain an audit of its financial statements for the year ended 30 November 2025 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value, as modified by the revaluation of certain assets. 

## **Financial reporting standard 102 - reduced disclosure exemptions** 

The charitable company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by FRS 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland': 

- the requirements of Section 7 Statement of Cash Flows; 

- the requirement of paragraph 3.17(d); 

- the requirements of paragraphs 11.42, 11.44, 11.45, 11.47, 11.48(a)(iii), 11.48(a)(iv), 11.48(b) and 11.48(c); 

- the requirements of paragraphs 12.26, 12.27, 12.29(a), 12.29(b) and 12.29A; 

- the requirement of paragraph 33.7. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Intangible assets** 

The patents and licences held are included in the accounts at cost and are amortised over their expected useful economic life of 5 years. 

## **Heritage assets** 

The charity's collection of books signed by Margaret Morris is reported in the Statement of Financial Position at cost. This is then depreciated on a straight line basis over their useful economic life of 10 years, 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

## **Fund accounting** 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate. 

## **Investments** 

Assets held for investment purposes are valued at market value at the balance sheet date. Net gains and losses arising on revaluation and disposals during the year are included in the statement of financial activities. 

## **Cash at bank and in hand** 

Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **Financial instruments** 

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.

## **Designated Funds** 

The Jim Hastie Memorial fund was created after his death as members wanted to make donations in his memory. 

In November 2024, the charity started the process of switching investment portfolios. The closure of the existing portfolio took place in November 2024 and funds were transferred into the main bank account awaiting the set-up of the new portfolio. The set up of the new portfolio completed in January 2025 and funds were transferred.

## **Restricted Funds** 

The MMM Scholarship fund was received in November 2015 and is to be used for teacher training. 

The Magenta fund was received in 2011 and was specifically donated to be spent on costs to produce a film of the Magenta exercises. 

The West Midlands fund was set up in 2017 for the benefit of West Midlands members. 

The Movement Therapy fund - a fund solely for the purpose of Movement Therapy, to bring this part of Margaret Morris' work up to date, produce a new book, newly played music and other associated documents. 

Southwest fund - Following the closure of the South West bank account this fund is for the use of MMM participants in the South West and can be used for workshops, rental space, examination costs and bursaries in that area. 

## **17. EMPLOYEE BENEFIT OBLIGATIONS** 

The charitable company operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the charitable company in an independently administered fund. The pension cost charge represents contributions payable by the charitable company to the fund and amounted to £431 (2024: £431). Contributions totalling £84 (2024: £91 overpaid) were payable to the fund at the balance sheet date. 

## **18. RELATED PARTY DISCLOSURES** 

During the year, Trustees made payments to the charity including Membership Fees, Insurance, Summer School and donations totalling £5,852 (2024: £5,837) 

During the year, payments of £130 (2024: £Nil) were made to Trustees in respect of online teaching courses held during the year.
