strong attachmeni relationship5 With their children. lu additio￿ the board has agr￿ to explore a new focus on
supporting ChildTen in care (LAC) and to remove psycho-ethication, for the time bein& a% a lljain strand. While these

- Following intense, time consumin& ￿egOtiatiOnS the ￿the1]ng and Sales Strategy was fin&lis¢d ond the fujal trgnche
of land, Area 3 - Elvington tane, was placed on the open market on 7th May 2024. A buyer was agreed upon following
four offets, subsequent intenriews and negotiations of the'Heads of Terms,, which were fmally a￿d on 16th DecembeT
2024. The sale is currently proceeding with completion date of no later than I Ith January 2026.

In light of the broad objects ihe lrnstees felt that the focus of the clwitys c￿￿ent level of donations would be best used
thi'ollgh tsrgeting more specific arets thought to be most beneficial in 5UPPOrting the ￿ental health and wellbeing of
hildren and young people (CYP). However. these goal areaslstrands are fluid and can be cxtended. added to or changed
as ihe trustees see fit. There is also the capacity to 5UPPOrt one-off donations so long tbe origitth] objects of the ch￿.ity
are met. The strands originally id¢ntified were:

A fourth fO¢￿S area was agreed at the end of the f￿￿Cial year 2023r2024' to S￿pOrt deaf children and young people.
This is due to the v¢ry high prevalence of mental healt14 in the (kAf Wulatio￿ 30-60'/4 which is caused through
isolation, communication problems and eaTly attachment issues. Additionalty, Niwl Thomas has pmfessional exixrtise

donation was given to Buddy ba￿. A new strand focusing on LAC wnd YP will be fithher develO￿d when increased
fundll)g is available.
While the charity ha8 supported tbe Psycho-ethJcAtion Strat￿ through diffemt ￿ljeCts it was felt that the focus of the
d￿rIty'S work. foT th¢ tiTn¢ bein& would trKst meet the mental heaIth needs of CYP througlL the other focu5 strands.

The charity donated £80,860 in total during the fllmncial year 2024-2025. Fullds for donation are received quarterly

Strand- Creative arts
Thi$ is a ¢hurch Charity that works with disadvantaged dllldren in one of th¢ vnost (kprived are&s in Nottingkn. Two
separate donations proYid&l support for an after school creative club and a summer school respectively. The youth
worker team $￿PportS the mental health and wellbetng for local CYPS b￿h through the ￿tiVItieS but also through
building supportive relationships with the CYPS and their fymilies. During the yw £20,0(M) was grant¢d ¢0 this Charity.

This charity supports the deyelopment of oral lawage aDd COrnrnUDication of very young deaf children through
supporting. guiding and educating parents to atlune to their deaf child's ne￿ provide casing, etLcouraging relationships
in linguistically rich, play based environments. Thereby SLrpportiDg the developrnent of p(>sitive attachtnent i"elationships
between parents and their deaf child througb comrnunication and play. tkning the year £15.000 was granted to this
charity.
- London Youtb Rowing
Strand- use of the outdoors
During the COUTse of the year Nicol Thomas had received inforniation atrf)ut from all orgdnisation 'London Youth
Rowng, which proyides rowing progrnnmes for disadvantaged YPS to 'iThprove their physical, 50¢i21, Tnentsl
well-being,. Thi5 15 ¢oD$id¢red a good fit for the strand of using the (Mttdoors and ￿ysical activity to prornote mental
health Bnd well-being. Nicol Thomas made initial contact and. following completion of the 4)plication fomi, a donation
was made which provided ind(bor and on water rowing courses for groups of disadvantsged CYP and the purchase of
two rowing machine5 to 511PPOrt these courses. DuTing the year £4.260 was ￿anted to this organisation.
- Deaf AetioD
Strand- Use of the outdoors and support of D¢arcYp
Ikaf Action is n]n by Deaf people for Deaf people of all ages. Their youth sectioa wovides a mother and toddler group,
a youth club and su]nmer school amongst other activities. Following an inittal contact with a youth leader it was agTe¢d
that Blueberry would donate lo support the yearty summer outward tM)und trip. During the year £5,000 was grdntd to
SUPPOrt the trip.
- Buddy Bags
Str¥nd- Support for LAC
Following Emma Boyce's suggestion regatding a new strand to support CYPS in w¢ (LAC) with On inTtial fw5t step to
donate to a charity that provides suitcases for CYPS moving withirj cAr¢ or leaving ca]r. given that CYP'S vital p￿SOnal
possessions are often mislaid during the move leading to additional distress often, highly traun￿tiC cirallnStanc¢5.
Though the trustees were unable to find a tharity that provided suitcase5 Buddy Bags were identified as a good fit.
providing a backpack for CYP tK)th for personal iKJ&se&8ions and additionaL age appr(Trprial¢, pr&￿ical and wmfort

This charity provides a lifeline io CYP who are experiencitig suicidal thoughts. Their telephone eall centre provides
professional supwjrt athd help to CYP5 who are in extrem¢ distress. Bluebery pr¢viously dojjated to this charity
and Nicol Thomas received a communication to say there was a high possibility thi5 Vital Help line would have to
shut dowi (lue io lack of ￿ttds and the decision w&s made to provide a doDatioii. Durin8 the yeat £5,000 w&% gtanted to
this charity.

The BarrY¢tt and Cooke portfolio end of year valuations coincided with a highly unfortunate set ol fiscal events created
by the actions of current American Presidency. 'Likration daY occurred on the 2nd April 2025 with stock ]nark¢t$
going into freefall. The quarterty valuation of Blueberry's shar¢ portfolio was dated 5th April 2025 was therefore
disappointing with a loss 0£ appr(Trxirnat¢ly. £120,000 from the January valuation. It is ho￿ tbal in the short iernj, a
level of sanity will prevail at the source of such global ecollofflic uncertainty atMI cha05 and the aiarity's investment

Histori¢ally this Charity was set up in 1979 to pmvide an Outward B0￿d Cthtre for disadvantaged children. tand and
the officerfs mess (part of the Hawkinge Airfield) was purchased to provide this facility. The Centre rnn suc¢essfiJlly for
a fei¥ years howcver finallcially it became untenable. The Charity Commi%sion agreed that Hawkinge Activity aiid
Adventure Centre (HAAC,. as the charity wos known hisioTically) would bewme a dispensing charity. The village of
lJawkinge wa5 being developed at that stage so with planning perniission for h(Ktsing the land could provide valuable
funds for the Charity. The land w&% divided into 3 ttanches and Area l aud 2 were sold. All debts ivere ￿paid and,
following the sale of Arca 2. the charity was left with a si￿lf1¢ant b)ost to fillmjs which w¢re invested to Provide a
TegJlar illcome to dispense grat]ts to support the mental health and wellbeing of cbilthen and young people.

- Promotion agreement witb Dea￿ tkWi5 Estates
Bluebery Wellbeing Ltd (HAAC) h&$ an ongoing promotion weemcnt with De8n tthvis Eststes cfhe Promotor) to
obiain Satisfactory Pla]]ning PernJi5sion for Area 3 which was stg)ed oll 18th M8rch 2018. Once pla]]ning pemhission is
obtained the land is be sold tg provide fi￿ther grant making funds for the charity. The pro￿$ for obtaining planning
permission was commenced around January 2021. nearty 3 ye•ars after the promotiort a￿eement was signed. The
application submitted 23rd December 2021. The delay meant the lapse Date and Extended Lapse Date pa￿ed. The
Lapse of the Prtsrnotion Agreement M&￿t that the charity could have ended its relationship with the PromotOT (Dean
Lewis Estates) and the Land Agent (Hobbs Pther), bowevcr it decided that the sale of the land and the possible
ongoing need to maintain the plat￿1￿8 perniission on Area 3 would be facilitated througb colltinuillg to use the agents
who had been involved for 7 years. H¢nc¢ a se￿1￿,D￿d of Vaiation, was agreed with D¢an iwi5 Estates and signed
on 28th March 2024.
The second Deed of Variation exprwly states that shou]d a sh(Nlld a sa]¢ ￿)1 completed by 5th Febnwy 2028 The
Promotion Agreement, with Dean L¢wi5 Estate5 will lapse.
The second D¢¢d of Variation, also lays out a higbly streamlined 'Sales MatketiDg Proces5, which th¢ Trustees
negotiated to prevent prospective purchasers renegiD8 on their initial comrntttneiits whieh could be detrimenta] for the
clwity. The Deed was llegotiated with th¢ advice from the tharitys solicitors: Tee5 Law.
- Update marketlng and Mle ofArea 3, Eh￿l￿gton 14ne. Hawking
The Charity land at ElvIn￿On Road, Hawkinge cowiw 12.9 A¢rts. Part of the ]and is to be donated to The
Hawkingc Battle of Britain Museum (KBOBM). as part of the Grant of Planning Pennission agreemenl ￿qth Folke$tone
d Hythe Planning Council, for expaJLsion (2.69 Acres). Part of the land h&8 a covenomt which restricts its usage to
social and recreational purposts. This area will PTovide outdoor wreational space {2.2 Acres) and an overfiow carpark
for the KBOBM (1.2 Acres). The development land extends to 8 Acres and has PlarLning Pern)ission for 110 houses.
A prospective PEtrchaser has been cbosell and llegotiatioll5 have been cotDpleted oll agreeing the'Heads of Tenns, for the
sale. In light of the tmStee5 pr¢vious ¢wri¢n¢¢5 selling development la]Ki they have been strlligent in their
requirements of the buyer; setting strict titne IitLes for Colljpletlo￿ sitlluLtalleous exd￿nge and completion for the total
amoutht offered with no staggered payrnBnts, the purchaser to buy the whole pi¢¢e of land, Do negotiatlOD the original
off¢T price. and a legal undertaking to pay the charity's legal and CtrLarity cOn￿lS510n Sl19 valuation report costs should
they faiI to complete within the tijne frame, fail to pay the fi￿1 asking price or withdraw from the sale for any other
reason. All legal negotiations have been undertaken with advice from the Charitys solicitors. Tees Law.
Both the Solicitors and agent have been itL8lructed to provide all updates as the sale proceeds. The completion date is on
or before I lth January 2026.
The negotiations have been difficulL stressfjJl and very time consuming lo enable the best i)utcome for Blueberry
Wellbeing Ltd to continue to suppor¢ and to hugely incre8s¢, the work I￿111g corried out to achieve positive mental
health tsut¢o]nes for children and young people.

Board Composition
CutTently the board is well balan¢¢d with skilled practitioner5 experienced in n￿nts1 h¢altl4 Deafn¢s% psychoth¢rdPy,
educatioll, accounting. finance& commercial real &8late, organisational sttucture. comtnunication, HR. business and
charity govemanee. The llokeup of the board will be tevisited in the next fujancial yw to ensure its skill set meets tthy
new cha]lenge5 and to ensure required twstee ttunover.
Consideration of best timings ofboard meetings
Following a further di5CU53ion regarding board meetings ID fvture yews it was ag￿ed that the best time lo hold the AGM
would be in MaylJune, rather than April. This would enable enough lime for the final E4nd of Year aceoiints and
Trnstee's end of year report to be ¢ornpiled and sent to the Charitys accountants Mccabe ford Williains and for thern to
undertake the Independent ￿￿#￿i￿atIon of the accounts after the end of the finaDcial year so that a comprehensive
picture of f￿anceS and charity a¢tiviti¢s of the previou5 year could be reviewed and furtkr inform the work of the
charity for the current financial year at the AGM. There will then be an Extraordtnary General Meeting held in
Ikcemb¢r to review progre5S OE] the ChariW5 Ivotk in the curreut finallcial )rar and to plan for t]1¢ final quart¢r of the
year.
