## **TRUSTEES' REPORT** _**FOR THE YEAR ENDED 6 AUGUST 2024**_ 

The Trustees present their report and accounts for the year ended 6 August 2024. 

These accounts have been prepared in accordance with the Charity's governing document, the Charities (Accounts and Reports) Regulations 2008 and the Charities Act 2011. 

## **Structure, governance and management** 

The Charity was established by a charitable trust deed dated 12 March 1934. 

The Trustees who served during the year and up to the date of approval of the financial statements were: Mr J S Monk

Trustees are recruited and appointed in accordance with the Charity's governing document. Trustees are appointed by the Parochial Church Council of the Parish of St. John the Evangelist, Blackheath, by the Officers of the 2nd West Kent (Blackheath) Company of the Boys Brigade, and by the Committee of the Blackheath Old Boys Brigade Association. The Incumbent of the Parish of St. John the Evangelist, Blackheath, will be a Trustee for as long as they hold that office. In selecting individuals for appointment as trustees, regard is given to the skills, knowledge and experience needed for the effective administration of the charity. 

The charity is governed by the Trustees who have control of the charity and its property and funds. 

The charity has an induction process for new trustees. 

## Trustees are not remunerated. 

A CIO has been set up to replace this charity St John's (Blackheath) War Memorial Association (UK registered charity number 1184802). The Trustees are currently trying to transfer the assets between the charities but have met some obstacles. 

The trustees are working with the Charity Commission and legal advisors to organise the transfer of assets to the CIO. This was not completed in 2019 and then the global coronavirus pandemic delayed the process further. The Trustees look forward to the process being completed in the near future. 

## Risk management: 

The trustees have reviewed all the major risks including operational and business risks, which the charity might face and confirm that they have established systems to mitigate those that are significant. The adequacy of the reserves policy is reviewed annually. 

## **Objectives and activities** 

The Charity's objects are establishing and maintaining premises as a memorial to the men of the parish of St. John the Evangelist, Blackheath, who gave their lives in the great war for the use and benefit of any society or organisation attached to the said parish and approved by the parochial council of the said parish having for its object the development of true Christian manhood. 

The Trustees have complied with the duty in section 17 of the Charities Act 2011 to have due regard to public benefit guidance published by the Charity Commission. When planning the activities for the period the Trustees have considered the Charity Commission guidance on public benefit.

## **Achievements and performance** 

The Trustees have continued working on improving the premises and facilities, which has led to a higher standard being offered to the charity's beneficiaries.  In addition, efforts have been focused on the transfer of land and assets to the new CIO, referred to above. 

## **Financial review** 

The Trustees are pleased with the financial performance during the year. 

The income generated by the Charity and how it has been applied are shown on the Income and Expenditure Account for the year. 

The principal activity for generating income during the year was rental income, which continues to raise necessary funds for expenditure on charitable activities. The charity also received income from a scrappage scheme during the year under review. 

Expenditure for the year under review and during the preceding year primarily relates to the maintenance and upkeep of the premises for the benefit of its users and a wider community. Support costs are wholly attributable to this activity. 

Total funds carried forward amounted to £45,370 (2023: £38,394). All funds during the year and at the reporting date are unrestricted funds.

## **INDEPENDENT EXAMINER'S REPORT** 

## **TO THE TRUSTEES OF ST JOHN'S (BLACKHEATH) WAR MEMORIAL ASSOCIATION** 

I report on the accounts of the Charity for the year ended 6 August 2024, which are set out on pages 4 to 7. 

## **Respective responsibilities of Trustees and examiner** 

The charity's Trustees are responsible for the preparation of the accounts. The charity's Trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

## It is my responsibility to: 

- (i) examine the accounts under section 145 of the 2011 Act; 

- (ii) to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act; and 

- (iii) to state whether particular matters have come to my attention. 

## **Basis of independent examiner's report** 

My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. 

## **Independent examiner's statement** 

In connection with my examination, no matter has come to my attention: 

- (a) which gives me reasonable cause to believe that in any material respect the requirements: 

   - (i) to keep accounting records in accordance with section 130 of the 2011 Act; and 

   - (ii) to prepare accounts which accord with the accounting records and comply with the accounting requirements of the 2011 Act; 

   - have not been met; or 

- (b) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
