Nature of govemlng document
The Society is a charitable company limit8J by guarantee, incorporated on 1 Ma￿h 1978 and
registered as a charity on 17 May 1978. The company Was established under a Memorandum of
AssrKialion which established the objects and Fxjwers of the charitable company and is govemed
under its Article5 of Association, as amended by SFecial Resolutions dated 3 July 1992 and 11
September 2008. In the event of the company being wound up tbe liability of members is limitsd to
£2.00.
The full name of the Society is Bridgwater Agricultu￿ Society Limilgy. The Society takes advantage
of the ability to ex¢lude the vnrd 'Limiled' as provided by the Companies Act 2006.

The trustees have considered the maj¢x risks to %•thich the Swiety 15 exposed.
They have identified that the principal risks faced by Society are that the investment portfolio as a
whole 15 subject to market risk, whereby the value is dependent on prevailing economic cortditions,
and also that the individual sh8￿hOlding$ are subject lo the specific risk ol, say. business OFerations.
These risks are managed by havin9 a diversified portfolio thich is composed of equity shareholdings
and fixed interest ￿ldIng8, whlch are subject to different market risks.

The objectives of the Society are contained in the Memorandum of Association and include the

The Society, which is a public benefit entity. is able to advan￿ sums of money as grants in order to
meet its objectives. The Stsciety makes it known wthin the local rural community that funds are
available for grants within a 15 mile radius of Bridwdter.
As a result of the promotion that has been undertaken in the past the Society re￿IVeS enquiries which
result in grant aid belng made'avalja￿e when the trustees decide that the specific request meets its
objectives. Each enquiry is ctsnsidered on its relative merits and not all applications are successful.
The Trustees of the S*xiety take account ol the guidance from the Charity Commission on public
benefit and believe that their method of promolion meet5 this guidance.
There has been no change to the method of promotion duriTrJ the year under review.
Publlc benefit
The purpose of the charity is to provide grant in¢ome lo support and promote the l(Kal rural
community. The society has paid out over £1,000,000 lo date lo worthy causes. Further detail is
provided in the achievements and perforfflan￿ Section.
The trustees confim that they have Complied with the requiremeftts of section 17 of the Charities Act
2011 to have due regard to the public benefit guidance published by the Charity Commission for
England and Wales. They have referred to this guidance when reviewing the society's aims and
objectives and in future planning.

Assets and liabilities are initially recojnised at historical cost or transaction value unless olhewse

Bridwdter Agricultural Society Limilej meets the definition of a qualifying entity under FRS 102 and
has therefore taken advantage of the disclosu￿ exemptions available lo it in respect of its separate

Exemptions have been taken in relation to financial instruments, presentation of a cash fl
statement, intra-group Iransaclion5 and remuneraliDn of key management personnel..
Incomg and endowments
All income is recognised On￿ the charity has entitlement lo the income, it is probable that the income
11 be receiv&1 and the amount of the income receivable can be measured reliabty.
Donatlons and leg8cles
Donations are recognised ￿en the charity has been notified in WTiting of both the amount and
settlement dale. In the event that a donatlDn is subject to conditions that require a level of
Erformance by the charity tefore the charity is entitled lo the funds, the income is deferred and not
recognis&J until either those conditions are fully me( or IIE fulfilment of those conditions is wholly
thin the control of the charity and it is probable that the* conditions wll be fulfilled in the reportiry
period.
Investm•nt income
Dividend5 are recognised once the divideTrJ has been declared and notificat1￿ has been receiv8J of
the dividend due.
Expenditure
All expenditure is recognised once there is a legal or constructive obligation to that expenditure. it is
probable Settlement is required and the amount can be measured reliably. All costs are allocated to
the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot
te directly attributed to particular headings they have been allocated on a basis consistent with the
use of resources, with eenlral staff costs allocated on the basis of time spent. and depreciation
charges allocated on the portion of the asset's use. Other gupwrt costs are allocated based on the
spread of staff costs.
Raising funds
These are costs incurred in attracting voluntay income, the management of investments and those
incurred in trading activities that raise funds.

Charitable expenditure comprises those costs incurred by the charity in the ddivay of its activities
and servitts for its beneficiaries. 11 includes both costs that can ke allocated directly to such activities
and those costs of an indiretl n*ure ne￿SSary to support them.

Provisions for grants are made when the intention to make a grant has b*n wmmunicated lo the
recipient but there is uncertainty about either the timiro of the grant or the amount of grant payable.

Support costs
Support costs include central functions and have been allocated lo activity cost categories on a basis
consistent with the use of resources, for example, allocating property costs by floor aieas. or per
capita. staff costs by the time spent and other costs by their usage.
Governance costs
These include the costs attributable lo the charity's Complian￿ with constitulional and statutory
requirements. including audit. strategic management and trustees meetings and reimbursed
expenses.
Taxation
The charity is consdered to pass the tests set out in Paragraph 1 Schedule 6 of the Finan¢e Act 2010
and therefore it meets the definition of a charitable company for UK corporation lax purposes.
Accordirsgly, the ¢harity is potentially exempt from taxation in respect of income or. capital gains
received within categories covered by Chapter 3 Part 11 of the Corporatior) Tax Act 2010 or Section
256 of the Taxation of Chargeable Gains Act 1992. to the extent that such income or gains are
applied exclusivdy to charitable purpose5.
