TRUSTEES. REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025
The Trustees present their annual report together with the financial statements for the year 1 January 2025 to
31 December 2025. The Trustees confirm that the Annual Report and financial statements of the company
comply with the current statutory requirements, the requirements of the company's governing document and
the provisions of the Statement of Recommended Practice (SORP), applicable to charities preparing their
accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
(FRS 102) (effective 1 January 2019).
Since the company qualifies as small under section 383, the strategic report required of medium and large
companies under The Companies Act 2006 (Strategic Report and Director's Report) Regulations 2013 is not
required.
Objectives and Activities
. POLICIES AND OBJECTIVES
In setting objectives and planning for activities, the Trustees have given due consideration to general guidance
published by the charity commission relating to public benefit and in particular to its supplementary public
benefit guidance as to deciding what activities the trust should undertake.
b. ACTIVITIES FOR ACHIEVING OBJECTIVES
The Trust is principally engaged in preserving, improving and encouraging the appreciation of the architectural
and natural heritage in the counties of East and West Sussex.
c. ACHIEVEMENTS AND PERFORMANCE - CHAIRMAN'S REPORT
Sussex Heritage Trust is a registered charity established in 1977 to preserve, improve and encourage the
appreciation of the architectural and natural landscape of Sussex. We do this by:
Recognising and celebrating high quality conservation, restoration and new build projects in Sussex
Taking a strategic interest in Sussex building and landscape conservation issues
Highlighting, surveying, and reporting on Buildings at Risk
Working with government agencies, local authorities, and community groups on heritage projects
Offering relevant educational opportunities for young people based in Sussex
The year 2025 was one of both challenge and transformation for the Sussex Heritage Trust. Financially and
operationally, the year was shaped by two defining factors: tragedy and transition.
During the first half of the year, a valued member of the Trust team experienced a deeply personal loss. This
tragedy was keenly felt throughout the organisation and inevitably impacted operational capacity during an
already demanding period. In the lead up to the Annual Awards, the team worked under increased pressure
and the Trust incurred additional costs to ensure that delivery and standards were maintained whilst
colleagues continued their work through difficult circumstances. The resilience and professionalism shown by
the team throughout this period was exceptional

2025 also marked a period of significant organisational transition. We said farewell, with enormous gratitude, to
our outgoing Chief Executive Helen Reeve, whose contribution to the Trust has been immense, and welcomed
Claire Robinson into the role as the organisation enters an exciting new phase.
Trustees will recognise that these upheavals have had an effect on our finances. Firstly, as noted above, in
order to ensure the smooth running of the Awards we had to expend a considerable sum on overtime by our
erstwhile CEO to maintain the momentum. We considered that the reputation of the trust and the Awards
programme was of the greatest importance and that these additional costs were therefore justifiable.
This was followed by the cost of recruiting a new CEO, and I would like to recognise the assistance of both
James Whitmore and Nick Jones in participating in this process.
We also had to say goodbye to our administration assistant Genea Pretorius due to long-term sickness. In the
short time that she was with the Trust she was instrumental in digitising many of our systems and increasing
our efficiency.
It followed that we also had to spend further sums on the recruitment process.
In consequence of these exceptional circumstances we have had to dip into our reserves and this is identified
within the financial report.
Notably, the Trust secured a transformational three-year grant from the National Lottery Heritage Fund. This
support has enabled the charity to evolve its previous pilot heritage construction skills and bursary programme
into a focused initiative aimed at encouraging 16-25 year old construction students to consider careers in
heritage skills and conservation
retirement.
an area facing growing shortages as experienced craftspeople approach
Through Heritage Skills Taster Days, young people are introduced to a range of traditional skills before being
offered the opportunity to progress into short courses and work placements where aptitude and enthusiasm are
shown. This important work has been made possible through the support of the National Lottery Heritage Fund
and match funders, alongside key partners including the South Downs National Park Authority, Chichester
College Group and the Sussex Community Foundation.
The Sussex Heritage Awards also continued to grow in strength, attracting a record number of applications and
welcoming almost 400 guests to the Awards Lunch at the Amex Stadium to celebrate excellence in
craftsmanship, conservation and design across Sussex.
Further positive change came with the appointment of Sarah Nute as the Trust's first Education Officer, a role
created through the new funding programme and one which significantly strengthens the Trust's educational
capacity and future ambitions.
As the year drew to a close, Trustees and staff worked together to shape a new five-year strategy focused on
education, training, partnership development and more enterprising, sustainable income generation aligned
with the Trust's charitable objectives.
Whilst 2025 presented financial and operational pressures, it also laid the foundations for a highly positive
future. The Trust enters 2026 with renewed optimism, stronger partnerships, growing educational impact and
increasing recognition of the vital role it plays in protecting Sussex's built and landscape heritage for
generations to come.

Financial review
. REVIEW OF ACTIVITIES
There was a loss this year of £27,509 (2024 - loss £17,556).
b. INVESTMENT POLICY AND PERFORMANCE
The charity holds no investments except as described as Legacy Assets in note 1.17.
c. GOING CONCERN
After making appropriate enquiries, the trustees have a reasonable expectation that the company has adequate resources
to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern
basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found
in the Accounting Policies.
d. RESERVES POLICY
It is the policy of the trust that it should maintain unrestricted funds that have not been designated for a specific purpose at a
level equivalent to six months of expenditure, taking into consideration the trust's two-year activity cycle. The Trustees
consider that reserves of this level will ensure that in the event of a significant drop in funding they will be able to continue
the Trust's current activities whilst consideration is given to ways in which activity can be continued and additional funds
may be raised. The Trustees consider the present level and reserves to be adequate in this respect.
Structure, governance and management
. CONSTITUTION
The company is registered as a charitable company limited by guarantee and was constituted by a Trust Deed on 23
September 1977 and is a registered charity (number 274366).
The principal object of the company is to preserve, improve and encourage the appreciation of the architectural and natural
heritage in the counties of East and West Sussex.
b. METHOD OF APPOINTMENT OR ELECTION OF TRUSTEES
The management of the company is the responsibility of the Trustees who are elected and co-opted under the
terms of the Articles of Association to meet the needs of the Trust.
c. ORGANISATIONAL STRUCTURE AND DECISION MAKING
The charity is a company limited by guarantee. The Trust considers the Charity Governance Code for smaller charities and
the principles and recommended practice it sets out.

d. RISK MANAGEMENT
The Trustees have assessed the major risks to which the company is exposed, in particular those related to the operations
and finances of the company and are satisfied that systems and procedures are in place to mitigate our exposure to the
major risks.
FUTURE DEVELOPMENTS
The charity has sufficient resources for the foreseeable future and development plans continue. The expansion of our
apprentice and endangered crafts stheme will continue to be developed through new partnerships with local like-minded
organisations. We are exploring encouraging environmental considerations and improvements through our planned work.
FUNDS HELD AS CUSTODIAN
There are no funds held as custodian.
MEMBERS. LIABILITY
The Members of the company guarantee to contribute an amount not exceeding £10 to the assets of the charity in the event
of winding up

The Trustees consider that the company is entitled to exemption from the requirement to have an audit under
the provisions of section 477 of the Companies Act 2006 ("the Act") and members have not required the
company to obtain an audit for the year in question in accordance with section 476 of the Act.
The Trustees acknowledge their responsibilities for complying with the requirements of the Companies Act

ACCOUNTING POLICIES
1.1 Basls of preparation of financial statements
The financial statements have been prepared in accordance with Accounting and Reporting by
Charities: Statement of Recommended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
(FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), the Financial Reporting
Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
In the application of the company's accounting policies, the Trustees are required to make
judgements, estimates and assumptions about the carrying amount of assets and liabilities that are
not readily apparent from other sources. The estimates and associated assumptions are based on
historical experience and other factors that are considered to be relevant. Actual results may differ
from these estimates.
Sussex Heritage Trust Limited meets the definition of a public benefit entity under FRS 102. Assets
and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in
the relevant accounting policy.
1.2 Company status
The company is a company limited by guarantee. The members of the company are the Trustees
named on page 1. In the event of the company being wound up, the liability in respect of the
guarantee is limited to £10 per member of the company.
1.3 Fund accountlng
General funds are unrestricted funds which are available for use at the discretion of the Trustees in
furtherance of the general objectives of the company and which have not been designated for other
purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by
donors or which have been raised by the company for particular purposes. The costs of raising and
administering such funds are charged against the specific fund. The aim and use of each restricted
fund are set out in the notes to the financial statements.
Investment income, gains and losses are allocated to the appropriate fund.
1.4 Income
All income is recognised once the company has entitlement to the income, it is probable that the
income will be received, and the amount of income receivable can be measured reliably.
For legacies, entitlement is taken as the earlier of the date on which either: the company is aware
that probate has been granted, the estate has been finalised and notification has been made by the
executor(s) to the Trust that a distribution will be made, or when a distribution is received from the
estate. Receipt of a legacy, in whole or in part, is only considered probable when the amount can
be measured reliably, and the company has been notified of the executor's intention to make a
distribution. Where legacies have been notified to the company, or the company is aware of the
granting of probate, and the criteria for income recognition have not been met, then the legacy is
treated as a contingent asset and disclosed if material.

1.4 Income (continued)
Donated services or facilities are recognised when the company has control over the item, any
conditions associated with the donated item have been met, the receipt of economic benefit from
the use of the company of the item is probable and that economic benefit can be measured reliably.
In accordance with the Charities SORP (FRS 102), the general volunteer time of the Friends is not
recognised and refer to the Trustees, report for more information about their contribution.
On receipt, donated professional services and donated facilities are recognised on the basis of the
value of the gift to the company which is the amount the company would have been willing to pay to
obtain services or facilities of equivalent economic benefit on the open market; a corresponding
amount is then recognised in expenditure in the period of receipt.
Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is
recognised at the time of the donation.
Income tax recoverable in relation to investment income is recognised at the time the investment
income is receivable.
Other income is recognised in the period in which it is receivable and to the extent the goods have
been provided or on completion of the service.
1.5 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic
benefit to a third party, it is probable that a transfer of economic benefits will be required in
settlement and the amount of the obligation can be measured reliably. Expenditure is classified by
activity. The costs of each activity are made up of the total of direct costs and shared costs,
including support costs involved in undertaking each activity. Direct costs attributable to a single
activity are allocated directly to that activity. Shared costs which contribute to more than one activity
and support costs which are not attributable to a single activity are apportioned between those
activities on a basis consistent with the use of resources. Central staff costs are allocated on the
basis of time spent, and depreciation charges allocated on the portion of the asset's use.
Fundraising costs are those incurred in seeking voluntary contributions and do not include the costs
of disseminating information in support of the charitable activities. Support costs are those costs
incurred directly in support of expenditure on the objects of the charity and include any project
management costs of the head office.
Costs of generating funds are costs incurred in attracting voluntary income, and those incurred in
trading activities that raise funds.
Charitable activities and Governance costs are costs incurred on the company's educational
operations, including support costs and costs relating to the governance of the company
apportioned to charitable activities.

1.6 Interest receivable
Interest on funds held on deposit is included when receivable and the amount can be measured
reliably by the company; this is normally upon notification of the interest paid or payable by the
Bank.
1.7 Depreclatlon
Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value,
over the useful economic life of that asset as follow:

1.8 Debtors and other assets
Trade and other debtors are recognised at the settlement amount after any trade discount offered.
Prepayments are valued at the amount prepaid net of any trade discounts due.
The other asset represents a bequest of a painting received by the charity and which has been
valued by the trustees at estimated auction value less costs, which will occur when conditions allow.
1.9 Cash at bank and in hand
Cash at bank and in hand includes cash and short term highly liquid investments with a short
maturity of three months or less from the date of acquisition or opening of the deposit or similar
account.
1.10 Llabilities and provlslons
Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past
event, it is probable that a transfer of economic benefit will be required in settlement, and the
amount of the settlement can be estimated reliably. Liabilities are recognised at the amount that the
company anticipates it will pay to settle the debt or the amount it has received as advanced
payments for the goods or services it must provide. Provisions are measured at the best estimate of
the amounts required to settle the obligation.
1.11 Financial instruments
The company only has financial assets and financial liabilities of a kind that qualify as basic financial
instruments.
Basic financial instruments are initially recognised at transaction value and
subsequently measured at their settlement value.

Donations are accounted for when received.

Membership income is accounted for when received.

Rental income is accounted for when received.

1.15 Taxation
The company is a registered charity and is therefore exempt from liability to taxation on its income.
1.16 Allocation of costs
Administrative support costs are allocated to governance and the cost of generating funds in
proportion to the amount of time spent on each activity. Other costs are allocated based on the
activity to which they relate.
1.17 Legacy assets
The Trust is the freeholder of the Tollhouse at Ashcombe (Title ESX258773). The property is not
included in the balance sheet of the Trust as it has no original cost and conventional valuation
approaches lack sufficient reliability.
The Trust has a freehold reversionary interest in 11111a Market Street Lewes on a 999-year lease
from 1 April 1979. The trust has a freehold interest in a fraction of land at 1551156 The Street,
Clapham, Worthing (Title WSX2070851WSX198163) The Trust has the benefit of a restrictive
covenant on 10 Clifton Hill, Brighton (Title ESX58747).
1.18 Grants
Grants are included when notified and matched to the costs against which they relate.
1.19 Donated items
The Trust holds a collection of artworks donated by a local Sussex artist, which has no original cost
and conventional valuation approaches lack sufficient reliability. The trustees are still considering a
methodology to ascertain a valuation as Covid prevented a satisfactory disposal of the collection.

Expenditure on charitable activities was £202,471 (2024 - £172,389) of which £194,162 was unrestricted
(2024 - £140,056) and £48,446 was restricted (2024- £32,333).
ANALYSIS OF GOVERNANCE AND SUPPORT COSTS
The trust initially identifies the costs of its support functions. It then identifies those costs which relate to
the governance function. Having identified its governance costs, the remaining support costs together
with the governance costs are apportioned between three key charitable activities (see note 5) in the
year. Refer to the table below for the basis for apportionment and the analysis of support and
governance costs.

INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF SUSSEX HERITAGE TRUST LIMITED (the
'company')
I report to the charity Trustees on my examination of the account8 of the company for the year ended 31
December 2025.
RESPONSIBILITIES AND BASIS OF REPORT
As the Trustees of the company (and its directors for the purposes of company law) you are responsible for the
preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act,),
Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the
2006 Act and are eligible for independent examination, I report in respect of my examination of the company's
accounts carried out under section 145 of the Charities Act 2011 ('the 2011 Act,). In carrying out my
examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the
2011 Act.
INDEPENDENT EXAMINER'S STATEMENT
I have completed my examination. I can confirm that no matters have come to my attention In connection with
the examination giving me cause to believe..
accounting records were not kept in respect of the company as required by section 386 of the 2006 Act..
or
the accounts do not accord with those record8,' or
the account8 do not comply with the accounting requirement8 of section 396 of the 2006 Act other than
any requirement that the accounts give a 'true and fair, view which is not a matter considered as part of
an independent examination: or
the accounts have not been prepared in accordance with the methods and principles of the Statement of
Recommended Practice for accounting and reporting by charities [applicable to charities preparing their
accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of
Ireland (FRS 102)].
I have no concern8 and have come across no other matters in connection with the examlnation to which
attention should be drawn in this report in other to enable a proper understanding of the accounts to be
reached.
