SHARED CHURCHES IPETERBOROUGHI LIMITED Report of the Members of the Councll For the year ended 31 December 2024 The Members of the Council have pleasure in presenting their report and the financial statements for the year ended 31 December 2024. The Members of the Council have adopted the provisions of the Slalemenl of Recommended Practice ISORPI 'Accounling and Reporting by Charities" IFRS 1021 in preparing the annual report and financial slalemenls of the charity. The financial slalemenls have been prepared in accordance with the accounting policies sel out in notes lo the accounts and Comply with the Charity's governing document, the Charities Act 2011 and Accounting and Reporting by Charities.. Sialemenl of Recommended Practice applicable lo charities preparing their accounts in accordance with the Financial Reporling Standard applicable in the UK and Republic of Ireland published in October 2019. STRUCTURE GOVERNANCE AND MANAGEMENT Shared Churches (Peterboroughl Limited is a company limited by Guarantèe, company registration number 01240449 and registered with the Charity Commission, charity registration nurnber 271026. The company is governed by the provisions contained within the Memorandum and Articles of Association. These were changed during 2009 through the Company passing a Written Resolution in a¢cordanGe with the Companies Act 2006. The registered office of the Company is.. The Diocesan Office The Palace Pelerborough PE1 1Y8 The Sharing of Church Buildings Act 1969 makes provision for the making of sharing agreements between linter alia} the Church of England and the Roman Catholic Church for Ihe sharing by them of Church buildings. A sharing agreement was made on 20 April 1978 betrween the Pelerborough Diocesan Board of Finance, the Incumbent of Brelton Ecclesiastical Parish, the Northampton Roman Catholic Trustee and Shared Churches {Pelerboroughl Limited. The changes in the Memorandum and Articles in 2009 were made as a result of the withdrawal of the Roman Catholic congregation in 2008. Currently the church buildings are only being used by 8 Church of England congregation though this could change in the future. OBJECTIVES AND ACTIVITIES The Trustees have considered the guidelines issued by the Charity Commission on public benefit and are of the opinion that the erileria are being mel within the objeolives and a¢livilies of the charity. The objective of the company is to promote and develop such of the work of any church, union of churches, denomination or secl recognised by or affiliated lo the British Council of Churches, now known as Churches Together in England, andlor the World Council of Churches as shall further the Christian religion. The company has been 8dminislering a shared church on behalf of the Anglican DI0Se of Pelerborough and the Roman Catholic Diocese of East Anglia in the Cressel Cenlre, Pelerborough. In 2008 the Roman Catholic congregation withdrew from the church and currently il is only used by a Church of England congregation. The Church building is leased on a 999 year lease from 1978.

The Members of the Council are aware that the charity is dependent upon donaled income and in view of this feel that expenditure has lo be carefully monitored lo ensure conlinuily of operations. The reserves of the charity at 31 December 2024 were £68,046 and this is considered sufficient by the Members of the Council. ACHIEVEMENTS AND PERFORMANCE The rèsults for the year are shown in the Sialemenl of Financial Activities on page 5. The Member5 of the Council of the charity are satisfied the charity's objects have been achieved and are satisfied with ils progress. The Members of the Council expect no significant change in the nature and level of the activities of the company in the foreseeable future. New Members of the Council are soleeled in order lo gain benefit from their skills and experience, lo complement the existing Members of the Council, and lo provide succession. COUNCIL MEMBERS, INTERESTS IN SHARES The company is limited by guarantee and, as such, has no share oapilal. Members of Council may derive no benefit or income from or have any capital interest in the company's financial affairs. TAXATION STATU The company is a registered charity and, as such. is not liable lo Corporalion Tax.
SHARED CHURCHES IPETERBOROUGHI LIMITED Report of the Member5 of the Council For the year ended 31 December 2024 RESPONSIBILITIES OF THE MEMBERS OF THE COUNCIL The member5 of the council (who are also the directors for the purposes of Company lawl are responsible for preparing the report of the members of the council and the financial statements in accordance with the applicable law and United Kingdom Accounting Standards (Uniled Kingdo Generally Accepted Accounting Praclicel. Company law requires the members of the council to prepare financial slalemenls for each financial year. Under company law the members of the Council musl not approve the financial slalemenls unless they are satisfied that they give a true and fair view of the slate of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial slalemèn15, the members of the council are required lo.. select suitable accounting policies and Ihen apply them consislenlly., observe the methods and principles in the Charities SORP 2019 IFRS 1021., make judgements and eslimales that are reasonable and prudent,. prepare the financial slalemenls on a going concern basis unless il is inappropriale lo presume Ihal the company will continue in operation. The members of the council are responsible lor keeping adequate accounting records that disclose with reasonable accuracy al any lime the financial position of the charitable comp8ny and enable them lo ensure that the financial 51alemenls comply with the Companies Act 2006. They are also responsible for safeguarding the assets of Ihe charitable company and hence for iaking reasonable steps for the prevention and detection of fraud and other irregularities. The financial statements have been prepared in accordan with Accounting and Reporting by Charities.. Statement of Recommended Practice applicable lo charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019. the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland {FRS 1021, the Charities Act 2011, the Companies Act 2006 and UK Generally Accepted Practi. The charity does not include a cash flow slat8ment on the grounds that it is applying FRS 102 Section 1 A. The f5nancial statements are prepared on a going concern basis under the historical cost convention. The financial statements are presented in sterling which is the functional urrency of the charity. The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied lo all years presented unless otherwise slated. Income Inoome is accounted for an accruals basis. Fixed assets Fixtures, fittings and office equipment - expenditure is wrillen off in the year in which it is incurred. Depreciation - no depreciation is provided on the leasehold property on the grounds that it would be immaterial. COUNCIL MEMBERS.
