Constitution
The grant making charity was constycuted by the late Alan Wyndham Green {"the settlor") by a settlement dated 21 March
1974. The trustees are requlred to pay or apply the incorne of the trust fund tnd ar any time or tlmes 10 pay or apply the
whole or any part of che capital of the trust fund to or for such chariuble objects or purp05e5 as the settlor diretted.
Since his death on 6 February 1996. the trustees have absolute discretion 2$ to the applic3tion of the trusc fund for
eharitable obleets or purposes. In a letter of intent dated 17 January 1991 the setdor directed the trustees, after his death.
to transfer to The Godinton House Preservation Trust {registered Charity no. 10)22781 such amounts of capiol or
income at such times as the Iruscees thlnk fit at cheSr dlscretlon.
Organisational structure and declslofi maklng
The trustees are named on page l. Appointment of trustees 15 governed by che trust deed of the charity. The board of
trustees is authorised to appoint new trustees to fill Vacancies arising through resignation or death of existing trustees.

Grant-making policies
The charity 15 a privately funded grant-making charity. It issues no appeals for funding. While the trustees have discretion
as to the application of its income or capital, for charitable objects or purposes generally, it alway$ the intention that
the charity would help provide long-term endowment for its associated charity, The Godinton House Preservation Trust

objects and purpose5 generally. the trustees do so after considering whether the proposed grant meets the test of
providing public benefit in accordance wlth the guidance Issued by the Charity Commisslon. In conjunttson with Godinton
the trustees are keen to promote and 5UPPOrt education31 and training projects on the Godinton estate.

Achievements and performance
Review of actlvltles, future plans and financial review
The charity made a surplus of £672,656 for the year after realised pins of £11,872 and unrealised gains of £719,81 O on
investment property and assets. As ac 31 Oecober 2025 the charlty had unresrricred fund5 of £8,104,666.
The charity has continued to make annual and one off donations for charitable purposes a5 set out in the accounts (note
5)- The trustees received applications for grants and those appli¢ati¢>ns that mei the grant makn.ng policy of the charity
were considered at the biannual meetings of the trustees and granc5 have been awarded a5 shown. It is expected that the
charity will continue to operate in th15 rnanner In the forthcoming year.
Investment policy and perfomiance
The trustees have delegated the management of investments to Waverton Investment Management (Wavertonl at Its
discretion which Is exercised in the best interests of the charity.

term, to be aehieved by a combination of capital growth and incorne. via a prudent and balanced exposure to the best

The portfolio may be invested, con$istent with the objettive. in a diversified selection of equities. fixed inierest stock5,
bond5. funds and cash with overall medium risk.
{iv) Review
Waverton provides reports on the porrfolio at least half yearly. incorporating indicators of its performance as measured
periodically in relation to the agreed benchmarks. The primary benchmark is the FtSEIAPCIMS Incorne Index.
The trustees review periodically11} the investment objertive. as stated above. in relation to the needs of the charSty and
(21 the arrangements under which Waverton acts as their investment manager.
The trustee5 are satisfied with the performance of the inYe5tment portFolio in the perlod under revlew.
• Res¢tvès policy and gosng concern
As the charity Is grant-maknng and has Tro long terni obligations {all its grants being discretionary, year by year) the
trustees have concluded that there is no ideal level of reserves. However, rf the charity's income in any year exceeds its
expenditure for that year the exce5S 15 carried forward towards future expenditure. the trustee5' policy being to match
income and expenditure over time. In the opinion of the trustees the charity has sufficent liquid assets to meet any
reasonably forseeable liability that may arise in a period of12 months from the date of the approval of these aecounts.

L l Basis of preparation of financial statements
The financial statements have been prepared in accordance with the Charities SORP {FRS 102} - Accounting
and Reporting by Charities.. Statement of Recomrnended Practice applicable to charities preparing thelr
accounts in accordance wich the Financial Reporting Standard 2pplicable ID the UK and Republic of Ireland
{FRS 1021 (effective l January 2019). the Financi21 Reporting Standard applicable in the UK and Republic of
Ire￿nd {FRS 1021 and the Charities Act 2011.
The Godinton Charir2ble Trust meets the defini￿On of a public benefit entity under FRS 102. Assets and
liabilities are initi211y recognised at hiswrlcal cost or transaction value unless Otherwise stated in the relevant
accounting poliey.
The financlal statements are PreP￿d in pounds sterling {0 and Ire rounded to the nwesr £1.
2.2 Going concern
In the opinion of the trustees there are no material uncertainties about the abiliw of the charity to continue
as a going concern.
2.3 Income
All income is recognised once the charity entitlement to the income. it is probable that the income will be
received and the amount of income receivable can be measured reliably.
2.4 Expendltute
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a
third party. it is probable rhat a transfer of economic benefit will be required in settlement and the amount of
the obligation can be measured reliably.
Expenditure on rar5ing funds includes all expenditvre incurred by the charity to rnise funds for its charirable
purposes.
Expenditure on charltable ietSvities is incurred on direcdy undertaking th¢ activities Ythi¢h further the
charity's objectives, as well as any a5SOCiited support cosu.
Grants payable are charged in the year when the offer is made except in those cases where the offer is
condttional. such grants being recognised as expenditure when the conditTons attaching are fulfilled. Grants
offered subject to conditions which have not been met at the year end are noted as a commitment, but not
atcrued as expenditure.
All expenditure is inclusive of irrecoverable VAT.

2.5 Investments
Fixed asset investments are a form of financial instrument and are initially recognised at their cnnsaction cost
and subsequently measured ai fair value at the balance sheet dace. unle55 the value cannot be measured
reliably in whieh case It is measured at C05t less impairment. Investment gains and losse5. whether realised or
unreali5ed. are combined and presented as 'gainsl{losses) on investments, in the statement of financial
actlvities.
2.6 Flnancial instruments
The charity only has financrdl a55ets and financial liabilities of a kind that qualify as basic financial instruments.
Basic financial instruments are initially recognised at transaction value and subsequently measured at their
settlement value with the exception of bank 102ns which are subsequently measured at amorti$ed c05t using
the effective interest method.
2.7 Fund accounting
General funds are unrestricted fund5 which are available for use at the discretion of the trustees in
furthennce of the general objectives of the charity and which have not been designated for other purposes.
Investment income. gains and losses are allocited to the appropriate fund.
