Structure, Governance and Management
The Bedford Theatre Trust Limited was incorporated on 8 1974. as a ccvnpany
limited by guarantee no.1166013. not havirvj a share caplal and being a registered charity
in England and Wales no. 267522. The govemry I0￿ment ofthe charrty is the
Memorandum and Articles of Association.
The Tntst 1$ run lolalty by the Board members 1p41￿ are all volunteers. TPO Trustees
continue to maintain overall contrd of the activhtie$ of the TWSL
Objectivu and A¢livilltg
Unfortunately. due to the decline in health of both remawwng Trustees. and de5￿te
attempts to find addrtiM* aft￿or replacement trustees. the Trustees have decTrded that
over half a ￿ntury of activity benefitting the people of Bedford atml the surrounding area.
there is no alternative lo cease the activit￿$ of the Twst. They have decided that al
a¢tiviUes wll cease on 31 March 2026 and that steps wll be taken to remove the company
from the Register of Companies ar￿ the Register of charib.es as soon as possible
thereafter.
Over the past six m¢)nths or so. steps were tsken to *Jentrfy potential benefioaries of the
remaining fund$ available grants wthich were successfvl and all fvnds have now been
disbursed by way of grants to organisations m ￿"ne 7Mth the objectives ofthe Tntst.
The princlpal activlty and the obpctsve of the thariiable compaw up to the tin￿ of
distribution of all funds continued to be the promotion. improvement and advancement of
production of educab.onal plays and encouragement of the arts through the provision of
grants and serVi￿S to the local artistic communty.
The Charity has address•d publ1¢ benefit purposes including:
Promoting theatrical projects in an enwronment which encourages amateLY arlsts to
dwelop-
. Offerfng opporlunrtie8 for a broad r￿ge of F*ople from different background$ to get
involved in the arts.
In carrying out these obiectsves the Truslees have crynplied wilh the duty in Section 4 of
the Charities Acl 2011 lo have due regard to the Charity Commission's publishe(I general
and relevant sub sector guidance con￿mIng the operation ol the Public Benefft
requirement under the Act arKI n partscular to supptemertsry public berrfrt guidance
on fee charging.
Financial Review & R•s•rv• Policy
During this year the general reserves showed no movement {2025: £489 irKrease) and
general reserves now stand at a £012025.. £22.728 surplus).

Statement of Trustees. Responslbllitles
The Trustees are responsible for preparing the Trustees, Report and financial statements in
a¢¢ordance with applicable law and ￿Ul8th)n$.
Company law requires the Trustees to prepare financial statements for each financial year. Under
that law the Trustees have elected to prepare the financki15tatements in accordance with United
Kingdom Generally Accepted Accounting PractKe (Unrted Kingdom kcounting Standards and
applicable law). Under ¢ompany law the Tnjstees must not approve the financial statements unless
they are satisfied that they gNe a true and fair view of the stale of affairs of the charity and of the
profil or loss of the charity for that period. In preparing these financial statements. the Trustees are
required to..
• select suilable accounting policies and then apply them consistenliy.,
• make judgements and estimates that are"reasonable and pwdent:
• stsle whether applicable accounting standards have l)een followed. subject to any material
departures disck)sed and explained in the financial $tstements',
prepare the financial statements on a going concern basis unless it is inappropriate to presume
that the charitable company will conts'nue in business.
The Tru$lee$ a￿ fe$p)n$1b￿ for keeping adequate accounting records that are sufficient to show
and explain the charity'5 transa¢tions and disclose with reasonable ae¢uracy al any time the
financial position of the ¢hanty and enable them to ensure that the financial statements comply with
the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and
hence for taking reasonable steps for the p￿Vention and detection of traud and other irregularities.
