## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **CONSTITUTION** 

The policy and general management of the affairs of the Association is directed by a council of members, normally referred to as ‘The Committee’. Members of the committee are elected from within the membership of the Association, with the option to co-opt further members as and when required. 

In addition, title of the real property is vested in Holding Trustees who are appointed by the Committee. The Holding Trustees enter into a deed of trust which sets out the purpose and conditions under which they hold the said property in trust for the Association. 

## **RISK MANAGEMENT** 

The Trustees have assessed the major risks to which the Association is exposed, in particular those related to its operations and finances and are satisfied that systems are in place to mitigate exposure to the major risks. 

## **OBJECTIVES AND ACTIVITIES** 

## **OBJECTS OF THE ASSOCIATION** 

i) To promote the benefit of the inhabitants of the Weston Mill area of the City of Plymouth and the neighbourhood without distinction of sex, political, religious or other opinions by associating the local authorities, voluntary organisations and inhabitants in a common effort to advance education and to provide facilities in the interests of social welfare for recreation and leisure-time occupation with the object of improving the conditions of life for the said inhabitants. 

ii) To establish or to secure the establishment of a community centre, and to maintain and manage, or to co-operate with any local statutory authority in the maintenance and management of, such a centre for activities promoted by the association and its constituent bodies in furtherance of the above objects.

## **OBJECTIVES AND ACTIVITIES** _**(continued)**_ 

## **COMMUNITY ACTIVITIES KICK BOXING** 

Four sessions a week are run for the above. They cater for ages from 8 upwards. All sessions are well attended and are run by Fully Qualified Instructors who have been cleared by the CRB. Grading is carried out twice a year on a Sunday morning. 

## **SPORTS GROUNDS** 

All the pitches at Weston Mill are cut, marked and maintained by the Association. 

## **SALSA DANCING** 

Sessions held in the Main Hall every Wednesday evening, 7.30 pm – 11.00 pm. Beginners and upwards. 

## **LINE DANCING** 

Held in Lower Hall every Monday evening, 7.30 pm – 11.00 pm. 

## **M/PIRE DANCE** 

A Dance group for 4 to 14 year olds held every Monday between 3.30 and 7.00 pm 

## **SENIOR FOOTBALL** 

Signal Box Oak Villa now has 3 senior teams all based at Weston Mill. 2 male teams participate within the Plymouth & West Devon Football League with teams competing on each of Saturday and Sunday. A ladies team competes within the Devon Women's League on Sundays and all of our senior teams provide a player pathway from youth into adult football. 

## **JUNIOR FOOTBALL** 

Signal Box Frankfort oversees all youth football on the site with teams competing within the Devon Junior & Minor League under the names of either SB Frankfort or Signal Box. With 17 different teams encompassing both boys and girls aged between 6 and 18 years of age, over 250 players represent the Club and on most Saturday mornings the fields are a hive of activity with players, parents and supporters. 

## **RUGBY** 

Old Technicians continue their much valued and long standing service to the Association and will soon pass their own 40 year milestone as a club. The team competes within the Tribute Devon One League.

## **PHOENIX TABLE TENNIS** 

Twice a week up to 30 people meet to brush up on their Table Tennis skills. 

## **COMPANION CLUB** 

The companion club is run on a weekly basis for the over 50’s. A variety of activities are carried out including darts, carpet bowls and putting. The club also arrange outside visits and parties. This is an extremely important part of the association and is well attended. 

## **OVER 50’s CLUB** 

Once a fortnight, an over 50's club hold both games and social activities. (Group has left WMOV during the past Financial Year).

## **ACHIEVEMENTS AND PERFORMANCE** 

## **WMOV SOCIAL CLUB** 

The Social Club were continued to be afforded a "Rent" Holiday during the 2020/21 Financial Year, so as to continue to assist the Social Club whilst it sought to get back up and running once the Restrictions were relaxed. The Association received further Covid-19 Support Grants including a Restart Grant, which proved pivotal to the Association in terms of being able to safely re-open the Building at Ferndale Road, as during the various lockdowns it became self apparent that without significant investment the building would have to remain closed on a permanent basis. 

Significant investment has been made to the Water and Heating installations with Boilers that were unsafe removed and replaced with more energy efficient and compliant alternatives. The Building Security systems were replaced and/or improved and shower and toilet facilities within the Changing rooms also upgraded. 

With the news that the volunteers of the "Ladies" Committee had decided not to return to their previous kitchen work having used the various lockdowns as a period of reflection, a decision to "rent out" the kitchen to an external provider was taken and for the first 12 months it was agreed that again financial support to the Social Club would be extended through this income source. 

Furthermore, the bookings for all non-community events, i.e. Social Functions and Parties that were to be held within the Main Function Hall, were also passed across to the Social Club, so that the income generated via this source and costings for event hire and management fell upon the Social Club whilst yielding another income source for them. 

The arrangement continues to be that the Association's ability to assist with the Social Club's finances will be reviewed on a regular basis and that with periodic increases over the short to medium term, i.e. 1-3 years, then in the future the rent will be increased back up to the previously agreed amount of £625 per month. 

In summary, during the past financial year and going forwards, the desire of the Association Committee is to focus upon the Sports and Community Association's activities and responsibilities whilst allowing the Social Club to prosper in its own right thus restoring the appropriate working relationship and balance between the two organisations.

## **FINANCIAL REVIEW** 

£39,268 was received by the charity, during the period, £29,500 of this was from government grant funding and £9,768 from charitable activities. This allowed much overdue repairs and maintenance to be carried out as described previously. Even after accounting for this expenditure, there was a net surplus of funds of £11,462 for the period after charging £740 for depreciation. 

## **RESERVES** 

The Trustees believe that the current level of reserves is appropriate in order to safeguard the Association’s financial position for the foreseeable future.

I report to the trustees on my examination of the financial statements of Weston Mill Oak Villa Sports and Community Association ('the charity') for the year ended 31 October 2021. 

## **RESPONSIBILITIES AND BASIS OF REPORT** 

As the trustees of the charity you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (‘the Act’). 

I report in respect of my examination of the charity's financial statements carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **INDEPENDENT EXAMINER'S STATEMENT** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the charity as required by section 130 of the Act; or 

2. the financial statements do not accord with those records; or 

3. the financial statements do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair' view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. GENERAL INFORMATION** 

The charity is a public benefit entity and a registered charity in England and Wales and is unincorporated. The address of the principal office is Ferndale Road, Weston Mill, Plymouth, Devon, PL2 2EL. 

## **2. STATEMENT OF COMPLIANCE** 

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Charities Act 2011. 

## **3. ACCOUNTING POLICIES** 

## **BASIS OF PREPARATION** 

The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure. 

The financial statements are prepared in sterling, which is the functional currency of the entity. 

## **GOING CONCERN** 

There are no material uncertainties about the charity's ability to continue. 

## **FUND ACCOUNTING** 

Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes. 

## **INCOMING RESOURCES** 

All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income: 

- income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably.

## **RESOURCES EXPENDED** 

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates: 

- expenditure on raising funds includes the costs of all fundraising activities, events, non-charitable trading activities, and the sale of donated goods. 

- expenditure on charitable activities includes all costs incurred by a charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the charity apportioned to charitable activities. 

- other expenditure includes all expenditure that is neither related to raising funds for the charity nor part of its expenditure on charitable activities. 

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis. 

## **TANGIBLE ASSETS** 

Tangible assets are initially recorded at cost, and subsequently stated at cost less any accumulated depreciation and impairment losses. Any tangible assets carried at revalued amounts are recorded at the fair value at the date of revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses. 

An increase in the carrying amount of an asset as a result of a revaluation, is recognised in other recognised gains and losses, unless it reverses a charge for impairment that has previously been recognised as expenditure within the statement of financial activities.  A decrease in the carrying amount of an asset as a result of revaluation, is recognised in other recognised gains and losses, except to which it offsets any previous revaluation gain, in which case the loss is shown within other recognised gains and losses on the statement of financial activities. 

## **DEPRECIATION** 

Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:
