Artiele 2 Membershfip & Governance a) The Club will consist of a President. Vice-President, Trustees, Honorary Life Members (maximum ten), Senior Members and Youth Members. b) The name of the President and Viee-Presid¢nt will be reconunended by the Management Conm]ittee lo the Annual General Meeting and approved by those members attending each year. These officers will be entitled to attend all Management and Su Committee Me¢tings ex officio (as observers). c) There will be not more (han four ProFty TnLStees or four Charity Commission Tn￿teeS who WAII not be required to retire. Trustees may serve as boih Property and Charity Commission Trnstces if requested by the Management Committee and if they are happy to do so. Committee members will serve a minimum of two years but can be eligible for re-election if they are duly proposed and seconded. This lern] of Office may be extended with the approval of a majority of m¢pbcrs attending the Annual Genernl Meeting.

Article 3 Prop¢rty & Man¥dgemenl a) The Pr0￿tyTn￿teeS will be Tesponsible for. i) Joint ownership of the Land and Buildings on behalf of the members of The Club. li) Ensuring that The Management Conllnittee maintaln tbe L4nd and Buildings lo an appropriate standard of repair and security, and ensure cowpliance with the constraints of the Deeds. b) The Charity Commission Trustees will be responsible for: i) EnsuTing that Ile Club 18 directed and managed in accordance with requirements of the Charity commissio￿ and for reporting annu￿lY kn them. Trusttts are recruited from the senior membership based on their length of service , experience and participation in the club's affai￿. The presenl incumbents have all f￿¢d s¢nior posts in the rnanagement of the charity in¢luding chairn]an and vice chainw. It is pl￿lTrg to note that the four major productions were well received by audiew¢s and achieved over 900/0 of ti¢k¢t sales. It is also apparent that the tbeatre is attracting new audience members many attending for the first tim¢ which can only be a good tbing for the theatre going fi)rward. The several lÈve music events that have been run over the seaspn not only provide a new and valuable income stream but bring in audiences that might not usually attend the theatre and be encouraged to attend in the future. 'Ibe membership continues to grow and we appreciate thc committees r¢solve lo ensure thal new members are encouraged to be active and participate in the full range of activities and note the proposal to run discrete workshop5 for the specfftalist toles. The reputation of the theatre in the con)munity continues to E¢ enhanced by utilisation of the theatre as a meeting place for local community groups and cl)arAties. Members of the theatre have hosted Murder mystery nights at various venues for local groups and the recent VE, day celebrations, run jointly with the Parish Council, was a great success and the Parish Council are keen to participate in more such events. We note that proposals are in place to recommence the youth Iheatre once appropriale DBS [DisclosuTe and Barring Services] che¢ks are in place. The trustees are aware of the impending legislation entitled - Martyns Law" whicb will impact on the security of ail entertainment venues and encourage the committee to liaise with their colleagues in the Little Theatre Guild to establish whai procedures we need to put in placc in order to comply with the legislation and to consider any additional insuran liability. Members were fully consulted aknut the best use of the genero￿8 legacy l¢ft by one of its members and committed a SI￿11fiCallt amount [over £60.000] Into much ueeded building projects in particular a building to house properties and the trustees approve the decision to name the building after the donor. A ￿rther signifiicant amounl [ almost £4,000] was allocated to up￿adIng the fire alann system in order to comply with fire regulations Improvements lo th¢ soundproofing of the auditorium and refyrbishment of the toilets have also been achieved. Further projects to improve the lounge and the grounds around the theatr¢ are being considered and the trustces are confident that ihere gre sufficieni funds to achieve these objeclives.

Independent Examlnerf8 Report to the tn￿te•S of Forniby Littlo Theatre I report to the trustees on my examination of the accounts of Formby Little Theatre (the charity) for the year ended 30th April 2025. nsibilities and basis of re As the charity tTUStees of the charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 {'the Act) I report in respect of my examination of the charty's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section145(5){b) of the Act Inde ndent examinerfs statement l am a member of the Institute of Chartered Accountsnts in England and Wales and l am bound by their code of ethics. Accounts preparation services were provided by Sefton CVS, my employer, and l as examiner have applied the ethical standard to my work. I have completed my examination. I Confi￿ that no material matters have come to my attention in conneciion with the examination giving me cause to believe that in any material respect: 1. accounting records were not kept in respect of the charity as required by section 130 of the Act" or 2. the accounts do not accord with th08e records.
