President’s Foreword

s President of the SUT it is my privilege to look back over the SUT’s year 2024-2025 and take the opportunity to look ahead at what lies in store for A the Society.

In my second year as SUT’s President it has been a pleasure and a continued learning experience to be involved in SUT’s Council, Executive, Branches, Special Interest Groups, and in particular, contributing to the Society’s Strategy Group looking at how we can strengthen and grow the SUT in the future.

�� behind the scenes keeping the SUT running – a challenge for a global organisation – it’s our volunteer members who underpin our Society, contributing their time, energy and expertise to the SUT’s successful programme of activities, events and training, as well as crafting guidance notes and contributing to policies and white papers. My sincere thanks to you all.

Education and Training, core to SUT’s charitable objectives, continue to be a central pillar of the Society. Our Educational Support Fund receives more applications each �� the students’ statements on their aspirations and career ambitions in marine science, underwater technology and subsea engineering. We’ve been delighted to showcase our ESF students through speaking opportunities such as at Ocean Business this year. The ESF plays a vital role for the next generation of subsea professionals, and �� Support Fund.

Most SUT members are in contact with the Society’s Branches and many participate in the Special Interest Groups. It is certainly true that whatever your interest in �� whom you can share your views, contribute to discussions on hot topics, and tackle the changes our industries face through innovations and creative approaches. I’m �� looking at this emerging sector from a range of perspectives and challenges.

Financial Summary

Council Members are appointed for three years by a ballot among members of the Society (members comprising the classes of Fellow, Individual Member and Corporate Member), and are drawn from among these Members. Candidates must be proposed and seconded by any two other Members. Ballot forms must be sent to Members twenty-eight days before the election, which is by simple majority, and this shall take place seven days before the Annual General Meeting. �� At the end of three years, a Council Member may stand for re-election, but no Member of Council may serve for more than six consecutive years.

The Society is principally engaged in the promotion of awareness in all aspects related to underwater technology, science and engineering. Its Mission and Strategic Vision are described as follows:

The Society for Underwater Technology (SUT) is an international body actively promoting the development, dissemination and exchange of ideas, information and technology arising from or related to the underwater environment. Supporting global individual and corporate membership through a network of branches and special interest groups. Facilitating information and knowledge exchange through online communications, training courses, conferences, exhibitions, workshops, publications, guidance documents, and social �� technologists, engineers and scientists.

To maintain and develop SUT as the foremost society worldwide focusing on underwater technology, building on ��

• The Society provides both free and chargeable lectures, webinars and technical event programmes for the public and non-members. Again, in 2024 it has not been possible to deliver the Christmas lecture in person �� online lectures for schools and events with schools timed at other points in the academic year, other than at Christmas, and developing these programmes with other like-minded bodies, associations and charities. In addition, the Society has donated volumes of its Can a Lobster be an Archaeologist? �� Aberdeenshire.

Grants are awarded to high-quality students at either undergraduate or postgraduate (one-year taught MSc) or �� area of interest of the Society with the aim of encouraging more entrants to the marine disciplines.

Reserves Policy

Free reserves are established and reviewed to ensure that the Society retains a level of funds to meet its forward obligations and to ensure it can reasonably maintain a level of service in line with its objectives. The Council Members consider this to be approximately 50% of average annual expected expenditure.

At events organised by the Society collections are taken up in favour of the Educational Support Fund which was a historic fund, now expended, used to pay grants to under and postgraduates. Donations to the Educational �� and, therefore, there is no balance sheet reserve in this name.

��

There are no formal restrictions on the investments made by the Society.

SUT Chair of Council, Mike Fearn

urrently eight months into my term as elected Chair of Council within the Society for Underwater Technology (SUT) organisation, I am blown away by the C �� behind the scenes to ensure the ongoing success we have now and moving forward.

�� and two social events along with the various publications of BIG Blue World. On top of these we have held regular Special Interest Group Meetings such as MES, OSIG, UXO, MREC, Diving and crewed submersibles and the newly reformed Robotics SIG.

We have also taken the steps to refresh the image of the SUT coming in 2026. This will include a new and fresh SUT website in collaboration with our branches with a focus on our many Special Interest Groups, which any member of the SUT is invited to join �� SIGs, to keep up with the latest developments, technologies and engage with a full breadth of industry experts.

��

�� As a charity, the SUT’s budget is set with modest expectations on creating income surplus and ever mindful of control on expenditures and overheads in the running of the Society.

�� be open for registration in early 2026. The work on the OSIG 2027 is underway and ��

�� lines for continued support for SUT’s Educational Support Fund (ESF). The SUT remains able to support our charitable endeavours, on-going commitments and funds in savings and investments for SUTs sustainability and future initiatives. An ever increasing number of applications are received from students around the world pursuing academic degrees in the disciplines covered by SUT: underwater, marine and subsea science, technology, engineering. The applicants are passionate about their interests and the aspirations for the future. A report on SUT’s education activities and grants given to students appears in the Annual Report.

Currently our Underwater Technology Podcast is on a hiatus with new episodes but all previous episodes are still available and worth a play back if you haven’t listened before. I want to thank Martin Stemp for all his commitments in delivering these episodes voluntarily and the interest in underwater technology, marine science and subsea engineering.

��

Running training courses is an important revenue stream for SUT. Unfortunately to run the course needs more time to coordinate our requirements with SUT’s training group. We still have training requirements that have potentially good returns. There is a key requirement for industry investors to understand the technologies and ��

DIPEC 2024 gave us another opportunity to be present at the world’s largest oil and gas show. We had a stand courtesy of DMG (ADIPEC A �� eager to re-engage this year for 2025. In terms of events, towards the end of last year the team met up and decided to reshape and add more structure to the SUT+ approach to organising and securing events. The idea was to develop �� events in each quarter of the year to work towards, while continuing to pursue webinars, site visits and other events in between.

The reasoning behind this strategy is �� community and hopefully use this consistency to grow our outreach.

��

The events themselves may change year to year, but the overarching strategy of consistently providing quarterly events to target each year should remain. An annual strategy session will be held in �� ahead for 2026 and use some of the lessons learned from 2025.

It is also my ambition to sign all �� events.

We have been engaging with the University of Aberdeen (UoA) and Robert Gordon University (RGU) over the last ��

�� about our events around the Universities. Both of these university reps are due to graduate shortly, so Sope �� MSc students to provide more longevity to this role. This feeds into a wider idea around restarting some SUT presentations at universities to gain student members and engage student representatives.

Bi-monthly meetings were organized with guest speakers on the current and future topics of interests such as “Subsea Integrity Management and Digitalization”, “Offshore hydrogen value chain and offshore wind energy and new challenges”, “Holistic Cable Monitoring Solution to Deliver Rapid Intelligent Operational Decisions”, “Cyber Security for Subsea Engineers”, “Te OSS/Chevron Joint Project to Develop 20Ksi Production Equipment”, Digital Subsea Operations”, followed by the regular discussions and planning for the future events and activities, along with the participations in SSTB meeting, OTC, Gastech Conference, etc. Future topics of interests were discussed and agreed with EC inputs with Focus on the Topics of Major Interests, such as “Delivering Net Zero (decarbonization),Offshore Wind Energy, Carbon Capture, Utilization and Storage (CCUS), Te Hydrogen Economy, AI and Digital Transformation, Subsea Robotics, Electrification of Offshore Assets, Subsea Processing of Oil and Gas Production, All Electric Systems of Subsea Oil and Gas Production, among others”. Further recommendations were made on the development of skills such as digital/AI-ML, digital data, robotics, SCADA, sofware training, College Students involvement, OESI etc. SUT was promoted through the SUT guest speakers to the Subsea Engineering and Ocean Engineering students at Texas A&M University.

As a committee we agreed to continue to position ourselves to support the offshore wind industry options and other alternative energy solutions.

• Continue to focus on other global wind opportunities while continuing to network with industry and academia on offshore wind.

• Continue to attend MREC UK meetings to keep a global approach to SUT wind initiatives and maintain transparency between the regional SUT MREC branches.

• Continue to identify companies who can make presentations for topics of discussions in all branches of alternative energy. Te goal being to educate the committee but also to identify opportunities to further expand with webinars and hybrid opportunities to present to industry at large. Te Marine Renewables Committee (MREC) of SUT-US has been actively engaging the industry through a series of successful meetings held regularly from 2024 through 2025. Tese gatherings have featured a range of technical

presentations, fostering knowledge exchange among a diverse group of industry professionals. Key organizations such as ABS, DNV, Chevron, Hess, and BP have been identified to contribute to future committee presentations and external webinars, further enriching the dialogue around marine renewable energy. Looking ahead, MREC is planning a fall webinar, potentially as a hybrid event. Steve Johnson continues to play a vital role in supporting MREC initiatives by delivering presentations at universities and facilitating meetings with industry stakeholders, helping to expand the committee’s outreach and impact.

Te School Touring Committee, led by Andrew Haigh, offers volunteers meaningful opportunities to inspire middle and high school students in Houston and surrounding areas by fostering interest in STEM. Volunteers contribute by sharing their career journeys, participating in classroom activities, and presenting on topics related to ocean, earth, and space sciences. Although the committee has been inactive since the onset of COVID, efforts are underway to revive the program for the upcoming year.

Serving as Chairperson for the SUT Women in Industry Committee has been an incredibly rewarding and energizing experience. Tis year, we’ve had the privilege of hosting two impactful events that reflect the strength and spirit of our community. In April, we welcomed Dr. Nefeli Moridis from NVIDIA as the keynote speaker for our event on AI in the energy sector—an inspiring session that brought powerful insight into the future of our industry. At our event in June, I was honored to be one of six panelists for our “5 Career Superpowers” event, where I spoke on the power of networking—a topic close to my heart. And we have another Lunch & Learn / Site Visit planned for October that will be engaging and insightful. Tese opportunities have truly challenged me in the best way possible and offered valuable growth both personally and professionally. Most importantly, being part of this committee has allowed me to build meaningful connections with like-minded peers and collaborate for a greater purpose. I deeply value SUT’s mission and am especially proud to be part of the Women in Industry community—it’s a space filled with passion, support, and shared ambition.

From June 2024 to July 2025, the SUT Young Professionals (YP) Committee organized a diverse range of events aimed at technical knowledge sharing, professional development, and networking. We began with a technical talk on physical modeling for geotechnical engineering applications by Ed Clukey in summer 2024, followed by a trivia night hosted by Victoria Mant that brought together professionals from across the offshore community. Later in the year, Trevor King from NGI delivered an insightful technical talk on ground models for offshore infrastructure development. In January 2025, the committee hosted a popular whisky tasting event, fostering informal networking among members. We also partnered with the WIND (Women in Industry) committee to deliver two major events: an AI expert panel discussion featuring a keynote by Nefeli Moridis of Nvidia, and a career panel on the 5 career superpowers, both of which drew strong cross-industry participation.

Looking ahead, the 2026 calendar includes the 2025 Curran Lecture by Dr. Charles Aubeny from Texas A&M University with a guest lecture by Dr. Philippe Jeanjean from bp, as well as the return of trivia night hosted by Victoria Mant.

ducation remains key to SUT’s mission, vision, and charitable objectives as �� E �� internationally in organised events with structured learning, webinars, technical �� Career sessions at some supported exhibitions and university career days.

The site visits during the Subsea Awareness �� make the SUT’s training courses unique and a highlight experience to the course delegates. We are pleased to report these training courses are delivered to maximum delegate numbers per course throughout the year.

The Educational Support Fund goes from strength-to-strength and continues �� underwater, subsea and marine science, technology and engineering.

The applications for ESF are of the highest standards. In each year, we note not only �� to have and the contributions they wish to make in their ocean and underwater career. Reading the applications we have seen new and evolving university degrees which cover underwater disciplines and are relevant to the SUT’s sectors and special interest groups. Technology has progressed, moved forward since the ESF was started. So, our consideration of the university degrees by subjects, programmes and disciplines in the student applications will be updated as we look �� We thank all those volunteers who have generously devoted their time to reading the ESF applications.

SUT continues to organise and support Ocean Careers sessions at Ocean Business 2025 both SUT’s Chair, Mike Fearn and CEO Cheryl Burgess were speakers. At Subsea Expo 2025 we held a Careers Clinic which saw a steady stream of students seeking advice on the SUT stand. We are already considering our Ocean Careers line-up of speakers at Oceanology International 2026. Women in Industry at Ocean Business: Defence, UXO, Marine Science provided speakers from across the membership and Special Interest Groups. SUT continues to promote careers by degree, apprenticeships, and vocational education such as with sector skills councils and City & Guilds.

SUT+ in Aberdeen continues to be active organising events on the road to Chartership with speakers from IChemE, IET, ICE, IMechE, and IMarEST as well as professional and social events. We would like to thank both University of Aberdeen and Robert Gordon University for their hosting SUT+ events, their SUT academic membership and encouraging students to become individual members of SUT.

The excellence of the universities which engage with SUT, faculties and students cannot be praised highly enough.

Educational Support Fund Management

he Society for Underwater Technology continues to support students through our Educational Support Fund. Each year we invite applications T �� Unfortunately, the Society is not resourced to be able to award funding to everyone who applies. Eighteen applications were reviewed by the judges in the short-list from undergraduates, Masters and Doctoral students. The number and variety of applications challenged the judges to produce a top-ten, then selection �� how they have come to study in the sectors of interest to SUT, their aspirations for the marine, underwater and subsea careers they hope to have, their academic references and the degree programmes the applicants were set to study,

Women in Industry

his new special interest group is a forum for women engineers, scientists, technologists, and others working in the subsea and wider marine sector to T share insights from their experience working in the industry.

Women in Industry was started due to the feedback and comment made to then �� the end of this SUT Show Floor Theatre session. Our speakers for this Oi session �� Otekalu, Oceaneering.

Society for Underwater Technology (The) Chair’s Report 30 June 2025

Currently ten months into my term as elected Chair of Council within the Society of Underwater Technology (SUT) organisation, I am blown away by the dedication of the SUT staff, volunteers and Board members, who work effortlessly behind the scenes to ensure the ongoing success we have now and moving forward.

In 2025 alone at the point of writing we have conducted 5 training courses in the UK including Subsea Awareness, Introduction to Offshore Wind, Offshore Site Investigations Fundamentals, 19 technical meetings, participated in 4 conferences and 2 social events along with the various publications of BIG Blue World. On top of these we have held regular Special Interest Group Meetings such as MES, OSIG, UXO, MREC, Diving and crewed submersibles and the newly reformed Robotics SIG.

We have also taken the steps to refresh the image of the SUT and coming later this year will be the new & fresh SUT website in collaboration with our branches with a focus on our many Special Interest Group which any member of the SUT is invited to join and participate in. As a matter of fact, I strongly encourage member participation in SIGs to keep up to the latest developments, technologies and engage with a full breadth of industry experts.

Finance and Accounts

The SUT Council budget for 2025-26 has been finalised and approved by Council. As a charity, the SUT’s budget is set with modest expectations on creating income surplus and ever mindful of control on expenditures and overheads in the running of the Society.

The 10[th] OSIG conference will be happening in London in September 2027. This event has previously generated significant surplus following the event for the SUT and will be open for registration before the end of 2025. The work on the OSIG 2027 is underway and the Society has secured Central Westminster Hall as the venue, the deposit for which is classified under prepayments in note 16 to the accounts.

The 2024-25 accounts reflect a strong performance of SUT training courses including Subsea Awareness and Offshore Wind courses all contributing to the Society’s surplus in addition to stable membership numbers, donations for specific awards, budget lines for continued support for SUT’s Educational Support Fund (ESF). The SUT remains able to support our charitable endeavours, on-going commitments and funds in savings and investments for SUTs sustainability and future initiatives. The SOFA page 2-8 in the accounts shows a small surplus before accounting for the unrealised loss of £10,264 on the investments held at the balance sheet date. At 23 October 2025 the investments had recovered £3,358 of that lost market value.

Conferences

One of the core capabilities of engaging with existing and new members is the presence at conferences globally with the thanks to our Branches and team within the UK.

So far this year we have had a stand at Subsea Expo, Ocean Business, All Energy and Offshore Europe where the team have received increased interest from the industry about where SUT could support, the training courses along with the advantages of our Special Interest Groups, which surprise me are still relatively unknown to a lot of people including our members. In November 2025, the Middle East Branch will be present at ADIPEC in the UAE. In 2026 we are looking ahead to Subsea Expo, Oceanology International and All-Energy.

Other conferences attended have been events like IPF and OTC (Offshore Technology Conference) where people would have seen Andy Hill (SUT-US, Houston Branch Chair) and myself engaging with the industry on the benefits of the SUT. Dave Brookes and Benj Sykes attended Global Offshore Wind in London.

The OSIG conference committee has already started planning for the next OSIG conference in London 2027 supported by the SUT centre team.

More conferences and events are planned and will be available on the website www.sut.org

Communications

As a reminder, all SUT members have access to our quarterly newsletter Big Blue World as well as UT2 and Underwater Robotics magazines. We strongly encourage all members to contribute any news, articles on innovation, updates or thought pieces for inclusion into the magazines. SUT members are also able to submit articles to the MTS journal.

A big welcome to all our new starts this year including Clare Parisi, Katie Fearon, Julie Callaghan and Michelle Jones who will be working alongside our current team, Cheryl Burgess and Jane Hinton, to continue to deliver the training courses, SIG support and conferences globally for the SUT & all its volunteers.

On behalf of all the SUT members and the teams, I would like to congratulate our very own Emily Boddy and her husband for welcoming their first child to their family this year. Emily, Publications and Communications Officer, went on maternity leave in April 2025. We look forward to Emily’s return in 2026 when her maternity leave concludes.

STRUCTURE, GOVERNANCE AND MANAGEMENT

The Society's governing document is the Memorandum and Articles of Association and its full name is the Society for Underwater Technology Limited. The Society is a registered company limited by guarantee and a registered charity.

Council Members and their Interests

The Members serving on the Council throughout the year were as follows:

None of the Members of the Council has any financial interest in the Society that requires disclosure under the Companies Act 2006. For Related Party transactions please see notes 11 and 20.

Council Members are appointed for three years by a ballot among members of the Society (members comprising the classes of Fellow, Individual Member and Corporate Member) and are drawn from among these Members. Candidates must be proposed and seconded by any two other Members. Ballot forms must be sent to Members twenty-eight days before the election, which is by simple majority, and this shall take place seven days before the Annual General Meeting. Those elected shall hold office from the conclusion of this Annual General Meeting. At the end of three years, a Council Member may stand for re-election, but no Member of Council may serve for more than six consecutive years.

New Council Members are not provided with a formal induction pack following their election but are briefed verbally at the first meeting.

Organisational Structure

A Board of Trustees (The Council) of up to or similar to 18 members, who meet quarterly, administer the Society. A Chief Executive (CEO), who’s not a trustee, is appointed by The Council to manage the day-to-day operations of the Society.

Branches of the Society are established under the authority of Council in accordance with the Memorandum and Articles of the Society. They will have their own organising committee with elected officers.

The results of branches of the Society whereby the UK charity either has control, or the branch is not deemed to be administratively autonomous are consolidated in the Financial Statements.

Details of remuneration of key management personnel are disclosed in note 11. Remuneration levels for key management personnel and other employees are set by the Executive Committee, whose members are set out on page 1. The overall gross salary allowance as presented in the budget is then ratified by the full Council.

OBJECTIVES AND ACTIVITIES

The Society is principally engaged in the promotion of awareness in all aspects related to underwater technology. Its Mission and Strategic Vision are described as follows:

Mission

Supporting global individual and corporate membership through a network of branches and special interest groups. Facilitating information and knowledge exchange through online communications, training courses, conferences, exhibitions, workshops, publications, guidance documents, and social engagements with a particular focus on attracting and developing the careers of the next generation of ocean technologists, engineers and scientists.

Strategic Vision

To be the leading internationally recognised not-for-profit learned society facilitating the exchange of technological, engineering and scientific knowledge and best practice in support of the sustainable safe and efficient development and use of the ocean and ocean resources, while protecting ocean health, culture and heritage.

Public Benefit

In keeping with the Charity Commission's key principles that there must be an identifiable benefit to the public or a section of the public, the Society has undertaken the following activities during this financial year:

It has supported 6 students, 4 undergraduates, 1 Masters and 1 Doctoral on relevant courses at a total cost of £10,000 (2024: £8,500).
Provided free of charge, to both members and non-members, the most highly acclaimed on-line magazine in the field of underwater technology and sub-sea engineering, entitled UT[3] .
The Society provides both free and chargeable lectures, webinars and technical event programmes for the public and non-members. Again, in 2024 it has not been possible to deliver the Christmas lecture in person because of a lack of sponsorship in the local groups and the workload around the Society’s September attendance at conferences such as Offshore Europe and its Subsea Awareness Courses. The Society is exploring developing online lectures for schools and events with schools timed at other points in the academic year, other than at Christmas, and developing these programmes with other like-minded bodies, associations and charities. In addition, the Society has donated volumes of its Can a Lobster be an Archaeologist? to schools in Hampshire and Aberdeenshire.
Provided high quality subsidised training courses for industry.

Grant Making Policy

Grants are awarded to high-quality students at either undergraduate or postgraduate (one-year taught MSc) level undertaking courses relevant to the area of interest of the Society with the aim of encouraging more entrants to the marine disciplines.

STRATEGIC REPORT

Achievements and Performance

We have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing our aims and objectives and in planning our future activities.

The Unrestricted Funds of the Society were increased by £409 after allowing for £10,264 in losses on investments and £11,400 expended for grants and awards. Please also refer to the Chair's Report.

Financial Review

Reserves Policy

Educational Support Fund

At events organised by the Society collections are taken-up in favour of the ‘Educational Support Fund’ which was a historic fund, now expended, used to pay grants to under and post graduates. All monies collected in the name of this fund during a given year are fully expended on grants made within that financial year and, therefore, there is no balance sheet reserve in this name.

Investments

There are no formal restrictions on the investments made by the Society.

Principal Risks and Uncertainties

The Council Members actively review the major risks which the charity faces and confirm that they have established systems to mitigate the significant risks.

Operational Risk

These systems are being put into a more formalised structure and are designed to reduce the likelihood of the risk and to lessen the impact on the Society should those risks materialise. Key risks at present are assessed as being associated with the Society's necessary global expansion and the concomitant development of IT structures to support this. However, no reason is seen to amend further the Reserves Policy as detailed above.

Principal Risks and Uncertainties continued

Financial Risk

The Members remain cautious in terms of the Society's investment strategy and are satisfied they have taken appropriate steps to ensure that reserves are not placed at any undue risk. During the period and at the Balance Sheet date, the majority of balances held at bank were held in either current or deposit accounts with banks. The make-up of fixed asset investments is given in note 14 of the Financial Statements. The majority of these investments are placed in two Charities Official Investment Funds.

Going concern

The Council Members have given due consideration to the ability of The Society to continue as a going concern.

The Society has returned a surplus of £409 for the financial year and at the balance sheet date the net assets of the Society are £689,428. The previous year had returned a substantial surplus due to the success of the OSIG 2023 conference. Investment portfolio and income increased with part of the OSIG 2023 surplus invested in higher interest accounts. The OSIG 2023 conference did not recur in the current year and will next take place in September 2027.

The Society’s core income streams have all continued to recover after the impact of the COVID19 pandemic and the trend towards on-line courses. Membership income has increased by 1.55%; Conferences Workshops and Seminars income has generated £143,281 of income and a £93,836 surplus for the year.

We expect the upward trend on core income to continue and The Society continues to meet its minimum reserves policy of holding fifty percent of the expected next year’s expenditure in reserves.

The Members are, therefore, satisfied that the going concern basis remains appropriate.

FUNDS HELD AS CUSTODIAN TRUSTEE ON BEHALF OF OTHERS

No funds are held as custodian trustee on behalf of the others.

STATEMENT OF COUNCIL MEMBERS’ RESPONSIBILITIES

The Council Members are responsible for preparing the Report and the Financial Statements in accordance with applicable law and regulations.

Company Law requires the Council Members to prepare financial statements for each financial year. Under that law the Council Members have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the Council Members must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Society and of the surplus and deficit of the Society for that period. In preparing these financial statements, the Council Members are required to:

observe the methods and principles in the Charities SORP;
select suitable accounting policies and then apply them consistently;
make judgements and accounting estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Society will continue its activities.

The Council Members are responsible for keeping adequate accounting records that are sufficient to show and explain the Society’s transactions and disclose with reasonable accuracy at any time the financial position of the Society and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Society and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

STATEMENT AS TO DISCLOSURE OF INFORMATION TO INDEPENDENT EXAMINER

So far as each person who was a Council Members at the date of approving this report is aware, there is no relevant information of which the Society’s Independent Examiner is unaware. Additionally, each Council Member has taken all the necessary steps that they ought to have taken as a Council Member in order to make themselves aware of all relevant information and to establish that the Society’s Independent Examiner is aware of that information.

I report on the accounts for the trustees on my examination of the accounts of Society for Underwater Technology for the year ended 30 June 2025 as set out on pages 2.8 to 2.20.

Responsibilities and basis of report

As the charity trustees, you are responsible for the preparation of the accounts in accordance with the Charities Act 2011 (the Act); the Charities and Trustee Investment (Scotland) Act 2005 and regulations 6 and 8 of the Charities Accounts (Scotland) Regulations 2006 (as amended).

I report in respect of my examination of the Charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent Examiner's statement

The Society’s gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of the Association of Certified Chartered Accountants.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in any material respect:

The accounting records were not kept in accordance with section 130 of the Act; or
The accounts did not accord with the accounting records; or
The accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

Total funds as stated above include a Fair Value Reserve of £179,929 (2024: £190,193) (see note 14.3).

The Council Members acknowledge their responsibilities for:

(a) ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006; and
(b) preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements so far as applicable to the company.

The company is entitled to exemption from audit under Section 477 of the Companies Act 2006 relating to small companies for the year ended 30 June 2025.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 June 2025 in accordance with section 476 of the Companies Act 2006.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime.

c) Fund accounting

The principles of fund accounting, as described in the Statement of Recommended Practice, Accounting and Reporting by Charities: the Charities SORP (FRS 102), have been applied in the preparation of these financial statements.

Funds held by the Society are either:

Unrestricted general funds

These are funds which can be used in accordance with the charitable objects at the discretion of the Trustees.

Designated general funds

The Society has designated general funds which it applies to the provision of the awards made to students. Monies that are designated by the Council Members can be moved back within the unrestricted general funds should the Council Members so decide.

Restricted funds

These funds can only be used for this purpose within the objects of the Society. The Society’s restricted funds were all fully expended during the year and, therefore, there is no fund analysis relating to balance sheet values at the year end.

d) Tangible fixed assets

Assets are capitalised at cost when the economic benefit of ownership will spread over a number of years.

Depreciation is provided on tangible fixed assets at rates calculated to write off the cost less estimated residual value of each asset evenly over its expected useful life as follows:

e) Publications stock Stock is valued at the lower of net realisable value and cost. Cost is valued on a first in first out basis.

f) Investments

Investments are valued at the prevailing market price as at the Balance Sheet date. Realised and unrealised gains (or losses) are reflected in the Statement of Financial Activities in the year in which they occur. No distinction is made between realised and unrealised gains in the Statement of Financial Activities as the Trustees consider that the disclosure of total gains/losses show a truer and fairer view.

g) Debtors

Debtors are recognised at the settlement amount due less any provisions for doubtful debts.

Prepayments are valued at the amount prepaid, calculated on a month-by-month basis.

h) Creditors

Creditors are recognised where the Society has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors are normally recognised at their settlement amount.

i) Voluntary income

Voluntary income is recognised on receipt.

j) Events Income

Events income is included when receivable.

k) Subscriptions

Membership subscriptions are accounted for on a receivable basis.

l) Grants Payable

Grants payable are charged against income upon approval of the grant, in so far as the grant is payable from current resources.

m) Expenditure

Charitable activities represent all costs incurred by the Society in meeting its charitable objectives.

Governance costs are incurred in connection with the management and administration of the charity. These include central management and administration costs, organisational costs and costs incurred to ensure compliance with constitutional and statutory requirements.

Each natural category of costs is considered individually and allocated on a percentage basis by function.

n) Operating Leases

Operating lease rentals are charged to the profit and loss account as incurred.

o) Foreign Currencies Assets and liabilities denominated in foreign currencies are translated at the rate of exchange ruling at the Balance Sheet date. Transactions are translated at the rate of exchange ruling at the date of the transaction. All exchange differences are reflected in the Statement of Financial Activities.

p) Redundancy payments Redundancy payments due to employees for termination of employment during the year are fully recognised in the current financial year.

q) Government grants receivable

Government grants are recognised when there is reasonable assurance that the grant conditions will be met and that the grants will be received.

18. Limited liability of members

In accordance with the Memorandum and Articles of Association, Fellows, Individual Members and Corporate Members (but not Associate Members and Student Members) are deemed to be Members of the Society within the context and as such have a limited liability of £5 per member in the event of the Society being wound up.

The unrealised gains table shown in note 14.3 represent the value of the Fair value reserve held within the General Fund.

20. Related party transactions

The total amount of donations received without conditions from trustees during the year was £nil. Key management personnel remuneration is disclosed at note 11.

The Education Support Fund was established to provide educational grants to students. The original restricted funds have all been expended. The Society continues to collect small amounts for the fund during the year at events and through the Just Giving platform. The amounts collected during the year are fully expended during the year.

The Mike Cook Marine Site Investigation Fund makes an annual award which recognise industry professionals who have made a significant contribution to Marine Site Investigation and Characterisation, covering the broad disciplines of Geophysics and Geotechnics.

One of the core capabilities of engaging with existing and new members is the presence at conferences globally with the thanks to our Branches and team within the UK.

The OSIG conference committee has already started planning for the next OSIG conference in London 2027 supported by the SUT centre team.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Council Members and their Interests

The Members serving on the Council throughout the year were as follows:

None of the Members of the Council has any financial interest in the Society that requires disclosure under the Companies Act 2006. For Related Party transactions please see notes 11 and 20.

New Council Members are not provided with a formal induction pack following their election but are briefed verbally at the first meeting.

Organisational Structure

The results of branches of the Society whereby the UK charity either has control, or the branch is not deemed to be administratively autonomous are consolidated in the Financial Statements.

OBJECTIVES AND ACTIVITIES

The Society is principally engaged in the promotion of awareness in all aspects related to underwater technology. Its Mission and Strategic Vision are described as follows:

Public Benefit

It has supported 6 students, 4 undergraduates, 1 Masters and 1 Doctoral on relevant courses at a total cost of £10,000 (2024: £8,500).
Provided free of charge, to both members and non-members, the most highly acclaimed on-line magazine in the field of underwater technology and sub-sea engineering, entitled UT[3] .
The Society provides both free and chargeable lectures, webinars and technical event programmes for the public and non-members. Again, in 2024 it has not been possible to deliver the Christmas lecture in person because of a lack of sponsorship in the local groups and the workload around the Society’s September attendance at conferences such as Offshore Europe and its Subsea Awareness Courses. The Society is exploring developing online lectures for schools and events with schools timed at other points in the academic year, other than at Christmas, and developing these programmes with other like-minded bodies, associations and charities. In addition, the Society has donated volumes of its Can a Lobster be an Archaeologist? to schools in Hampshire and Aberdeenshire.
Provided high quality subsidised training courses for industry.

Going concern

The Council Members have given due consideration to the ability of The Society to continue as a going concern.

We expect the upward trend on core income to continue and The Society continues to meet its minimum reserves policy of holding fifty percent of the expected next year’s expenditure in reserves.

The Members are, therefore, satisfied that the going concern basis remains appropriate.

Funds held by the Society are either:

Assets are capitalised at cost when the economic benefit of ownership will spread over a number of years.

Depreciation is provided on tangible fixed assets at rates calculated to write off the cost less estimated residual value of each asset evenly over its expected useful life as follows:

l) Grants Payable

Grants payable are charged against income upon approval of the grant, in so far as the grant is payable from current resources.

Charitable activities represent all costs incurred by the Society in meeting its charitable objectives.

Each natural category of costs is considered individually and allocated on a percentage basis by function.

n) Operating Leases

Operating lease rentals are charged to the profit and loss account as incurred.

o) Foreign Currencies Assets and liabilities denominated in foreign currencies are translated at the rate of exchange ruling at the Balance Sheet date. Transactions are translated at the rate of exchange ruling at the date of the transaction. All exchange differences are reflected in the Statement of Financial Activities.

p) Redundancy payments Redundancy payments due to employees for termination of employment during the year are fully recognised in the current financial year.

q) Government grants receivable

Government grants are recognised when there is reasonable assurance that the grant conditions will be met and that the grants will be received.
