REPORT OF THE TRUSTEES OF THE BRITISH BIOPHYSICAL SOCIETY

The Trustees present their report together with the financial statements of the charity for the year ended 30 June 2022. The trustees have complied with the Charity’s Constitution and the Charity’s Act 2011 in preparing these financial statements.

Objectives and Activities

The charity’s objectives are the advancement of the science of biophysics and of education in this field. Biophysics is the study of the functioning and structure of living organisms and their components viewed from a physical standpoint and the application of physical and physiochemical techniques to biophysical problems.

The charity achieves this through providing support for academic activities in this field, which involves supporting conferences and the attendance of university postgraduate students at such conferences, primarily in the UK but also in Europe and the USA.

Public Benefit

The trustees continue to give regard to the Charity Commission’s general guidance on public benefit ‘Charities and Public Benefit’.

Financial Review

At the end of 2022, the total of the charity’s reserves stood at £128,571 of which £39,525 was unrestricted and £89,046 restricted. Free reserves currently exceed the required levels, however Trustees have plans in place to utilise excess reserves over the coming year to support the Biophysics community in the form of travel bursaries at levels comparable to or exceeding this year’s, and we will continue to use the Sosei-Heptares Prize Fund to fund the Sosei Heptares Prize for Biophysics (£5K) which is awarded every two years.

Reserves Policy

It is the policy of the charity to maintain unrestricted funds, which are free reserves of the charity which can be used in furtherance of the charities objectives. This provides sufficient funds to cover management and administration and support costs and to respond to other projects which the charity may wish to support in the future.

Structure, Governance and Management

The charity is an un-incorporated membership organisation, governed in accordance with its Constitution which are the Rules of the Society.

It is managed by a Management Committee consisting of the Officers and up to 13 of its members. The officers comprise an Honorary Treasurer and two Honorary Secretaries. The Officers are nominated by the Committee and are submitted for election at the Charity’s Annual General Meeting. The Committee will also elect a Chair of the society who may act for no longer than three years. Management Committee members may act for no longer than three consecutive years.

Responsibilities of the Trustees

Charity law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of its financial position at the end of that year.

In preparing those financial statements the trustees are required to:
Select suitable accounting policies and apply them consistently;
Make judgments and estimates that are reasonable and prudent
State whether applicable accounting standards and statements of recommended practice have been followed, subject to any departures disclosed and explained in the financial statements; and
Prepare the financial statements on a going concern basis unless it is appropriate to presume that the charity will not continue in existence.

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with charity law. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF THE BRITISH BIOPHYSICAL SOCIETY ON THE RECEIPTS AND PAYMENTS ACCOUNTS FOR THE YEAR ENDED 30 JUNE 2022.

I report to the trustees on my examination of the accounts of the British Biophysical Society (‘the charity’) for the year ended 30 June 2022 which are set out on pages 5 to 6.

Responsibilities and basis of report

As the trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the 2011 Act’).

I report in respect of my examination of the Charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent examiner’s statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1) accounting records were not kept in respect of the Charity as required by section 130 of the 2011 Act; or
2) the accounts do not accord with those records.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The Prize/Bursary Fund originates from gift aid claimed on funds donated for the Sosei-Heptares fund and, as agreed by the donors, has been restricted to fund future prizes and bursaries.

The Sosei-Heptares Prize Fund was endowed in 2018 by several individual biophysicists who had early involvement with, or are founders of, Heptares Therapeutics Ltd. (subsequently acquired by Sosei Co. Ltd) in association with the British Biophysical Society. The prize is awarded every two years for substantial contributions to Biophysics or Biophysical methods by an individual whose principal work has been carried out in the UK or Ireland.

The receipts and payments accounts were approved by the Board of Trustees on June 21, 2023 and were signed on its behalf by:
