The Executive Committ88 presents its report for the year ended 31 December 2024 under th8 Chartti8s Act
2011, together with audited accounts for th8 year and confirm Ihat the latter comply with the requirements of the
Act, the Conslilulion and the Charities SORP applicable to charities preparing thèir accounts in accordance with
the Financial Reporting Standard applicabl6 in the UK and Republic of Ireland (FRS 102) {effective 1 January
2019).
REFERENCE AND ADMINISTRATIVE INFORMATION
The Charity was founded in 1906 and is registered with the Charity Commission under charity number 252665.
The Executive Committee and principal address of the Charity are as listed on Page 1 together with particulars
of the Charity's professional advisors.
STRUCTURE GOVERNANCE AND MANAGEMENT
The Charity is a single organisalion. The funds raised through donations, membership subscriptions and
fundraising activities are used to further the Objects. Airns, Objectives and Activities of the Friends of St Mary's
Hospital. W2 {Friends}.
The Charity is govemed by ils constitution dating from 1906 and18st amended in June 1999.
The Goveming Body is the Executive Committee. and members are elected annually at the Annual General
Meeting. The members of the Executive Committee, 83 the Gharily trustees of the Charity. are legally
responsible for the overall management and Control of the Friends and meet eleven times a year.
The trustees who served during Ihe year were:
Miss J Wlnslow and Miss Sarah Lennon - Deputy Chaimien. Mrs D Akan, Mrs M Aslan. Mrs N Barnett, Mrs M
CaNllle, Mrs M Cochrane, Ms M R Harper, Mrs L Pickley, Mrs J Prendergast. and Mrs M Linford.
All trustees give their time freely and no trustee remuneration was paid during the year. There were no
expenses claimed by trust6és during the year.
The day-to-day running of the Friends is detegated to Ihe President, assisted by a part-time secretary, and p8rt-
lime treasurer. The Executive Committee is responsible for the management of the risks faced by the Friends.
Detailed consid8ration of risk is delegated to the President. Risks are identified, assessed and controls
eslablished, and matters requiring fomial action are reported to the ExecutlV8 Committee. In addition. the
Friends compty with risk assessment procedures in force in The Imperial College Healthcare NHS Trust.
As the post of Chairman has been vacant for some time, the Chairman's responsibilities as noted above have
been shared amongst the Executive Committee and offi￿r$
The Friends is constituted as an unincorporated association. Ils objects are to undertake..
(a) Any charitable work. which from time to time is shown lo be needed for the benefrt of patients and staff.
(b) To raise funds and to receive contributions from any persons or organisations by way of subscription,
covenant. donation or otherwise.
(c) To provide facilities or equipment which may be required for the treatment of patients or for the efficient
running of the Hospital and which may not be readily available through the National Health Service.
(d) To provide am8nities in the Hospital for patients and slaff.

The Friends meets these objectives by receiving donations and bequests and by fundraising through an Annual
Summer Fair. Christmas Bazaar. Raffle. Flag Days, Book Sales and collecting boxes throughout the Hospital
and in local shops. We also have tsbles at the South East Bayswater Summer Fair. the Little Venice Canal
Cavalcade and sell Christmas Cards at the German YMCA Christmas Markel and at St James's Church.
Departments and Wards in the Hospital are invited to submit bids for grants, which are considered by the
Executive Committee at their regular meetings. Each year Departments are also invited to submit bids for the
Special Project.
The former Friends Shop premises were taken over by the Trust and our stsff transferred under the TUPE
ITr8nsf8r of Undertakings. Protection of Employment) Regulations in December 2020. and the Café was
similarly taken over in July 2021 and staff TUPEd. just leaving the part-time Secretary and Treasurer on the
Friends payroll. The Westem Eye klosk has remained closed.
The members of the Executive Committee have referred to the Charity Commission's guidance on public
benefft when reviewing the Charity's aim and objectives and planning fulure activities.
The Friends of St Mary's Hospital does not use professional fundraisers for any of ils fundraising activities. nor
has it or its voluntary fundraisers been subject to any undertaking to be bound by any scheme, except when
Flag Days are held on Rail Slalions, when their code of conduct is followed.
No complaints were received by the Friends or by our volunleers concerning our fundraising activities.
REVIEW OF ACHIEVEMENT AND PERFORMANCE FOR THE YEAR
2024 was another difficult year for the Friends with no sales outlets at the Hospital, following the closure of our
Shop, Out-Patl8nl Café and Western Eye kiosk during the coronavirus pandemic and not being pemitted to
reopen them.
We continued lo receive membership subscriptions and donations, and held our annual sumffler fair. bazaar
and raffle and sold Christmas Cards and some memorabilia items.
FINANCIAL REVIEW AND RESULTS FOR THE YEAR
Gross income from the Friends Café Account (card receipts) during the year amounted to £4.448 (2023..
£4,501 }. Other indirect costs amounted to £883 {2023-. £697). with direct costs (purchases of goods to sell) £nil
(2023.. £1,407).
Support and administration costs including salaries amounted to £33,195 (2023.. £29.628), salary & pension
costs amounted to £20,815 {2023'. £19.077).
Income from Subscriptions tolalled £580 12023: £665), from 2007, on the advi￿ of the VAT office, where
Friends have paid more than the suggested minimum rate of £10, the èxcess has been recorded as a donation
in 2024 these amounted to £1,512 (2023.. £1,757). Collection boxes around the Hospital and in local shops,
bank and pubs ralsed a total of £521 (2023.. £4261, Th8 Bazaar and the raffle raised £6,647 (2023.. £7,618},
Book and ¢ake sales £1,956 (2023: £1,443). Flag days raised £261 12023.. £275). Christmas card sales raised
£2.001 (2023.. £1.4871.

The balance in the General (unrestr¢cted) Funds at 1 January 2024 was £94,583. During th6 year, total incomè
for Genèral lunrestrictedl Funds amounted lo £73.912 compared to total expenditure of £57.582 leaving a cary
forward balance of £110,913. The lotsl carried forward in Reslricled Funds was £12.028.
Funds nol required for immediate use are held in a Post Office National Savings Investment Account. Other
funds are held in Current Accounts linked to Business Reserve Accounts al the National Weslminster Bank.
RESERVES POLICY
During 2024 the balance in the unrestricted funds increased to £110,913, the tsvo months figure for unrestricled
charitable expenditure has reduced considerably.
The trustees aim to maintain free reserves in unrestricted funds which equate to approxifflately two months of
unrestricted charitable expenditure. The trustees consider that this level will provide sufficient funds to respond
to applications for grants and ensure that support and governance costs are covered.

FUTURE PLANS AND PRINCIPAL RISKS
The NHS Trust c105ed our Shop and Out-patient Café. along with the Western Eye kiosk and Paterson Wing
Trolley in 2020. It 15 clear that we will be unable to restart these reiail outlets, bLJt we are still hoping to be
granted space in which lo sell mainly non-food items, including a click and collect service for memorabilia, etc.
so that we can re-gstablish a presence in the Hospitals and increase our fundraising potential.
We continue to hold weekly book and memorabilia sales inside the QEQM Wing and trust that this will continue
and will hold our Summer Fair and Christmas Bazaar again in 2025.
The Imperial College Healthcare NHS Trust continues to review its service provision and use of building5
across the St. Mary's, Western Eye, Hammersmith. Charing Cross and Queen Charlotte's siles. bul the Friends
of the constituent Hospitals have all agreed that they should remain separate bodies while maintaining close
links
The recruitment of volunteers is dealt with through the Imperial Health Charity, and we are hopefvl that when
we are able to open a non-food outlet. we will be able to recruit volunteers through them again.
We have resumed advertising for grant applications for support.
RETIREMENT OF OUR PATRON LADY JANE FELLOWES
It is with regret, but much gratitude for her 40 years of service, that we report the retirement of our Patron, Lady
Jane Fellowes on 1 Lil February 2025. Sh8 will be greally missed for her support and dir8cI Involvement of our
many a¢livilies over these many years. She leaves wilh our very best wishes.
STATEMENT OF EXECUTIVE COMMITTEE RESPONSIBILITIES
The Executive Committee are requlred under the constilsjlion of the charity to prepare financial statements in
ac￿rdanCe with applicable law and United Kingdom Accounting Standards {United Kingdom Generally
Accepted Accounting Practice).
The law applicable to charities in England & Wales requires the Executive Committee to prepare financial
stalemenls for each financial year which give a true and fair view of the slate of affairs of the charity and of the
incoming resources and application of resources of the charity for that period. In preparing those financial
statements the Executive Committee are required to.. -
(al select suitable accounting policies and apply them consistently.
(bl observe the methods and principles in the Charities SORP 2019 {FRS 1021.,
(cl make judgetnenls and estimates that are reasonable and prudent.
{dl slate whether applicable accounling standards have been followed, subject to any material departure5

charily will continue in operation.
The Executive Committee are responsible for keeping proper accounting records that disclose with reasonable
accuracy at any time the financial position of the charity and enable them to ensure that the financial statements
comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of
the conslitution. They are also responsible for safeguarding the ass8ls of the charity and hence for taking
reasonable steps for the prevention and detection of fraud and other irregularities.

We have audited the financial statements of The Friends of St. Mary's Hospital W2 (the 'charity') for the year
ended 31 December 2024 which comprise th6 statément of financial activities, the balance sheet and notes to
the financial statements. including significant accounting F￿lIcies. The financial reporting framework that has
been applied in Iheir preparation is applicable law and United Kingdom Accounting Standards. including
Financial Reporting Standard The Financial Reporting Standard applicable in the UK and Republic of Ireland
(United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements=
-give a true and fair view of the state of the charity's affairs as at 31 December 2024 and of its incoming
resources and application of resources for the year then ended.
-have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice-

We conducted our audit in accordance with Intemational Standards on Auditing {UKI (ISAS {UK)l and
applicable law. Our ￿SponSibl11t1eS under those standards are further described in the Auditor's responsibilities
for the audit of the financial stalemenls section of our report. We are independent of the charity in accordancé
with the ethical requirements that are relevant to our audit of the financial statements in the UK. including the
FRC'S Ethical standard. and we have fuffilled our other ethical responsibilities in accordance wilh these
requirements. We belleve that the audit evidence we have obtained is sufficient and appropriate to provide
basis for our opinion.
Concluslons relatlng to golng ¢on¢om
In auditing the financial statem8nts, wè have concluded that the use of the going concern basis of a¢wunting in
the preparation of the financial statements is appropriate.
Based on the work we have perfomed, we have not Identified any material uncertainties relating lo events or
conditions that, individually or collectively, may cast significant doubt on the charily's ability to continue as a
going concem for a period of at least ￿e1ve monihs from when the financial statements are authorised for
issue.
Our responsibilities and the responsibilities of the Executive Committee with respect to going concem are
described in the relevant section of this report.

The other infomiation comprises the information included in thé annual report, other than the financial
statements and our auditor's report thereon. The Executive Committee is responsible for the other information
contained within the annual report. Our opinion on the financial statements does not cover the other information
and we do not express any fom of assurance conclusion thereon. Our responsibility is to read information and,
in doing so, consider whether the other information is materially inconsistent with the financial statement5, or
our knowledge obtained in the audit, or otherwise appears to be materially misstated. If we identify such
material inconsistencies or apparent material misstatements. we are required to determine whether there gives
rise to a material misstatement in the financial statemants themselves. If, based on the work we have
p8rft)rmed, we conclude that there is a material misstalemenl of this other information, we are required to report
that fact.

As described more fully in the statement of the Executive Committee responsibilities, the Executive Committee
are responsible for the preparation of financial statements and for being satisfied that they give a true and fair
view, and for such intemal control as the Executive Committee determines is necessary to enable th8
preparation of financial statements that are free from material misstatement. whether due to fraud or error. In
preparing the financial statements, the trustees are responsible for assessing the charity's ability to continue as
a going concern, disclosing as applicable, matters related to going concem and using the going concern basis
of accounting unless the Executive Committee either intend to cease operations, or have no realistic altemative
but to do so.
Auditoffs responsibilities for the audit of the financial staiements
We have been appointed as auditors under section 144 of the Charities Act 2011 and report in accordance with
the Act and relevant regulations made or having effect thereunder.
Our objectives are to obiain reasonable assurance about whether the financial statements as a whole are free
from material misstatement. whether due to fraud or error. and to issue an auditor's report that includes our
opinion. Reasonable assurance is a high level of assurance but is not guarantee that an audit conducted in
accordance with ISAS (UK) will always detect a material misstatemenl when it exists. Misstatements Can arise
from fraud or error and are considered material if, individualty or in the aggregate. they could reasonably be
expected to influence the economic decisions of users taken on the basis of these financial ststements.
The extent to which our procedures are capable of detecting irregularities. including fraud, is detailed below.
Irregularities, including fraud. are instances of non-compliance with laws and regulations. We design
procedures in Ilne wlth our ￿sponSIbl1111es, outlinèd above, to detect material misstateménls in respect of
irregularities, including fraud. The exient to which our procedures are capable of detectlng Irregularities,
including fraud. is detailed b810w.
We gained an understanding of the legal and regulatory framework applicable to the charity. and considered the
risk of acts by the charity that were contrary to applicable laws and regulations. including fraud. We designed
audii procedures to respond to the risk. recognising thal the risk of not detecting a material misstatement due to
fraud is higher than the risk of not detecting one resulling from error, as fraud may involve deliberate
concealment by, for example, forgery or intentional misrepresentations, or through collusion.
We focussed on law and regulations which could give rise to material misstatements in Ihe financial statements.
including, but not limited to, the Charilies Act 2011. Our lests included agreeing the financial statements
disclosures to underlying supporting documentation and enquiries with management. There are inherenl
limitations in the audit procedures described above and. the further removed non-compliance with laws and
regulations is from the events and transactions refiectsd in the financial slalementS, the less likeSy we would
become aware of it. We did not identify any key audit matters relating to irregularities, including fraud. As in all
our audits, we also addressed the risk of management override of internal controls, including testing journa15
and evaluating whether there was evidence of bias by the directors that represented a risk of material
misstatement due to fraud.

Your attention is drawn to the fact that the charity has prepared financlal statements in accordance wlth
"Accounting and Reporting by Charites: Statement of Recommended Practice applicable to charities preparing
their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
(FRS 102)" las amended) in preference to the Accounting ar￿ Reportiro by Charities: Statement of
Recommended Practice issued on 1 April 2005 which is referred to in the extent regulations but has now been
withdrawn.
This has been done in order for the financial statements to provide a true and fair view in accordance with
current Generally Accepted Accounting Practice.

This report Is made solely to the charty's Executive Committee. as a body, in accordance with part 4 of the
Charities (Accounts and Reports) Regulations 2008. Our audit work has been undertaken so Ihat we might
state to the Executive Committee those matters we are required to state to them in an auditoff s report and for
no other purpose. To the fullest extent pemiitted by law. we do not accept or assume responsibilty to anyone
other than the charity and the charity's Executive Committee as a body. for our audit work, for this report. or for

1.1 Accountin

The financial statements have been prepared under the historical cost convention with items
recognised at cost or transaction value unless otherwise stated.
The accounts have been prepared in accordance wilh applicable accounting standards. the Statemenl
of Recommended Practice, "Accounting and Reporting by Charities" applicable to charities preparing
their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic
of Ireland IFRS 102) {effective 1 January 2019).
1.2 Goin
Concem
The financial statements have been prepared on going concem basis, at the time of approving the
financial statements, the Executs've Comfflittee have a reasonable expectation that the charity will have
adequate resources to continue in the foreseeable future as fully explained in reserve policy note on
page 5.

1.3 Fixed Assets
All tangible fixed assets are for use by the charity, held within Ihe UK, and are staled at cost less
depreciation.
Depreciation is provided at rates calculated to writ8 off the cost or valuation of fixed assels, less their
estimated residual value, over their expected useful lives on the following bases..
Fixtures. fittings & equipment- 25% pa on reducing balance basis
Hospital Shop
10 % pa on straight line basis {i.e. over 10 years)
Quoted Investments are stated at market value.
1.4 Income
Voluntary income and donations are accounted for as received by the charity- The income from
fundraising ventures and services is shown gross. with the associated costs relating to the latter,
included in service costs. Investfflent income is accounted for in the period in which the charity is
entitled to receipt.
1.5 Ex
enditure
Expenditure is included on an accrual basis and has been classified undèr hèadings which
aggregaie all costs relating to thal category.
1.6 Slock
stocks of g¢)ods for resale by the General Fund and Services are included In th8 accounts at th@
lower of cost and net realisable value.
1.7 Investments
Inv8stm8nts are stated at market value at the balance sheet date. The SOFA includes the net gains
and losses arising on revaluations and disposals throughoul the year.

1.8 Fund accountin
General funds are unreslricled funds which are available for use at Ihe discretion of the trustees in
furtherance of the general objectives of the charity and whlch have not been designated for other purposp.s.
In respect of this. Th@ Execullve Committee are of the opinion that it Is piudenl lo sel aside a provision. out
of unreslrlcted funds, in respect of closure costs and other unfor8segn liabilities. They consider that the
balance of unrestricted funds available should be sufficient for this.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors
or which have been raised by the charity for particular purposes. The cost of raising and administering such
funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes
to the financial ststements.

The stsff costs for the year amounted to £20.815 (2023.. £19,077). The average number of full time and part
time employees was 2 (2023.. 2). The staff are paid by the NHS Trusl. and the charity is invoiced monthly
with the cost. The Charity did not pay more than £60.000 for any on8 8mployee.
