TRUSTEES’ ANNUAL REPORT YEAR ENDED 20[th] SEPTEMBER 2022

The Trustees present their annual report and accounts for the year ending 20[th] September 2022.

The Trustees responsible for the management of the Charity who are eligible for re-election on a rotational basis are: -

SHOW RESPONSIBILITY

The Trustees delegate the running of the society’s annual show to the committee. The names of all committee members are shown in the notes to the accounts and are subject to re-election at the AGM. All members of the committee give their time voluntarily and receive no benefits from the society. Young people, that have expressed an interest in the show, are encouraged to join the committee in order to secure the society’s long-term future and broaden the skill base of the committee.

OBJECTIVES AND ACTIVITIES

The aim of the society is to organise an annual show for the public benefit of the people of Minsterley and the surrounding area. The annual show promotes agriculture and its associated crafts through competition and educational exhibitions. The show features sections for horses, dairy and beef cattle, sheep, poultry, goats, horticulture and handicrafts. The society aims to strengthen social networks and further improve support to the agricultural community and to young rural people whilst also reaching out to the wider urban population.

The society arranges social events to further support the show financially, and involve the local community in the shows patronage

PUBLIC BENEFIT

The trustees have referred to the guidance contained in the Charity Commissions’ general guidance, on public benefiting, when reviewing the aims and objectives of the society and in planning future activities. The trustees are pleased to report that it is able to provide other charities and organisations with free trade stand space; these are namely The Harry Johnson Trust, R.A.B.I., Lingen Davies Cancer Appeal, Shropshire Rural Support.

The society sponsors, in its entirety, a “village green” area where professional entertainers entertain and educate both young and old alike. This area of the showground has always attracted considerable

interest.

On a biennial basis Bishops Castle and Onny Valley Rugby Union Football Club have the use of the main marquee and its associated infrastructure, at a greatly reduced rate, for a Sunday lunch. This is their only fund-raising venture and it ensures that the club can maintain its excellent standards of coaching and support to several teams of young players.

The show-ground rental agreement allows the society to sublet, at a reduced rate, an area of the showground to Worthen Junior Football Club which has a membership of over 200 young players.

The trustees, with committee approval, also give consideration to occasional bursaries for young people living in the area to either further their studies or to provide sponsorship for educational trips.

RISK MANAGEMENT

The trustees and society officers review the various risks facing the society on an annual basis. The trustees note that the society holds cash reserves equivalent to over two years’ expenditure and regard this as a prudent financial position.

ZERO TOLERANCE POLICY – An incident at this years Show was drawn to the Section Secretary’s attention of inappropriate treatment to an animal whilst loading and was received by letter, voice recording and video link, which was passed to the Trustees. The Trustees view such matters extremely seriously and whilst not having encountered similar incidents in the past decided as this was a disciplinary matter to suspend until further notice any further animal entries from the exhibitor concerned. This was later upheld at a General Committee meeting.

FUTURE PLANS

The Trustees are pleased to report that plans are ongoing for the staging of next year’s show, which, will be held on Saturday 19[th] August 2023.

SHOWGROUND – In 2018 a new lease was signed on behalf of The Trustees for an initial term of six years for 2019-2024. However , during 2022 a Notice to Quit was received from our Landlords. In view of the good working relationship between the two parties over a period of 28 years, it was decided not to challenge this request. The Trustees held various meetings in conjunction with The Committee , including the possibility of purchasing the existing show site. However, it was decided that after exploring this even with the help of Trustees and others financial assistance and given our reserves, which had been built up over a number of years, the local price of land was to prohibitive to consider this further.

The Trustees are happy to report that an alternative site has been secured for 2024-2026 within fairly close proximity on the B4386 just two miles from the A5. This is for a three year term and the Trustees have advised the Committee to seek a more long term proposal when possible.

TRUSTEE CHAIRMAN

On 16[th] September 2022 the current Trustee Chairman decided to step down from his roll which he had held for a number of years. At a meeting of Trustees thanks were expressed for all his hard work and input. A new Chairman will be appointed at the next meeting.

FINANCIAL REVIEW

The Society's Receipts and Payments Account for the year ended 20 September 2022 shows a surplus for

the period of £10,771. Cash reserves stood at £164,874 at the year end. The 2022 show had an excellent attendance which was reflected in gate receipts and shown in the accounts. This was aided in part by good weather and coming out of the pandemic, however as there have been a significant rise in costs, it is important that the Society do not become complacent.

INDEPENDENT EXAMINER

James, Holyoak and Parker have been re-appointed as independent examiners for the ensuing year.

INDEPENDENT EXAMINERS, REPORT TO THE TRUSTEES OF THE MINSTERLEY SHOW SOCIETY We report on the accounts of Minsterley Show Society for the year ended 20 September 2022 which are set out in the following pages. Res ective res onsibilities of the Trustees and Examiner The Trustees are responsible for the preparation of the accounts. The Trustees consider that an audit is not required for this year under Section 144(2) of the Charities Act 2011 ( The 201 l Act ) and an independent examination is needed. It is our responsibility to: examine the accounts under section 145 of the 2011 Act, to follow the procedures laid down in the general Directions given by the Charity Commission (under section 145(5)(b) of the 201 l Act, and to state whether particular matters have come to our attention. Basis of Inde endent Examiner's Re ort Our examination was carried out in accordance with General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the Charify and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a 'true and fair, view and the report is limited to those matters set out in the statement below. Inde endent Examiners, Statement In connection with our examination, no matter has come to our attention: (i) which gives us reasonable cause to believe that in any material respect the requirements to keep accounting records in accordance with section 130 of the 2011 Act, and to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 201 l Act have not been met. or (2) to which, in our opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
