About the Cleveland Sclentlflc Instltutlon (CSI)
The Institution is registered as a Cornpany Limited by Guarantee. In the event of the Institution being wound
up, each member is liable to pay an amount, not 8x¢e•JiNJ £10 for up to one year after ceasing to be
member.
The Instbtution was registered in 1923 as the Cleveland Scientffic & Tethnical Instrtution and in 1965 changèd
its name to the Cleveland Scientific Institution. It is govemed by Artides of Association adopted in 2015 and
yelaws adopted in 2020.

The Objects ￿flect that the Institution is now largely a grant gNing body wrth the aim of encouraging young
people to take up STEM subjects as a career and also to encourage research in those subjects. Membership
is open to the subscribing societies, who provide member representatives to serve ¢)n the CSI Council and
related Committees.
Objectlvo of the Instltutlon
The objects of the Institution is the advancement of Science, Technology, Engineering and Mathematics and
related subjects indudirvJ their application in education, industy and practi¢8 amongst th8 public and
professionals within the Tees Valley (currently defined as unitary authorities of Darlington, Stockton on
Tees, Hartlepool. Middlesbrough and Redcar ar¥J Cleveland and surrounding areas. induding Richmond and
Vl*hitby}.
The Council have considered the guidance contained in the Chanty Commission's general guidan￿ on public
benefrt when reviewtng ts aims and obj'ectives and in planning its future activtties.
The Institution is govemed by th8 Council, which meets regularly. assisted by a Company Secretary.
Members of the Council assist in Specific task$, and setve on various Committees which meet as requirod and
as the Institution requires from time to time.
Powers of Inveslmont and Invaslmont Policy
The Council's powers of investment are laid out by the Articles of Association. Th8S8 powers require It to
invest the monies of the Institution not immediatety required for ts purposes in or upon such investments,
securities or property as may be thought fft.
The CSI'S investments were originally in fixed interest Govemment Stock (gilts) maturing in 2032 and 2036.
These have been diversified ￿1th the aim of providiro a growing income stream (to combat inftation) bvhilst
also trying to maintsin the Current level of ts capitsl base. A fomal °Investrnent Policy and Procedures. was
implemented to Safeguard the fuiure of the Institute's investments and finanos, originally managed by the CSI
Investment Committee (reporting to the CSI Council)
In 2023 it was agreed that the day-ttrday management and reinvestrnent of all the CSI'S investments would be
delegated to Redmayne Bent￿Y LLP, with outcomes and perfonnan¢e regulady revIev￿1 by the CSI Finance
Committee {fomierly the CSI Investsment Committee). The financial year ending 30 June 2025 is the first full
year these revised arrangements have been in place. The investrnent policy principles are unchanged. The
policy and procedures are subject to review on an annual basis, revised and approved as necessary by
resolution at the CSI AGM.

Conflicts of Interest Pollcy
The Institution is mindful of the need to avoid confiicts of interest and to have a policy to 8taie its position on
the matter. Particularly in view of the fact Councillors are nominated by Member Societies, it is required that
they identify possible conflicts and go on to prevent this affecting any decision by declaring the interest.
Addttionally, where de¢isions could resutt in benefits to a counctllor this must also be d8dared. The policy
goes on to require Ih8t any potential or actual confiicts Gf interest have to be recorded in the appropriate
minutes.
Codo of Conduct Pollcy
The Institution works wtth affiliated societies and others to seek opportunities to advance STEM. It is atrways
mindful that its Trustees act in a considerate and lawful manner. To this end it has drafted a policy for its
Trustees to foll¢)w. It 8tate8 that the Tru8t8es must obey the law and abide by the rules laid down by their
Insttlute$. The Trustees should take an active part in the affairs of the CSI, attend meetings. and take part in
debates. They should also accept majority decisions and respect confidentiality of the Institution. The Policy
was agreed Members at the Annual General Meeting in November 2016.
Revlew of Ihe year
The Institution looks for opportunrties to advance the cause of the sciences through providing places and
facilities for meetings and promotions by bway of supporting le(*ures, exhibitions, and conferences especially
where these are aimed at student and scholastic bodie8 and other organiBationB supporting young people. It
also promotes sctences in schools by way of grants and attempts to ensure that othemise disadvantaged
8¢holars ar6 the target or induded in the projects so supported.
Tho Prnstiglous Locturn
The 2024-25 Prestigious Lecture took place on 3rd December 2024. It vms organised by the Cleveland
Instttution of Engineers, and was entitled °The 1952 Great Smog of London and its Implication Today.. It was
delivered by Wince Ludlow Eur Ing FIMMM. Between the 5th and 9th December 1952 a thick sulphurous
smog blanket covered much of Greater London resulling in, offirially, 4068 deaths. The history and politics
leading up to this event were di8CUB5ed together with th8 consequential legislation, its strengthening and
continued modification.
Alfred Clayton Hill and Jamos Winship Jackson Awards
The Cleveland Scientrfic Institution Afred Clayton Hill Award is presented to an outstanding final year
undergraduate student at Teesside University. who has shown most promise and drive in finding
additional STEM related skills and experience beyond their acadernic studies, for example through
voluntary work, Summer ￿3¢eMent, extra-curricular activty, etc.
In 2025 the winners of the ACH Prize (worth £600) wa5 Brad Gill. The inter4iew panel felt that
there was littte to choose betr￿en the top three candidates. hence it was decided to create a °Highly
Commended. category (£50 each) and award certificates to Daniel Milbum and Liam Simpson.
The runners up (£50 each) were Chrisb'an Molla and Khoriunzaim Daud.
The James Winship Jackson Presidential Award 1$ award8d to an outstanding final year
undergraduale student of Teesside Universty, who has completed a work placement of at least 12
weeks duration and 8hown additional initi'ative while on placement.
In 2025 the winner of the JWJ Prize (worth £600) bvas Kelly Taylor. who was the outstanding candldate
of the four. The runners up (£50 each) were James SI￿11. Matthew Pinter and Michael Penketh.

Csl Scholarshlp
The CSI Sd)olarship is awarded to a UK student of Tee8side Universty, coming from an economically
disadvantaged area (based on postcode) and demonstrating financial need in their application statemenL
Preference is given to residents within the Tees Valley (Middlesbrough, Sto¢kton-on-Tee8, Darflngton,
Hartlepool, Red¢ar and Cleveland) and Richmond and Whitby.
In 2023, the Scholarship was initiated. The first Scholar is now in her final year and due to graduate in 2026.
In 2024, there vRr8 two highty deserving candidates. Council agreed, excepttonally and wthout crealing
precedent, to fund both. The first of these students has successfully completed the first year of har Course and
is continuing her studies. The additional student has passed the first year of her degree, but she has now
decided to change to a diffe￿nt course which falls outside of the remit of the Scholarship and will therefore not
be eligible for the remaining 2 years of funding. How8ver she has d)osen to remain at Teesside University,
arKI has clearfy benefft8d from holding the scholarship for one year.

The Members of Councll (who are also Tntstees and Directors of the Cleveland Scientific Institution for the
purposes of Charity and Company Law) are re5ponsibfe for preparing the Council's Report and financial
staternerrts in accordan￿ with applicable law and United lQngdom Generally Accepted Accounting Practi￿.
Company and Charity law requires the Members of Council to prepare financial statements for each financial
year, which give a Irue and fair view of ￿ state of affairs of the Institution and of the incoming resources and
application of the same, including income and ex￿ndIture, of the Institution for that period. In preparing thos8
financial statemenls the Members of Council are required to..
select suitable accounting policte$ and then apply them con5iStently:
observe the methods and principles in the Charities SORP;
make judg8rnents and estimates that are reasonable and prudent.,
state whether applicable UK Accounting Standards hav6 been folk)wed. subjed to any material
departures disdosed and explained in the financial statements.,

The Members of the Council are responsible for keeping proper accounting records that disclose with

assets of the InstitLrtion and hen￿ for taking reasonable steps for the prevention of fraud and other

Income for th8 y8ar was £25,206 (2024.. £31,010) all of whith was from Investments- Interest from
Go￿rnment Securtties and Share Dividends. Expendlture for the year totalled £21,289 (2024: £32,700),
Including Grants werg £9,092 (2024: £23.0921 and PTize8 £3.050 (2024: £0).
The value of the Institutlon's Inveslrnents increased dudng the year broadly In line wth changes in the Fr100
index. The Investments were valued al £823,304 (2024.. £756,720). The bond which repre$￿ts the Alfred
Clayton Hlll Award lund, is now classed as medium-term Stock, so our brokers plan to liquldats and r8-inve81
the ￿ndS when appropriat8. The total value of assets is £846.581 (2024., £784,080).
During the financial year stewanlship of all investments wa8 delegated lo Ihe Institutit)n's long-standlng broker,
R8dmayne Bentley. Representatives of the Institution, in the guise of the Flnance Commlttee. have set orileria
fof the brc*er which aiffl to maintain the v81ue of the Investrnents whilsl providing sufficionl income to support
the Institutlon's a¢tlvilles and the grants whlch meet the charitable oblectlves.

I report to the Trustees on my examination of the financial statements of Cleveland S¢ientifi¢ Institution (the
charitable company) for the year ended 30m June 2025.
Responslbllities and basis of rnport
As the TnJst8es of the charitable company (and also ts director5 for the purposes of company law) you are
responsible for the preparation of the financial statements in accordance with the requirements of the
Companies Act 2006 {the 2006 Act).
Havlng satisfied myself that the financial statements of the charitable company are not required to be audited
under Part 16 of the 20[￿ Act and are eligible for independent examination, I report in respect of my
èxamination of the Gharitable company's financial ststements carried out urKler 5ectton 145 of the Charities A
2011 (the 2011 Act). In carying out my examination I have followed all the applicable Directions given by the
Charity Commission under section 145(5){b) of the 2011 Act.

I have completed my examination. I confirm that no matters have Come to my attention in conn8dion wth the
examination giving me cause to believe that in any material r8sped:

The financial statements have been PrePar￿j in accordan￿ wryth the charitable company's goveming

RecommerKled Prac11￿ appqicable to charities preparing their accounts in accordance with the Financial
Reporting Standard applicable in the UK ar)d Republ￿ of Ireland (FRS 102) (effective 1 January 2019).. The
ch8fitable company is a Public Benefft Entty a6 defined by FRS 102.
The financial statements are prepared in sterling, which is ts functional of the tharitable company.
Mone*ary amounts in the6e financial statements are rounded to the n8¥est £.
The finanrAal statements have been prepared u￿r the histori¢al cost convention. The wwKipal accounting
policies adopted are set out bek)w.

All incoming resources are induded in the SOFA when the Charity is legally entlued to the income and the
amount can be quantified with reasonable accuracy for ￿￿les. Entitlement is the earlier of the charity
being notified of an Imp￿Jing distribution or the W being received.

Resources expwthd arè recognised in the period in whith they are R880urces experKled include
attributsble VAT whith cannot be recovered. ResoLK¢es expended are alk)cated to the parttcular activity
where the costs relate directly to that activity. However. expenses such as rent or rates and energy are
