REPORT OF THE TRUSTEES for the Year Ended 31 March 2025

The trustees present their report with the financial statements of the charity for the year ended 31 March 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and activities

The aims as per paragraph 2 of The British Phycological Society constitution (2012) are as follows:

"The aims of the Society shall be to advance research and education by the encouragement and pursuit of all aspects of the study of algae and to publish the results of this research in a journal, and also in other publications which shall from time to time appear desirable, provided that all publications of the Society shall be available to the general public. In furtherance of those aims, but not otherwise, the Society shall also aim to increase public awareness of the importance and applications of algae, and to contribute to public debate on issues involving algae."

In addition, the constitution states that: "All funds acquired by the Society shall be devoted to the aims detailed in paragraph 2 above or to such associated charitable projects as may from time to time further these aims."

ACHIEVEMENTS AND PERFORMANCE

Charitable activities

To this end, the BPS has continued to give financial support to activities that promote phycological research, disseminate phycological knowledge at all levels from governmental advice to community projects, by assisting young phycologists to present their findings at scientific meetings nationally and internationally.

The BPS annual meetings provide opportunities for researchers and others interested in algae to share their knowledge and develop networks. In 2025 the 73rd BPS Annual meeting as hosted by University of Hull from 7-9th of January. Our thanks go to the local organiser headed by Prof Rodney Forster and his team. Due to unforeseen circumstances the part of AGM was delayed and was held on held on 10th January 2024. Themes/sessions at the BPS meeting were: Kelp, Freshwater, General Phycology, Estuarine Algae, Phytoplankton and Manton Prize talks. The overseas vice president talk by Prof Craig Schneider was 'Using molecular-assisted alpha taxonomy to sort macroalgae from the mesophotic zone off the Bermuda Platform'. Sponsorships for the BPS meeting was obtained from Seagrown Ltd, and Hull Marine Laboratory and Taylor and Francis. The Manton Prize talks, and Manton posters were judged at the BPS Winter meeting. Congratulations go to Hannah Thomas for 2025 BPS Irène Manton Prize for best student oral presentation: Investigating gut bacterial utilisers of a seaweed-derived common food ingredient (carrageenan) and to Priyadharshini Elanchezhian: 2025 BPS Irène Manton Prize for best student poster Optimizing Cultivation and Nutrient Enrichment for Enhanced Biomass Production in Asparagopsis taxiformis.

Our membership numbers are 480, compared to 502 in July 2023, but is higher than the membership in 2020 which was 440. Currently About 30% of membership is made up of student members. There is a membership option to have it with the European Journal of Phycology (EJP), the Society's long-established journal 24% of members take this.

Access to information about the BPS comes from the website, https://brphycsoc.org/ that Webmaster Prof Andy Davies developed and has managed for many years. Our thanks go to him as he steps down and hands over to a new team. He reports that there was an increase in website readership in 2024, with 63,766 unique visitors, an increase over the numbers for 2023 (43,181).

The BPS to meet its aims and objectives (outlined in paragraph 2 at the beginning of the report has a number of committees: Awards and Training Committee, Education and Outreach Committee, Biodiversity and Conservation Committee, Algal Applications Committee and the Finance sub-committee. In addition the BPS has representatives on associated societies: FEMS (Federation of European Microbiological Societies), FEPS (Federation of European Phycological Societies) and RSB (The Royal Society of Biology).

The reporting year for the awards and training committee was from May 2024 to February 2025 (12 months) which aligns with the accounting year, and the nominal budget allocated was £50,000. The Awards and Training Committee oversees the British Phycological Society bursaries and awards programmes, and it is Chaired by the Immediate-Past President. All the current BPS Council Ordinary Members are members of this committee, and they help to judge applications (between 4-6 members plus the Chair looked at each round of applications). In the May-Nov 2024 rounds, 16 applications were successful, totalling £35,585.54 of the nominal budget of £50,000. Awardees were from both the UK and overseas, reflecting the international composition of our membership. The Project awards for 2024-25 are supporting research in the UK (4) and Italy (1) and student presentations in Canada (5), Greece (1) and the Philippines (1) as well as 4 awards for presentations at the 2025 winter meeting. Equal opportunities monitoring for Awards and Training applications show the majority of applicants self-identified as white, heterosexual, and female, but there was some diversity in our application pool. There was some evidence of differential outcomes considering ethnicity, gender and sexual orientation with better outcomes for white, female and non-heterosexual categories. Once the awardees have claimed their awards they write articles for the BPS newsletter: The Phycologist so more information is available there.

The Phycologist is the Society's newsletter and is published twice a year. It contains the reports of awardees, it is edited by Amanda Burson and for the last 20 years was typeset by Agnès Marhadour. Agnès stepped down and our thanks for all her work in enabling the work of the BPS to be disseminated to members.

Education and Outreach Committee has developed applications and has been selected for the BPS-badged exhibition "Harnessing the power of algae for new natural products and a cleaner and more sustainable world" has been selected for inclusion at the Royal Society Summer Science Exhibition (01-06 July 2025). The exhibition will have both micro and macroalgae themed activities

Biodiversity and Conservation Committee are involved in overseeing algal identification courses including 2 freshwater ID courses in conjunction with the FBA Freshwater Biological Association, a Charophyte Identification course and BPS seaweed ID course. Previously the BPS have been part of Seaweed field meetings whose aim is to generate fuller survey records of parts of the British coast and enable people involved in this, both amateur and professional, to come together and share expertise. The committee is discussing plans for the next event linked to this. This committee oversees some publications: Brown Seaweeds (Phaeophyceae) of Britain and Ireland by Robert Fletcher, was published by Pelagic Publishing on 17 September 2024. This completes the series Seaweeds of the British Isles which was one of the initial aims of the BPS at its foundation. This particular volume is monumental in content and approach and we should express great thanks to Juliet Brodie who did enormous work in editing drafts of this title. It also checks on the The BPS species recording website, www.bpsalgalrecords.com . The committee is also involved in biodiversity monitoring (full details in the reports submitted to the AGM 2025)

Algal Applications Committee covers all aspects of applied phycology from biotechnology through to the use of algae as bioindicators and the production of algal biomass for inter alia biofuels, food, feed, nutritional supplements, and various other products of commercial value. Applied Phycology continues to gain significant momentum and this is reflected in the BPS Annual Meetings.

The Finance sub-committee membership consists of President, Past President, President elect, Treasurer and Secretary communicates via email and meets online on an ad hoc basis to make decisions in line with the societies objectives and enable the effective running of the society to meet its aims.

The society has two journals that are published by Taylor and Francis, The Society's long-established journal, the European Journal of Phycology (EJP) and the open access Applied Phycology. EJP published four issues to time in 2024 which were 500 pages in total, they represented 35 papers, rather than 39 which is current requirement with T&F. Three of the articles planned for February are already published online, with 6 more in production. There is a need to encourage shorter papers. The wide range of topics covers all aspects of phycology including applications of algae. There were 124 new submissions in 2024, including 24 reviews, which corresponds to a running acceptance rate of <35%. Many of the reviews received were AI-generated "systematic reviews" or "comprehensive reviews" that are not suitable for publication in our journal. The editors continue to offer transfers, were appropriate to Applied Phycology (AP) which is the open access journal overseen by BPS with Taylor and Francis.

The BPS journals published by Taylor and Francis have a new Portfolio Manager, Rachel Alfiero. She is based in the US and has been very helpful in dealing with the usual type of problems we encounter. Christine Maggs and Juliet Brodie have continued as joint Editors in Chief. Kate Schoenrock-Rossiter has continued in her role of Editorial Assistant to EJP and AP. EJP and AP have further strengthened their teams of Associate Editors, both in biochemistry (Rodney Forster has kindly replaced John Raven) and in AP's biomedical applications field. We have an updated list of expertise for both journals.

The Applied Phycology has an additional Managing Editor, Alla Silkina at Swansea. We published 14 papers in 2024 (volume 5), including a Special Collection on Algae at the Interface, curated by Juliet Brodie and Mikey Ross. The editors are seeking suitable areas for 2025. Inclusion in the Scopus database is an important step towards gaining an impact factor and helps with encouraging submissions.

The strategic Journal Management board continued to meet and work with some members of the Board, some BPS Council members and key members of Taylor and Francis on the reviewing the BPS contract with Taylor and Francis to publish EJP and AP. This was chaired by Paul Hayes, the new chair of the Journal Management Board.

FINANCIAL REVIEW

Financial position

A full statement of financial activities of The British Phycological Society for the year ending 31st March 2025 are presented in addition to this annual trustees' report. The financial statement has been prepared by Dr. Nicky JD Slee and independently examined by the Independent Examiner.

BPS incoming funds for the 12-month period YE 31st March 2025 was £104,493 with the majority coming from the Society's journal profit share from publishers Taylor and Francis £85,677, in addition, net incoming funds from subscriptions from members made up £7,368. The Winter meeting incoming money was £10,025 and the remainder of the income came from interest on deposits held £1,423.

Total Society expenditure for the 12-month period YE 31st March 2025 is £109,461; this amount can be allocated to four categories which included; Expenditure 1: Charitable activities £66,731, Expenditure 2: Other £29,786, Expenditure 3: Support costs £275, and Expenditure 4: Governance Costs £12,669.

Expenditures on Charitable activities included Grants, studentships award £53,026; see some specific details in Achievements and Performance above), for Specialist costs and winter meeting costs (£13,705).

The total publication expenditures for the 12-month period are: £19,163 which includes; T&F production costs for YE 2025 was £5,038, BPS expenditure costs can be further broken down into editorial (£12,000), management meetings (£63). The Society newsletter, The Phycologist, production, and distribution costs for the 12 months were £2,062. In addition, Meetings and Committee expenses during the 12 months were £10,623, the council meetings were in person, many other committees are now being held online, hence the costs were for council and committee members to attend affiliated committee meetings.

The total for the fourth category Expenditure Governance Costs for the 12-month period is £12,669: which includes website maintenance, public liability insurance subscriptions to other learned societies, executive honoraria, professional charges and bank charges. Honoraria were awarded to the following Council members: Webmaster and the Editor of The Phycologist each received £1,000, the Treasurer received £1,250 and the two Joint Editors of EJP (each received £1,500).

Net gain in funds for the BPS in March 2025 was £16,197. After including funds brought forward (held in reserve as savings) of £303,885 the total Society funds carried forward at the end of financial year 2025 is £320,082. Therefore, the Society's financial situation remains very healthy, and this has allowed the continued support of a wide range of projects and awards dedicated to algal research. The Society does not currently have a reserves policy in place; however work is in progress to develop one for approval by the trustees for the future.

Since the current treasurer and accountant have been working together with effect from the 2019 financial statements, it has been highlighted that there have been a few lines of expenditure that have been sitting within the balance sheet indicating that the expense hasn't been paid. These figures have been investigated over the last few years and in conclusion, the expense has actually been incurred but due to changes in treasurer and accountant, the reporting of these figures in the income and expenditure account occurred twice - once for the 'accrued' costs and once for the actual spend. This results in the income and expenditure account having two lots of expenditure in previous years. This has been corrected in this year's financial statements and is shown in 'Exceptional items', totalling £21,165. Of this, £3,840 relates to the accountancy charge of the previous accountant, £4,400 to the Diatom group/award, £5,650.90 to small grants and meeting costs, and £2,700 for awards for courses, travel and summer bursary. There was also £6,000 of honorarium payments that were made to individuals who held back on their payment in past years. Finally, £10,000 relates to EJP income received in advance together as part of the advanced royalties and the funds for journal management meetings.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Organisational structure

The British Phycological Society is an unincorporated association governed by a constitution, last amended in 2019. The constitution states that the membership of the society will be open to 'anyone interested in any aspect of the study of algae' and is managed by a council committee that are elected by ballot of the society members. Independent examiner's report to the trustees of The British Phycological Society

I report to the charity trustees on my examination of the accounts of The British Phycological Society (the Trust) for the year ended 31 March 2025.

Responsibilities and basis of report

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act.

Independent examiner's statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Taxation

The charity is exempt from tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
