ANNUAL REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 MARCH 2025
The Trustees are pleased lo present their Report and Financial Slatermenls of the Society for the year
ended 31 March 2025. Details of the Trustees who served during the year are shown on page 1.
ORGANISATION STRUCTURE
The TrusleÈs (who comprise the Executive Committee of the Society) meet regularly and are respDnsible
for the strategic direction and policy of the Society. They have a variety of professional backgrounds
relevant to the work of the Society.
OBJECTIVES- ACTIVITIES
The main objects of the Society, as sel out in its "Constitulion.. are as follows..
To encour3ge high standards of architecture and town planning in St John's Wood.
To stimulate public interest in and care for the beauty, history and character of St John's Wood.
To encourage the preservation, development and improvement of features of general public
amenity or historical interest in St John's Wood dnd improve its social and cultural wellbeing.
To oppose by any ieasonable means available to the Society any development in any part of St
John's Wood, which in the view of the Society would detract from the beauty. history and character
of that part or from its features of general public amenity or its historical interest.
The Society strives lo foster a close working relationship with other local amenity groLJPS.
FINANCIAL REVIEW
The Executive Committee reviews the level of income and expenditure and performance of the
investments at regular meeting5 held during the year. As shown on page 5, the financial activities during
the year resulted in a net surplus of income over expenditure of £7,09012024 £3.968).
The principal funding sources for the Society are by way of membership fees, advertising and investment
income.
The trustees actively seek to increase the number of members in pursurt of the Society's objectives.
The Executive Committee, which meets regularly, examines the Society's requirements for reserves, on
a regular basis and in the light of the main risks to the Society.
The Society adopts a prudent approach to the management of its financial reserves, combining cash
savings and charitable equity Investments. Ils policy is to hold reserves sufficient to cover at least two
years of recurring administrative expenditure. ensuring resilience and continuity in delivering its
charitable objectives.
Any requests for grants are reviewed on an individual basis by the Committee

STATEMENT OF RESPONSIBILITIES OF THE TRUSTEES AND EXECUTIVE COMMITTEE
Charity Law requires the Trustees to prepare Financial Statements for each financial year. In preparing
those financial statements, the Trustees are required to select suitable accounting policies and then
apply them consistently..
The Trustees are responsible for keeping proper accounting records which disclose with reasonable
accuracy al any time the financial position of the Charity and lo enable them to ensure that the financial
5talemenls comply with the Charities Act 1993.,
They are also responsible for safeguarding the assets of the Charity and hence lake reasonable steps
for the prevention and detection of fraud and other irregularities.

TO THE TRUSTEES OF THE ST. JOHN'S WOOD SOCIETY
I report on the accounts of The Sl. John 5 Wood Society for the year ended 31 March 2025, which are
set out on pages 5 10 7.
Respective responsibilities of trustees and examiner:
The charity's trustees consider that an audit is not required for this year under section 144 of the Charities
Act 2011 Ilhe Charities Act) and that an independent examination Is needed.

Basis of independent examiner's statement
My examination was carried out in accordance with general Directions given by the Charity Commission.
An examination Includes a review of the accounting records kept by the charity and a comparison of the
accounts presented with those records. It also includes consideration of any unusual items or disclosures
in the accounts. and seeking explanations fiom the Iruslees concerning any such matters. The
procedures undertaken do not provide all the evidence that would be iequired in an audit. and
consequently no opinion is given as lo whether the accounts present a 'lTue and fair. view and the report
is limited to those m8tters set out In the statement below.
Independent examiner's statement

ACCOUNTING POLICIES ..
lal Basis of Accounting
The financial statements of the charity, which is a public benefit enlily under FRS 102. have
been prepared in accordance with the Charities SORP IFRS 1021 'Accounting and Reporting
by Charilies.. Slatemenl of Recommended Practice applicable to charities preparing their
accounts in ac¢ofdance with the Financial Reporting Standard applicable in the UK and
Republic of Ireland IFRS 102lleffective 1 January 20151. and Financ121 Reporting Standard
102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland,. The
financial statements are prepared under the historical cost convention, as modified by the
inclusion of fixed asset investments at market value.
Ibl Investment Income
Investment income is included in the unrestricted funds when received and there are no
restrictions on ils use.
(¢1 Investments
Investments are included in the balance sheet al market value. Realised and unrealised
gains and losses are included in the ullreslricted funds.
Idl Funds
The unrestricted accumulated fvnd is available for use in accordance wilh the aims of the
society.
INVESTMENT .
The investment, shown below, is held to enable the society to fund its aclivilies as and when

TAXATION .
As a charity. the Society is exempt from tax on income and gains falling within s505 of the Taxes
Act 1988 and s256 of the Taxation of Chargeable Gains Act 1992 to the extent that these are
applied to ils charitable objects.
