STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing Document

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 1985.

The charity is governed by the Memorandum and Articles of Association, incorporated on 09 November 1927 and as amended in January 1966, 01 January 1970, 17 February 1971 and 20 June 1972.

The charity is a company limited by guarantee, the liability of the guarantors being limited to £1 each, registered in England and Wales, registration number 00225716.

OBJECTIVES AND ACTIVITIES

The objects of the charity are to herald and make known the coming again of our Lord Jesus Christ and to earnestly contend for the faith once delivered to the Saints, and in particular to all things as shall procure and tend to the dissemination and propagation in all lands of the doctrines contained in the Memorandum and Association. To make known in all lands, the gospel of our Lord Jesus Christ, to print, publish and sell any books, leaflets or literature that the association may think desirable for the promotion of its objects and to do all such lawful things as are incidental or conducive to the attainment of the objects.

Significant Activities

Our main activities are the publishing of PROPHETIC WITNESS magazine, the proclamation of our message through branch meetings, rallies, conferences, conventions and residential weekends, the sale of literature at these events and by mail order and propagation of our message worldwide via our website.

ACHIEVEMENTS AND PERFORMANCE

The long shadow of covid 19has continued to have an effect on our work in common with many other organisations and churches. It has been encouraging to see some of our branches starting up again with normal meetings but others have not begun yet. Even where branches have restarted there have been supporters who have not felt able to attend for various reasons. There are also some branches which will not restart and this is disappointing. However, we did see the launch of the new Guernsey branch at Easter which was encouraging. In May our annual Bournemouth Convention reconvened in normal fashion for the first time since covid and we were blessed once again with ministry of Dr Wayne Edwards of Georgia who took the Thessalonian epistles as the theme. In June we held our second annual Blessed Hope Conference in Staffordshire on the theme Kingdom now, not yet or never? This proved to be a successful event causing us to believe that we should continue it in the future. Our Northern branches have continued to hold their monthly Zoom rallies on line which have proved to be popular and a great blessing to those who regularly attend. We are grateful to all the speakers who have taken part and to David Raby and Dianne Schofield who have carried much of the organisational work. Also to our webmaster Nigel Murray who has recorded, edited and promoted the messages on You Tube. Dr Charles Sommerville has continued his on line meetings via Zoom reaching many people around the world with our message who would not otherwise be reached. Our overseas work through our Global representatives continues to give encouragement. In the Philippines our representative, Pastor Duane Advento works extremely hard evangelising, discipling and church planting along with ministering to the social needs through the "Feed the children" programme. We are indebted also to Dr Wayne Edwards and his Mature Ministries who have supported the work well. In Nigeria much progress in evangelism has been made through the provision of Bibles by one supporter in particular, enabling our representative, Rev Thomas Udeh to hold regular campaigns. In May our South India representative, Dr Joy Benjamin visited the UK and testified at our Bournemouth Convention on the church planting programme in Kerala and the Andamman islands which continues to be encouraging. Earlier in the year we took the decision to give to editor, Richard Salmon, the responsibility of preparing he production layout of the magazine in preparation for print. This has not only saved money but also allowed Richard to put final touches to the preparation which is noticeable. Many of our readers speak well of the magazines content and presentation and we are indebted to Richard for that. Finally, on a personal note, 2022 has been a challenging year for myself. My wife, Connie, has experienced more problems with her MS and has required more care. On top of this I have had problems with my knee which is still unresolved. Consequently I have not been able to travel and resume the heavy schedule of meetings that I was doing prior to covid. However, I do think the many supporters who I know regularly support us in prayer which is greatly appreciated. In closing may I remind all who are involved in this great work, the words of the apostle Paul who said, "And whatsoever you do, do it heartily as unto the Lord, and not unto men, knowing that of the Lord you shall receive the reward of the inheritance, for ye serve the Lord Christ". Col 3 v 23 -24

Results

Total income in year was a reduction due to no legacies and no appeal. Total expenditure in year was increased due to two conventions held in year none last and an increase in overseas support.

FINANCIAL REVIEW

Risk Management

The trustees have a duty to identify and review the risk to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

Reserves

The charity's policy is that 3 months operating costs should be held in reserves. For the year ended 31 May 2022 this is £25,103 (2021: £21,790).

PLANS FOR FUTURE PERIODS

The charity is continuing to aim and is pro-actively seeking to start up various new branches.

INDEPENDENT EXAMINER

D Smith Associates Ltd has been re-appointed as independent examiner for the ensuing year.

I report on the accounts of the company for the year ended 31 May 2022 which are set out on pages 7 to 12.

RESPECTIVE RESPONSIBILITIES OF TRUSTEES AND EXAMINER

The trustees (who are also the directors of Prophetic Witness Movement International for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.

Having satisfied myself that the company is not subject to audit under company law and is eligible for independent examination, it is my responsibility to:

BASIS OF INDEPENDENT EXAMINER'S REPORT

My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the company and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below.

1. ACCOUNTING POLICIES

Basis of accounting

The financial statements have been prepared under the historical cost convention and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008), and the requirements of the Statement of Recommended Practice 'Accounting and Reporting by Charities' issued in March 2005 (SORP 2005).

Fixed assets

All fixed assets are initially recorded at cost.

Depreciation

Depreciation is calculated so as to write off the cost of an asset, less its estimated residual value, over the useful economic life of that asset as follows:
