Structure and Governance

The Charity was created in 1940 by Charles Brotherton, Chairman of Brotherton & Co Ltd, a chemical manufacturing company. The Charles Brotherton Trust was established by a Trust Deed as an unincorporated charitable body and provided with an endowment fund by Charles Brotherton. The Trust is governed by this Trust Deed.

Organisation of the Trust

Custodian Trustees manage the investment of the Trust’s Capital Funds, as a permanent endowment fund, with the aid of professional Fund managers. The income generated is collected and passed onto the Management Trustees who are responsible for receiving appeals from potential beneficiaries, the distribution of monies received from the Custodian Trustees, and that they are used for the objectives of the charity. The Trust neither seeks nor obtains any donations from the general public.

Risks and Reserves

The Trustees rely on independent professional advice to maintain a diverse investment portfolio to minimise the risk of losses, to ensure a balance is maintained between capital growth and income generation and that the investment fund is not unduly exposed to risk. A small income reserve of less than £10,000 is maintained to ensure that an even distribution of income can be maintained for the beneficiaries. The Trust is not exposed to support beneficiaries beyond available income.

Activities during the Year

The Capital fund has continued to be invested under the professional management of Brewin Dolphin. Income generated has been distributed to 218 beneficiaries during the year.

Beneficiaries

The Trust supports education, recreational activities for youth, community centres, and the well being of the elderly. The Trust makes grants to charitable organisations that benefit the residents within geographical areas around the original chemical factories of Brotherton & Co. though they are no longer extant. The areas are Bebington (Wirral), Birmingham, Leeds, Liverpool, Wakefield and York. Emphasis is placed on supporting local based organisations. The Trust does not support individuals, nor take any part in the organisation or operation of the beneficiary organisations.

Public Benefit

The Trustees consider that the objectives and achievements of the Trust satisfy the requirements of the public benefit guidance published by the Charity Commissioners.

We report to the trustees on our examination of the accounts of the above charity (“the Trust”) for the year ended 31 March 2025.

RESPONSIBILITIES AND BASIS OF REPORT

As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

We report in respect of our examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out our examination, we have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

INDEPENDENT EXAMINERS' STATEMENT

We have completed our examination. We confirm that no material matters have come to our attention in

connection with the examination which gives us cause to believe that in, any material respect:
