2. Structure, Governance and Management
a. Nature of Governing Document
The charity was established by a Deed of Trust dated 19 July 1919 to Stokesley
Parish Council.
b. Recruitment. Appointment and Training of New Trustees
All members of Stokesley Town Council serve as trustees of the charity as part of
their duties as Town Councillors. The Secretary l Treasurer of the charity is also Clerk
to Stokesley Town Council.
Trustees serve until the date of the next Town Council election. If a Town Councillor
is not re-elected at the time of the next Town Councll electlon or resigns as a Town
Councillor, he / she is required to reslgn as a Trustee of Stokesley Town Hall Trust.

Meeting5 are routinely held on the flrst Thursday of each alternate calendar month
and are open to the members of the publlc. Exceptionally additional meetings may
be held between the usual bi-monthly meetings If there is urgent business to
transact.
The annual meeting of the Trust is held in June each year.
3. Objectives and Actlvities

The indenture of 19 July 1919 leaving the Town Hall in trust to the then Parish
Council states that it should 'be used for the benefit and advantage of the
inhabitants of the Township of Stoke51ey'.

The indenture further states Yhe Parish Council 5h311 hold the said premises for such
purposes in such manner and under such rules and regulations as they in their
discretion shall from time to time consider to be for the benefit and advantage of the
Township and inhabitants of Stokesley aforesaid including the formation and
carrying on of an Institute or place of recreation and social intercourse for the
benefit or advantage of the inhabitants of the Township of Stokesley either
gratuitously or In consideration of any money payment or on such term5 as the
Parish Council may think fit.
'The management and control of the property and affalrs of the said premises shall
be vested in the Parish Council with full power and authority at their discretion at
any tlme to appoint or make provision for the appointment of any persons (including
all or any of the Parish Council) as Committee Men or otherwise for the purpose of
the administration of the trust aforesald in such manner and subject to such rules
and regulations a5 the Parish Council may prescribe.
'For the purpose of provldSng additional funds for maintainin8 the property and of
defraying any expenses Incldental to the purposes hereof (including the provision
of furniture pictures books periodlcals 8ame5 musical instruments and the likel the
Parish Council may require such subscrlptions lif any) from all or any persons using
the premises as they shall from tlme to tlme thlnk necessary and proper and may let

The objectives of Stokesley Town Hall Trust remain wholly consistent with the
statements made in the 1919 Indenture to provide a wide range of communitv
actlvltles particularly promotin8 charitable activities. These activitie5 include the
provision of the Town Hall as a permanent community facilitv.
The Town Hall is available for hlre by Indlviduals or or8anisations In accordance with
standard hiring a8reement and scales of char8es adopted for the year. A lower
rate of charging applles to local hlrers of the faclllties and is consistent wlth the
condition in the indenture that the Town Hall shall be 'for the benefit and advantage
of the Townshlp and inhabitants of Stokesley. A hlgher set of charges applies for
commercial and trade hiring of the facilities. This assists in minimising any shortfall in
Income to meet all expenditure incurred.
Whilst It Is Intended that the overall scale of the charges should be sufficient to
generate enough income to cover all costs, this objective has not been achieved in
many of the recent financial years. Any shortfall in income compared with
expenditure is made good by the transfer of funds from Stokesley Manorial Land5
Trust (Registered Charity No.. 10232991. Stokesley Manorial Lands Trust shares a
common set of Trustees with Stokesley Town Hall Trust.

4. Achievements and Performance
The efforts of the Trustees are supported by two groups of volunteers in the
succe55ful operation of the Town Hall. These are the Town Hall Management
Advisory Committee ITHMACI and the Friends of the Town Hall {FoTHI.
The THMAC offers advice to the Trustees about the management, running and
maintenance of the Town Hall. THMAC may raise funds and invlte and receive
contributions for the benefit of the Town Hall, but does not undertake any
Substantial permanent tradin8 activity.
The THMAC consists of up to four elected members, up to nine appointed members,
with each such member representing one of the organisations regularly using the
Town Hall, and up to two co-opted members. The officials are elected at the Annual
General Meeting held during June each year. No member of the THMAC receives any
remuneration or is interested lotherwlse than as a member) in any contract entered
into by Stokesley Town Hall Trust.
The THMAC Is now timetabled to meet formally four times per year and provides
minute5 of such meetings to the next meeting of the Town Hall Trustees and the
chairman presents a report of the precedin8 year to each THMAC Annual General
Meetin8 and provldes a copy of the same report to the Town Hall Trustees,
The Town Hall Committee ITHC), with formal Terms of Reference, integrate5 the
activities ofthe Trustees and the THMAC. The THC consists of a minimum of three
members from the Trustees and three non-tru5tee members from the THMAC. The
quorum of the committee is three members from the Trustees and two members of
the THMAC. The Chairman ofthe Town Hall Trust is an ex-officio member of this
Commlttee but doe5 not have voting rights.
The THC produces, revlews and amends the Town Hall Forward Maintenance /
Improvement Programme and considers all new proposed items of expenditure. The
THC has dele8ated powers to approve Items of expenditure up to the cost of £2.000
that are included in the a8reed Town Hall Maintenance / Improvement Programme
approved by the Trustees. Any items of expenditure of 8reater value are subjett to
approval by the Trustees.
The FOTH is a less formal 8roup of volunteers. These volunteer5 also support the
Town Hall by raisin8 money for improvements from activities such as coffee
mornings and quiz evenings, helping with tasks to maintain the buildin8, and giving
tlme and advice to help its day to day running. Improvements funded in 2022123
included a new water boiler for the kitchen, a toaster and a new tombola drum.
The Trustees wish to record their appreciation of
the si8nificant ongoing contributions of time, effort and commltment made by
members of both the THMAC and the FOTH to the successful running of the Town
Hall.

the ongoing efforts of the Town Hall Stewards for their flexible working, their
attitude which benefits the presentation of the Town Hall to the public and for
their comrnitment to maintain the high decorative standard of all the room5 in
the Town Hall.
the efforts of the secretary and her deputy to secure the success of the craft fairs
and entertainment club events.
the members of the Flower Club for the provision of floral displays in the Town
Hall during the year.
The forward plan for maintenance and improvements to the Town Hall over the next
few years is regularly updated. This identifies the outline future funding
requirements and prioritises those Items which are necessary to safeguard the
building'5 Structure, to meet health and safety requlrements, and to improve the
Town Hall.
Stokesley Town Hall Trust offers four rooms for hire to sutt most needs. On the
upper floor is the Main Hall with a maximum capacity of 100 people. Attached to the
Main Hall15 the Carter Room with a maximum capacity of 28 people whSch
incorporates a bar and mini kitchen. On the ground floor is the Jack 8runton Room
and associated kitchen with a capacity of 75 people and finally the smallest room,
the Stoke51ey Room, with a capacity of up to 28 people.
Speclflc room hire depends on the number of people attendln8 each function and
room availability, Several local socleties meet in the different rooms of the Town Hall
Including Leven Arts, the Stokesley Soclety, the Women's Institute, Stokesley Prlde In
Our Town Assoclatlon, Stokesley Engineers, the PhotO8raphy Club, Probu5 and
several activity groups from the U3A. Addltlonally rooms were hired for birthday
partles (for a wide range of age51 and other family functlons, includin8 funeral teas,
and by the District and County Councils. The Town Hall a150 hosts wine tasting
evenings and evening entertainment and acts as a base for outdoor sportln8 events
and as a polling station for local elections.
The Main Hall Is normally used for a wide variety of activities by local groups. These
Include grand functions, jazz and other musical evenings, theatrical events, lectures,
art classes and exhibition5, flower club exhibition, a choir, tai chi, chair aerobics and
the local branch of Slimming World. A Jubilee celebration event was held in June
2022 h05ted by Geor8e Carter, a number of regular user clubs contributed to the
preparation for the event. The first of an occasional serie5 of quiz evenings for the
financlal benefit of the Trust wa5 held in October 2022.
The Jack Brunton Room is used for the weekly charity coffee mornlngs, Communlty
Care lunches Iserved from the associated kitchen), bingo evenings and Stokesley
Chrlstlan Fellowship meetings, yoga classes. two art classes, and ukulele classes.
The smaller Stokesley Room is used for Guitar and Acoustic classes, as a meetin
room for local organisations and committees, includin8 Town Council meetings, and
for education and trainln8 sessions.

Thanks are also due to the volunteers who run the bar in the Carter Room on
Entertainment Club evenings.
In 2021122 the Town Hall benefitted from additional groups using the facilities for
their meetlngs in the immediate post-pandemic period given some other local
alternatives venues remained closed for a longer period. Several of the group5 have
remained, citin8 the benefits of the rooms being set up ready and having a Steward
on hand.
Commercial enterprlses hire one or more rooms for events such as valuation days,
comedy evenings, weddin8 fairs, fashion sales and bed sales. The Trustees wish to
thank the Secretary and her assistant for their efforts in ensurln8 the continued
success of the second monthly craft falr on the day of the Northern Makers Market.
These two monthly Town Hall Craft Fairs and the Bi8 Mouth Comedy Club are
important sources of income to the Trust.
The trustees conslder that the above uses meet the requirements laid out in the
1919 deed of glft that the Town Hall shall be used 'for the benefit and advantage of
the Township and inhabitants of Stokesley

5. Public Benefit Statement
The Trustees are confident they have complied wlth thelr duty to have due regard to
the guidance on public beneflt published by the Charity Comrnlsslon In the exerclsing
of their powers and dutles.
6. Risk Management Statement
The Trustees consider that they have the right skllls and experience to understand
financial information, identify and manage risks. On an on8oin8 basis, the bi-monthlv
trustee meetings keep track of income and spendin8 against the bud8et.
Strategically the main foci are the protection and development of the income stream
from the hiring of rooms in the Town Hall, the control of day-to day costs of running
the Town Hall and the establishment of a longer-term expenditure plan coverlng
capital projects to malntaln the Town Hall. More detail is given in Section 7.
7. Financial Review
o. Review of Year 2022/23
No changes have been made to the room letting rates since the increases averaging
3% in the local charitable rates and approximately IO% in the local non-charitable
rates were applied from April 2017.

Income from room lettings and associated revenue in 2022123 increased as total
number of hours of room bookin85 continued to recover from the earlier Covid-19
pandemic closure restrirtions. Including the rent for the Clerk's office on the ground
floor from the Town Council of £6,248, income in 2022123 totalled £59,249 up from
£50,397 in 2021122. This compares with Income of £60,189 in 2019120 which was
largely unaffected by the Covid-19 pandemic.
Grant funding returned to more typical levels, totalling £1,494 in 2022123 down from
£8,599 in 2021122 when specific large donations totalling £7,600 were received.

Total income to the Town Hall Trust of £75,734 in 2022123 compared with £71,603 in
2021122, £48,095 in 2020121 and £87,222 in 2019120.
Total expenditure by the Trust increased from £69,350 in 2021122 to £80,026, a 15%
Increase as letting and other income generatin8 actlvitles increased. Turning to
major items of expenditure, Gross Wages and Salaries increased by 39% from
£30,706 to £42,726. The cost of Repairs and Renewals decreased from £9,853 in
2021122 to £4,964 in 2022123. Following the refurbishment of the disabled toilet on
the 8round floor in 2021122, no improvement projects were undertaken in 2022123.
The cost of Light and Heat decreased from £7,785 in 2021122 to £6,886 in 2022123
with Cleanin8 and Sundry expenses increasin8 from £4,084 In 2021122 to £5,206 in
2022123.
With a full pro8ramme of events held by the Stoke51ey Entertainment Club
expenditure increased from £7,375 in 202 1122 to £10,131 in 2022123. Thls was
matched by an increase in receipts £11,671 in 2021122 to £14.991 In 2023124, with
net income rising from £4,296 in 2021122 to £4,860 in 2022123.
There was a8ain no need for support from the Stokesley Manorlal Lands Trust in
2022123 following a similar situation in 2021122. These are the first financial years in
detailed records dating back to 1993194 that no support has been required from the
Stokesley Manorial Lands Trust for the day-to-day operation of the Town Hall and its
facilities.
Wlth no addltions In 2022123, there was a decrease in the tanglble fixed assets
represented by Fixtures and Fittings of £3.316 in 2022123 as a result of depreciation,
up from £3,302 in 2021122.
b. Reserves Pollcy
A formal Reserves Policy wa5 adopted by the Trustees on 2 October 2014. This is
based on Charlty Commission guidance. the requirements of charity law and the
Charities Commission Statement of Recommended Practice. A surnmary ofthe key
elements of the policy is provided below. A full copy of the Reserves Policy is
available from the treasurer of the frust.
The pollcy recognises that Stokesley Manorlal Lands Trust1SMLTI and Stokesley
Town Hall Trust ISTHTI share both common trustees and a common objective of

enabling the Town Hall to remaln as a permanent community facility. In recognltion
that the governing document for the SMLT expressly states the objective to support
STHT and that there is no similar statement in the STHT governing document that
permits the reverse transfer of fund5 from STHT to SMLT, the overall policy of the
Trustees is to hold the majorlty of the reserves in the SMLT.
Through the medium to longer term the Town Hall is forecast to continue to suffer
an ongoin8 shortfall of income against expenditure. Further Investment will be
required to refurbish the structure and maintain the Internal decoration of the
building.
Unrestricted reserves of up to approximately £15,000 are required to provide
ongoing support to Stokesley Town Hall Trust for approximately one year to fund the
antlclpated shortfall in Income ag31nst ongoing expenditure.
Unrestricted reserves of up to approxlmately £40,000 are lustifled for the purpose of
refurbishment of the Town Hall external fabric and internal decoration.
The Trustees will mana8e the balances held in each of the above reserve5, a5 Income
is accrued from the ongoing commerclal actlvities of Stokesley Manorlal Lands Trust
and donations are made to the Trusts and expenditure is made, in the context of the
three-year forward plan5 of each of the trusts.
The Trustee5 will seek to maintain a minimum total reserves balance of
approxlmately £40,000 across the two trusts at all times. The Trustees revlew this
policy at least annually and will decide by resolution at meetings of the trusts on
significant changes in the value of reserves held by each trust.
The Trustees consider the level of reserves currently held is necessary In order to
meet both the current and future expenditure outlined above.
8. Plans for Future Periods
To assist the Trustees in their le8al responsibillty to ensure that the Stokesley Town
Hall Trust remains solvent the main focus of efforts Is to seek to match income and
expenditure. Opportunities will continue to be examined to increase income and to
secure grant funding for suitable projects whilst the cost base will remain under
review.
The programme of enhancements to, and refurbishment of, the internal fabric and
fixtures and fittings in recent years means that only Ilmited capital expenditure will
be required in the near future to improve the appearance of the Town Hall.
However, there will be an ongoing commitment to the maintenance and servlcing of
existing facilities. One area identified is the further upgrading of the tables.
One area of concern is the impact of increased of Eas and electricity costs given the
share that utility services take of the expendlture of the Trust. These will be

monitored closely with options Investigated to mitigate the increases as well as the
potential need to review letting charges.
Opportunities to increase the attractiveness of the Town Hall to potential hirers will
continue to be identified with consideration given to their funding in the short to
medium term as resources permit. Aspirations identified for further investigation are
the provision of solar pane15 on at least some of the roof area and of some form of
air conditioning in the Main Hall. It is recognlsed such schemes would requlre careful
planning to protect the fabric and external appearance of the Town Hall, a listed
building. Significant grant funding will be a pre-requisite for what are likely to be not
inexpensive projects.
The longer-term expendlture plan for maintenance and improvements to the Town
Hall over subsequent years will continue to be reviewed and further developed. This
will be used to identify the future levels of financial support to Stokesley Town Hall
Trust from Stokesley Manorial Lands Trust.
9. Statement of Trustees, Responsibilities
The Trustee5 are responsible for preparing the Trustees, Annual Report and the
financial statements in accordance with applicable law and United Kingdom
Accountin8 Standards Iunlted Kln8dom Generally Accepted Accounting Practice).
The law appllcable to charStles in England and Wales requires the Trustees to prepare
financlal statements for each financial year which give a true and fair view of the
financial positlon of the charlty and of the Incomin8 resources and application of
resources of the charity for that year. In preparlng these flnancial statements the
trustees are required to..
select suitable accountin8 policies and then apply them consistently,.
observe the method5 and principles in the Charities SORP,.
make judgements and estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards have been followed, subject to
any material departures dlsclosed and explained in the financial statements; and
prepare the financial statements on the going concern basis unless it is
inappropriate to presume that the charity will contlnue In operatlon.
The Trustees are responsible for keeping proper accounting records which disclose
with reasonable accuracy at any time the flnancial position of the charity and enable
them to ensure that the financial statements comply with the Charities Act 2011 and
the Charity (Accounts and Reports) Regulation5 2008. They are a150 responsible for
safeguarding the assets of the charity and hence for taklng reasonable steps for the
prevention and detection of fraud and other irregularities.

I report to the trustees on my examination of the financial statements of Stoke51ey
Town Hall Trust I'the charity'l for the year ended 31 March 2023.
a. Respertive Responsibilities OA Trustees and Independent Examiner
As the trustees of the charity, you are responsible for the preparatlon of the financial
statements in accordance with the requirements of the Charlties Act 20111'the Act,).
I report In respect of my examinatlon of the charity's financial statements carried out
under sectlon 145 of the 2011 Act and in carrylng out my examination I have
followed all the applicable Directlons given by the Charity Commission under sertion
14515llbl of the Act.
b. Independent Exominer 5 Statement
I have completed my examination. I confirm that no materlal matters have come to
my attention in connettion with the examination giving me cause to belleve that In
any material respect:
l. accounting records were not kept In respect of the charity as requlred by
section 130 of the Act; or
2, the flnancial statements do not accord with those records,. or
3. the financlal statements do not comply with the applicable requirements
concernin8 the form and content of accounts set out in the Charities
(Account5 and Reports) Regulations 2008 other than any requirement that
the accounts glve a 'true and falr, view whlch is not a matter consldered a5
part of an independent examination.
I have no concerns and have come across no other matters In connection wlth the
examlnation to whlch attention should be drawn in this report in orderto enable a

l. General infvrmation
The charity is a public benefit entity and a registered charity in England and Wales
and is unincorporated. The address of the principal office is The Town Hall,
Stokesley, North Yorkshire, T59 5DG.
2. Statement OA compllance
These financial statements have been prepared in compliance with FRS 102, 'The
Financial Reportin8 Standard applicable in the UK and the Republlc of Ireland,. the
Statement of Recommended Practice applicable to charlties preparin8 thelr accounts
In accordance with the Financial Reporting Standard applicable in the UK and
Republlc of Ireland IFRS 102} Icharlties SORP IFRS 10211 and the Charities Act 2011,

Basls of preparatlon
The financial statement5 have been prepared on the h15torlcal cost basis, as modifled
by the revaluation of certain financial assets and liabilities and investment properties
measured at fair value throu8h Income or expenditure.
The financial statement5 are prepared in sterling, which is the functional currency of
the entltv.
Goin8 concern
There are no materlal uncertalntles about the charity's ability to continue.
Dlsclosure exemptlons
The entity satisfies the criteria of being a qualifying entlty as defined in FRS 102. As
such, advantage has been taken of the followlng dlsclosure exemptlons avallable
under para8raph 1.12 of FRS 102:

Judgements and key source5 of e5tlmation uncertainty
The preparation of the financial 5tatement5 requires mana8ement to make
lud8ements, estimates and assumptions that affect the amounts reported. These
estimates and judgements are continually reviewed and are based on experience
and other factors, including expectations of future events that are believed to be
reasonable under the circumstances.
Fund accounting
Unrestricted funds are avallable for use at the dlscretlon of the trustees to further
any of the charity's purpose5.
De5i8nated funds are unrestricted funds earmarked by the trustees for partlcular
future project or commitment.

Restrlcted funds are subjected to restrictions on their expenditure declared by the
donor or through the terms of an appeal, and fall into one of two sub-classes:
restricted income funds or endowment funds.
Incorning resources
All income Is included in the statement of financial activities when entitlement has
passed to the charity, it Is probable that the economic benefits associated with the
transaction will flow to the charity and the amount can be reliably measured. The
followlng specific policies are applied to particular categorie5 of income:
income from donations or grants is retognised when there is evidence of
entitlement to the gift, receipt 15 probable and its amount can be measured reliably.
income from contracts for the supply of Services is recognised with the delivery of
the contracted service. This15 classifled as unrestricted funds unless there is a
contractual requirement for It to be spent on a partlcular purpose and returned if
unspent, in which case It may be regarded as restrlcted.
Resources expended
Expenditure is recognised on an accruals ba515 as a Ilability15 incurred. Expendlture
includes any VAT whSch cannot be fully recovered, and Is classified under headings of
the statement of financial activities to which it relates:
expendlture on raising funds includes the costs of all fundraisln8 actlvities, events,
non-charitable trading activities, and the sale of donated 8oods.
expenditure on charltable activitie5 includes all costs incurred by a charity in
undertaklng actlvltles that further Its charltable aims for the benefit of Its
beneficlarie5, including those support costs and costs relatin8 to the 8overnance of
the charity apportioned to charltable activities.

for the charity nor part of its expenditure on charitable activltles.
