The minutes of the Fifty Fifth Annual General Meeting had been circulated with the Agenda, Annual Report and Financial Statements. These were proposed be accepted as a correct record by Ms J Goff and seconded by Mrs S Hollingworth.

3 Chair’s Report

This had been circulated with the Annual Report. Ms Javin also added that this had been a year of transition back from holding meetings online and also the exchange of positions by Ms Stott and Mr Haigh.

4 Honorary Treasurers Report .

The Huddersfield Common Good Trust’ incorporates several charities. The two main charities are The Huddersfield Common Good Trust and The Huddersfield Relief in Sickness. The charities’ funds are invested in stocks and shares to provide income for distribution to local charitable groups. Today I am reporting on the year ended 31[st] March 2022.

I have printed a summary sheet covering all the main figures from the accounts for the last 3 years. My report will follow the summary.

I can report that the total income received by all the associated charities has risen significantly from the previous year to £63,723 (£52,350). There were no legacies received in the year. The total grants paid out has also increased to £34,515 from £32,888. This is still a lot less than the previous year, as applications for grants fell during the pandemic lockdowns. Any income remaining at the end of one year can be carried forward to give away in the future. The market value of all the investments held at 31[st] March 2022 had risen to a total of £1,749,000 from £1,653,839 last year with a continued rebound of confidence following the impact of the coronavirus pandemic.

Looking at the individual charities, for the year ended 31[st] March 2022, The Common Good Trust has total income of £37,444. After expenditure and grants this left a surplus of £3,836. There was a surplus on disposal of investments of £15,032 which gives an overall surplus of £18,868. This has been added to the Trust Funds. The Common Good Trust Fund stands at £793k.

The Huddersfield Relief in Sickness Charities had income of £25,411. After expenditure and grants this left a surplus of £8,054. There was a surplus on the disposal of investments of £18,402 which leaves an overall surplus of £26,456. This has been added to the Trust Capital, which now stands at £572k.

The market value of the investments held in all the charities at 31[st] March 2022 has risen to £1,749,000. However, it had fallen to £1,645,000 by 16[th] September. It should be remembered that it is the income generated by the investments which is most important to us. The estimated income for this year was £56,000, and again income received exceeded this at nearly £64,000. The estimated income for the current year is nearly £70,000.

As I always seem to say, there is great uncertainty in the financial markets! Covid followed by Russia’s invasion of Ukraine has continued this. We are now faced with rising inflation, which the experts do not agree on what is its cause. If we don’t know what has caused the inflation the cure is uncertain. However to counter this inflation central banks are raising interest rates. To add to this was the recent budget which has upset the markets. This has had a knock on effect on exchange rates. This will cause imported goods, especially from USA to be more expensive.

The investments are held in Government stocks and a well-balanced diversified range of blue chip investments. Our investment advisors feel that we have a solid portfolio, which should maintain its capital value over the longer term, whilst the level of income is reasonably stable at the present. The organisations we support will also be suffering in this crisis and many will need financial help. I feel that the income we will receive will be sufficient to enable us to help those organisations we would like.

I would like to thank Julian Holdroyd, who has carried out the task of Independent Examiner of the charities’ accounts this year.

It was proposed by Ms E Oldfield and seconded by Ms J Goff that the Treasurer’s report and the accounts for the year to 31[st] March 2022 for both the Huddersfield Common Good Trust and the Huddersfield Relief in Sickness Charities be adopted. This was carried without dissent.

6 Appointment of Independent Examiner of Accounts

Although unable to attend the meeting Mr Holdroyd had intimated that he was willing to continue as the charities’ Independent Examiner. It was proposed by Mr Hoyle and seconded by Mr Butterworth that he be reappointed.

7 Any Other Business

Thanks were given for grants received by representatives of the following groups: -

Precis of Objects

Huddersfield Common Good Trust

The objects pursued by the Trustees are to apply the income of the Trust monies for any charitable purposes directed wholly or mainly for the benefit of groups within the County Borough of Huddersfield or in the immediate neighbourhood thereof.

Huddersfield Relief in Sickness Charities

The objects pursued by the Trustees are to apply the income of the monies of the charities for any charitable purposes directed wholly or mainly for the benefit of groups, within the County Borough of Huddersfield or in the immediate neighbourhood thereof, whose members are sick, convalescent, disabled, handicapped or infirm, etc.

Huddersfield Cinderella Society and E. Austen Johnson Trust Fund

The objects pursued by the Officers are to brighten the lives and alleviate the conditions of the poor and neglected children, and also the adult poor (without regard to religious or political opinions), of Huddersfield and District in all such ways and by all such means as from time to time may be deemed necessary.

Statement of Trustees’ Responsibilities

Law applicable to charities in England and Wales requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity at the end of the year and of its financial activities during the year then ended. In preparing those financial statements, the Trustees are required to:-

The Trustees are responsible for keeping accounting records which disclose with reasonable accuracy the financial position of the charity and which enable them to ensure that the financial statements comply with the Charities Act 2011. They have general responsibility for taking such steps as are reasonably open to them to safeguard the assets of the charity and to prevent and detect fraud and other irregularities.

The Huddersfield Common Good Trust (HCGT) and its associated charities continue to pursue charitable purposes focused on benefitting groups within the local community, just as they have since their inception.

This year though, perhaps more than in any other in recent history, attention has also had to be directed continually to world events. The charities ability to make grants rests on the stewardship of its investments. Revenue raised from those investments enables the charities to address the needs of charitable and voluntary organisations in our area.

Volatility in the investment sector is expected and is part of the balancing act the charities have to consider when working with investment managers Investec to ensure the long-term security of funds whilst securing the income needed to deliver our grant-giving objectives.

But this year, the war which has devastated Ukraine has had a worldwide impact. Part of that impact was seen in the economic effect on world food and energy prices which followed the invasion of Ukraine and that in turn presented an extraordinarily challenging set of financial circumstances for charities such as ours which depend on the investment sector for income.

The trustees have continued to consult and take advice from Investec and agreed to maintain the charities long-term investment strategy one which, despite a remarkably tough economic background, has served the organisation well. Our thanks to Investec for continuing guidance and support.

During the Covid pandemic, fewer organisations were able to continue their charitable work in the usual way and this resulted in fewer grant applications. This has now righted itself with a growing number of applications from the many organisations wanting to undertake major facility improvements including extensions and refurbishments.

The charities have contributed to flood defences for one sports club and ironically perhaps, to an irrigation system for another illustrating the geographical spread in the area covered by the charities. We have contributed towards pavilion developments at clubs seeking to increase participation in sport by women and girls, helped voluntary groups pay for new roofing, fencing, solar panels, boiler replacements and kitchen equipment as well as artificial pitches and nets to extend playing facilities for other clubs. Computer equipment to improve outreach and welfare support of asylum seekers also featured in our grant giving.

During the year, the Trust has awarded grants totalling £73,585 to 19 groups compared with a total of £34,515 grants to 18 groups in the previous financial year. None of our work would be possible without the continuing dedication of a small group of trustees who, in addition to meetings, are regularly called on to visits groups to further the application process. My thanks to all the trustees whose broad skill set offers experience of many of the sectors that we strive to serve.

The Trust is immensely grateful too to our incoming secretary Susan Stott whose first year in the post has seen a substantial amount of work migrating paperwork and working practices in the handover from our previous secretary Tony Haigh. All our working partners including advisors and the Charity Commission have been notified of the changes.

Susan’s appointment coincided with a shift in the Trust’s approach to storage and retention of documentation partly in response to availability of storage at our usual meeting place, Huddersfield Mission.

Trustees agreed on a five-year retention policy for application paperwork with the addition of documents regarding two major charities due to the specific nature of grants made to them. This will continued to be reviewed for best policy. Historic documents are being catalogued by the chair and offered as additions to the West Yorkshire Archive Service which currently holds a collection of documents from HCGT and its associated charities.

During the year, the Trust received a number of notable donations from families with long associations with the Huddersfield area. The Brook Charitable Trust on winding down its own work in the area, kindly donated £78,000 to HCGT. Our thanks to them for their generosity which will allow us to continue to work with the charitable and voluntary organisations across our community in Huddersfield, echoing in many ways the work done by the Brook Charitable Trust.

Members of another Huddersfield family, whose ancestor was a trustee of HCGT in 1909, gifted a total of £11,875 including Gift Aid recouped from HMRC, in his memory. Our thanks to them for a gift which underlines the length of service the charities have given to our community and reflects our privilege as trustees in being able to guard and continue that work for and into the future.

The Trust was saddened by the death early in 2023 of Mr Julian Holdroyd who had acted as its Independent Examiner for a number of years. We are grateful for his support and counsel over the years. The treasurer, Peter Hoyle with the chair and secretary were tasked with seeking a new Independent Examiner.

Accounting Policies

For the year ended 31[st] March 2023

The accounting policies used by each of the above Trusts in preparing the financial statements, which have been prepared under the Historical Cost Convention, are set out below.

i) Investments

Investments are stated at cost. Provision is made for any estimated permanent diminution in value. Profits/(Losses) on realisation of investments are dealt with in the Income and Expenditure Account.

All investments are held in the name of Scarwood Nominees Limited.

ii) Income

Dividends, other income and legacies are included in the Income and Expenditure Account at their gross amount on a receipts basis.

iii) Grants

Grants are approved by the Trustees and included in the accounts on a cash paid basis.

Minutes

The minutes of the Annual General Meeting held on the 11th October 2021 were read and accepted as correct. Proposed by Ms Goff and seconded by Ms Oldfield.

Treasurer’s Report

For the year ending 31 March 2022 the fund has made a surplus of £133. There was no adjustment to the value of Investments this year. Investment income shown in the accounts is the same as 2021 at £858. The only administration expense is commission paid which was similar to the previous year at £285. One grant of £450 was agreed in the year. The net surplus of £133 has been added to the Trust Capital which stands at £49,395.

The value of the investment fell from £48,106 to £46,264 and is all held in Government Stocks. These stocks are very safe but have not performed well in the recent market conditions. Otherwise the fund is in a healthy position.
