## **Report of the trustees for the year ending 30th June 2023** 

The trustees, who are also directors of the charity for the purposes of the Companies Act, present their Annual Report and the Financial Statements for the year ended 30th June 2023. 

## **Objects of the Charity, Principal Activities and Organisation of Our Work** 

The charity is constituted as a company limited by guarantee and is therefore governed by a Memorandum and Articles of Association. 

The charity’s object and its principal activity continues to be that of promoting, maintaining, improving and advancing education and the performing arts - drama, dancing, singing and music. This involves young people, from the age of seven, as well as adults. 

The charity is organised so that the trustees, known as the Executive Committee, meet regularly to manage its affairs. 

The trustees have paid due regard to guidance on public benefit issued by the Charity Commission in deciding what activities the charity should undertake. 

## **Structure, Governance and Management** 

The organisation is a charitable company limited by guarantee, incorporated on 5th October 1956 and registered as a charity on 24th September 1963. The company was established under a Memorandum of Association, which established the objects and powers of the Charitable Company and is governed under its Articles of Association. In the event of its being wound up, members are required to contribute an amount not exceeding one pound.. 

The Trustees for the purpose of charity law and under the company’s articles are elected onto the Executive Committee for a period of one or three years at the Annual General Meeting. 

## **Developments, Activities and Achievements** 

The season began with a performance of _The Ladykillers_ by Graham Linehan in October 2022. The complex set was splendidly built by the MLT backstage team. 

The production was nominated for a National Operatic and Drama Association award for ‘Best Play’. The awards ceremony will be in October 2023. 

In March 2023 _The woman who cooked her husband_ by Debbie Issit was performed. This play was a directorial debut for one of our members. Another of our members will be directing for the first time next season. We are very pleased to have new directors. 

_The Hound of the Baskervilles_ followed in May 2023. This was a gloriously funny version of Sir Arthur Canon Doyle’s story by Steven Canny and John Nicholson. It was a very lively production with just three actors playing fourteen characters. 

Two of our actors were nominated for individual NODA  awards. 

All plays attracted good audiences and made a profit. 

Sadly we were not able to go ahead with the planned production in the Studio at the end of the season. A variety show was put together entitled _Party Pieces._ This proved to be very popular and there were requests to make it an annual event. 



The company youth section, Middlesbrough Youth Theatre, has had another successful year. Since last June they have been busy with four performances. In November 2022 they performed _MYT Through the Years,_ a wonderful collection of songs from past MYT shows, staged in a concert setting. Following this the Year-10+ students had the opportunity to perform _Everybody’s Talking About Jamie,_ the smash hit musical that took the North East by storm. The production was nominated for a NODA Best Musical award and two cast members were nominated for individual awards. The older students put on a play _Spring Awakening_ in the Studio at the end of the season. The students themselves were involved in every aspect of the production. There were some very strong performances with lots of energy and tickets were sold out on the first and last nights. 

The group for the youngest members of MYT, Kidstage, were in the Middlesbrough Theatre in July 2023. This was their second time in the theatre. The very talented large cast performed a version of Disney’s _Aladdin._ All three nights sold out at the box office. 

Currently MYT has around a hundred members with a further hundred on a waiting list. The leaders are keen to take on more students, but lack of rehearsal space is preventing this. Our home, Toft House, has limited space so other venues have to be hired for rehearsals. 

## **Future Developments** 

We will continue with our usual programme of four productions a year, one in our Studio theatre and three in Middlesbrough Theatre. _Go Back for Murder_ by Agatha Christie will be performed in October 2023. _The Thrill of Love_ by Amanda Whittington, _Time and Time Again_ by Alan Ayckbourn, _The Memory of Water_ by Shelagh Stephenson and _A Bunch of Amateurs_ by Ian Hislop and Nick Newman have been chosen for 2024. 

MYT are performing _Elf the musical_ by Chad Beguelin and Matthew Skylar in November 2023. 

In November 2022 Middlesbrough Council commissioned a full-scale survey of our premises. As a result of this a great deal of work has had to be carried out in the building – including installing fire doors and upgrading the alarm system. We can no longer keep our extensive wardrobe department in Toft House and have had to considerably reduce its size and find alternative accommodation for the remaining costumes. This situation will make difficulties in costuming our plays in the future and so will restrict our choice of plays. 

## **Investments policy and returns** 

Under the Memorandum and Articles of Association, the charity has the power to make any investment which the trustees see fit. The trustees have considered the most appropriate policy for investing funds is in building society and bank accounts. 

## **Reserves** 

The present level of funding is adequate to support the continuation of the productions in the theatre. It is the policy of the charity to maintain unrestricted funds at a level which equates to over twelve months expenditure, providing sufficient funds to cover management and administration. 

## **Directors and Trustees** 

All trustees are also directors of the company and, currently, there are two other directors. 



## **Risk management** 

The trustees actively review the major risks which the company faces on a regular basis and believe that maintaining reserves at current level, combined with an annual review of the controls over key financial systems, will provide sufficient resources in the event of adverse conditions. The trustees have also examined other operational business risks faced by the Charity and confirm that they have established systems to mitigate the significant risks. 

## **Statement of Trustees responsibilities** 

Company law requires the Trustees prepare financial statements for each financial year which give a true and fair view of the state of the financial activities of the Charity and its financial position at the end of that year. In preparing those financial statements, the Trustees are required to;- 

- Select suitable accounting policies and then apply them consistently 

- Make judgments and estimates that are reasonable and prudent 

- State whether the policies adopted are in accordance with the Companies act 2006 and with applicable accounting standards and statements of recommended practice subject to any material departures disclosed and explained in the financial statements 

- Prepare the financial statements on the going concern basis unless it is inappropriate to assume that the Charity will continue in operation 

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I have completed my examination, I confimi that no material matters have come to my attention in
connection with the examination giving MÈ cause to to believe that in any material respect:
