The Directors of the corporate Trustees (‘the Trustees’) present their annual report with the financial statements of the Charity for the year ended 5 April 2025. These have been prepared in accordance with the Trust Deed and the Statement of Recommended Practice - 'Accounting and Reporting by Charities'.

Objectives and activities

The objectives as specified in the Trust Deed are to hold the Charity property and income thereof upon such charitable trusts and for such charitable purposes as the Trustees shall from time to time determine.

Achievements and performance

It is the intention of the Trustees to continue supporting worthy causes, in accordance with the aims and objectives of the Charity.

Financial review

During the year the Charity income was £242,886 (2024: £1,336,066). After charitable donations and support costs, the net outgoing resources amounted to £464,967 (2024: £1,070,655 net incoming resources). The designated funds (held for investment) are under the management of McInroy and Wood Ltd in order to provide a growing income stream for the Charity. In the current year the unrealised loss on the market value of these investments was £407,125 (2024: £128,475 unrealised gain). Charitable donations for the current year totalled £661,771 (2024: £229,477).

The restricted capital fund represents the investment held by the Charity in Crerar Holdings Limited.

Investment Policy

The Charity's investments are split between their shareholding in the related party Crerar Holdings Limited and a portfolio of investments managed by McInroy and Wood Ltd. The performance of the investments is reviewed regularly by the Trustees. During the year to 5 April 2025 the value of the investments decreased by £399,619 (2024: £178,357 increase).

Risk

The Trustees have assessed the major risks to which the Charity is exposed, in particular those related to the operation and finances of the Charity and are satisfied that systems are in place to mitigate their exposure to the major risks.

The Charity relies partly on its investment returns in order to meet its financial commitments, therefore one of the principal risks faced by the Trust lies in the performance of its investments. The Trustees have mitigated this by the appointment of professional investment managers to advise them, by having a balanced investment strategy, having a diversified portfolio and by ensuring that the portfolio is sufficiently liquid to meet obligations in the event of a down-turn in financial markets and/or default.

Reserves Policy

The Trustees have established a policy whereby, following their meetings, only minimal unrestricted reserves are maintained to meet the day-to-day running costs of the Charity. Free reserves relate to cash at bank and total £2,931,490 (2024: £887,871).

Structure, governance and management

The Charity is constituted under a Trust Deed dated 2 September 2021.

The constitution of the Charity requires that there shall be not less than three nor more than five Trustees (or directors of the trust companies), with the usual number of Trustees being three. The Trustees have the power of appointing new Trustees and must meet at least once a year.

The Charity has a council to advise and provide recommendations to the Trustees as to particular charitable grants that might be appropriate for the Trust. The Trustees may invite members of council to attend meetings of the Trustees to present their grant recommendations.

The Trustees may use the Trust's property for any charitable purpose or for the general management of the Charity.

The Trustees are continuing to develop policies and procedures for the induction and training of Trustees.

The Trustees confirm that they have referred to the guidance contained in the Charity Commissions’ general guidance on public benefit when reviewing the Charity's aims and objectives and in planning future activities and setting the grant making policy in the year.

Going concern

The Trustees have no material uncertainties as to the Trust’s ability to continue as a going concern.

Key management personnel and remuneration policy

The Trustees consider the board of Trustees as comprising the key management personnel of the Charity in charge of directing and controlling the Charity and running and operating the Charity on a day-to-day basis. All Trustees give of their time freely and no trustee remuneration was paid in the year. Details of trustee expenses and related party transactions are disclosed in notes 6 and 14.

Statement of Trustees' responsibilities

The Trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales, and Scotland, requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the Charity and of the incoming resources, including the income and expenditure, and application of resources of the Charity for that period. In preparing these financial statements, the Trustees are required to:

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended) and the provisions of the Trust Deed. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Statement of disclosure to auditors

So far as the Trustees are aware, there is no relevant audit information of which the Charity's auditors are unaware. Additionally, the Trustees have taken all the necessary steps that they ought to have taken in order to make themselves aware of all relevant audit information and to establish that the Charity's auditors are aware of that information.

We have audited the financial statements of The Crerar Trust for the year ended 5 April 2025 which comprise the Statement of financial activity, Balance sheet, statement of cashflows, and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor’s responsibilities for the audit of the financial statements section of our report. We are independent of the Charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the Trustees’ use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Charity’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Responsibilities of Trustees

As explained more fully in the Trustees’ Responsibilities Statement set out on page 7, the Trustees are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the Trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the Trustees are responsible for assessing the Charity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Trustees either intend to liquidate the Charity or to cease operations, or have no realistic alternative but to do so.

Auditors’ responsibilities for the audit of the financial statements

We have been appointed as auditors under the Charities Act 2011 and the Charities and Trustee Investment (Scotland) Act 2005 and report in accordance with regulations made under those Acts.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditors’ report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The specific procedures for this engagement and the extent to which these are capable of detecting irregularities, including fraud are detailed below.

Identifying and assessing risks related to irregularities:

We assessed the susceptibility of the Charity’s financial statements to material misstatement and how fraud might occur, including through discussions with the Trustees, discussions within our audit team planning meeting, updating our record of internal controls and ensuring these controls operated as intended. We evaluated possible incentives and opportunities for fraudulent manipulation of the financial statements. We identified laws and regulations that are of significance in the context of the Charity by discussions with Trustees and updating our understanding of the sector in which the Charity operates.

Laws and regulations of direct significance in the context of the Charity include the Charities Act 2011, the Charities and Trustee Investment (Scotland) Act 2005, the Charities (Accounts and Reports) Regulations 2008, the Charities Accounts (Scotland) Regulations 2006 (as amended) and guidance issued by the Charity Commission for England and Wales and the Office of the Scottish Charity Regulator.

Audit response to risks identified:

We considered the extent of compliance with these laws and regulations as part of our audit procedures on the related financial statement items including a review of financial statement disclosures. We reviewed the Charity’s records of breaches of laws and regulations, minutes of meetings and correspondence with relevant authorities to identify potential material misstatements arising. We discussed the Charity’s policies and procedures for compliance with laws and regulations with members of management responsible for compliance.

During the planning meeting, the engagement team discussed the key areas which might involve noncompliance with laws and regulations or fraud. We enquired of management whether they were aware of any instances of non-compliance with laws and regulations or knowledge of any actual, suspected or alleged fraud. We addressed the risk of fraud through management override of controls by testing the appropriateness of journal entries and identifying any significant transactions that were unusual or outside the normal course of business. We assessed whether judgements made in making accounting estimates gave rise to a possible indication of management bias. At the completion stage of the audit, the engagement partner’s review included ensuring that the team had approached their work with appropriate professional scepticism and thus the capacity to identify non-compliance with laws and regulations and fraud.

There are inherent limitations in the audit procedures described above and the further removed noncompliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it. Also, the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or through collusion.

The accompanying accounting policies and notes form an integral part of these financial statements.

1 Principal Accounting policies

The financial statements have been prepared on the historical cost basis of accounting with the exception of investments which are carried at market value. The financial statements have been prepared in accordance with the Statement of Recommended Practice – Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended).

The financial statements have been prepared under the historical cost convention except that the listed investments are revalued annually.

The Trust constitutes a public benefit entity as defined by FRS 102.

The financial statements are prepared in Sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

Compliance with accounting standards

The financial statements are prepared in accordance with applicable United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), which have been applied consistently (except as otherwise stated).

Going concern

The financial statements have been prepared on a going concern basis. The Trustees have assessed the Charity’s ability to continue as a going concern and have reasonable expectation that the Charity has adequate resources to continue in operational existence for the foreseeable future. Thus, they continue to adopt the going concern basis of accounting in preparing these financial statements.

Investments

Listed investments are a form of basic financial instrument and are initially recognised at their transaction value and subsequently measured at their fair value as at the balance sheet date using the closing quoted market price. The Statement of Financial Activities includes the net gains and losses arising on revaluation and disposals throughout the year.

The Charity does not acquire put options, derivatives or other complex financial instruments.

The main form of financial risk faced by the Charity is that of volatility in equity markets and investment markets due to wider economic conditions, the attitude of investors to investment risk, and changes in sentiment concerning equities and within particular sectors or sub sectors.

Loans are recorded at cost and assessed for recoverability at the end of each reporting period.

Fixed Assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Land is not depreciated

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Realised / unrealised gains and losses

All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and opening market value (purchase date if later).

Unrealised gains and losses are calculated as the difference between the market value at the year end and opening market value (or purchase date if later). Realised and unrealised investment gains and losses are combined in the Statement of Financial Activities.

Financial instruments

The Charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments. Financial instruments are recognised in the Charity’s Balance Sheet when the Charity becomes party to the contractual provisions of the instrument. Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other debtors, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Other financial assets

Other financial assets, including investments in equity instruments which are not subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the transaction price. Such assets are subsequently carried at fair value and the changes in fair value are recognised in the Statement of Financial Activities, except that investments in equity instruments that are not publicly traded and whose fair values cannot be measured reliably are measured at cost less impairment.

Impairment of financial assets

Financial assets, other than those held at fair value through the Statement of Financial Activities, are assessed for indicators of impairment at each reporting end date. Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected. The impairment loss is recognised in the statement of financial activities.

De-recognition of financial assets

Financial assets are de-recognised only when the contractual rights to the cash flows from the asset expire, or when the Charity transfers the financial asset and substantially all the risks and rewards of ownership to another entity.

Classification of financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the Charity after deducting all of its liabilities. Basic financial liabilities, including trade and other creditors are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest.

De-recognition of financial liabilities

Financial liabilities are de-recognised when, and only when, the Charity’s obligations are discharged, cancelled, or they expire.

Fund accounting

Restricted funds are used for specified purposes laid down by the donor. Unrestricted funds are donations and other incoming resources received or generated for expenditure on the general objectives of the Charity. Designated funds are unrestricted funds which have been designated for specific purposes by Central Council.

Incoming resources

All income is recognised once the Charity has entitlement to the income, there is sufficient certainty or receipt and so it is probable that the income will be received, and the amount of income receivable can be measured reliably.

Donations are recognised when they have been communicated and received in writing with notification of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance before the Charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the Charity, and it is probable that those conditions will be fulfilled in the reporting period.

Legacy gifts are recognised on a case-by-case basis following the granting of probate when the administrator/ executor for the estate has communicated in writing both the amount and settlement date.

In the event that the gift is in the form of an asset other than cash, or a financial asset traded on a recognised stock exchange, recognition is subject to the value of the gift being reliably measurable with a degree of reasonable accuracy and the title to the asset has been transferred to the Charity.

Income from investments

Investment income comprises dividends and interest receivable on listed investments.

Resources expended

Expenditure is recognised on an accruals basis as a liability is incurred.

  1. Costs of raising funds are those costs incurred in attracting voluntary income, and those incurred in trading activities that raise funds.

  2. Charitable activities comprise those costs incurred by the Charity in the delivery of its activities and services for its members.

  1. Governance costs include those costs associated with meeting constitutional and statutory requirements and include the audit fees and costs linked to the strategic management of the Charity.

  2. Support costs have been allocated between governance costs and other support costs. Governance costs include those costs incurred in the governance of the Trust and its assets and are primarily associated with constitutional and statutory requirements. All costs are allocated between the expenditure categories of the Statement of Financial Activities on a basis designed to reflect the use of resource. Costs relating to a particular activity are allocated directly. The method of allocation is unchanged from the previous year.

2 Taxation

On the basis of these financial statements, no provision has been made for corporation tax.

The council did not receive any remuneration for their services as members of the council during the year. In addition to the Clerk's honorarium of £11,896 (2024: £10,867) the Clerk received a total of £6,444 (2024: £2,132) for reimbursement of travel, subsistence, telephone, postage, and sundry running expenses during the year.

All charitable activities in 2025 and 2024 relate to unrestricted funds.

The Crerar Trust owns 56.02% of the called-up share capital of Crerar Holdings Limited, which represents 50% of the company’s voting rights.

On 14 March 2023, Crerar Holdings Limited granted a debenture in favour of The Crerar Trust this was satisfied on 10 October 2025.

The loan due from Crerar Holdings Limited is repayable over a 6 year period ending 2029 which bears interest at 1.50% over the base rate. This loan was repaid in full on 3 April 2025.

Subsequent to the year end Crerar Holdings Limited entered into members voluntary liquidation, see note 15.

11 Movement in funds

Restricted funds consist of the trustee shares which the Charity holds in the related party, Crerar Holdings Limited. In accordance with the Trust Deed, the Trustees are restricted from disposing of these shares and the income from these must be utilised for charitable purposes.

Unrestricted income funds consist of income derived from the designated funds and the Charity restricted fund which is expended in accordance with the directions of the council for charitable purposes. The income is treated as unrestricted income.

Designated funds are funds set aside by the Trustees for investment and managed by McInroy and Wood to provide a growing income stream for the Charity. The Trustees are empowered to utilise the capital for charitable purposes if deemed appropriate.

14 Related party relationships and transactions

The Charity has a non-trading subsidiary, the North British Hotel Cancer and Leukaemia in Childhood Edinburgh Trust.

During the year, the Trust agreed to make a donation of £400,000 to HIT Scotland (2024: £100,000). £170,000 was paid in year with £230,000 accrued as at year end, Paddy Crerar CBE is a trustee of this Charity.

In 2024 the Trust also purchased a piece of land in Oban which was previously owned by members of the Crerar family. This piece of land was sold to the Trust at arm’s length at a market value price and is being let out as a community garden for a peppercorn rent of £1 per annum.

15 Post Balance Sheet Events

On 14 November 2025 the Charity’s largest investment, Crerar Holdings Limited, entered into members voluntary liquidation.
