ThetrusteeswhoarealsodirectorsofthecharityforthepurposesoftheCompaniesAct2006,present their
reportwiththefinancialstatementsofthecharityfortheyearended31December2022.Thetrustees have
adoptedtheprovisionsofAccountingandReportingbyCharities:StatementofRecommended Practice
applicabletocharitiespreparingtheiraccountsinaccordancewiththeFinancialReporting Standard
applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
Thanksare extendedto all RCA Councilmembersfor theirtime and contributionto the continuingsuccess of
theacademy.Councilhascontinuedreviewingourgovernanceprocedures,finances,andour budgeting
strategy.TheofficestaffandEducationCo-ordinatorarerecognisedformaintainingourroleasa respected
academyandexhibitingvenueandformeetingtheday-to-daychallenges,oftenroutineandmundane, with
such enthusiasm and energy.
OBJECTIVES AND ACTIVITIES
Objectives and activities
The aims and objectives of the company are:
- to promote the arts of painting, engraving, sculpture, architecture and other forms of arts in Wales
-topromoteinformationonsubjectsrelatingtoartbylectures,discussions,correspondencewith public
bodies and individuals or otherwise and by the provision of reference and other libraries
-toprovideroomsandotherfacilitiesfortheholdingandconductingofexhibitions,classes,meetings and
other like matters
- to encourage the study of art and for that purpose award prizes or other rewards or distinctions.
There has been no change to these during the year.
ThemembersoftheCouncilhavepaiddueregardtoguidanceissuedbytheCharityCommissionon public
benefit when reviewing the charity's aims and objectives and planning future activities.

Events 2022
The RoyalCambrianAcademynew membersapplicationprocesscontinuedto allowforsocialdistancing and
Covidregulationsduring2022.CouncilmeetingswereheldusingaZoomfacility-thispractice allowed
CouncilmemberslivingindistantpartsofWalestoparticipate,whileassuringtheCovidsafetyof the
Council.Thisprocesshascontinuedtothepresent(post-Covid)asapracticalmeansofmaintaining the
widest possible geographical inclusion of members.

Education
TheRoyalCambrianAcademy'sdeliveryofitsvaried,lively,andhigh-qualityprogrammeof education
classes,workshopsandeventswashamperedbythecontinuationofthepandemicand subsequent
restrictions,withsocialdistancingmeaningface-to-faceinstructionanddebatehadtobehalteredat various
stagesthroughouttheyear.The gallerywasabletoresumeface-to-facelifedrawingclassesandwe started to
workagainwithlocalschools.ThegalleryreceivedseveraltripsfromAberconwyHighSchool.We also
workedwith schoolson the PorthY FelinProjectand NationalTrustWalesfor projectson Aberconwy House.
Fundingfor Art in a bag in conjunctionwith Conwy Connectwas also completed.SummerArt schoolwas also
completedduringthesummerholidaysforafive-weekperiodandalsoBabyARTClubforaseriesof four
sessions.We alsocompletedanotheryearfacilitatingworkshopsfundedby Gwynty Morforandon behalf of
DAC /ConwyConnect,providinga safespaceforadultswithlearningdisability.The galleryalsohelda series
of mindfulness classes, once a month over a six month period.

As at December 2022 staff at the Royal Cambrian Academy were as follows:

gallery. Without their contribution the work of the Royal Cambrian Academy would be much diminished.

STRATEGIC REPORT
Achievement and performance
Charitable activities
The RoyalCambrianAcademyplaysan activepartin the localcommunityandin the visualartsin Wales and
beyond.The programmeof exhibitionsaims to engagepeopleof all levelsand ages in the arts.A large number
ofparticipantsinoureducationworkshops/sessionsareWelshspeaking.Weensurethatwherepossible our
workshop facilitators are bilingual.
Intheearlypartof2022,theplannedprogrammeofworkshopsandlecturesforschoolsandthe general
publicwasinitiated.EngagementwiththelocalHighSchoolwasprominentduring2022. Workshops
resumedbackinthegalleryalthoughparticipationnumberswerelowduringtheearlypartoftheyear due
confidence since restrictions from Covid had been lifted. These numbers did increase as the year progressed.
Financial review
The charitymaintaineda reservepolicyandaimedto maintainan unrestrictedfundof cashequivalentto the
currenttwomonthsrunningcosts.Thegallerywillendeavourtoincreasethisamounttotheequivalent of
four months running costs.
The Trustees have every confidence in the charity's ability to continue as a going concern.
Intheseadversetimes,theRoyalCambrianAcademyreceivedasmallamountoffundingfrom Conwy
CouncilandConwyTownCouncil.Fundingstillremainsanissueforthegalleryandreceiveslittle support
from Art Council Wales.

Structure, governance and management
TheRoyalCambrianAcademyofArtisacharitableorganisationwithlimitedcompanystatus.Its principal
activitiesaretheprovisionofartexhibitions,functionsandlecturesconnectedwithartandallied subjects.
The companyis limitedby guarantee,not havinga sharecapital,is a registeredcharityand is governedby the
Memorandum and Articles of the company.
Recruitment and appointment of trustees
Noneofthemembersofthecouncilhasanybeneficialinterestinthecompany.Allthemembersof the
Council are members of the company and guarantee to contribute £1 in the event of a winding up.
Trusteescomefromvariousbackgroundswithavarietyofskillsandnewlyappointedtrusteesundergo an
inductiontotheobjectives,scopeandpolicesofthecharityanda skillsanalysistoassesstheirstrengths and
weaknesswhichmayrequirefurthertraining.Basictrainingis undertakenby existingstaffmembersand any
additional training requirements are assessed upon an ad hoc basis.
AllnewtrusteesareprovidedwithCharityCommissionguidelinesinrelationtotheirresponsibilities in
respect of the operation of the organisation.
Trustees do not receive any benefits.
Organisational structure
The businessof the charityis managedby trustees.Appointmentsare made at the AnnualGeneralMeeting in
accordancewiththeMemorandumandArticlesofthecharity.Trusteesareresponsiblefordeveloping the
charity'spolicystructure,andensuringthatthecharityismanagedeffectively.Theaimistosecure the
welfare of the charity, thus enabling the work to continue in future.
Theboardmet10timesduring2022.Additionalmeetingsmaybeconvenedshouldtheneedarise. The
trusteesmayappointoneormoresub-committeesinaccordancewiththeMemorandumandArticlesof the
company. The gallery currently has a Curatorial Sub Committee consisting of three RCA Members.

STRUCTURE, GOVERNANCE AND MANAGEMENT Areas of risk to the organisation
Thetrusteesanticipatethatthemajorriskisthelackofsalesandfunding.Inordertomitigatetherisk, the
charityensuresthatfundsarespentinaccordancewiththeguidancegiven,regularreportsaresubmitted to
externalfunders,detailingdevelopmentsduringthespecifiedperiod.Inaddition,theexternal funders
annually inspect the records to ensure the grant conditions are adhered to.
Inordertoeliminatethisrisk,severalapplicationsforfundingwillbemadetoseekstabilityfor the
organisation,althoughareassuchasfundingforstaffingorforthefabricofthebuildingareverydifficult to
find.
TheRoyalCambrianAcademyhadpreviouslywishedtolookatsponsorshipproposals,butwith an
impending cost of living crisis this has been postponed for the time being.

2006 ('the 2006 Act').
Havingsatisfiedmyselfthattheaccountsof theCompanyarenotrequiredtobe auditedunderPart16 of the
2006Actandareeligibleforindependentexamination,Ireportinrespectofmyexaminationof your
charity'saccountsascarriedoutunderSection145oftheCharitiesAct2011('the2011Act').Incarrying out

Ihavecompletedmyexamination.Iconfirmthatnomattershavecometomyattentioninconnection with
the examination giving me cause to believe:
1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
Thefinancialstatementsofthecharitablecompany,whichisapublicbenefitentityunderFRS 102,
havebeenpreparedinaccordancewiththeCharitiesSORP(FRS102)'AccountingandReporting by
Charities:StatementofRecommendedPracticeapplicabletocharitiespreparingtheiraccounts in
accordancewiththeFinancialReportingStandardapplicableintheUKandRepublicofIreland (FRS
102)(effective1 January2019)',FinancialReportingStandard102'TheFinancialReporting Standard
applicableintheUKandRepublicofIreland'andtheCompaniesAct2006.Thefinancial statements
have been prepared under the historical cost convention.
Income
All incomeis recognisedin the Statementof FinancialActivitiesonce the charityhas entitlementto the
funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilitiesarerecognisedasexpenditureassoonasthereisalegalorconstructive obligation
committingthecharitytothatexpenditure,itisprobablethatatransferofeconomicbenefitswill be
requiredinsettlementandtheamountoftheobligationcanbemeasuredreliably.Expenditure is
accountedforonanaccrualsbasisandhasbeenclassifiedunderheadingsthataggregateall cost
relatedto the category.Where costscannotbe directlyattributedto particularheadingsthey have been
allocated to activities on a basis consistent with the use of resources.
Tangible fixed assets
Depreciationis providedat the followingannualratesin orderto write off each assetover its estimated
useful life.
Fixtures and fittings- 15% on reducing balance
Computer equipment- 15% on reducing balance
Stocks
Stocksare valuedat the lowerof costandnetrealisablevalue,aftermakingdue allowancefor obsolete
and slow moving items.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestrictedfundscanbeusedinaccordancewiththecharitableobjectivesatthediscretionof the
trustees.
Restrictedfundscanonlybeusedforparticularrestrictedpurposeswithintheobjectsofthe charity.
Restrictionsarisewhenspecifiedbythedonororwhenfundsareraisedforparticular restricted
purposes.

TherestrictedfundisforworkshopsfundedbyGwyntyMorforandonbehalfofDAC /Conwy
Connect, providing a safe space for adults with learning disability
Hire purchase and leasing commitments
RentalspaidunderoperatingleasesarechargedtotheStatementofFinancialActivitiesona straight
line basis over the period of the lease.
Pension costs and other post-retirement benefits
The charitablecompanyoperatesa definedcontributionpensionscheme.Contributionspayableto the
charitablecompany'spensionschemeare chargedto the Statementof FinancialActivitiesin the period
to which they relate.
