The trustee present its report with the financial statements of the charity for the year ended 31 December 2025. The trustee has adopted the provisions of the Statement of Recommended Practice (SORP (FRS102)) 'Accounting and Reporting by Charities'.

STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document
The Trust was founded by a declaration of Trust dated 12 October 1869 and is now governed by a Charity Commission Scheme dated 20 April 2012.
By virtue of that Scheme James Lloyd Almshouses Trustee Limited (company registration number 08010707) was appointed as Corporate Trustee of the Charity on 20 April 2012 in place of the existing trustees and acts as the sole trustee. James Lloyd Almshouses Trustee Limited has a board of unpaid directors who are nominated to the board based on their relevant expertise.
The Corporate Trustee's directors meets 4 times a year to discuss, monitor and review activities.

Within the Corporate Trustee there are 3 Sub Committees being those for Welfare, Property and Finance. These Sub Committees meet as and when required to deal with matters arising. Reports of those Sub Committees are made to the Full Board of Directors of the Corporate Trustee at the next full meeting.
We comply with the Charity Commission and Almshouse Association recommendations. Conflicts of interest are recorded at each meeting. Neither the Trustee nor the Directors of the Trustee Company receive any pay or reimbursement of expenses

Risk management
The Charity operates a Risk Register, which looks at the risks and threats to which the Charity is exposed. This is reviewed on an annual basis. The Corporate Trustee is satisfied that appropriate controls are in place to provide reasonable assurance against fraud or error.
OBJECTIVES AND ACTIVITIES
Objectives and aims
The prime objective of the charity is to provide sheltered accommodation for elderly women. The trustee aims to
Promote the wellbeing and independence of the residents. Encourage communal activities. Provide a good quality garden. Provide good quality housing. Manage the resources of the trust effectively and efficiently.
Public benefit
The Corporate Trustee has considered the Charity Commissions guidance on public benefit, in particular how future developments will contribute to the objectives and aims it has set.
ACHIEVEMENT AND PERFORMANCE
The year 2025 continued the trend for significant repairs to be required on the Estate, causing the Directors to increase the Budget for 2026 for both Day-to-Day Repairs, and the Major Repairs.
Only three modernisation were undertaken to void units during the year, which actually followed a zero year in 2024. This may lead to a larger number in the coming 12 months.
However, the autumn storms in 2024 showed up the limitations of the bungalow roofs. Detailed examination indicated that the original construction used tiles at the very limit of their ability to cope with the driven rain on roofs that were of limited slope. The under fitting had either rotted, or had sagged, with a result that rain penetration occurred in places in very inclement weather. The Directors took the decision to completely re-roof the bungalow roof covering, and this allowed the installation of 300 mm of insulation over the bungalow ceilings, work that had not previously been possible due to the shallow roofs preventing access.

As a consequence, there should be a reduction in the energy required to heat the bungalows, and therefore a similar reduction in the CO2 produced. As the properties had increased the insulation, it was also necessary to re-inspect the energy performance, and all bungalows now have an EPC of C. Previously, two of them were in classification of EPC D, which would have resulted in a few years’ time of not being permitted to be let. This still leaves three flats with an EPC of D, and these will have to be included in a future programme.
Day-to-Day Repairs continued on a pretty constant basis, the total expenditure of being £21.636 for the year. We pride ourselves in dealing with these repairs on an ‘as soon as possible basis, working with a few contractors who we have used for some time, and employ mostly local labour.
All the legal and best practice tests were undertaken, these included gas boiler safety checks and servicing, electrical wiring, asbestos inspection, and Legionella testing. The service of the stair lifts, and warden call system was also included.
Routine cleaning of the common areas, windows, and grounds maintenance were undertaken, although a long dry spell in the summer resulted in the loss of most of our bedding plants. One area of the internal paths required replacement, with a larger programme of new Tarmac required for 2026.
FINANCIAL REVIEW
During the year under review, the Charity recorded an overall surplus and increase of funds of £101,797 (2024: surplus of £62,377). Income from providing accommodation for elderly women remained roughly the same as the previous year, £208,490, (2024:£208,215). Despite a small increase of 2% in the Weekly Maintenance Charge from April there were the equivalent of 30 weeks of void flats where as in 2024 there was almost full occupancy of the site during the year. During the year under review there were no donations (2024: £14,000). Expenditure rose from £219,471 in 2024 to £226,323 in 2025 was is mainly due to reroofing of the bungalows. Otherwise, the money spent was broadly in line with budgetary targets.
The charity achieved a surplus from charitable activities amounting to £6,504 (2024: surplus £29,844). A reduction in investment income together with and increase in total expenditure largely accounts for the income shortfall. There is an unrealised gain on investments of £78,703, (2024: £4,640), and there was a realised gain on sales of investments of £16,590 during the year, (2024: £27,893). The Corporate Trustee agreed to transfer £11,500 to the Extraordinary Repair Fund (ERF) (2024: £11,500) plus an additional £28,661 (2024: £27,719) to the Building Fund.
The portfolio is managed on a discretionary basis by a specialist team of investment managers , Evelyn Partners, based in Birmingham who have a detailed knowledge of charity law. The Directors of the Corporate Trustee meet the investment managers on an annual basis (March) to receive their report. The Chairman of the Finance subcommittee maintains regular contact with investment managers for periodic updates.
The finance sub- committee of the Corporate Trustee meets twice a year to receive reports from the property subcommittee on capital expenditure and to produce and monitor the budget for the full board to consider and approve.
2025 Reserves
The charity has continued to experience the pressure of inflation both from a perspective of material and labour costs. However against this background the major repairs and major works programme has been completed within a revised budget.
The Corporate Trustee is satisfied the original endowment, plus the accumulated capital growth, is sufficient to maintain the buildings in the short to medium term, but longer term, and ultimately when the buildings require demolition and renewal, that the level of reserves meet future capital requirements.

Annual payments into both the ERF and Building Fund were maintained during 2025 as mentioned earlier in the report. The Corporate Trustee is committed to the transfer of monies on an annual basis to both Funds for long term investment.
Investments
Over the 12 months ended 31st December 2025, the overall value of the portfolio in total return terms recorded a gain of 16.4% compared to a gain in the benchmark index (ARC Charity Steady growth) of 12.3%. The portfolio has outperformed the benchmark over 5 years, 36.5% versus 34.4%.
There was no new money invested during the period under review. Investment income totalled £24,337 (2024: £27,190). This placed the portfolio on an estimated gross interest yield of 2.57%. The shortfall in investment income can be directly attributed to a minor change of investment strategy, with the introduction of gold (non income producing). The changes have proved justified with the portfolio outperforming on a total return basis.
In conjunction with the investment manager the question of asset mix and the risk profile surrounding the investment portfolio is discussed on an annual basis. The investment strategy approved by the Corporate Trustee and which is currently in place is to achieve a balance between income and long-term capital growth. A time horizon of 3 to 5 years forms the basis relative to performance and any substantial change in asset allocation.
Artificial Intelligence has again been the watchword for investors throughout 2025. However, software companies have come under pressure on fears of competition. The majority of global markets achieved all-time highs against the background of political and economic uncertainties. Throughout 2025 the prospect of lower inflation and interest rates fuelled investors appetite for equity investment.
The war in the Middle East which started in February 2026 has adversely affected both global bond and equity markets as the sharp rise in the price of spot oil reintroduces the possibility of increases in both inflation and interest rates. Global markets will continue to remain volatile in the current political and economic environment. The behaviour of the US President is the key factor to market trends over the coming months.
The recent annual review from our investment manager was in the main positive for equities and again sanguine towards bonds. The existing balance of the portfolio is well based from a global structure perspective.
RESERVES POLICY
The charity’s stated reserves policy is to hold at last six months expenditure in reserve, either in cash, or short-term deposit. The charity has current accounts with both Lloyds and Santander banks which totalled more than £165,000 at the end of the 2025. The Corporate Trustee has over the last two financial years reduced monies held on bank deposit to finance both major property refurbishment and long-term investment.
FUTURE DEVELOPMENTS
Already in the first month of the New Year, we have a void modernisation underway, which had been previously occupied by a longstanding older person, and therefore, the work required in the Flat is extensive. As stated earlier, with few voids in the last two years, we may experience a year with more than the average turnover of residents.
One of the stair lifts has been agreed for replacement, as it is some 10 years old. There are a total of nine stair lifts on site, and one other requires a greater repair than usual, but we will need to keep a close eye on the remaining seven.

The remainder of the Tarmac paths on site are now at the end of their useful life, and will be one of the larger Major Repairs in the year. We also plan to eliminate one of a total of five header tanks on site, which reduces the potential problem and cost of the Legionella testing and specialist cleaning.

Respective responsibilities of trustee and examiner
The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed.
Having satisfied myself that the charity is not subject to audit under company law, and is eligible for independent examination, it is my responsibility to:

examine the accounts under Section 145 of the 2011 Charities Act,
-
to follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the 2011 Charities Act); and
-
to state whether particular matters have come to my attention.
Basis of the independent examiner's report
My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as the directors of the corporate trustee concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a 'true and fair view ' and the report is limited to those matters set out in the statements below.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

(1) accounting records were not kept in respect of the charity as required by section 130 of the 2011 Act ; or
-
(2) the financial statements do not accord with those records; or
-
(3) the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities'' (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination.

(4) the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES
Accounting convention
The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value, as modified by the revaluation of certain assets and in accordance with the Financial Reporting Standard 102, the Charities Act 2011 and the requirements of the Statement of Recommended Practice, Accounting and Reporting by Charities.
Incoming resources
All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy.
Resources expended
Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Tangible fixed assets
No depreciation is provided for in respect of the freehold properties held. These properties are fully maintained throughout the year. Depreciation is provided at 10% on cost for stairlifts and scooter stores. Fixture and Fittings are depreciated at 10% and 20% to reflect their expected useful life of each purchase. Computer expenditure is depreciated at 25%.
Taxation
The charity is exempt from tax on its charitable activities
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustee.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Pension costs and other post-retirement benefits
Contributions payable to the Scheme Manager's private pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
Going Concern
The trustee considers that there are no material uncertainties about the Trusts' ability to continue as a going concern. There are no material uncertainties affecting the current year's accounts.
Reporting Currency
The reporting currency is £ Sterling.

11. RELATED PARTY TRANSACTIONS
The bookkeeping and accounts are prepared by P&W Social Accountants Ltd. The director of P&W Social Accountants Ltd (who is not involved with the management of the company) is Dawn Welch, the daughter of Roderick Welch, one of the directors of James Lloyd Almshouse Trustee Ltd. The contract between the charity and P&W Social Accountants Ltd was entered into many years prior to Roderick Welch becoming a director of James Lloyd Almshouse Trustee Ltd and therefore was entered into at market price. In the future neither Roderick Welch nor Dawn Welch will be involved in negotiating the contract price of services provided to the charity, this discussion will be between the rest of the board of James Lloyd Almshouses and the management team of P&W Social Accountants Ltd, maintaining arms length transactions at market value.
During the year the total fees from P&W Social Accountants was £10,172 (2024: £10,064) and the creditors held at the end of the year were £4,109 (2024: £4,383).
