Covid world.
Wrth over one hundred over 60s on site y￿ have had to Temain vigilant for ary sign of the disease and Covid
testlng remains part of our everyday life in an effort to wotect the mosl vulnerable.
Nevertheless. we hav8 had som8 notable events in Ihe pa8t ￿efve month& not least. Ihe completion of our now
build programm6. vthich has resutted in us beirrg able to offer an additional fourteen units of sheltered
a¢commodation to those in need. We have also extended th8 use of our communal areas to outsiile bodies such
as Age UK and provided more user friendly space to the many varied and dIVe￿e so￿al activities enjoyed by our
residents. We are delighled to announc8 that at its Members Day in London in June 2023 the AlmshcNJse
Assoualion award8d the naw development ihe Inspirational Homes Award for 2022.
The grounds have been landscaped to include an enhanced coutyard area and this has been very well rèceived
by all. Further landsGaplng ￿11 take place In th8 c￿Ing year.
We have been competitively judged for our new developments and allhough w8 still await the outcorng of Some
ol these schemes we were very proud to receive th& Large Residential Award in th8 area Pro Con Award5
Competition run by the Gonstruction and allied trades industry. Vlsiiors are 0ft8n heard describing our new
developm8nts as'just stunningl,. vthich is very grats￿ng after nearty eight years spent bringing the scheme from
the germ of an idea to ftJffilmenL
Of Course, it is [￿t posslble to run an Almshouses suth as thls wlthout scme large Challenge$ and thls year Ihat
has prespjnted itself in the form of the enornious raise in the cost of utilities. We found ourselves in a posttion
ereby it was almost impossible to find a supplier Nvho would 8v8n give a quote to organisations such as ours.
However. 8fter thr88 days (and ￿mOst nights) of tel8phone ralls and meetings our CEO and Land Agent
managed to secure us a contract- albeit at an increase of nearfy hundred per￿nt- but that 1$ the worfd In
vknich we now livel Our thanks go out to Chris Jones and Andrew Robinson for all their hard work and 8nd@avours
on our behalf.
We are delighted to ann0￿ce tr*t In Spring 2023 the Charity Commisslon atproved the merger of Hospital of
William WyggestrJn5 ￿th our neighbours al Trinity H05Pital Charibes CIO. The formal merger of the ancient
Charities took place at a ce18braknn on 31st March 2023. bringing together Iwo of th8for8mostAlmshouses Ch3rttl8S
in Leicester, wilh a combined 1200 year of cwing for cwr beneficiartes. To refiect our common heritage the Board
agreed the renaming of the new Charity and henc8 the nam8 going forward wll be Wyggestons and Trinity
Almshouses Charity. The benefieAaries have been gaining from the clckser working lines betsveen the
Almshouses vAth access to lolnt events and the expansion of acknvlties at the Trtnty HospiÈal.

2. FOUNDATION AND SCHEME
Wyggestons knpital Charfty was founded following Ihe grant of Royal Letter8 Palert to William Wyggeslon in
1513. The Scheme of the Charity Commissioners goveming the Charity was revised in 1992 and 2012 and the
present scheme ￿ dated 7 February 2012. Th8 Charty's registration number is 216873. The official name of ihe
Charity is Wyggestons and Trinty Almhouses.
3. CORPORATETRUSTEE
On 26 July 2011 a Company Limited by guarantee was established titled The Wyggestons Hospttal and Hospital
Branch Twstee Company number 7718817. On 7 February 2012 this Company became the sole Trustee of the
Charity. The previous Govemors Dfthe Charlty becoming the D?rectDrs of the Company. The Corporate Trustee
holds the real estste property of the Charity whlth was transfe￿ed durlng 201312014. All sakn or purchases of
land are now cathed out In the name ofthe CcKporate Trustee.
4. WORKING NAME
For day-lowday purposes the Charity is knovffl as Wyggestons ￿ Wyggeslons Hospital and Ihe Directors of the
Corporate Trustee are known as Gov8mors.
5. AIM
The 8im of Ihe Charity is to apply its income for Charitable purposes by the provision of Amshouses or general
financial assistance for newjy people of the Clty of Lelcestsr aiKI Ihe provlslon of Exlta Care faGillti8s for needy
persons.

Comrnission's guldance and Iheir pub￿shed Reports. As readers will be aware Ihere are twelve Charitable

7.1 The prevention or relief of poverty
7.1.1 LelGester Charlty Llnk
Trough the Leicestw Charty Link ILCL) grants are provided v4hich enable people to have 8 better quality of lrfe.
though indiwdual grants are limited to a maximvm of £500. it is often the case that even a small amount makes
a huge dtfference. The Governo￿. through the House and Grants Committee. are made aware of a51 help given.
Working wth LCL has the 8thantage that they ¢an access additional funds should this be necessary. Th8y can
also ensure an Indlvldual Is clalming any statutory help available. In 2022 we made a grant of £25,000 fLY
dislTibution by LCL {in 2021 the grant was also £25,000).
7.1.2 One Roof Lelcester
One Roof Leicester IORL) Is a Charity which provides accommt)dation, support and advice lo the homeless,
destitute refugees. atsyium seekers and vulnerabty housed In Lelcester. ORL works with partner organlsations.
often the local farth community. to ensure that the vulnerable whom they house are not left in isolation. In 2016
Wyggestons purchased a property, which is lei to ORL for a nil renl. allowi'ng them to provide accommodation to
a homeless or vulnerable family. The rental for the propety on the open market would be in the region of £5,000
to £7,C4)O. therefore this could also b8 counted as hidden grant aid. this leth'ng continu8d during 2022.
7.2 The advancement of oducatlon
Under the Terms of the Charlty's Stheme we pay an amount aTtnualty to the Wyggestons Schools Foundatlon.
2022 this was £5,000 (2021: £10,000). The Foundation considers applicalionsfromthe Wyggeslon5 and Queen
Elizabeth College (WQE) which 15 Ihe suGcessorsixlh-form colloge in Leicester Citythal were formally Wyggeslon
Schools. Through this 8dditwy]al funding students can become involved in activities or courses lo enhance their
broader educational horizons, which they would oth￿Is8 be denied. The fvnding was approved in 2022 and is
usually made in the September of eath year to coincide wilh the Gommencement of the Academic year.
7.3 The rellef of those In need

maintenance, they are with lik￿mind￿l and similar aged people. and enjoy the security ofsomeone on call Shouh
they suffer an emergency. In addilion we have a Chapel on ske and can offer spirltual and pastoral support as
needed Ihroughthe Master, an ordained Anglcan Priest. As people age and tsir needs increaselheycan ,subject
to assessment, transfer to Agnes House, our Residential Home, vthich is on the s8me site. The proximity of the
buildings has the added advantage that fellow residents who have become friends over the years can visit easily
and maintain contact. Families also appreciate thal when the tirne comes for Ihe extra ￿Ve1 of care the parent or
loved one ig already known to the slaff, and this ￿dUCeS the stress of moving. In both units there is a degree of
subsidy. The Govemors, policy is thatthe weekty charges in the Almshouses and Agnes House will be below that
of an economiG renl or fee as part ofth8 Charitys Relief in Need help. This amounts lo approximalely £175,000
per annum.
7.4 Concluslon

8. STRATEGIC OVERVIEW
Wyggeslons was established to provlde sh8tsred houslr4J and gfve granl ald. It now aGhlev8s by:
providlng 70 units of Aknshouse Accornmodal￿￿ including new 14 units thich were frst
occupied in late 2021.

As an endowed Charity the ino)me from investments provides monies to suppknent the work, and the
Almshouses and residential home are provided at subsidised rates. The main limiting factors for the Charity are
the low interest rates and th& rates paid by the local auLhorities for residents in the care home.
We monitor our perfomiance by carying out an Annual Re51dents' &rvey. We are also monltored by extemal
bodies, the Care Quatty Commission (CQC) and the Leicester Ctty Council.
Financially we are strong and currently there is no reason why Wyggestons should not continue for a further 50CI
years. D8tai18 ofhowthe Govemorswork through thevarious committees is given bgk)w. As mentioned elsewhere
theday-ttrday managementis carr¢ed oulby the seniorstaff. HO￿￿veram0￿g the staff onlythe Master has ch8que
signing authorlty. All paymenls are authorised by two Governors and all payments are r9PQrted to the FinanGe
Committee at the nexiTound ofmeetings. Limits are placed on the amounts thatcan be aulhorised before referring
to the Govemors. Budgets are apwoved atthe autumn round ofmeetings forthefollowin9 year. and any variances
greater than 20% are Investlgated and explanations provided. Each committee receiv8s budget to actual reports
at its meetlngs. and all Governors raceive financÈal infomiation on a regular basis.

9. RISK MANAGEMEP
The Govemors have examined the maicK stralegic business and operatlonal k1sks bthich the Charty faces. and
confirm that Systems are in place to ensLre regular reports are produced, so that the necessary steps can be
taken to lessen these risks a fomiafised risk register reviewed annualty by thè Govemors. Thls continues to
highlight the impact of econrffiic uneertainty wih high levels of infi8tior* in the 8conomy and increaslng Inte￿$t
rates, tt)at pose significant risks forthe Charty. The continued market volatilty resufted In losses lor the Charitys
investment portfolios. and the fund managers worked ctosely with Govemors to limit the irnpact on th& Charitys
ashflows.
The Ynajor risk5 to the Charity are reputational damage, fraud and 'Acts of God.. Whilsl having no control over
the extemal risks, the Govemors have in place various measures to mitigate the likelihood of reputational darnage
and fraud including a rol)ust BusFness Contlnuity Plan. financial systems and an aSs￿lated Crisis Management
plan to protect the Charity.
The new working partnership bMth Trlnty HoÈrAtal Charlty CIO was apwoved following a delaiEed du8 diligence
exercise to minimise any risks to the Ch81ity from this relaliorthip. and il 15 illtended in 2023 to further reduce
the risk by fomialty merging the Charities subject to Charity Commission approval.
Going Concam
The 2023 budgets and forecasts have been drawn up and amended with consideration for the continuing impact
of extem81 economic factors, along with our ongoing planned capit85 prciecls. The budgels and forecasts are
supported by a rnonthty reviewed cashflow anafysis, th8l is managed by the Governor5 and senior Staff. The
income being deTtved from the recent expansion of the Amshouses provision, coupled wth excellent occupancy
rates and diversffjc8tion of the Estate portfolio Provides the Trustees with the conffidence of the financiÈl healih
of the Charity.
On review of these dc*wments the Trustees believe that the Charitys finanG181 resources and contingency
planning is sufficient to ensure the abity of the Charity to continue as a going concem for 12 months from the
poinl of signing, and therefore the Financial Stalements have been prepared on thks basis.
10. RESIDENTS
During 2022 there were 12 (2021: 18) deaths. and 3 (2021.. 3) transfws of resldents.
10.1 Wllllam House, Lancastsr House and Cottages- Th• Almshouses
The construction of 14 new apartments and cottages inerÈased the number of Almshouses Residents, and
Gonsequenlty this has bwered the average age of the Charity's benefi¢iaries whilst increasing the occupancy
levels.

11. GOVERNANCE OF THE CHARrrY
The Govern¢ys are responsible for the overall management and oryanSsation of the Charlty. The full Board of
Govemors met lour limes in 2022. The Finance Committee. Estste Committee. House and Grants Committee,
Remew Committee, Executive Commlttee, and LoL*ing Ahead Group support the Govemors In carying out thelr
responsibilf(ies.
Each Committee conslsts of at least nlne Govemors, except ihe Exe¢utlve Commlttee, ￿lch comprlses the
Chalrman, the Vlce-chaimian ol the Board of Governors, the Chairman and Ihe Vlce-chalmian of each
Commlttee. The Finance SU￿Committee - Investment comprises the Ch8iman. the WcevChaMan of the
Governors, the Chaiman and the Vice-chaimian ofthe Finance Committe&, 8nd at le8St one other Govemcf.
The Govemors are ultimately responsible for the policy and direction of the Chwity, with day to day management
delegated to the senior staff headed by the CEO. who also acts as Cleyk to the Govemors. The Care Manager
has dual responsibilty for William House and Agnes House. The Master is responsible for tho pasloral care of 811
residents and staff. All Govemor5 are notified of relevarrt training opporlunilies. These are fully funded by the
Charity. The Clerk to the Governors attends various courses and provides reports to upd8te Govemors. The
Professlonal Advisors also offer inthouse updates sp&caficaty tailored to the Govemors needs as necessary.

Wyggestons provides all its digible employe@s with a workplace pension scheme under the umbrella of Tha
Pensions Trust.
Though the majoiity of our staff are members of defined contributions plan, a srnall number are also
members of the original scheme that had an element of capitsl guarantee, and as a group style scheTne exislng
meuthrs are mutualty lable for each otherfs debts. There is a potential debt on wrthdrawal and following advice
in 2012 the Govemors therefore fell it prudent to initially reserve a sum of £100,000 agalnst these rèal and
polentlal Ilabilitses. This has b8en revk8wed ty our penslon advisers in 2022. and the defidt has reduced through
the efficient m8nag8ment of the deficit, and the liatrility is now assessed to be around £29.000. The Govèmors
agreèd lo réduce the designaled fund to £65.OCWJ acLX)rdingly. following the most recent T8view of the Plan to meét
this debt and associated Costs. see note 26 of the Financial Siatements.
The Govemors are aware of an Impending legal revlew of the Scheme. as The Pensth Trust has become aware
that there Is sufficient uncertalnty regardlng the effect of some benefil changes made to the schemes over tlme,
and that the directions of the Court are lo be obtained to provide the Trustee v*th the certainty it needs to properly
administer The Pensions Trust. The risk register for the Charity has been updaled to allow for any additional
financAal burden from the expected legaljudgement that may adver6ety affert the levy.

the initial stages of the Lancaster House and cottages capilal project being financed oul of eyisllng cash

Th8Trinity Hostilal ChaTltl8s CIO, founded in 1331 by the Duke ofLancaster. was a Tegist6red Almshouse Chaiity
administered by Trustees under the temis of a Charty C(rfnmission Scheme dated 20 Noven*Jer 1969.
In Decembw 2020 the former board sought the assistance of the Wyggestons Hospiial in managlng the Charity
going forward ta safeguard Its futur8. FOlkn￿n9 discusslons betsvBen the Charitles, and a delalled due dlllgenc8
exercise. in September 2021 a small number of the Govemors ofthe Hospital fomied the new Board as Trustees
of the CIO. The CEO took on the day to day managernent of the Charty under a servi￿ Level Agreement with
lh& CIO.
In Aulumn 2022 Ihe Board of Govemors pass8d a resolulron lo seek Charity Commission approval to transfer all
of the assets oflhe Charity to the Hospilal of William Wyggeston and merge the operations of the Iwo Chadties
together. Approval was received from Ihe Charity Commission in March 2023 and the formalities were ¢ompleted
on 31 M8rch 2023.
The Trinity Hospital Chartlies CIO will be relained by Ihe Govemor5 as a donnant dwrity for the foreseeable
futur
The assets of the charity include Trinty Hosprtal, 23 units ofshettered housing Almshouse in Weslem Boulevard,
Leicesler and landholdings in Leicester and Endety, in addition lo an investment portfolio.

To reflectthe common heritage of the ChaTitie5 from 31 Marth 2023 the Board of Govemor5 pa55ed a resolubon
to amend the name of th8 Charity accordingly.

2.2 Golng concern
The 2023 budgets and forecasts have been drawn up and amended wSth conslderatlon ol the
external economic volatility of energy and rA>St of Iving ￿sts and their impact on the Charitvs
overheads and Go¥ts whilst ensuring the affOrda￿litY of our Services for our beneficiaries.
The Ixjdgets and forecasts are supported by a monthly reviewed Gashllow anatysis that 15 rnanaged
by the Govemors and senior slaff. The In￿Me being derived from the recent expansion of the
Aknshouses provision coupled with excellent occupancy rates and dNersification of Ihe Estate
Fx)rtfoh'o provides the Trustees Viith the confidence of the financial health of the Charity.
The land sale in 2022 has also derived signfficant Ca￿81 receipts that are Cufrenlly held on deposit
pending reinvestment as Permanent Endowment funds.
On review of these documents, the Truslees believe that the Charitys financial resources and
C￿ntingencY planning is sufficient to ensure the abilty of the Charity to ttjntinue as a going conttem
for 12 months from the point of signlng and therefore the financial ssalements have been prèpared on
this basis.

2.7 Tangible fixed assets and depreciation
Tangible fixed assets costing £5,000 or more are capitalised and recognised when flrture economic
benefits are probable and the cost or value of the asset can be measured reliabty. Some assets

Land promotion arrangements are entered into wilh land promotors or developers when a strategic

In March 2019 Wyggeston'5 Hosptlal Charity entered into a 99 year lease wth MOTO to develop Land
owned by the Charity as a Motorway Service ￿ea. The lease premium of £2.5m, less dlrectly attrlbLrtable
costs of £55k, will be released lo the SOFA over the duration of the lease. The I￿0p￿ open&J on 30
Aprll 2021 and Ihe lease premium is therefore now being reGTrJnised.
Oll￿r loans represents a h)aD provided by Schmder & Co ￿mIted for the purpose of part- financing the
Cherryleas construction project. The loan bears an interest rae of 1.5¢A above bank base rate and is
secured by way of charge against the listed investments hekl under the management of Cazenove Capital
Management. The loan agraement C4)ntains a -repayab￿ on demand. clause and accordingly the loan is
presented as a short tem Rability. However, the substance of the 103n, as documentsd in the loan
agreement, is that tl 1$ provided for a lemi of 5 years from the date of initial drawdown. The drawdown on
the loan commenced in May 2021 and th8refore repayment in full is due in May 2026.

Wyggeston's Hospital Charity participates In Tha Penslon Trusl Growth Plan penslon scheme llhe Plan").
The Plan comprises four parts: series 1 to 3 comprise defined benefrt arrangements under which further
accruals lo employees. beneffts Geased in Oclober 2008, which was followed by series 4, a de)Ined
contribution arrangement. and this continues for all (yjrrent employees. The Plan is a multi-8mployer
pension plan and accordlngly accLwnts for the Plan as a defined LLwtribUtI￿ plan.
The scheme Is dassified as a 'last-man standing arrangemenf. Therefore. the Charity is potenlially liable
for other pa￿CIPating employe￿. oblig8tions rf those employers are Unab￿ to meet their share of the
5theme deficit followng wthdrawal from the stheme. Partiupating employer5 are legally required to meet
their share of the scheme defiryt on an annuity wrthase basis on Mthdrawal from the stheme.
A full actuarial valuation for the scheme was ￿rnied out at 30 SeptemL*r 2020. This valualk)n showed
assets of £800.3m, liabilities of £831.9m and a deficit of £31.6m.
Wyggeston's Hospital Charity paid C(￿ibutionS totalling £49,82512021: £35,747) during the aCGounting
year. These contribuiions are a combination of the amounts due under the defined contribubon
arrangements and the payments due under the re(xJv8ry plan agreed for Ihe deflnBd benefit Ilabllities, as
referred tr) below. The Plan Trustee has Indicated that additlonal annual recovery plan cx)ntributions of
£2,047(2021: £5,272) wll be required by Wyggeston's Hospital Charity for each of the 3 years from 1 April
2022.
Where the $cheme is in defiGbt and vthere the Charlty has agreed to a deficlt fLJndlng arrangement the
Charity rec(yilses a li8bilty for this obligation. The amount recognised is the net present value of the
deflcit reduGlton wntributlons payable under the agreement thal relales to the defiGit. The present value is
calculated using an appropriate discount rate of 4.96%12021'. 1.18%). The unwinding of the discoLJnt rate
Is recognised as a finance cost.

29. Post balance sheet frvents
The Trinity Hospital Charllles, founded In 1331 by the Duke of Lancaster. was a registered Almshouse
Charity administered by Trustoes under the t8rms of a Charfty Commlsgm S¢heme dated 20 November
1969.
In De￿mber 2020 the former board sought the assistance of the Hospiial in managing Ihe Charity going
forward to safeguard tts fvture. Followlng discusslons b81ween the Chartties. and a detailed due diligence
exercise, in September 2021 a small number of the Govemors of the Hospital fomied Ihe new Board a5
Trustees of the CIO. The CEO took on the day to day management of Ihe Charity under a SeNice Level
Agreement with the CIO.
In Autumn 2022 Ihe Board of GovemoTr passed a reso￿tion to seek Charity Commission approval to
Iransfer all the assets of the Charity fo the Hospital of William Wygge5ton and merge Ihe operations of the
vo Charities togetrer. Approval was received from the Charity Commiswon in Marth 2023 and the
fo￿all￿e8 were completed on 31st March 2023.
The Trinity Hospital Charities CIO ba retained by the Govemors as a ￿L￿an1 tharity fcff the
foreseeable fvlure.
The assets of the tharity indude Trinity Hospital. 23 units of she￿wed housing Almshouse in Westem
Boulevard, LeiGester and landholdings in Leicester and En(l¢rby, in addition to an inveslment portfolio.
Three memb8rs of slaff transferred to the Hospital under the TLIPE regulations.
To reflect the common h81itag8 of the Chaiitie5 from 31st March 2023 the Board of Govemors passed a
resolution to amend the name of the Charfty accoTdlngty.
The Charity is named Wyggestons and Trinity Alrnshouse Charity. The Corporate Trustee nam8 has also
been amended to reflect this change and t*en registered and approv￿ by the Charity Commission and
Companies House.
