STrUCTURE. GOVERNANCE AND MANAGEMENT
From 2 June 2009 until 31 March 2022, Cardiff Inststijte for the Blind (trading as Sight Lrfo) was a
8ubsidiary of the Royal National Inslttut8 of 81ind People IRNI81. Under this 8grè8menl. Sight Life kept
Its idgntty its own charity registrotj'on and wa82 charilabio company llmited by gu2rantO8, govam
by rt8 Memorandum and AJtid8s of Assoaalion.
Slghl Llfe loft the RNIB on 1 Aprbl 2022 and is onc¥ again an Independent chadty. Thls w8B a mutU811y
8gr&ed decision ￿th the RNIB ¢8ken by Sh3hl Life trustees after extensive due diligenco. The ts¥o
c*arits'es conllnue lo work together and RNIB Cyrnru still ronts office spaGe in our Jones Court building.
As part of the domeiger process, Sight Life accepted a £200,Or￿ loan from the RN18, repay8ble by
2029.
The trustees. ￿ ara the directors of the company, regulaty to ensure rotYJ51 leadership and
govomanc8. Slghl Lrfe is managed on a day-lfrday basis by a Chief Exe￿tiVe. Sight Lrfe continues to
encourage additional ￿¢ZultMent lo our trustee boafd to ensure that wo match the gov8manc8,
profe951onal skllls and lived expwlenee ngeds that our op8ratK)ns requlre.
Prior lo re*uming to independence, we rewewed and strengthened our management t6am. as well as
many other 8spects of our op8rakn"ons. We did this lo refiect tho fact th81 we woukj no longer have tha
support of the RNIB and ils back4)ffice SWMce5. We have updated our p(aicies and govemance
structures, as w811 as putting in pkgce new finance. ￿r8￿ne1 and IT systems. The t*)ard is supported
by sub-group8 Hl finance and govemance and risk to pro¥ide 06svrance to tt￿ board.
