## **FOR THE YEAR ENDED 31 MARCH 2024** 

The Trustees present their report and accounts for the year ended 31 March 2024. 

## **LEGAL AND ADMINISTRATIVE INFORMATION** 

The Charity was constituted by Trust deed dated 30 March 1960. The Charity registration number is 200691. The Charity is a grant-making body and seeks to attain its charitable objects solely by making payments to active charities and not through direct action.  The focus of giving is to save life, improve life and sustain spiritual life, all at a local, national and international level. 

The charity’s income is derived principally from its investments in two companies, Littlestone Properties (Bedhampton) Limited and Bedhampton Holdings Limited.  Littlestone Properties owns a portfolio of largely residential lettings and was established with a view to providing a revenue stream for its charitable shareholders.  Of the 21,500 ordinary LP shares in issue, this charity owns 13,000 shares in its Cynthia Hoy Fund, and 5,100 shares through Bedhampton Holdings, in its general fund. 

Littlestone Properties made a loss in the year to 31 March 2024. 

Bedhampton Holdings Limited and its associated companies continue to experience difficult and uncertain financial conditions. It is expected that these conditions will continue for the foreseeable future due to financial difficulties caused to some tenants due to the current uncertain economic conditions, higher interest rates and an uncertain inflationary environment. 

Residential income continues to be fairly steady, but some difficulties continue to be experienced on the commercial side, particularly retail businesses.  Repair and maintenance costs on the ageing property portfolio continue to remain high and are expected to remain so for the next few years while the necessary repairs are undertaken on many of the properties in the portfolio.  Borrowing costs have risen to in line with increases in the Bank of England base rate and these costs are expected to remain at these higher levels for the short term. 

The company was not able to make a meaningful donation to the charity in 2023/24 and this is expected to be repeated in 2024/25 and 2025/26 for reasons described above. 

## **PUBLIC BENEFIT** 

The trustees have paid due regard to the guidance issued by the Charity Commission in deciding what activities the charity should undertake. 

## **ACTIVITIES AND ACHIEVEMENTS** 

As was anticipated in last year’s report, the charity did not receive any income from Littlestone Properties during 2023/24, but was once again in receipt of income from the estate of the late Bernard Stanley. This has enabled the charity to maintain its giving, albeit at a lower level than in 2022/23. 

Because future income from Littlestone Properties may also remain low or at zero for another year or two the trustees decided to spend at a moderate level in 2023/24 in order to have funds left for future years and maintain a steady flow of funds for its regular beneficiaries. 

Thus just over £50,000 has been spent supporting 25 organisations.

I report to the charity trustees on my examination of the financial statements of Bedhampton Charitable Trust for the year ended 31 March 2024. 

## **Responsibilities and basis of report** 

As trustees of the charity you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (the 2011 Act). 

I report in respect of my examination of the charity’s financial statements carried out under section 145 of the 2011 Act. In carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no material matters or concerns have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

- accounting records were not kept in respect of the charity as required by section 130 of the 2011 Act; or 

- the financial statements do not accord with those records; or 

- the financial statements do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.
