TRUSTEES' REPORT

FOR THE YEAR ENDED 31 MARCH 2026

The trustees present their annual report and financial statements for the year ended 31 March 2026.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's governing document, the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)" (effective 1 January 2019).

Objectives and aims

The objectives of Billingham Boxing Academy (BBA) are to advance the physical and mental wellbeing of children, young people, and adults within the community through amateur boxing, sport, education, mentoring, and positive community engagement.

BBA provides a safe, structured, and inclusive environment where members can improve their physical fitness, confidence, discipline, resilience, and social skills. Alongside competitive amateur boxing, the organisation delivers community outreach, alternative provision activities, anti-violence and knife crime awareness programmes, and wellbeing support for vulnerable young people and families across Billingham and the wider Teesside area.

The Academy remains committed to using sport as a vehicle for change, particularly in areas affected by deprivation, anti-social behavior, youth violence, and limited opportunities for young people.

Achievements and performance

During the reporting period, BBA continued to grow both competitively and within the community.

Sporting achievements

The Academy also successfully organised the Teesside Box Cup, attracting hundreds of boxers, coaches, officials, and supporters from across the UK, helping establish Teesside as a recognised destination for amateur boxing events.

Community impact

BBA continued to provide vital community support throughout the year, operating five nights per week and engaging with large numbers of young people from areas of significant deprivation.

The organisation worked closely with schools, local authorities, parents, youth organisations, and community partners to provide early intervention and positive pathways for young people.

Many participants attending the Academy come from some of the most deprived communities in the Teesside area. The trustees believe the Academy plays an important role in improving confidence, wellbeing, aspiration, and community cohesion.

Safeguarding and governance

Safeguarding remains a core priority for the organisation. The Academy maintains safeguarding, child protection, health and safety, and welfare procedures appropriate to the size and nature of the organisation.

All coaches and volunteers working directly with children and vulnerable adults are appropriately DBS checked and expected to uphold the standards and values of the organisation.

The trustees continue to review governance structures, policies, and operational procedures to support the sustainable growth of the Academy.

Financial position

The trustees recognise the ongoing financial pressures faced by grassroots community sports organisations. Rising operational costs, equipment needs, travel expenses, and facility requirements continue to place pressure on resources.

Despite these challenges, the organisation has continued to deliver a wide range of activities and programmes through volunteer commitment, fundraising efforts, grants, sponsorship support, and community backing.

The trustees are actively pursuing funding opportunities and long-term premises development plans to secure the future sustainability and growth of the organisation.

Financial review

During the year, the charity has generated a surplus in the year of £90,787 of which £77,262 is from the Charity's unrestricted operating activities.

At the end of the year the charity had restricted funds of £13,525 and unrestricted funds of £77,262 of which £54,151 are considered as free reserves.

Reserves policy

The Board of Trustees recognises the importance of maintaining a secure financial base to safeguard the continuity of services. As such, the charity’s policy is to retain unrestricted reserves equivalent to at least three months of core operational expenditure, including staffing, delivery costs and essential overheads. The charity’s unrestricted reserves policy has been designed in line with the Charity Commission’s good practice guidance of holding unrestricted reserves of three to six months at any given time.

Future plans and premises development

During the reporting period, the organisation was informed that the current premises used by Billingham Boxing Academy are due to be demolished as part of wider redevelopment plans. As a result, the Academy is now progressing plans to relocate to new premises within Billingham Town Centre.

The trustees see this move as an important opportunity to create a larger, safer, and more sustainable facility capable of supporting the growing needs of the club and wider community. The proposed new premises will allow the organisation to expand its sporting, educational, and community programmes, while creating an improved environment for young people and families accessing services.

The long-term vision is to develop the facility into a centre of excellence for sport, youth development, health, education, and community engagement within Billingham and the wider Teesside area.

Significant renovation and fit-out works will be required before the new premises can become operational. The organisation is therefore actively seeking grant funding, sponsorship, donations, and community fundraising support to help raise the funds required to complete the development works and secure the long-term future of the Academy.

The trustees remain committed to developing the new premises into a centre of excellence and a lasting community asset that will continue to provide positive opportunities for future generations across Billingham and the wider Teesside area.

The trustees remain committed to ensuring Billingham Boxing Academy continues to provide a safe, positive, and inspiring environment for the community it serves.

Structure, governance and management Governing document

The charity was a Community Interest Company and as of the 16 July 2025 converted to an incorporated charity, under a constitution dated 20 June 2025 and is a registered charity, number 1214136. The charity is governed by its constitution, which sets out its objects, trustee arrangements, powers and administrative provisions in accordance with the Charities Act 2011.

The charity is overseen by a Board of Trustees who are responsible for ensuring that Billingham Boxing Academy operates within its charitable objectives and meets its legal and regulatory obligations. Trustees act in accordance with their duties under charity law and are collectively responsible for the governance, strategic oversight and financial stewardship of the organisation.

The Board is made up of individuals with a range of skills and lived experience relevant to the charity’s purpose. New trustees are recruited as required through an open and skills-based process. Induction is provided on appointment and trustees are encouraged to undertake relevant training on governance, safeguarding and charity compliance to support their role.

All trustees provide their time voluntarily and do not receive any remuneration or other personal benefit from the charity.

I report to the trustees on my examination of the financial statements of Billingham Boxing Academy (the charity) for the year ended 31 March 2026.

Responsibilities and basis of report

As the trustees of the charity, you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (the 2011 Act).

I report in respect of my examination of the charity’s financial statements carried out under section 145 of the 2011 Act. In carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent examiner's statement

Your attention is drawn to the fact that the charity has prepared financial statements in accordance with Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) in preference to the Accounting and Reporting by Charities: Statement of Recommended Practice issued on 1 April 2005 which is referred to in the extant regulations but has now been withdrawn.

I understand that this has been done in order for financial statements to provide a true and fair view in accordance with Generally Accepted Accounting Practice effective for reporting periods beginning on or after 1 January 2015.

1 Accounting policies

Charity information

Billingham Boxing Academy is an unincorporated charity, registered charity number 1214136.

1.1 Accounting convention

The financial statements have been prepared in accordance with the charity's governing document, t h e Charities Act 2011, FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)" (effective 1 January 2019). The charity is a Public Benefit Entity as defined by FRS 102.

The charity has taken advantage of the provisions in the SORP for charities not to prepare a Statement of Cash Flows.

The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention, modified to include the revaluation of freehold properties and to include investment properties and certain financial instruments at fair value. The principal accounting policies adopted are set out below.

1.2 Conversion

The company ceased to be a Community Interest Company on 16 July 2025 and converted to a Charitable Incorporated Organisation registered with the Charity Commission (registration number 1214136). These accounts represent the company’s financial position at the date of conversion.

1.3 Going concern

At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus, the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.

1.4 Charitable funds

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.

Restricted funds are subject to specific conditions by donors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.

1.5 Income

Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.

1.7 Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Freehold land and buildings 5% straight line Equipment 25% reducing balance Motor vehicles 25% reducing balance

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in the statement of financial activities.

At each reporting end date, the charity reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).

1.9 Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

None of the trustees (or any persons connected with them) received any remuneration or benefits from the charity during the year.

7 Taxation

The charity is exempt from tax on income and gains falling within section 505 of the Taxes Act 1988 or section 252 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects.
