## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing Document** 

Cardiff Baroque is a Charitable Incorporated Organisation, registered with the Charity Commission, and is governed by its ‘Foundation Model’ constitution 

## **Public Benefit Delivery, Charitable Purposes and Objectives** 

Cardiff Baroque's objects are to promote, improve, develop and maintain public education in the art and science of music in all its aspects, with an emphasis on baroque music, by the presentation of public performances, events and any other activities that support music making. 

## **Organisational Structure** 

Cardiff Baroque is controlled by the trustees who supervise its activities. The trustees meet formally as required.  Advice and assistance from the musical director, leader, players and external advisers are made use of as and when appropriate. 

## **Risk Management** 

The trustees have a duty to identify and review the risks to which Cardiff Baroque is exposed and to ensure that appropriate controls are in place to provide reasonable assurance against fraud and error.

## **ACTIVITIES AND FINANCIAL OVERVIEW** 

## **Activities** 

Cardiff Baroque was established in 2023 by a group of individuals who came together to promote and perform baroque music. The first concert was given in October 2023 in St. Edward’s Church, Roath. Two more successful concerts were given in 2024 and it was determined that there was a viable future for a Cardiff-based group presenting baroque and early classical music. In 2025 a concert was given in April 2025 and in June 2025 Cardiff Baroque registered formally constituted itself as a Charitable Incorporated Organisation registered with the Charity Commission 

In November 2025 Cardiff Baroque gave two concerts, one in St. Edward’s Church, Roath and one in St. John’s Church, Canton, featuring the exciting young Cardiff-born cellist Ivan Cherednichenko Carillo. 

## **Financial Performance** 

On an accruals basis Cardiff Baroque incurred a small loss of £104 in the period ended 31[st] December 2025. Cashflow was positive with a cash balance at 31[st] December 2025 of £500 with financial support from the trustees and other participants in Cardiff Baroque. 

## **Reserves Policy** 

Cardiff Baroque has no significant reserves at present but the trustees are aware of the need to generate sufficient reserves to safeguard the viability of Cardiff Baroque in the medium to long term. 

## **RISK ASSESSMENT** 

Any perceived risks are considered by the trustees and steps taken to manage those risks as required. 

## **FUTURE PLANS** 

Cardiff Baroque intends to perform four concerts in 2026, two in May and two later in the year. It is hoped to maintain this schedule of performances in subsequent years.
